ISO (International Organization for Standardization) is the worlds largestdeveloper of voluntary International Standards. ISO was founded in 1947,and since then has published more than 19 000 International Standardscovering almost all aspects of technology and business. In 2012, ISOhas members from 164 countries. Title

Article 1

1.1 Te name of the Organization shall be the International Organization

or Standardization, hereinafer reerred to as the Organization . Teabbreviated title shall be ISO .

Object

Article 2

2.1 Te object of the Organization shall be to promote the developmentof standardization and related activities in the world with a view to

facilitating international exchange of goods and services and to developingcooperation in the spheres o intellectual, scientific, technological andeconomic activity.

2.2 As means to these ends, inter alia, the Organization may :

2.2.1 ake action to facilitate worldwide harmonization of standardsand related activities ;

2.2.2 Develop and issue International Standards, and take actionor their worldwide implementation ;

2.2.3 Arrange for exchange of information regarding work of itsmembers and o its technical committees ;

2.2.4 Cooperate with other international organizations interestedin related matters, particularly by undertaking studies relating tostandardization projects at their request.

Members

Article 3

3.1 Te members of the Organization shall be the member bodies asdefined in Article 3.1.1and the correspondent and subscriber members

as defined in Article 3.1.2.3.1.1 Te member bodies shall be those national standards bodiesmost broadly representative of standardization in their respectivecountries and which have been admitted into the Organization inaccordance with procedures defined by Council.

3.1.2 National bodies interested in standardization in countrieswithout a member body may be registered either as correspondentor subscriber members with no voting rights, in accordance withprocedures defined by the Council.

3.2 Only one body in each country may be admitted to membership.

3.3 As of 1 October 2012, only the national standards bodies from those

countries officially recognized by the United Nations Organization (UNO)may become members o the Organization.

3.4 ISO membership ceases :a) For non-payment o dues as provided in procedures developedby Council ;b) By written notice from a member of the Organization to theCouncil at least six months beore the end o the calendar year ;c) By exclusion, decided by the Council.

Authority

Article 4

4.1 A decision by vote of the member bodies, either in the GeneralAssembly or by letter ballot, shall constitute a decision of the Organization.

4.2 Decisions of the Organization in the form of approved InternationalStandards constitute recommendations to the members, each memberremaining ree either to ollow or not to ollow them.

Structure and Officers of the Organization

Article 5

5.1 Te organs of the Organization shall be a General Assembly, a Council,a Presidents Committee, a echnical Management Board, technicalcommittees, and a Central Secretariat.

5.2 Te Officers of the Organization shall be a President (includingwhen serving as President-elect), three Vice-Presidents, a reasurer, and

a Secretary-General.

General Assembly

Article 6

6.1 Te General Assembly shall be constituted by a meeting of the Officersand o delegates nominated by the member bodies. Each member body

may nominate not more than three official delegates, although the lattermay be accompanied by observers.

6.2 Te Chair o the General Assembly is the President.

6.3 As a general rule, the General Assembly shall be held once each year.

6.4 During its session the General Assembly shall hold the powers othe Organization, except as herein otherwise provided.

6.5 During its session, items may be dealt with by the General Assembly,even i such items are not on the agenda, subject to the agreement o atleast five member bodies.

6.6 Te General Assembly :

a) Shall approve a report on the current operations and forwardplanning submitted by Council to the General Assembly ;b) Shall approve the annual dues of the members, upon recom-mendation rom the Council ;c) Shall approve the audited financial statements of the Organization,upon recommendation rom the Council ;d) Shall endorse the ranking criteria for Council membership, uponrecommendation rom the Council ;e) Shall elect or appoint the :

e.1) Presidente.2) Vice-Presidentse.3) Council memberse.4) Financial auditors o the Organizations accounts.

6.7 In the General Assembly each member body shall have one vote.Voting by proxy shall be as set out in the Rules of Procedure of theGeneral Assembly.

6.8 Correspondent and subscriber members may attend the GeneralAssembly as observers.

Council

Article 7

7.1 Te operations of the Organization shall be governed, in accordancewith the policy laid down by the member bodies, by a Council consisting

of the ISO Officers, twenty member bodies appointed or elected in accord-ance with the Rules of Procedure of the General Assembly, and the chairsof the policy development committees as defined underArticle 7.5. Onlythe twenty appointed or elected Council members are entitled to vote.In the event that the votes o the member bodies are equally divided, thePresident, or the Vice-President, policy, when acting as President, shallhave a vote. In no event may the ISO Officers or the chairs o the policydevelopment committees represent any member body on the Council.

7.2 Te ISO President shall chair the Council. I the President is unableto chair the Council, it shall be chaired by a Vice-President, as definedin Articles 13.3, 13.4and 13.5.

7.3 Te Council shall report on the current operations and forward plan-

ning o the Organization to the General Assembly at each o its sessions.

7.4 In addition to other responsibilities defined in the Statutes, the Council :a) Shall establish the vision, mission and values for the Organization ;b) Shall set the strategy or the Organization, and ensure that theorganizational structure of the Organization is appropriate to imple-ment the said strategy ;c) Shall monitor the implementation of the strategy set by the Council ;d) Shall approve the annual ISO Central Secretariat budget ;e) Shall decide the authority and scope of work of the Secretary-General and rules or conducting the affairs o the Organization ;f) Shall approve new member bodies applications ;g) Shall approve member exclusions ;

h) Shall approve the ranking criteria for echnical ManagementBoard membership ;i) Shall elect or appoint the :

i.1) Secretary-Generali.2) reasureri.3) echnical Management Board membersi.4) Chairs of policy development committees and advisorycommittees

j) Shall take into consideration the interests o all members o theOrganization when taking any decision.

7.5 Policy development committees and advisory committees may beestablished by Council. Tey shall be open to all member bodies and

correspondent members. Te Council shall approve the work programmeso such committees.

7.6 Standing committees may be established by Council to provide adviceto Council. Examples of such committees could include those that provideadvice on strategic or financial matters. Te Council shall determine themembership and terms o reerence o such standing committees.

7.7 Council shall develop and maintain Rules o procedure or Counciland its sub-committees and policy groups ; such Rules of procedure shallnot be in contradiction to the ISO Statutes.

Presidents Committee

Article 8

8.1 Te Presidents Committee shall consist of the ISO Officers as definedin Article 5.2, and shall be chaired by the President. I the President is

unable to chair the Presidents Committee, it shall be chaired by a Vice-President, as defined in Articles 13.3, 13.4and 13.5.

8.2 Te Presidents Committee shall advise Council and oversee theimplementation o the decisions taken by the Council and the GeneralAssembly.

8.3 Te Presidents Committee shall report to Council in accordancewith procedures defined by the Council.

Technical Management Board

Article 9

9.1 Te echnical Management Board shall consist of a chair and fourteenmember bodies appointed or elected by the Council in accordance withthe Rules o Procedure.

9.2 Te chair o the echnical Management Board shall be one o theVice-Presidents as defined in Article 13.4. Te Vice-Presidents, policyand finance, shall be authorized to participate as observers.

9.3 Te echnical Management Board, within the framework of policiesestablished by the Organization, shall have responsibility or the general

management o the technical committee structure. It shall approve theestablishment and dissolution o technical committees, and revisions othe directives for the work of the technical committees. It shall deal with allmatters of strategic planning, coordination, performance, and monitoringof technical committee activities. o further these responsibilities, theechnical Management Board shall develop and maintain its own Ruleso Procedure.

9.4 Te echnical Management Board may establish ad hoc technicaladvisory groups as deemed necessary to accomplish its responsibilities.

9.5 Te echnical Management Board shall report to the Council at suchintervals as the Council may determine.

Technical committees

Article 10

10.1 A request for undertaking standards development work in a techni-cal field may be initiated by one or more member bodies, by a technical

committee or a policy development committee established by the Council,by the Secretary-General or by an organization outside the Organization.

10.2 echnical committees shall be established by the echnical Manage-ment Board and shall work under its authority.

10.3 Each member body interested in a subject or which a technicalcommittee has been authorized shall have the right to be represented onthat committee.

10.4 Te scope and programme o work or each technical committeeshall be approved by the echnical Management Board. Disapprovalsshall be justified in writing.

Central Secretariat

Article 11

11.1 Te Central Secretariat shall comprise the Secretary-General andsuch staff as the Organization may require. Te Central Secretariat shallbe located at the same place as the seat o the Organization.

11.2 Each member o the Organization shall respect the internationalcharacter o the responsibilities o the Central Secretariat staff and shall

not seek to influence them in the discharge o their responsibilities.

President

Article 12

12.1 Te term of office of the President shall consist of one year asPresident-elect ollowed by a two- or three-year term as President. Te

President shall be elected by the member bodies, either in the GeneralAssembly or by letter ballot, in accordance with the Rules o Procedureo the General Assembly.

12.2 Te President shall be a citizen o a country which has a memberbody in the Organization.

12.3 Te President shall chair the General Assembly, the Council andthe Presidents Committee. If the President is unable to chair a meeting ofany of the above organs, it shall be chaired by a Vice-President, as definedin Articles 13.3, 13.4and 13.5.

12.4 For the purpose o advancing the goals and strategic objectives othe Organization, the President, with the consent o the Council, may

establish ad hoc advisory groups consisting,inter alia

, of external executiveleaders rom organizations having a substantial interest in internationalstandardization. Members of such groups shall be invited by the Presidentto participate as individuals rather than as representatives of memberbodies. Recommendations o such groups shall be made to the Councilor any subsequent action.

12.5 Te President shall regularly review the performance and compensa-tion of the Secretary-General and his top-level managers, in consultationwith the three Vice-Presidents and the reasurer, taking into considerationthe authority and scope o work o the Secretary-General as defined inArticle 15.5.

Vice-Presidents

Article 13

13.1 Te three Vice-Presidents, one or policy, one or finance and oneor technical management, shall be appointed by the General Assembly

as Officers o the Organization.13.2 Tey shall be citizens o countries which have a member body inthe Organization.

13.3 Te Vice-President, policy, shall assist the President and the Councilin the development o proposals and decisions relating to basic policieso the Organization, and shall deputize or the President whenever thelatter is unable to act. Te Vice-President, policy, shall chair any standingcommittee established by the Council to provide advice on policy matters.

13.4 Te Vice-President, technical management, shall chair the echnicalManagement Board and shall deputize for the Vice-President, policy,whenever the latter is unable to act.

13.5 Te Vice-President, finance, shall chair any standing committeeestablished by the Council to provide advice on financial matters andshall deputize or the Vice-President, technical management, wheneverthe latter is unable to act.

13.6 Te Vice-President, policy, is appointed for a two-year term of office.

13.7 he Vice-Presidents, technical management and finance, areappointed or a two-year term o office which will start in the alternateyear to that o the term o the Vice-President, policy.

13.8 Te three Vice-Presidents shall be eligible or re-appointment ora second term o office in accordance with the Rules o Procedure o theGeneral Assembly.

13.9 In case o death, resignation or inability o the President, the Vice-President, policy, shall take over the duties o the President until a newPresident has been elected.

13.10 In case of death, resignation or inability of both the President andthe Vice-President, policy, the Vice-President, technical management,shall take over their duties until a new President has been elected and/or a new Vice-President, policy, appointed.

13.11 In case o death, resignation or inability o the President and theVice-Presidents, policy and technical management, the Vice-President,finance, shall take over their duties until a new President has been electedand/or new Vice-Presidents, policy or technical management, appointed.

Treasurer

Article 14

14.1 Te reasurer shall be appointed by the Council for three-year termso office. Te reasurer shall be eligible or re-appointment or a second

term o office in accordance with the Rules o Procedure o Council.14.2 Te reasurer shall be a citizen o a country which has a memberbody in the Organization and preerably o the country in which the seato the Organization is located.

14.3 Te reasurer shall act as trustee or the unds o the Organizationand shall advise the Council on all financial matters. Te reasurer shalladvise the Secretary-General in the preparation of the annual budget andon the financial administration o the Organization.

14.4 Te reasurer shall present audited annual financial reports to theGeneral Assembly together with observations and recommendations, asappropriate.

Secretary-General

Article 15

15.1 Te Secretary-General shall be the chief executive officer of theOrganization and the head of the Central Secretariat. He shall be appointedby the Council or a five-year term o office, eligible, at Councils option,for one further term in accordance with the Rules of Procedure of Council.

15.2 Te Secretary-General shall act as a signatory on behalf of theOrganization.

15.3 Any document creating a commitment o the Organization to athird party, or otherwise related to such a commitment, shall bear twosignatures. Authorized signatories are the Secretary-General and memberso the Central Secretariat staff so designated by him and approved by thereasurer. Te Secretary-General may, with the approval of the reasurer,designate other signatories in special cases.

15.4 Te Secretary-General may take part in all meetings of the Organiza-tion, and to express any views, but shall have no vote.

15.5 Except as elsewhere provided in these Statutes, the Council shalldefine the authority and scope o work o the Secretary-General underthe Councils Rules o Procedure.

15.6 Te Council shall set out rules under which the Secretary-Generalshall conduct the affairs of the Organization and these shall be periodicallyreviewed by the Council.

15.7 In the performance of his duties, the Secretary-General shall not seekor receive instructions rom any member or rom any authority externalto the Organization, except as specifically provided or in the Statutes.

Relations with other internationalorganizations

Article 16

16.1 Te Organization may cooperate with other international organiza-

tions interested partially or wholly in standardization or related activities.Te conditions o cooperation shall be established by the Council.

Finance

Article 17

17.1 Te funds of the Organization shall be derived from the duesand contributions of the members, and from the sale of publications.

Te acceptance o unds rom other sources (gifs, etc.) shall be at thediscretion o the Council.

17.2 Te dues o the members shall be as provided or in the Rules oProcedure.

17.3 Te financial responsibility o each member in respect o commit-ments o the Organization shall be limited to its annual dues.

17.4 Te Council may approve work to be undertaken in the field othe Organization at the request of or on behalf of other internationalorganizations, and may accept reimbursement or expenses incurred.

17.5 Te Council shall submit to the member bodies an approved budgetor the ensuing year.

17.6 Te reasurer shall take the steps necessary or the sae-keepingand proper administration o the unds o the Organization.

17.7 Te accounts o the Organization, duly verified by a proessionalaccountant appointed by the General Assembly, whose certificate shall beaccepted as proo o their correctness, shall be presented to the GeneralAssembly annually or approval.

Seat and nature of the Organization

Article 18

18.1 Te seat o the Organization shall be determined by the Organiza-tion and shall unless otherwise determined by the Organization be in

Geneva, Switzerland.18.2 As long as the seat of the Organization is in Switzerland, steps shallbe taken i necessary to secure or the Organization civil personality inaccordance with Article 60 et seq of the Swiss Civil Code. If the seat of theOrganization is moved elsewhere and similar legal steps are consideredadvantageous, such steps shall be taken i approved by the Council andratified by the General Assembly.

18.3 Any disputes between members of the Organization and/or itsOfficers requiring legal proceedings shall be exclusively subject to thelaws o Switzerland under the jurisdiction o the Courts o the Republicand Canton of Geneva, unless the seat of the Organization is movedelsewhere in accordance with Article 18.2.

Languages

Article 19

19.1 Te languages of the Organization shall be English, French andRussian. Te member body or the Russian Federation shall provide allinterpretation and translation into or rom the Russian language.

19.2 International Standards and guides issued by the Organization andminutes o meetings o the General Assembly and the Council shall bein English, French and Russian.

19.3 Te member bodies may, under their sole responsibility, preparetranslations into other languages of publications and documents coveredby Article 20 and issued by the Organization. ranslations of currentInternational Standards, technical reports and guides shall be recognizedby the Organization as official translations if their accuracy has beencertified to the Secretary-General by a member body using the relevantlanguage. ranslations so certified shall include a statement to the effectthat they have been recognized by the Organization as official translations.

19.4 Te work of the Council, the Presidents Committee and the echni-cal Management Board, as well as o the technical committees and thepolicy development committees, may be in any one or more o the threelanguages mentioned in Article 19.2, whichever is or are appropriate.

19.5 Te correspondence of the Organization may be in any one ormore o the three languages mentioned in Article 19.2, whichever is orare appropriate. Te mutual correspondence between members may bein other languages.

Publications and documents ofthe Organization

Article 20

20.1 he Organization may issue inter alia the following types of

documents :20.1.1 International Standards ;

20.1.2 Publicly available specifications, technical specifications,industry technical agreements, technical reports, guides and docu-ments or study purposes ;

20.1.3 Reports on progress of work within the technical committees ;

20.1.4 Minutes o meetings o the General Assembly, the Council,the Presidents Committee, the echnical Management Board, thetechnical committees and the policy development committees ;

20.1.5 Various publications and documents related to the work o

the Organization and its members.20.2 Te publications and documents o the Organization protected bycopyright may be reproduced or distributed by member bodies undersuch conditions as the Council may determine.

Amendments to the Statutes andfundamental changes in policy

Article 21

21.1 Amendments to the Statutes may be proposed by the GeneralAssembly, the Council, or at least five member bodies. An affirmativevote of three-fourths of the member bodies voting shall be requiredor the adoption o the amendment. Te names o the member bodiesvoting or or against shall be reported to the Council and be available tomember bodies.

21.2 Te same conditions as in Article 21.1, above, shall be ollowed inthe case o any change in policy considered undamental by the GeneralAssembly or the Council.

Rules of Procedure

Article 22

22.1 Tese Statutes are implemented by means o Rules o Procedure,as defined in Articles 22.2,22.3, and 22.4, which shall be consistent with

the Statutes.22.2 Rules of Procedure under the responsibility of the General Assembly.Amendments to the Rules of Procedure may be proposed by the GeneralAssembly, the Council, or at least five member bodies. An affirmativevote by the majority o the member bodies voting shall be required orthe adoption o the amendment.

22.3 Rules of Procedure under the responsibility of Council. An affirma-tive vote by the majority o the member bodies serving on Council shallbe required or the adoption o amendments to the Rules o Procedureor Council and the Presidents Committee.

22.4 Rules of Procedure under the responsibility of the echnical

Management Board. An affirmative vote by the majority o the memberbodies serving on the echnical Management Board shall be required forthe adoption o amendments to the Rules o Procedure or the echnicalManagement Board and technical committees.

Legal provisions

Article 23

23.1 Te law o the country in which the Organization has its seat shallapply in any or all cases not specifically provided or in these Statutes.

23.2 In cases of divergence of interpretation of these Statutes, the Frenchversion shall be deemed authentic.

Dissolution of the Organization

Article 24

24.1 A proposal for the dissolution of the Organization shall be supportedeither by the General Assembly, or the Council, or at least one-ourth othe member bodies beore a ballot is taken. An affirmative vote o three-fourths of the member bodies voting shall be required for the dissolutiono the Organization.

24.2 In the event of the dissolution of the Organization, the Council shalldetermine the manner o disposal o the unds and properties owned bythe Organization.

Membres

Article 3

3.1 Les membres de lOrganisation sont les comits membres tels quedfinis lArticle 3.1.1et les membres correspondants et membres abonns

tels que dfinis lArticle 3.1.2.3.1.1 Sont comits membres les organismes nationaux de normalisationles plus reprsentatis de la normalisation dans leurs pays respectiset qui ont t admis dans lOrganisation selon les procdures dfiniespar le Conseil.

3.1.2 Les organismes nationaux intresss par la normalisationdans des pays o il nexiste pas de comit membre peuvent adhrer lOrganisation en qualit soit de membres correspondants, soit demembres abonns, sans droit de vote, selon les procdures dfiniespar le Conseil.

3.2 Un seul organisme de normalisation de chaque pays peut tre membre

de lOrganisation.3.3 dater du 1 octobre 2012, seuls les organismes nationaux de norma-lisation des pays officiellement reconnus par lOrganisation des NationsUnies (ONU) peuvent devenir membres de lOrganisation.

3.4 La qualit de membre de lISO cesse :a) En cas de non-paiement de la cotisation conformment auxprocdures tablies par le Conseil ;b) En cas de pravis crit dun membre de lOrganisation au Conseildau moins six mois avant la fin de lanne en cours ;c) En cas dexclusion, sur dcision du Conseil.

Assemble gnrale

Article 6

6.1 LAssemble gnrale est constitue par la runion des dirigeants etdes dlgus dsigns par les comits membres. Chaque comit membre

peut dsigner trois dlgus officiels au maximum, ces derniers pouvanttouteois tre accompagns par des observateurs.

6.2 LAssemble gnrale est prside par le Prsident.

6.3 En rgle gnrale, lAssemble gnrale a lieu une ois par an.

6.4 Pendant sa session, lAssemble gnrale dtient les pouvoirs delOrganisation, sauf stipulation contraire prvue dans les prsents Statuts.

6.5 Pendant sa session, lAssemble gnrale peut traiter certains pointsmme sils ne sont pas inscrits lordre du jour, sous rserve de laccorddau moins cinq comits membres.

6.6 LAssemble gnrale :

Article 7

7.1 LOrganisation est gouverne, conformment aux directives gnralestablies par les comits membres, par un Conseil comprenant les dirigeants

de lISO, vingt comits membres nomms ou lus conformment aux Rglesde procdure de lAssemble gnrale, et les prsidents des comits chargsde l'laboration d'orientations politiques tels que dfinis lArticle 7.5.Seuls les vingt comits membres nomms ou lus sont habilits voter.En cas de partage gal des voix des comits membres, le Prsident, ou leVice-prsident, questions de politique, lorsquil remplace le Prsident,exprime un vote. Les dirigeants de lISO ou les prsidents des comitschargs de l'laboration d'orientations politiques ne peuvent en aucuncas reprsenter un comit membre au sein du Conseil.

7.2 Le Prsident de lISO prside le Conseil. Si le Prsident est empch,le Conseil est prsid par un Vice-prsident comme dfini aux Articles13.3, 13.4et 13.5.

7.3 Le Conseil prsente lAssemble gnrale lors de chacune de sessessions un rapport sur les oprations en cours et la planification avancede lOrganisation.

7.4 Outre les autres responsabilits dfinies dans les Statuts, le Conseil :a) tablit la vision, la mission et les valeurs de lOrganisation ;b) Dfinit la stratgie de lOrganisation et veille ladquation de lastructure organisationnelle de lOrganisation pour mettre en uvreladite stratgie ;c) Surveille la mise en uvre de la stratgie dfinie par le Conseil ;d) Approuve le budget annuel du Secrtariat central de lISO ;e) Dfinit les attributions et le domaine des travaux du Secrtairegnral et les rgles pour la conduite des affaires de lOrganisation ;

f) Approuve les candidatures de nouveaux comits membres ;g) Approuve les exclusions de membres ;h) Approuve les critres de classement pour les membres du Bureaude gestion technique ;i) lit ou nomme :

i.1) Le Secrtaire gnrali.2) Le rsorieri.3) Les membres du Bureau de gestion techniquei.4) Les prsidents des comits chargs de l'laboration d'orien-tations politiques et des comits consultatisi.5) Prend en compte les intrts de tous les membres de lOrga-nisation lorsquil prend toute dcision.

7.5 Des comits chargs de llaboration dorientations politiques et descomits consultatis peuvent tre tablis par le Conseil. Ils sont ouverts tous les comits membres et membres correspondants. Le Conseilapprouve les programmes de ces comits.

7.6 Des comits permanents peuvent tre tablis par le Conseil pourdonner des avis ce dernier. Cest le cas, par exemple, des comits chargsde donner des avis sur des questions stratgiques ou financires. Le Conseildtermine la composition et le mandat de ces comits permanents.

7.7 Le Conseil labore et tient jour des Rgles de procdure pourle Conseil et ses sous-comits et groupes de politique. Ces Rgles deprocdure ne doivent pas tre en contradiction avec les Statuts de lISO.

Article 8

8.1 Le Comit du Prsident est compos des Dirigeants de lISO telsque dfinis lArticle 5.2et est prsid par le Prsident. Si le Prsident

est empch, le Comit du Prsident est prsid par un Vice-prsident,comme dfini aux Articles 13.3, 13.4et 13.5.

8.2 Le Comit du Prsident donne des avis au Conseil et supervise lamise en uvre des dcisions prises par le Conseil et lAssemble gnrale.

8.3 Le Comit du Prsident ait rapport au Conseil conormment auxprocdures dfinies par le Conseil.

Bureau de gestion technique

Article 9

9.1 Le Bureau de gestion technique comprend un prsident et quatorzecomits membres nomms ou lus par le Conseil conformment auxRgles de procdure.

9.2 Le prsident du Bureau de gestion technique est lun des Vice-prsidentscomme dfini lArticle 13.4. Les Vice-prsidents, questions de politiqueet finances, sont autoriss participer en qualit dobservateurs.

9.3 Le Bureau de gestion technique, dans le cadre de la politique fixepar lOrganisation, est responsable de la gestion gnrale de la structuredes comits techniques. Il approuve la cration et la dissolution des

comits techniques et toute rvision des directives pour les travaux descomits techniques. Il traite de toute question de planification stratgique,de coordination, de onctionnement et de surveillance des activits descomits techniques. Pour exercer ces responsabilits, le Bureau de gestiontechnique labore et tient jour ses propres Rgles de procdure.

9.4 Le Bureau de gestion technique peut, selon les ncessits, crer desgroupes techniques consultatis ad hoc pour sacquitter de sa tche.

9.5 Le Bureau de gestion technique prsente au Conseil des rapportsdont la priodicit est fixe par le Conseil.

Article 10

10.1 Une demande pour entreprendre des travaux de normalisation dansun domaine technique peut tre soumise par un ou plusieurs comits

membres, un comit technique ou un comit charg de llaborationdorientations politiques tabli par le Conseil, par le Secrtaire gnralou par une organisation trangre lOrganisation.

10.2 Les comits techniques sont crs par le Bureau de gestion techniqueet travaillent sous son autorit.

10.3 out comit membre intress par une tude pour laquelle un comittechnique a t dsign a le droit de aire partie de ce comit technique.

10.4 Le domaine des travaux et le programme de travail de chaquecomit technique sont approuvs par le Bureau de gestion technique.out dsaccord doit aire lobjet dune justification crite.

Secrtariat central

Article 11

11.1 Le Secrtariat central comprend le Secrtaire gnral et le personnelncessaire lOrganisation. Le Secrtariat central est situ au mme endroitque le sige de lOrganisation.

11.2 Chaque membre de lOrganisation respecte le caractre internationaldes fonctions du personnel du Secrtariat central et ne cherche pas

linfluencer dans lexercice de ses onctions.

12.1 La dure du mandat du Prsident est dune anne en qualit dePrsident lu, suivie de deux ou trois ans en qualit de Prsident. Le

Prsident est lu par les comits membres, soit en Assemble gnralesoit par correspondance, conformment aux Rgles de procdure delAssemble gnrale.

12.2 Le Prsident est ressortissant dun pays qui compte un comitmembre au sein de lOrganisation.

12.3 Le Prsident prside lAssemble gnrale, le Conseil et le Comitdu Prsident. En cas dempchement du Prsident assurer sa onctionlors dune runion de lun quelconque des organes prcits, celle-ci seraprside par un Vice-prsident, comme dfini aux Articles 13.3,13.4et 13.5.

12.4 Dans le but de promouvoir les objectifs stratgiques de lOrganisation,le Prsident, avec le consentement du Conseil, peut tablir des groupes

consultatis ad hoc constitus entre autres de dirigeants excutis dorga-nisations externes qui ont un intrt substantiel pour la normalisationinternationale. Les membres de tels groupes sont invits par le Prsident participer titre individuel plutt que comme reprsentants des comitsmembres. Les recommandations de tels groupes sont transmises au Conseilpour tout suivi ventuel.

12.5 Le Prsident, en consultation avec les trois Vice-prsidents et lersorier, examine intervalles rguliers les prestations et le traitementdu Secrtaire gnral et de ses principaux cadres suprieurs, en prenanten considration les attributions et le domaine des travaux du Secrtairegnral comme dfini lArticle 15.5.

Article 13

13.1 Les trois Vice-prsidents, un charg des questions de politique, unautre des finances et un autre de la gestion technique, sont nomms par

lAssemble gnrale en qualit de Dirigeants de lOrganisation.13.2 Ils sont ressortissants de pays qui comptent un comit membre ausein de lOrganisation.

13.3 Le Vice-prsident charg des questions de politique assiste lePrsident et le Conseil dans llaboration de propositions et de dcisionsportant sur la politique ondamentale de lOrganisation et remplace lePrsident en cas dempchement de celui-ci. Le Vice-prsident chargdes questions de politique prside tout comit permanent tabli par leConseil pour donner des avis sur des questions de politique.

13.4 Le Vice-prsident charg de la gestion technique prside le Bureaude gestion technique et remplace le Vice-prsident charg des questions

de politique en cas dempchement de celui-ci.13.5 Le Vice-prsident charg des finances prside tout comit permanenttabli par le Conseil pour donner des avis sur des questions financireset remplace le Vice-prsident, gestion technique, en cas dempchementde celui-ci.

13.6 Le Vice-prsident charg des questions de politique est nommpour un mandat de deux ans.

13.7 Les Vice-prsidents chargs de la gestion technique et des financessont nomms pour un mandat de deux ans dont le dbut est dcal duneanne par rapport au dbut du mandat du Vice-prsident charg desquestions de politique.

13.8 Les trois Vice-prsidents sont ligibles pour un second mandatconormment aux Rgles de procdure de lAssemble gnrale.

13.9 En cas de dcs, de dmission ou dincapacit du Prsident, leVice-prsident charg des questions de politique assure lintrim jusqullection du nouveau Prsident.

13.10 En cas de dcs, de dmission ou dincapacit la fois du Prsidentet du Vice-prsident charg des questions de politique, le Vice-prsidentcharg de la gestion technique assume leurs tches par intrim jusqu cequun nouveau Prsident ait t lu et/ou quun nouveau Vice-prsidentcharg des questions de politique ait t nomm.

13.11 En cas de dcs, de dmission ou dincapacit du Prsident et

des Vice-prsidents, questions de politique et gestion technique, leVice-prsident, finances, assume leurs tches par intrim jusqu ce quunnouveau Prsident soit lu et/ou que de nouveaux Vice-prsidents chargsdes questions de politique ou de la gestion technique soient nomms.

Trsorier

Article 14

14.1 Le rsorier est nomm par le Conseil pour un mandat de troisans. Le rsorier est ligible pour un second mandat conormment aux

Rgles de procdure du Conseil.14.2 Le rsorier est ressortissant d'un pays qui compte un comitmembre au sein de l'Organisation et, de prrence, du pays o se situele sige de l'Organisation.

14.3 Le rsorier agit en qualit de responsable de l'emploi des fonds del'Organisation et donne son avis au Conseil sur toutes questions financires.Le rsorier donne son avis au Secrtaire gnral sur l'tablissement dubudget annuel ainsi que sur l'administration financire de l'Organisation.

14.4 Le rsorier prsente le rapport financier annuel vrifi l'Assemblegnrale avec, s'il y a lieu, ses observations et recommandations.

Secrtaire gnral

Article 15

15.1 Le Secrtaire gnral est le principal fonctionnaire excutif delOrganisation et le chef du Secrtariat central. Il est nomm par le Conseilpour un mandat de cinq ans, ligible, au choix du Conseil, pour un secondmandat conormment aux Rgles de procdure du Conseil.

15.2 Le Secrtaire gnral engage lOrganisation par sa signature

individuelle.

15.3 out document constituant un engagement de lOrganisation enversune tierce partie, ou relatif dune autre manire un tel engagement, portedeux signatures. Les signataires autoriss sont le Secrtaire gnral et unmembre du personnel du Secrtariat central dsign par lui et approuvpar le rsorier. Le Secrtaire gnral peut, avec lapprobation du rsorier,dsigner dautres signataires dans des cas spciaux.

15.4 Le Secrtaire-gnral peut siger toutes les runions de lOrgani-sation et exprimer son avis, mais il ne peut pas voter.

15.5 Sauf stipulation contraire dans les prsents Statuts, le Conseildfinit les attributions et le domaine des travaux du Secrtaire gnralconormment aux Rgles de procdure du Conseil.

15.6 Le Conseil fixe des rgles suivant lesquelles le Secrtaire gnralconduit les affaires de lOrganisation et ces rgles sont priodiquementrevues par le Conseil.

15.7 Dans lexercice de ses onctions, le Secrtaire gnral ne sollicite nine reoit dinstructions daucun membre ni daucune autorit trangre lOrganisation, sau dans les cas spcifiquement prvus par les Statuts.

Relations avec d'autres organisationsinternationales

Article 16

16.1 L'Organisation peut cooprer avec dautres organisations interna-

tionales soccupant partiellement ou uniquement de normalisation oudactivits connexes. Les conditions de coopration sont tablies par leConseil.

Questions financires

Article 17

17.1 Les fonds de lOrganisation proviennent des cotisations et des

contributions des membres ainsi que de la vente des publications. LeConseil dcide de lacceptation de toutes autres ressources ventuelles(dons, etc.).

17.2 Le montant des cotisations des membres est dtermin selon lesdispositions des Rgles de procdure.

17.3 La responsabilit financire de chaque membre, en ce qui concerneles engagements de lOrganisation, est limite sa cotisation annuelle.

17.4 Le Conseil peut approuver tous travaux entreprendre dans lecadre des activits de lOrganisation la demande ou au nom dautresorganisations internationales. Il peut accepter le remboursement desdpenses entranes par ces travaux.

17.5 Le Conseil soumet aux comits membres un budget approuv pourlanne suivante.

17.6 Le rsorier prend toutes mesures ncessaires pour la sauvegardeet la gestion correcte des onds de lOrganisation.

17.7 Les comptes de lOrganisation, dment vrifis par un expert-comptable qui est nomm par lAssemble gnrale et dont le certificatest considr comme preuve de leur exactitude, sont prsents chaqueanne lAssemble gnrale pour approbation.

Sige et nature de l'Organisation

Article 18

18.1 LOrganisation fixe elle-mme le lieu de son sige et, moins quellenen dcide autrement, il se trouve Genve (Suisse).

18.2 ant que le sige de lOrganisation est en Suisse, des mesures sontprises pour que lOrganisation jouisse de la personnalit civile conformmentaux Articles 60 et suivants du Code civil suisse. Si le sige de lOrganisationest transr dans un autre pays et si des dispositions lgales semblablessont juges utiles, ces dispositions seront prises si elles sont approuvespar le Conseil et ratifies par lAssemble gnrale.

18.3 out litige entre membres de lOrganisation et/ou dirigeants delOrganisation ncessitant une procdure juridique sera rgl conformmentau droit suisse exclusivement. Le or est Genve, moins que le sigede lOrganisation ne soit transfr ailleurs conformment lArticle 18.2.

Langues

Article 19

19.1 Les langues de lOrganisation sont langlais, le franais et le russe. Lecomit membre de la Fdration de Russie assure toutes les interprtationset traductions en russe ou du russe.

19.2 Les Normes internationales et les guides dits par lOrganisationet les procs-verbaux des runions de lAssemble gnrale et du Conseil

sont rdigs en anglais, en ranais et en russe.19.3 Les comits membres peuvent, sous leur pleine responsabilit,prparer des traductions en dautres langues des publications et documentscouverts par lArticle 20 et publis par lOrganisation. Les traductionsdes Normes internationales, rapports techniques et guides en vigueursont reconnues par lOrganisation comme traductions officielles si leurconormit a t certifie au Secrtaire gnral par un comit membreutilisant la langue en question. Les traductions ainsi certifies doiventporter une mention indiquant quelles ont t reconnues par lOrganisationcomme traductions officielles.

19.4 Les travaux du Conseil, du Comit du Prsident et du Bureau degestion technique, ainsi que des comits techniques et des comits chargsde llaboration dorientations politiques peuvent tre effectus dans luneou plusieurs des trois langues mentionnes lArticle 19.2et considrescomme les plus appropries.

19.5 La correspondance de lOrganisation peut tre effectue dans luneou plusieurs des trois langues mentionnes lArticle 19.2et considrescomme les plus appropries. La correspondance directe entre les membrespeut tre effectue dans dautres langues.

Article 20

20.1 LOrganisation peut notamment publier les documents suivants :

20.1.2 Spcifications publiquement disponibles, spcificationstechniques, accords techniques industriels, rapports techniques,guides et documents des fins dtude ;

20.1.3 Rapports sur les travaux effectus au sein des comitstechniques ;

20.1.4 Procs-verbaux des runions de lAssemble gnrale, duConseil, du Comit du Prsident, du Bureau de gestion technique,des comits techniques et des comits chargs de llaborationdorientations politiques ;

20.1.5 Publications et documents divers relatifs aux travaux de

lOrganisation et ses membres.20.2 Le droit des comits membres de diffuser, dans leur pays respecti,par reproduction ou par distribution, les publications ou documents delOrganisation protgs par les droits de reproduction, est soumis auxconditions dtermines par le Conseil.

Amendements aux Statuts et modificat ionsfondamentales de la ligne de conduite

Article 21

21.1 Les amendements aux Statuts peuvent tre proposs, soit parlAssemble gnrale, soit par le Conseil, soit par au moins cinq comitsmembres. Un vote affirmatif des trois quarts des comits membres votantsest ncessaire pour ladoption de lamendement propos. Le Conseil estinorm des noms des comits membres ayant vot pour ou contre et cesinormations sont tenues la disposition des comits membres.

21.2 La procdure indique lArticle 21.1ci-dessus est adopte pourtoute modification apporter la ligne de conduite de lOrganisation,considre comme fondamentale par lAssemble gnrale ou par le Conseil.

Rgles de procdure

Article 22

22.1 La mise en uvre des prsents Statuts fait lobjet de Rgles deprocdure telles que dfinies aux Articles 22.2, 22.3et 22.4, qui doivent

tre conormes aux Statuts.22.2 Rgles de procdure du ressort de lAssemble gnrale. Lesamendements aux Rgles de procdure peuvent tre proposs, soit parlAssemble gnrale, soit par le Conseil, soit par au moins cinq comitsmembres. Un vote affirmatif de la majorit des comits membres votantsest ncessaire pour ladoption de lamendement propos.

22.3 Rgles de procdure du ressort du Conseil. Un vote affirmati dela majorit des comits membres sigeant au Conseil est ncessaire pourladoption damendements aux Rgles de procdure du Conseil et duComit du Prsident.

22.4 Rgles de procdure du ressort du Bureau de gestion technique. Un

vote affirmatif de la majorit des comits membres sigeant au Bureau degestion technique est ncessaire pour ladoption damendements aux Rglesde procdure du Bureau de gestion technique et des comits techniques.

Comptence de juridiction

Article 23

23.1 Les lois en vigueur dans le pays o se trouve le sige de lOrganisation

sappliquent dans tous les cas qui ne seraient pas prvus spcifiquementpar les Statuts.

23.2 En cas de divergence dinterprtation des prsents Statuts, la versionranaise de ces textes ait oi.

Dissolution de l'Organisation

Article 24

24.1 oute proposition de dissolution de lOrganisation doit tre appuye,soit par lAssemble gnrale, soit par le Conseil, soit par un quart aumoins des comits membres avant dtre soumise un vote. Un voteaffirmatif des trois quarts des comits membres votants est ncessairepour la dissolution de lOrganisation.

24.2 En cas de dissolution de lOrganisation, le Conseil dtermine lemode de liquidation de tous les onds et biens de lOrganisation.
