The Board of Directors of Global Connections Public Company Limited (GC) has resolved at the Board of Directors Meeting No.1/2017 held on 23rd February 2017 to hold the 2017 Annual General Meeting of Shareholders on 24th April 2017 at 9.30 a.m. at the Global Connections Public Company Limited meeting room to consider the matters in accordance with meeting agendas as follows:

Agenda 1 : Message from Chairman

Agenda 2 : To consider approving the minutes of the 2016 Annual General Meeting of Shareholders

Fact, Objective and rationale The 2016 Annual General Meeting of Shareholders was held on 7 thApril 2016 with a copy of the minutes thereof attached hereto. (Attachment 1)

Board’s opinion The Board was of an opinion that the minutes of the 2016 Annual General Meeting of Shareholders held on 7th April 2016 was duly and accurately recorded and found it appropriates for the Meeting to approve the minutes of such meeting.

Voting According to Article 30 (1) of Articles of Association of GC, the resolution requires majority votes of the shareholders who are present at the meeting and vote thereat.

Agenda 3 : To acknowledge the Board of Directors’ report on the Company’s business performance in 2016

Fact, Objective and rationale The report on the Company’s business performance in 2016 is provided in the GC Annual Report 2016 (Attachment 2) distributed to all shareholders as enclosures with this invitation.

Board’s opinion The Board found it appropriates for the Meeting to acknowledge the business performance in 2016 as provided in GC Annual Report 2016.

Voting

Due to this Agenda for acknowledgement, there will be no vote.

Agenda 4 : To consider approving the Statement of financial position and the Statement of comprehensive income for the fiscal year ending 31st December 2016

Fact, Objective and rationale The Statement of financial position and the Statement of comprehensive income for the fiscal year ending 31st December 2016 as shown in the financial statements in the GC Annual Report 2016 (Attachment 2) were already approved by the Board of Directors and the Audit Committee, and were certified by the auditor.

Board’s opinion The Board was of an opinion that such Statement of financial position and the Statement of comprehensive income is reasonably accurate and were already approved by the Board of Directors and the Audit Committee, and were certified by the auditor, thus, it is appropriated for the Meeting to approve the Statement of financial position and the Statement of comprehensive income for the fiscal year ending 31st December 2016 as provided in the financial statement in the GC Annual Report 2016. Agenda 5 : To consider the appropriation of net profit and dividend payment for the year 2016

Fact, Objective and rationale Section 116 of the Public Limited Company Act B.E. 2535 and its amendment (“Public Limited Company Act”) and Article 39 of the Articles of Association of GC states that “The Company must appropriate a certain portion of the net profit of the year as the reserve at not less than 5% of the net profit for the year less the amount of accumulated loss (if any) until the reserve reaches not less than 10% of the registered capital”. Furthermore, GC has a policy to make dividend payment at the rate of “not less than 40% of GC’s net profit after taxation, and the appropriation of all kinds of reserve fund stipulated by GC. However, the dividend payment is depending on GC’s future investment plan and other necessary and appropriate matters. The resolution of the Board of Directors of GC to approve the dividend payment will be subsequently proposed to the shareholders’ meeting for approval, except for the interim dividend payment which the Board of Directors of GC is empowered to approve it prior to the acknowledgement of shareholders at the subsequent meeting”.

Board’s opinion The Board considered the operating results of 2016, GC has recorded total comprehensive income for the year of Baht 93.06 million and appropriated all kinds of reserve fund in the amount as stipulated by the law which the Company legal reserve is equal to Baht 24 million or 12% of registered capital, thus, GC is not required to make any statutory reserve for the year 2016. The dividend payment for the business performance of the year 2016 be paid to the shareholders at the rate of Baht 0.42 per share for 200,000,000 shares, in the total amount of Baht 84 million, of which the interim dividend has already been paid at the rate of Baht 0.22 per share for 200,000,000 shares in the total amount of Baht 44 million on 9th September 2016, was amounting to the additional dividend to be paid at the rate of Baht 0.20 per share for 200,000,000 shares in the total amount of Baht 40 million (approximately 90% of total comprehensive income for the year) comparing with the dividend in year 2015 which was paid at the rate of Baht 0.35 per share (about 88% of total comprehensive income for the year) in accordance with GC’s dividend policy. The shareholders, who are entitled to receive dividend shall be recorded on 2nd May 2017, whose names shall be compiled in accordance with Section 225 of the Securities and Exchange Act B.E. 2535 by means of closure of register book on 3rd May 2017 and the dividend will be paid to the shareholders on 17th May 2017.

Agenda 6 : To consider appointing the directors in replacement of the retiring directors by rotation

Fact, Objective and rationale Section 71 of Public Limited Company Act and Article 14 of the Articles of Association of GC provide that “At every Annual General Meeting, one-third of the directors shall retire. If the number of the directors is not a multiple of three, the number closest to one-third shall retire from office. The directors retiring from office in the first and second years after registration of the company shall be selected to be retired by drawing lots. For the third and subsequent years, the directors who have been in the post the longest shall retire. The director who vacates the office may be re-elected.” (GC has been converted into a public limited company on 17th March 2005) Directors who retired by rotation in this year are:

1. Mr. Somchai Kulimakin (Director) 2. Mr. Sumruay Tichachol (Director) 3. Dr. Pisit Leeahtam (Director/Independent Director)

GC had invited shareholder to propose names of the person to be appointed as directors in advance during 30th September 2016 to 30th December 2016; however, GC did not receive any names of director from shareholder.

In this regard, the Corporate Governance, Nomination and Remuneration Committee considered that the retiring directors are the person having knowledge, competency, merit and ethics including appropriate experience and qualification being suitable for GC’s structure and Board Skill Matrix. In addition, throughout their past terms of o ffice, such directors could properly perform their duties as the directors. Accordingly, the Corporate

Governance, Nomination and Remuneration Committee deemed appropriate to propose to the AGM to re-elect the directors who retire by rotation.

Board’s opinion The Board of Directors agrees with the Corporate Governance, Nomination and Remuneration Committee’s recommendation and proposes to the meeting to re-elect all three directors who retire by rotation to be the GC’s directors for another term . The brief profile of the directors nominated to be GC’s director for considering of Agenda 6 - Consideration for appointing the directors who retire by rotation (details appear in an Attachment 3) In case of Dr. Pisit Leeahtam who is the independent director and served for 12 years, Board of Directors has considered the opinion of the Corporate Governance, Nomination and Remuneration Committee and believes that Dr. Pisit Leeahtam has the qualification to be GC’s independent director is in compliance more than the minimum requirement of the office of the Securities and Exchange and the Stock Exchange of Thailand, as well as having knowledge, competency and experience in economics, capital market, and corporate governance which is a key qualification of the Audit Committee. Moreover, throughout the period of his tenure as Director, Dr. Pisit Leeahtam has independently given comment and suggestions that benefit the company over the years. In order to avoid losing such directors who have the knowledge and ability. Board of directors found it appropriate to propose to the Annual General Meeting of Shareholders to elect Dr. Pisit Leeahtam to serve as the director for another term.

Voting According to Article 13 of Articles of Association of GC, the shareholders’ meeting can appoint director by majority and following rules and means: (1) Shareholder votes for election of each director. (2) According to (1), shareholder shall have 1 vote per 1 holding share. (3) The nominee shall be ranked in order descending from the highest number of votes received to the lowest and shall be appointed as directors in that order until all of the directors’ positions or the directors to be elected are filled. Where the votes cast for nominees in descending order are tied, which would otherwise cause the number of directors to be exceeded, the chairman shall have a casting vote.

Agenda 7 : To consider the remuneration of the directors

Fact, Objective and rationale The Corporate Governance, Nomination and Remuneration Committee proposed all of the director’s remuneration as per the detail of information for the consideration of Agenda 7 - Consideration for the remuneration of the company’s directors. (Attachment 4)

Board’s opinion The Board considered it appropriates for the Meeting to approve GC’s director’s remuneration as proposed

Voting In accordance with Section 90 of the Public Company Limited Act, directors’ remuneration shall be determined by the resolution of the shareholders’ meeting consisting of affirmative votes at least two-thirds of the total votes of the shareholders present at the meeting.

Agenda 8 : To consider appointing an auditor and determine the auditor’s remuneration

Fact, Objective and rationale Ms. Siraporn Ouaanankun of EY Office Limited has been appointed as the GC’s auditor as from 2014, for three years, and whereby such auditor has no relationship or conflict of interest with GC, GC’s major shareholders, executives, subsidiary company or other person related with those person. As the auditor’s term is now concluded, it is necessary to appoint an auditor and determine the auditor’s remuneration for the fiscal year 2017 in order to provide audit and advice with respect to the GC’s financial statements for the period ending on 31st December 2017.

The Audit Committee has considered 3 auditors from their performance, independence and audit fee and proposed to the Board of Directors (details appear in an Attachment 5) that it appropriates for the Meeting to select: Ms. Siraporn Ouaanunkun or Ms. Chonlaros Suntiasvaraporn or Ms. Sirirat Sricharoensup CPAs of EY Office Limited to be GC’s auditor for fiscal year 2017 with the remuneration not exceeding Baht 900,000.

Board’s opinion The Board considered that it is appropriate for the Meeting to appoint (1) Ms. Siraporn Ouaanunkun, CPA registration no. 3844, or (2) Ms. Chonlaros Suntiasvaraporn, CPA registration no. 4523, or (3) Ms. Sirirat Sricharoensup, CPA registration no. 5419,

CPAs of EY Office Limited to be GC’s auditor for fiscal year 2017 (Ms. Siraporn Ouaanunkun, C.P.A. (Thailand) Reg. No. 3844 is the auditor who signed in the Company’s financial statement from 2014, totaling three years) in order to audit and give comments to GC’s financial statement for fiscal year ending on 31st December 2017 with the remuneration not more than Baht 900,000 comparing with 870,000 Baht in the prior year which was the total of audit fee that depending on the conditions of property acquisition. For non-audit fee in the previous fiscal year, GC has not used any service from EY Office Limited or related person with auditor or audit firm

Voting According to Article 30 (1) of Articles of Association of GC, the resolution requires majority votes of the shareholders who are present at the meeting and vote thereat.

Agenda 9 : Other Business (if any)

In this regard, the shareholders who are entitled to attend the 2017 Annual General Meeting of Shareholders shall be recorded on 9th March 2017, whose names shall be compiled in accordance with Section 225 of the Securities and Exchange Act B.E. 2535 by means of closure of register book on 10 th March 2017.

All GC’s shareholders are kindly invited to attend the meeting on the date, time and venue as abovementioned. In order to expedite and facilitate the registration process for attending the Shareholders’ Meeting, it is kindly requested tha t shareholders and/or the proxies present the proxy form (as detailed in Attachment 6) and documents evidencing the right to participate in the Meeting (as detailed in Attachment 7), to the registration staff on the date of the meeting from 7.30 hour s onwards.

Date, time and place of the Meeting

The 2016 Annual General Meeting of Shareholders (the “Meeting”) was held on 7 th April 2016, at 09.30 a.m., at the Meeting Room of Global Connections Public Company Limited, 13/1 Moo. 2, Kingkaew Road, Rachateva, Bangplee, Samuthprakarn.

The Meeting Commenced at 9:30 Hours Mr. Visrah Mavichak, Chairman of the Board of Directors, presided over the Meeting as its Chairman. The Chairman

informed the Meeting that there were total of 35 shareholders attending this Meeting in person and by proxy, representing a t otal of 133,815,731 shares or 66.91 percent of the Company’s outstanding shares. Therefore, a quorum was formed in accordance with the Company’s Articles of Association No. 29, and then the Chairman declared to open the Meeting.

The Chairman thanked shareholders for attending the Annual General Meeting 2016, and informed resigning of Assoc. Prof. Chawalee Pongpatirochna from the director and having appointed Mr. Thanee Puttipanpluck as director to replace. After that, the Chairman introduced the directors the managements, the auditor, and the legal consultant to the Meeting. Then, the Chairman had asked the company secretary to inform the meeting about the voting procedure.

The Company secretary informed the voting procedure that the proxy must vote appropriately on the principal’s intention. The shareholder’s voting is equal holding on the number of shares namely, one share one vote. For the ballot, the staff will collect ballots from all shareholders as evidence. For the sake of convenient and fast calculatio n, the ballot will be count only disapprove and abstained and the rest will be approved and the vote will be announced each agenda in the meeting. Moreover, the Company will check ballots again to summary of the resolution of the 2016 Annual General Meeti ng of Shareholders which was submitted to SET.

Moreover, the Company invited the observer from the legal consultant company, HNP Legal Counselors Ltd., to audit all documents of shareholders, proxies, and the meeting, and also to inspect the voting procedure, preventing beneficiary from voting and meeting resolutions in compliance with laws and regulations of the company with transparency.

The Chairman proposed the meeting to consider the following agendas:

Agenda 1: Message from Chairman

The Chairman informed the meeting about the implementation of the Anti-Corruption. The Company realized and announced to join the declaration of intent against corruption with Thailand’s Private Sector Collective Action against Corruption (CAC) in year 2014, and then the Company disclosed the Anti-Corruption policy in year 2015 such as not offering or giving all benefits to a public official or person who related the corruption. Furthermore, the Company had training all employees to understand the policy and practice and had assigning to the related department to review the self-evaluation tool according with the CAC.

The Chairman informed that the Company realized and stressed on the importance of the Corporate Governance (CG). The Company invited shareholders to propose names of director in advance through the SET and the Company’s website to entitle minority shareholders during 28 th September 2015 to 30th December 2015. However, the Company did not receive any proposed agenda and names of director from shareholders. Therefore, the Chairman provided the opportunity for shareholders to propose it in the meeting once again.

There were no shareholders to propose names of director to nominate candidates to be elected as directors and propose additional agenda.

The Meeting duly acknowledged, therefore the Chairman proposed the meeting to consider the following agendas.

Agenda 2: To consider and approve the Minutes of Annual General Meeting of Shareholders for the year 2015

The Chairman asked the Meeting to consider and approve the Minutes of Annual General Meeting of Shareholders for the year 2015, held on 3rd April 2015. The copies of those minutes had already been sent with the invitation letter to shareholders.

After that, the Chairman permitted the Meeting to propose amendments the text in the Minutes and there was no shareholder to propose amendments of further questions, the Chairman asked the Meeting to vote for consideration to approve o f the Minutes of Annual General Meeting of Shareholders for the year 2015.

The Meeting resolved as follows: Approved, representing 133,815,731 votes, equivalent to 100 percent of all votes of shareholders who attended and exercised their votes.

Disapproved, representing 0 vote, equivalent to 0 percent. Abstained, representing 0 vote (Do not take the vote as a base to calculate the score).

The Chairman then concluded as follows: Resolved: THAT the Meeting, by a majority vote of the total entitled votes present and vote at the Meeting, approved the

Minutes of the Annual General Meeting of Shareholders in the year 2015.

Agenda 3: To acknowledge the Board of Director’s report on the Company’s business performance in 2015

The Chairman informed the Meeting that the Board of Directors has provided 2015 Company’s business performances report, which could be seen in more detail in 2015 Annual report attached with the invitation letter. Then, the Chairman aske d the Chief of Executive Committee reported the Company’s business performance to the Meeting.

The Chief of Executive Committee would report operating performance for the year 2015. The Company had revenue from operation amounting to 3,659 Million Baht and closely in 2014. Although, the Company had sales volume increased more than 15 percent from the prior year, but the revenue was not added according to sales volume because selling price fell as the oil price of the world market.

The Company’s gross profit margin was raised from 5.48 percent in the previous year to 6.29 percent in year 2015 because Thailand’s economy was recovering and improving, and the Company was able to support the customers’ demand in shortfall period in Thailand by importing the products from overseas, and then the Company attempted to retain customers and provided the new product which had high margins. Moreover, products of the Business Unit no. 3 are innovation and friendly to environmental.

The Company had selling and admin expenses amounting to 128.8 Million Baht, which decreased from 2014 approximately 3.8 Million Baht or 2.8 percent, resulting in decreasing of warehouse rental expenses totaling of 1.6 Million Baht, due to changing warehouse’s place and decreasing quantity of storage, decreasing of maintenance and upgrade software expenses totaling of 0.9 Million Baht, and adjusting net realized value (reversal) of inventory totaling of 1.0 Million Baht.

The Company had interest expenses amounting to 14.2 Million Baht, which decreased from 2014 approximately 5.1 Million Baht or 26.5 percent, resulting in decreasing of cash turnover, decreasing of the finish goods volume, and decreasing of interest rate from the previous year.

All the above factors, as a result, the Company’s net profit for the year 2015 had amounting to 79.0 Million Baht, which increased by 66.57 percent from year 2014 that amounting to 47 Million Baht. The Company had net profit margin for the year 2015 and 2014 as 2.17 and 1.31 times, respectively.

The Chairman asked any shareholder would like to ask or make any further comment on the Company’s business performance in 2015.

Ms. Wipa Suwanich, as proxies of Thai Investors Association, asked the new products for the year 2014, the advancement of the Company’s products, and the progress of the Solar Roof Top project.

The company secretary explained that Solar Roof Top Project was hereby authorized to transfer the right to sell of electricity from Global Connections Holding Company Limited to the Company which had submitted a request document to transfer the right since October 2014. However, the Company will transfer the right after receive the authority completely, a nd then the Company will continue to acquire assets in such project further.

Then, the president explained that the new product of Technogreen has distinguishing feature to eliminate slag cooling easier and was growing more than the year 2014 because the new product has expanded its range of customers from the plastics business to other business such as department store or hospital business etc. In addition, the Company had new product in business unit no. 3 as gas odorant for LPG which the sales increased steadily. Nevertheless, the sales amount was small, if compared to the overall business of the Company.

For the business unit no. 1, the Company’s market share was able to recover completely, after changing the representation of distributor agent from SCG to PTT group, just a few years ago.

For the business unit no. 2, the business has slowed according to the related industries such as automotive and electronics. However, the Company was managed by accelerating the product development with customers continuously to wait appropriate time when the related industries recover in the near future.

There were no shareholders to propose amendments or further questioning.

The Meeting duly acknowledged the Company’s business performances in 2015.

Agenda 4: To consider and approve the statement of financial position and the statements of comprehensive income for the fiscal year ended 31st December 2015

The Chairman asked the Meeting to consider the statement of financial position and the statements of comprehensive income for the fiscal year ended 31st December 2015 which had been certified by the auditor and reviewed by the Audit Committee. The details were demonstrated in the Company financial report of 2015 attached with the invitation letter. Then, t he Chairman asked Vice President of Accounting and Financial Department to report detail of the s tatement of financial position and the statements of comprehensive income for the year ended 31st December 2015 to the Meeting.

Vice President of Accounting and Financial Department reported to the Meeting that the statements of comprehensive income had been presented in the previous agenda. For the Company’s statement of financial position as of 31st December 2015, the Company’s assets was 1,378 Million Baht, representing increase of 207 Million Baht or 17.71 percent from 31st December 2014. This was mainly due to the increase in both trade accounts receivable and inventories. The Company’s trade accounts receivable was 690 Million Baht, increased from the prior year in total amount of 124 Million Baht or 21.89 percent because as a result the expansion of collection period. The Company’s inventory was 502 Million Ba ht, increase of 66 Million Baht or 15.2 percent, as a result of purchasing inventory increased according to estimate sales amount.

As at 31st December 2015, the Company recorded total liabilities of 956 Million Baht, increase of 174 Million Baht or 22.25 percent from the previous year-end. The almost liabilities included short-term loan from the financial institution and trade accounts payable. As at 31st December 2015, the Company had short-term loan amounting to 634 Million Baht, which increased 57 Million Baht from the prior year or 9.99 percent which to support accounts receivable and inventory amount increased. The Company had trade accounts payable amounting to 271 Million Baht, which increased 100 Million Baht because of purchasing inventory during the end of month and not due. The liability’s decreasing effected to Debts to Equity Ratio as of 2015, which was 2.27 times compared to 2.01 times of ending 2014.

As at 31st December 2015, The Company’s shareholders’ equity was 422 Million Baht, which increased of 33 Million Baht from year 2014, or 8.57 percent, derived from net profit from operations of year 2015 amounting to 79 Million Baht and deducted dividend paid out amounting to 46 Million Baht.

The Chairman asked if any shareholder would like to ask about the statement of financial position and the statement of comprehensive income for the year ended 31st December 2015.

Ms. Wipa Suwanich, as proxies of Thai Investors Association, asked What are reasons to expand credit term for accounts receivable? The expansion effected to the accounts receivable amount increased.

The Vice President of Accounting and Financial Department explained that the credit term expansion of the customer was the strategic to maintain the potential customers.

The president answered additional questions that there are two opinions in expansion credit term as follows; 1) The Company offered the long credit term to the new customers to be able to compete with other distributors. 2) The Company assisted the customers who lacked of liquidity to be able to succession business together in the long term

and to be partnership. Ms. Wipa Suwanich, as proxies of Thai Investors Association, asked Have tracking account receivable which was

overdue more than 12 months and without movement during the year 2014 - 2015? The accounts receivable was amounting to 5.9 Million Baht.

The company secretary explained that there is one receivable and the Company had closely monitored. However, this receivable filed for bankruptcy creditors. The bankruptcy court ordered receivership decidedly sale. The Company has filed an application for repayment in bankruptcy successfully.

The President answered additional questions that the Company has Credit Management Unit to review credit and risk of the customers and the Company had Trade Credit Insurance to reduce doubtful risk.

The Chairman asked if any shareholder would like to ask or make any further comment on this agenda. As there were no further questions or comments, the Chairman proposed that the shareholder vote to approve the statement of financial position and the statements of comprehensive income for the fiscal year ended 31st December 2015.

The Meeting resolved as follows: Approved, representing 133,815,731 votes, equivalent to 100 percent of all votes of shareholders who attended and exercised their votes. Disapproved, representing 0 votes, equivalent to 0 percent.

Abstained, representing 0 votes, equivalent to 0 percent (Do not take the vote as a base to calculate the score).

The Chairman then concluded as follows:

Resolved: THAT the Meeting approved the financial statements for the year ended 31 st December 2015 by a majority of votes of the shareholders present.

Agenda 5: To consider the appropriation of net profit and dividend payment for the year 2015

The Chairman asked the Chairman of Executive Committee to clarify net profit appropriation and dividend payment policies to the members.

Chairman of Executive Committee informed the Meeting that under Article 39 of the Company’s Articles of Association “The Company shall appropriate the annual net profit in the amount of not less than 5 percent of the annual net profit d educted by the retained loss (if applicable), as a reserve fund until the reserved fund reaches the amount not less than 10 percent o f the registered capital of the Company”. Furthermore, the Company dividend payment policy is at the rate “not less than 40 percent of the Company’s net profit remained after taxation and the appropriation of all kinds of reserve fund stipulated by the Company”. However, the dividend payment is depending on Company’s future investment plan and other necessary and appropriate matters. The resolution of dividend payment approved by Board of Company must be proposed to the shareholder

for an approval, except for the interim dividend payment which the Board of Directors of the Company is empowered to approve it prior to the acknowledgement of shareholders at the subsequent meeting.

In year 2015, the Company had a net profit of 79 Million Baht. The Board of Directors considered the operating results and informed that the Company had appropriated all kinds of reserve fund in the amount as stipulated by the law which the Company legal reserve is equal to 24 Million Baht or 12 percent of registered capital. The dividend payment for the operation performance of the year 2015 be paid to the shareholders at the rate of 0.35 Baht per share for 200,000,000 shares, in the total amount of 70 Million Baht, of which the interim dividend has already been paid at the rate of 0.15 Baht per share for 200,000,000 shares in the total amount of 30 Million Baht on 4 th September 2015, was amounting to the additional dividend to be paid at the rate of 0.20 Baht per share for 200,000,000 shares in the total amount of 40 Million Baht (approximately 88 percent of the net profit), comparing with the dividend in year 2014 which was paid at the rate of 0.23 Bath per share (about 96 percent of the net profit) in accordance with the Company’s dividend policy. The shareholders, who are entitled to receive dividend shall be recorded on 20th April 2016, whose names shall be complied in accordance with Section 225 of the Securities and Exchange Act B.E. 2535 by means of closure of register book on 21 th April 2016 and the dividend will be paid to the shareholders on 29th April 2016.

The Chairman asked if there were any shareholders who would like to ask questions or give comments. As there were no further questions or comments, the Chairman proposed that the shareholders vote on this matter.

The Meeting resolved as follows: Approved, representing 133,815,731 votes, equivalent to 100 percent of all votes of shareholders who attended and exercised their votes.

Disapproved, representing 0 votes, equivalent to 0 percent. Abstained, representing 0 votes, equivalent to 0 percent.

The Chairman then concluded as follows:

Resolved: THAT the Meeting approved the Company paid dividend from net profit in year 2015 to the shareholders for 200,000,000 shares at the rate 0.35 Baht per share with total of 70 Million Baht. On 4th September 2015, the Company had already paid the interim dividend to the shareholders at the rate 0.15 Baht per share, in the total amount of 30 Million Baht. The Company will pay the remaining dividend at 0.20 Baht per share, in the total amount of 40 Million Baht. Shareholders who register book for the right to receive dividend shall be recorded on 20th April 2016. Also 21th April 2016 shall be the book closing date on which the shareholder list as specified in section 225 of the Securities and Exchange Act shall be complied and the dividend will be paid to the shareholders on 29th April 2016.

Agenda 6: To consider appointing the directors in replacement of the retiring directors

The Chairman asked the Chairman of the Corporate Governance, and the Nomination and Remuneration Committee to present to the Meeting.

The Chairman of the Corporate Governance, and the Nomination and Remuneration Committee informed the meeting that Section 71 of Public Company Act and Article 14 of the Company’s Articles of Association provides that “at every Annual General Meeting, one-third of the directors shall retire. If the number of the directors is not a multiple of three, the number closest to one-third shall retire from office. The directors retiring from office in the first and second years after registration of the company shall be selected to be retired by drawing lots. For the third and subsequent years, the directors who have been in the post the longest shall retire. The director who vacates the office may be re-elected”. The Company’s directors who retired in this year are:

1 Mr. Bhiya Jriyasetapong Director 2 Mr. Aikachai Sirijuntanan Director 3 Mr. Suchart Suphayak Director/ Independent Director

The Company had invited the shareholders to nominate candidates to be elected as directors in advance, however, no shareholders to nominate candidates, thus opening up the opportunity for the shareholders to propose nominate qualified in the Meeting again. Nevertheless, no shareholder proposed candidate in the meeting.

There was no shareholder to nominate directors. The Chairman of the Corporate Governance, and the Nomination and Remuneration Committee informed in the Meeting, the Board of Directors agrees with the Corporate Governance, and the Nomination and Remuneration Committee who proposed to re-elect all three directors who retire by rotation to be the Company’s directors for another term. The brief profile of the directors nominated to be the Company’s director for considering are exhibited on invitation letter in an attachment 3 which was sent to shareholders prior to the Meeting along with the invitation letter.

Ms. Wipa Suwanich, as proxies of Thai Investors Association, asked Does Mr. Suchart Suphayak take a position of the independent director since 22nd February 2006?

The Chairman explained that yes he does. Mr. Suchart Suphayak held a position of the independent director since 22nd February 2006.

In this regards, there were no further inquiries from the shareholder. The Chairman then proposed the Meeting to consider and approve the matter.

representing 26,125,000 votes, equivalent to 19.52 percent. 2 Mr. Aikachai Sirijuntanan was re-elected as directors with a voting result as: Approved, representing 106,690,731 votes, equivalent to 79.73 percent of all votes of

shareholders who attended and exercised their votes. Disapproved, representing 0 votes, equivalent to 0 percent.

Abstained, representing 27,125,000 votes, equivalent to 20.27 percent. 3 Mr. Suchart Suphayak was re-elected as directors with a voting result as:

Approved, representing 133,777,030 votes, equivalent to 99.97 percent of all votes of shareholders who attended and exercised their votes. Disapproved, representing 38,701 votes, equivalent to 0.03 percent.

Abstained, representing 0 votes, equivalent to 0 percent.

The Chairman then concluded as follows:

Resolved: THAT the Meeting approved, by a majority vote of the total entitled votes present and vote at the Meeting, approved the election of 3 Directors as follows; Mr. Bhiya Jriyasetapong, Mr. Aikachai Sirijuntanan, Mr. Suchart Suphayak to be the Company’s Directors as proposed.

Agenda 7: To consider the remuneration of the Directors

The Chairman of the Corporate Governance, and the Nomination and Remuneration informed the Meeting that the Corporate Governance, and the Nomination and Remuneration Committee proposed the Director’s remuneration as the detail for the consideration in Agenda 7 - Consideration for the remuneration of the Company’s directors and the detail were attached with invitation letter. The Chairman asked The Chairman of the Corporate Governance, and the Nomination and Remuneration committee to explain to the meeting.

The Chairman of the Corporate Governance, and the Nomination and Remuneration Committee explained to the Meeting that the Corporate Governance, and the Nomination and Remuneration Committee had considered the proper remunerations by taking the duties and responsibilities into consideration. Moreover, a study was conducted and compared with the information of remuneration of directors of the listed companies. In this connection, there is a survey result of the directors’ remuneration from listed companies in Stock Exchange of Thailand, the resolutions of remunerations for year 2016 compared with the year 2015, which was unchanged from 2014 as follows:

Agenda 8: Consideration of the appointment of an auditor and determination of auditor’s remuneration

The Chairman asked the Chairman of the Audit Committee to propose appointment of an auditor and dete rmination of auditor’s remuneration to the Meeting.

The Chairman of Audit Committee explained to the shareholder that Miss Siraporn Ouaanunkun o f EY Office Limited was appointed to be the Company’s auditor for two years since 2014 and there were no personal relationship with the Company, Major shareholders, Management Team, Subsidiary, or any individual in the Company. As such, it was necessary to appoint an auditor and determine the auditor’s remuneration for the fiscal year ending 31st December 2016. Therefore, the Board considered that it appropriate for the Meeting to appoint.

The Board considered that it appropriate for the meeting to appoint the auditors to audit company financial statement 2016 namely Miss Siraporn Ouaanunkun, auditor license No. 3844, or Mrs. Chonlaros Suntiasvaraporn, auditor license No. 4523, or Miss Sirirat Sricharoensup, auditor license No. 5419 of EY Office Limited to be the auditor for the fiscal year endi ng 31st December 2016 with the audit fee not more than 800,000 Baht which is the same as audit fee in year 2015. In the last year, the Company has no hired other services with an auditor or person under the audit firm. In case, if the Company will purchase Solar Roof Top’s assets from Global Connections Holding Company Limited in year 2016, the additional audit fee will be charged up amounting to 70,000 Baht.

The company secretary explained that the compensation transaction in the Company’s annual report was retirement benefit of employees in accordance with the labor legislation.

Consideration of remunerations for directors for the year 2017 The Corporate Governance, Nomination and Remuneration Committee (“CGNR Committee”); has considered the proper remunerations of the directors by taking the duties and responsibilities into consideration. Moreover, a study was conducted in comparison with the information of remuneration of directors of the listed companies in accordance wi th the result of the survey on the remuneration of the directors in listed companies in Stock Exchange of Thailand conducted by Thai Instit ute of Directors Association (Thai-IOD), the resolutions of remunerations for year 2017 compared with the year 2016 is as follows; 1. 4. Other form of benefit; None 5. The aggregate of the above 3 items must not exceed Baht 4,000,000. The Nomination and Remuneration Committee has the

authority to allocate the remunerations to the directors in any other proper manner within the above limit with indefinite effect in accordance with Article 15 of GC’s Articles of Association 15, until further change.

6. The remuneration of directors for the year 2017 shall be paid in accordance with the above details commencing from 1st January 2017

Conditions, Rules and Procedures to Attend the Meeting, to Appoint Proxy and to Vote Evidence required for attend the Meeting

1. In case the shareholder is present at the meeting in person - Individual shareholder who is Thai national shall present citizen ID card or civil servant ID card; - Individual shareholder who is foreign national shall present an alien ID card, passport or document used in lieu of

passport; at the registration desk. - In case of change of first name or surname, evidence verifying such change shall be presented.

2. In case the shareholder is not present at the meeting in person 2.1 In case of appointing the proxy to the independent directors of the Company

The shareholder may appoint proxy to any independent director of the Company for voting on his/her behalf, in accordance with the list of name as follows:-

Mr. Virah Mavichak Dr. Pisit Leeahtam Mr. Thanee Puttipunpluck Mr. Suchart Suphayak

The shareholder who intend to appoint the proxy to the independent director shall be submit the completed and signed proxy form in accordance with the details specified therein together with the required documents to the Company’s secretary at 13/1 Moo2, Kingkaew Road, Rachateva, Bangplee, Samuthprakarn 10540 within 7th April 2017

2.2 In case of appointing the proxy to any person - The shareholder may appoint any person the proxy according to the shareholder’s intention; - The shareholder may appoint his/her proxy to one person or more, but not over 3 people, nevertheless just only one proxy-holder has the rights to attend the Meeting and has the rights to vote in accordance with the proxy letter attached herewith;

- In case the shareholder is foreign investor and assigned the custodian in Thailand to hold the shares, any proxy forms (A), (B), or (C) shall be applied.

- In case the shareholder is not foreign investor and assigned the custodian in Thailand to hold the shares, either proxy form (A) or (B) shall be applied, the proxy-grantor may express his/her intention to vote for each agenda by expressing either “Agree”, “Disagree”, or “Abstain” in the proxy form, and shall not divide the shares to vote in to different expressing.

A proxy-holder must present the completed and signed proxy form to the registration desk at least half an hour before the commencement of the Meeting so that the Company’s office will have enough time to check the documents. If there is the amendment or deletion of important content, the proxy must affix his/her initial at every amendment or deletion. The proxy form must be affixed by the duty stamp of 20 Baht.

3. In case a shareholder deceases: An estate administrator shall be present in the Meeting in person or by proxy. Court’s order appointing the estate administrator certified by the competent officer and issued of not exceeding 6 months before the date of the Meeting shall be presented. 4. In case a shareholder is a minor:

Parents or lawful guardian of the shareholder shall be present in the Meeting in person or by proxy. Copy of Household Registration of the shareholder shall also be presented.

5. In case a shareholder is an incompetent or quasi-incompetent: A guardian or custodian of the shareholder shall be present at the Meeting in person or by proxy. Court’s order appointing guardian or custodian certified by the competent officer and issued of not exceeding 6 months before the date of Meeting shall be presented

certified true and correct by the authorized director(s) of such juristic person; a certified true and correct copy of citizen ID card or civil servant ID card or passport or an alien ID card or passport

of the authorized director(s) who sign certified true copy A proxy-grantor being a juristic person registered overseas

a proxy which is fully completed and grantor and proxy signed; a copy of the Certificate of Incorporation or By-Law document which shows the names of authorized directors issued

ARTICLES OF ASSOCIATION OF

GLOBAL CONNECTIONS PUBLIC COMPANY LIMITED

Chapter 4 Meetings of Shareholders

Article 26 The Board of Directors shall arrange for a meeting of shareholders to be held as annual ordinary meeting within four months from the ending date of the yearly accounting period of the Company.

All other meetings of shareholders shall be called extraordinary meetings. The Board of Directors may summon an extraordinary meeting of shareholders whenever they think fit or a number of shareholders representing a number of not less than one-fifth of the total number of issued shares or a number of not less than twenty-five shareholders representing an aggregate number of not less than one-tenth of the total number of issued shares may subscribe a requisition letter requesting the Board of Directors to summon an extraordinary meeting of shareholders at any time provided they give reason for the requisitioning for the holding of such meeting clearly in the letter. In such case, the Board of Directors shall arrange for such meeting of shareholders to be held within one month from the date of receiving such letter from the shareholders.

Article 27 In summoning a meeting of shareholders, the Board of Directors shall make a notice of the summoning of the meeting, wherein specifying the place, date, time and agenda for the meeting, as well as the matters to be proposed to the meeting together with particulars as is reasonable, by specifying clearly if such is a matter proposed for information, for approval or for consideration. Including the opinion of the Board of Directors on the said matters, and send same to the shareholders and registrar for their information at not less than seven days prior to the date appointed for the meeting and advertise such notice of the summoning of meeting in a newspaper for three consecutive days at not less than three days befor e the date appointed for the meeting.

The Meeting of shareholders could be held in the locality in which the principal office or any other nationwide.

Article 28 In shareholders’ meeting, shareholders may empower other to join and vote instead by proxy. The proxy shall specify date and signature of shareholder and shall be followed by the form that, the registrar determined.

This proxy shall be submitted to the chairman of the board of directors or others who determined by the chairman of the board of directors at the meeting place before the proxy joining the meeting.

Article 29 The quorum necessary for the meeting of shareholders shall be a number of not less than twenty-five shareholders or their proxies (if any) or a number of not less than one-half of the total number of shareholders who represent an aggregate number of not less than one-third of the total number of issued shares.

Where it appears that, at any meeting of shareholders, a quorum is not present after an hour has elapsed from the appointed time; if the meeting is one summoned upon the requisition of the shareholders, it shall be dissolved; if the meetin g is not one summoned upon the requisition of the shareholders, then another meeting shall be summoned and notice of the summoning of such meeting shall be sent to the shareholders at not less than seven days prior to the date appointed for the meeting and at such subsequent meeting no quorum shall be necessary

In shareholders’ meeting, the chairman of the board of directors shall be the chairman of meeting. In case that chairman of the board of directors could not join the meeting and if there is vice chairman, such vice chairman shall be president, but if not or could not perform, the meeting shall elect a shareholder who joins the meeting to be the chairman.

Article 30 In voting, each shareholder shall have one vote for each share. A resolution of the meeting of shareholders shall be supported by such vote as follows:

(1) In normal case, it shall be supported by a majority of votes of the shareholders who are present at the meeting and vote thereat; in case of an equality of votes, the chairman of the meeting shall have an additional vote as a decisive vote.

(2) In the following cases, it shall be supported by a vote of not less than three fourth of the total number of votes of the shareholders who are present at the meeting and are entitled to vote:

(a) Sale or transfer of the whole or any substantial part of the business of the Company to another person;

(b) Purchase or taking transfer of the business of another company or a private company;

(c) Execution, alteration or termination of the contract in respect of the leasing of the whole or any substantial part of the business of the Company, the authorization of another person to manage the business of the Company or the merger of the business of the company with another person for the purposes of profit and loss sharing;

(d) Alteration or amendment of the Memorandum of Association or the Articles of Association of the company;

(e) Increase or reduction of capital of the Company or issuance of debenture bond;

(f) Merge or dissolve the company.

(g) To issue new shares for the company to convert its debts to equity in accordance with the rules and procedures as prescribed in Public limited Company Act (No.2) B.E. 2544

Article 31 Activities that should be performed at an annual ordinary meeting are as follows:

(1) Consideration of the report of the Board of Directors on the results of the operation of the Company in the previous year just passed;

(2) Consideration and approve of the balance sheet and Profit and Loss of company’s previous fiscal year;

(3) Consideration of the appropriation of profit and capital reserve;

(4) Election of Directors to replace those who retire by rotation and determining the remunerations;

(5) Appointment of auditors and its remunerations;

(6) Other activity (if any).

Article 32 In case the Company make a decision to enter into a transaction which is a connected transaction or a transaction concerning the acquisition or disposition of material assets of the Company or its subsidiary as defined in the Notification of the Stock Exchange of Thailand which is applied to a connected transaction of a listed company and in the event that such Notification requires the Company as a listed company to undertake and process, the Company shall follow such rules and procedures in accordance with such Notification.

Article 33 The accounting period of the Company begins on 1st January and ends on 31 st December of each year.

Article 34 The Company must arrange for the preparation and keeping of accounts as well as the auditing thereof, in accordance with the law relating thereto and must prepare a balance sheet and a profit and loss account at least once in every twelve months that constitutes an accounting year of the Company.

All of the Company’s books and accounts must be made in a Thai version and also provide English version on the generally accepted accounting principles in Thailand and the relevant laws.

Article 35 The Board of Directors must arrange to prepare a balance sheet and a profit and loss account as at the ending date of each accounting year of the Company for submission to the shareholders at the annual ordinary meeting for consideration and approval. Balance sheet and the profit and loss account must be examined by the auditor before submission to the meeting of shareholders.

Article 36 The Board of Directors must send the following documents to the shareholders together with the notice of the summoning of the annual ordinary meeting:

(1) Copies of the balance sheet and the profit and loss account which have been examined by the audi tor, together with the report of the auditor;

(2) Annual report of the Board of Directors.

Article 37 The auditor shall attend every meeting of shareholders of the Company at which there are consideration of the balance sheet, profit and loss account and problems in respect to the accounts of the Company so that he/she may explain his/her examination of the accounts to the shareholders. The Company shall also send such report and documents of the Company as are to be sent to the shareholders for the purposes of the meeting of shareholders to the auditor.

The auditor must not be the Director, staff member, and employee or hold any other position in the Company.

The auditor has the authorization to examine the accounts, documents and other evidences relat ed to the revenues and expenditures, as well as the assets and liabilities, of the Company during office hours of the Company. In this regard, t he auditor shall also have the right to request the directors, officers, or employees, to give statements or clarifications to the extent required by the auditor’s duty performance. The auditor must prepare the report to be proposed to the annual ordinary shareholders’ meeting on balance sheet and accounts and also stated therein whether such balance sheet was prepa red correctly and presented the actual and correct businesses of the Company or not.

Article 38 No dividend shall be paid otherwise than out of profits. In case the Company still has accumulated losses, no dividend may be paid.

Unless otherwise provided herein for the preferred shares, dividends shall be distributed in accordance with the number of shares, with each share receiving an equal amount.

The dividends payment shall be approved at the shareholders’ meeting.

The Board of Directors may pay interim dividends to the shareholders from time to time when they consider that such is justified by the profits of the Company and report it to the following meeting of shareholders.

Payment of dividends shall be made within one month from the date resolved by the meeting of shareholders or the Board of Directors, as the case may be, and shall be notified to the shareholders in writing, and the notice of the payment of dividends shall also be advertised in a newspaper. No interest shall be imposed against the Company if the dividends payment is made within the timeframe prescribed by law.

In the case where the company still cannot sell its shares up to number registered or the company has registered an increase of capital, the company may pay dividend in full or in part by issuing new ordinary shares to the shareholders, with approval of the meeting of shareholders.

Article 39 The Company must appropriate a certain portion of the net profit for the year as reserve at not less than 5 per cent of the net profit for the year less the amount of accumulated loss (if any) until the reserve reaches not less than ten per cent of the registered capital.
