1. Payment: Pre-payment required unless terms are established. Orders paid by credit card will incur a fee of 2.25% of the invoice total, which mayinclude freight or other charges.

2. Freight Charges: The customer must advise Applied Medical of the preferred shipping method and account number. Charges will be billed directlyfrom the shipping company to the customer. The customer may also choose Applied Medical’s preferred shipping method and the charges will bebilled directly from Applied Medical to the customer.

3. Shipping: Orders will ship ten (10) business days from the date of receipt. Orders that require shipment in less than 10 (ten) business days will becharged a 2% expedite fee (minimum $20.00, maximum $150.00).

4. Prices are subject to change without prior notice. All applicable taxes will be charged.

1. Unused product can be returned to Applied Medical within thirty (30) days of the shipping date and must be received at Applied Medical withinthirty (30) days of the date a Return Goods Authorization (RGA) number was issued. The product must be returned in the original saleable condi-tion to receive credit. A 22.5% restocking and handling fee will be charged unless the product was shipped in error by Applied Medical.

2. A RGA number must be issued by Applied Medical’s Customer Relations department prior to returning any product to Applied Medical. Pleaseinclude the RGA number on the outside of the shipping carton.

3. Credit value will be issued for authorized returns at the invoice purchase price upon final disposition of the product inspection at Applied Medical.Please include a copy of the original packing slip or invoice with any returned product.

4. Applied Medical requires notification by customer of any used product being returned for evaluation. A Customer Experience Report (CER) must becompleted in full and submitted to Applied Medical within 24 hours of product use. Used product returned to Applied Medical must be decontaminatedand packaged for safe handling. Applied Field Representatives are prohibited from picking up product that does not meet these criteria. Credit valuewill be issued for returned product that does not meet specifications upon evaluation by Applied Medical.

5. Product received at Applied Medical that does not meet all of the above conditions will be returned to sender at sender’s expense.

1. Limited Warranty. Applied warrants that the Product will: (i) conform to the written specifications furnished to the Purchaser; and (ii) comply at thetime of shipment with the then-applicable requirements of the U.S. Food, Drug and Cosmetic Act, ISO 13485 Quality Management Systems,Canadian Medical Devices Conformity Assessment System (CMDCAS), Medical Device Directives (MDD), Therapeutic Goods Administration (TGA),and regulations promulgated thereunder.

2. Warranty Claims. For any Product that does not comply with the Limited Warranty set forth above, Applied will, in its sole discretion: (i) replace theProduct at its sole expense; or (ii) refund the full purchase price of the Product. Applied's obligations under this section are subject to Purchaser'scompliance with all instructions and requirements regarding the use of the Product.

3. EXCLUSION OF OTHER WARRANTIES AND REMEDIES. EXCEPT AS PROVIDED ABOVE, APPLIED EXCLUDES ALL OTHER WARRANTIES, WHETHEREXPRESS OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITYOR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL APPLIED BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL LOSS, DAMAGE, OREXPENSE, DIRECTLY OR INDIRECTLY ARISING FROM THE USE OF ANY PRODUCT. APPLIED NEITHER ASSUMES, NOR AUTHORIZES, ANY OTHER PERSONTO ASSUME FOR IT, ANY OTHER ADDITIONAL LIABILITY OR RESPONSIBILITY IN CONNECTION WITH THE PRODUCTS. IN NO EVENT SHALL APPLIED'SLIABILITY UNDER THIS LIMITED WARRANTY EXCEED THE PURCHASE PRICE OF THE PRODUCT.
