Financing

The company has issued a total of 3,689,500 units

for gross proceeds of $922,375 pursuant to a final

prospectus dated Feb. 18, 2004, filed with the B.C.

and Ontario securities commissions. Each unit

comprises one common share and one Series A

common share purchase warrant, each warrant

being exercisable at 40 cents for two years.

Financing flow-through

The company has also received $507,400 from a flow-through financing which closed Dec.31, 2003. The Company has issued 1,691,333 common shares upon the exercise of 1,691,333 flow-through special warrants which were previously issued on Dec. 31, 2003, There is also one-half of one warrant for each share exercisable at $.30 for a two year period.
