Notice is hereby given to the Unitholders of CS Investment Funds 11 – Credit Suisse (Lux) Italy
Equity Fund
Notice is hereby given to the unitholders of Credit Suisse (Lux) Italy Equity Fund (the “Merging
Subfund”), a subfund of the Fund, that the board of directors of the Management Company decided to
merge the Merging Subfund into Credit Suisse (Lux) Corpernicus Italy Equity Fund (the “Receiving
Subfund”), a subfund of CS Investment Funds 2, an undertaking for collective investment in transferable
securities in the legal form of an investment company with variable capital, having its registered office at
5, rue Jean Monnet, L-2180 Luxembourg, and registered with R.C.S. Luxembourg under number
B 124.019 (the "Company") (the "Merger").
I. Merger Type
The boards of directors of the Management Company and of the Company have resolved to proceed with
the Merger in accordance with article 1(20)(a) and the provisions of Chapter 8 of the Luxembourg law of
17 December 2010 relating to undertakings for collective investment, as amended (the “2010 Law”),
article 18 of the management regulations of the Fund and article 25 of the articles of incorporation of the
Company, by transferring all the assets and liabilities of the Merging Subfund to the Receiving Subfund.
The assets and liabilities of the Merging Subfund will be contributed to the Receiving Subfund as of
17 July 2020 (the “Effective Date”).
The Merging Subfund will be the sole remaining subfund of the Fund on the Effective Date. Consequently,
the Fund will cease to exist as a result of the Merger.
II. Merger Rationale
The board of directors of the Management Company considers that the Merger is in the best interest of
the unitholders of the Merging Subfund, the intention being to profit from a combined investment expertise
of the co-investment managers of the Receiving Subfund being Credit Suisse (Italy) S.p.A. (the current
investment manager of the Merging Subfund) and Copernicus Asset Management S.A..

III. Impact of the Merger
Impact of the Merger on shareholders of the Receiving Subfund
Since the Receiving Subfund has been created in view of the Merger, there will be no shareholders invested
in the Receiving Subfund prior to the Merger that would be impacted by the Merger.
Impact of the Merger on unitholders of the Merging Subfund
The Merger will ensure that the assets of the Merging Subfund can be managed more efficiently. The
impact on the unitholders as a result of the Merger will be limited given the relative similarities between the
Merging Subfund and the Receiving Subfund.
In exchange for the transfer of the assets and liabilities of the Merging Subfund, the Receiving Subfund
shall issue shares without charge, and the unitholders currently holding units in the Merging Subfund will
receive shares in the Receiving Subfund, as indicated in the table further below.

Legal form
The Merging Subfund is a subfund of CS Investment Funds 11, a common fund (fond commun de placement) represented by its management company, Credit Suisse Fund Management S.A.
Legal form
The Receiving Subfund is a subfund of CS Investment Funds 2, an investment company with variable capital (société d'investissement à capital variable). CS Investment Funds 2 has
appointed Credit Suisse Fund Management S.A. as its management company.
Investment Objective and Investment Policy
At least two-thirds of this Subfund’s assets are invested in companies which are domiciled in Italy
or which conduct the overwhelming proportion of their business activities there and are characterized by high profitability, a solid financial structure and successful management.
Furthermore, this Subfund may invest up to one-third of its assets in other equities and equity-
type securities, subject to the investment restrictions set out in Chapter 6, “Investment
Restrictions”.
The Subfund will invest at least 51% of its total net assets in Qualifying Equity Instruments.
Investment Objective
The objective of the Subfund is to achieve the highest possible return in Euros (Reference
Currency), while taking due account of the principle of risk diversification, the security of the capital invested, and the liquidity of the assets. This Subfund aims to outperform the return of the
MSCI Italy 10/40 (NR) benchmark. The Subfund is actively managed. The benchmark is used as
a reference point for portfolio construction. The majority of the Subfund’s equity securities will be
components of, and have weightings derived from, the benchmark. The Investment Manager will
use its discretion to overweight or underweight certain components of the benchmark and may
invest in companies or sectors not included in the benchmark in order to take advantage of specific investment opportunities. It is thus expected that the performance of the Subfund will to
a limited extent deviate from the benchmark.

Investment Principles
At least two-thirds of the Subfund’s net assets are invested in equities and other equity-type
securities and rights (American depository receipts [ADRs], global depository receipts, profit-sharing certificates, participation certificates, dividend rights certificates, etc.) of companies
which are domiciled in or carry out the bulk of their business activities in Italy and are
characterized by high profitability, a solid financial structure and successful management.
Securities are selected irrespective of their market capitalization.
For hedging purposes, and in the interest of the efficient management of the portfolio as well as
for the implementation of the investment strategy the aforementioned investments may also be
effected by way of derivatives, provided the limits set out in Chapter 6, “Investment Restrictions”
are observed. Derivatives may include futures and options on equities, be linked to security baskets or indices and shall be chosen in accordance with Art. 9 of the Grand-Ducal Decree of
February 8, 2008.
The Subfund may invest up to one third of its net assets in equities and equity-type securities of
companies not fulfilling the above requirements, cash, sight and time deposits, money market
instruments, fixed income securities, which may include, but not limited to, bonds, convertible
bonds, notes, and similar fixed and variable interest rate securities, discounted securities issued by public, private and semi-private issuers worldwide.
The Subfund may – subject to the investment principles set out above – invest up to 10% of its
net assets in structured products (certificates, notes) on equities, equity-type securities, equity
baskets and equity indices that are sufficiently liquid and are issued by first-class banks (or by
issuers that offer investor protection comparable to that provided by first-class banks). These
structured products must qualify as securities pursuant to Art. 41 of the Law of December 17,
2010. Moreover, these structured products must be valued regularly and transparently on the
basis of independent sources. Structured products must not entail any leverage effect. As well as satisfying the regulations on risk spreading, the equity baskets and equity indices must be
sufficiently diversified. Furthermore, to hedge currency risks and to gear its assets to one or more other currencies, the Subfund may enter into forward foreign exchange and other currency derivatives in accordance
with section 3 of Chapter 6, “Investment Restrictions”.
The Subfund will invest more than 50% of the value of its total assets in Qualifying Equity
Instruments.

This Subfund is suitable for investors with high risk tolerance and a long-term view who wish to
invest in a broadly diversified portfolio of equity securities of companies domiciled in Italy.

The Merging and Receiving Subfunds have the same service providers, including the Management
Company, depositary, administrator and auditor.
As from the Effective Date, the Receiving Subfund will be co-managed by Credit Suisse (Italy) S.p.A., the
current investment manager of the Merging Subfund, and Copernicus Asset Management S.A.. The co-
investment managers will be jointly responsible for taking investment decisions pertaining to the Receiving
Subfund’s investment portfolio. Unitholders of the Merging Subfund will benefit after the Merger from the
expertise of both investment managers.
The respective share classes in the Receiving Subfund sometimes differ from the corresponding unit
classes of the Merging Subfund in terms of (i) applicable fees, costs and charges and (ii) hedging policy.
Also, the unitholders of the Merging Subfund should note that as a result of the Merger they will become
shareholders of the Company and consequently obtain voting rights in the Company. More generally,
unitholders should be aware of the different legal form of the Fund and the Company and note the resulting
differences in terms of governance structure.
Unitholders of the Merging Subfund should also note that the subfund "White Fleet III – Globes Italy
Equity Star" ("White Fleet Subfund"), a subfund of another fund of Credit Suisse group named
"White Fleet III" will also merge into the Receiving Subfund. Therefore, the portfolio of the Merging Subfund
and the portfolio of the White Fleet Subfund will be combined and unitholders of the Merging Subfund
should be aware that, as a consequence of this portfolio combination, it cannot be guaranteed that the
performance of the Receiving Subfund will remain the same as the performance of the Merging Subfund.
No further subscriptions in the Merging Subfund will be accepted as from 9 July 2020 at 3:00 p.m. (CET).
However, the unitholders of the Merging Subfund who do not agree with the Merger can apply for
redemption of all or part of their units free of charge, other than those retained for disinvestment costs,
during a period starting on the date of this publication, being 9 June 2020, and ending on 9 July 2020 at
3:00 p.m. (CET). Any redemption applications in the Merging Subfund received after 3:00 p.m. (CET) on
9 July 2020 will not be processed. Any such redemption requests should be submitted in the Receiving
Subfund to its central administration, Credit Suisse Fund Services (Luxembourg) S.A., 5, rue Jean Monnet,
L-2180 Luxembourg, on or after the Effective Date.
PricewaterhouseCoopers, Société Coopérative, with registered office at 2, rue Gerhard Mercator, L-2182
Luxembourg, Grand Duchy of Luxembourg, has been appointed by the Management Company on behalf
of the Fund as the independent auditor in charge of preparing a report validating the conditions foreseen
in the 2010 Law for the purpose of the Merger.
The last net asset value of the Merging Subfund will be calculated on 17 July 2020.
As of the Effective Date, the unitholders of the Merging Subfund who have not applied for redemption will
receive a number of new shares (as applicable) of the relevant share class of the Receiving Subfund on
the basis of the exchange ratio mentioned below (the "New Shares") and no subscription charge will be
applied in this respect. Investors may deal in their New Shares before receiving the confirmation of the
allocation of the New Shares.
All costs of the Merger (with the exception of any dealing costs, audit costs, other miscellaneous costs and
transfer taxes on the assets associated with the transfer of assets and liabilities and the custody transfer
costs) will be borne by the Management Company, including legal, accounting and other administrative
expenses.
Unitholders of the Merging Subfund should inform themselves as to the possible tax implications of the
aforementioned changes in their respective country of citizenship, residence or domicile.
IV. Criteria adopted for the valuation of assets and liabilities on the date of calculating the
exchange ratio
The assets and liabilities of the Merging Subfund and the Receiving Subfund will be valued in accordance
with the valuation principles laid down in Chapter 8 of the current prospectuses of the Fund and of the
Company, article 11 of the management regulations of the Fund and article 20 of the articles of
incorporation of the Company.

V. Calculation method of the exchange ratio
The exchange ratio will be calculated on 17 July 2020, based on the closing prices of 16 July 2020 and
be published as soon as practicable. Unitholders of the Merging Subfund will be informed accordingly.
Unitholders of the Merging Subfund should note that the Merger will be effected at the exchange ratio of
1:1, i.e. the issue price of the shares in the Receiving Subfund will be the same as the last calculated net
asset value per unit of the corresponding unit class in the Merging Subfund.
VI. Additional information for unitholders
Unitholders may receive additional information in respect of the Merger at the registered office of the
Management Company at 5 rue Jean Monnet, L-2180 Luxembourg.
Once available, a copy of the common terms of merger adopted by the boards of directors of the
Management Company and of the Company in relation to the Merger, a copy of the certificate issued by
the depositary of the Fund and the Company in relation to the Merger and the auditor’s statement on the
terms and conditions of the Merger will be made available, free of charge, at the registered office of the
Management Company.
Unitholders of the Merging Subfund should note that, once the above change enters into effect, the new
prospectus, the key investor information documents, the articles of incorporation and the last annual and
semi-annual reports of the Company may be obtained, free of charge, at the registered office of the
Management Company or on the internet at www.credit-suisse.com.

Mitteilung an die Anteilinhaber des CS Investment Funds 11 – Credit Suisse (Lux) Italy Equity
Fund
Die Anteilinhaber des Credit Suisse (Lux) Italy Equity Fund (der «übertragende Subfonds»), ein
Subfonds des Fonds, werden hiermit darüber in Kenntnis gesetzt, dass der Verwaltungsrat der
Verwaltungsgesellschaft beschlossen hat, den übertragenden Subfonds mit dem Credit Suisse (Lux)
Corpernicus Italy Equity Fund (der «übernehmende Subfonds»), einem Subfonds der CS
Investment Funds 2, zusammenzulegen (die «Zusammenlegung»); die CS Investment Funds 2 ist ein
Organismus für gemeinsame Anlagen in Wertpapieren in der Rechtsform einer Investmentgesellschaft mit
variablem Kapital mit eingetragenem Sitz in 5, rue Jean Monnet, L-2180 Luxemburg und eingetragen im
Handels- und Gesellschaftsregister Luxemburg unter der Nummer B 124.019 (die «Gesellschaft»).
I. Art der Zusammenlegung
Die Verwaltungsräte der Verwaltungsgesellschaft und der Gesellschaft haben beschlossen, die
Zusammenlegung gemäß Artikel 1 Absatz 20 Buchstabe a und den Bestimmungen von Kapitel 8 des
luxemburgischen Gesetzes vom 17. Dezember 2010 über Organismen für gemeinsame Anlagen in seiner
jeweils gültigen Fassung (das «Gesetz von 2010»), Artikel 18 der Vertragsbedingungen des Fonds und
Artikel 25 der Satzung der Gesellschaft durchzuführen, indem sämtliche Vermögenswerte und
Verbindlichkeiten des übertragenden Subfonds auf den übernehmenden Subfonds übertragen werden.
Die Vermögenswerte und Verbindlichkeiten des übertragenden Subfonds werden per 17. Juli 2020 (das
«Datum des Inkrafttretens») auf den übernehmenden Subfonds übertragen.
Der übertragende Subfonds stellt zum Tag des Inkrafttretens den letzten verbleibenden Subfonds des
Fonds dar. Daher wird der Fonds infolge der Zusammenlegung nicht mehr existieren.
II. Grund für die Zusammenlegung
Der Verwaltungsrat der Verwaltungsgesellschaft ist der Ansicht, dass die Zusammenlegung im besten
Interesse der Anteilinhaber des übertragenden Fonds ist, um vom kombinierten Anlage-Know-how der Co-

Anlageverwalter des übernehmenden Subfonds, d. h. der Credit Suisse (Italy) S.p.A. (dem aktuellen
Anlageverwalter des übertragenden Subfonds) und der Copernicus Asset Management S.A., zu profitieren.
III. Auswirkungen der Zusammenlegung
Auswirkungen der Zusammenlegung auf die Aktionäre des übernehmenden Subfonds
Da der übernehmende Subfonds mit Blick auf die Zusammenlegung aufgelegt wurde, sind vor der
Zusammenlegung keine Aktionäre im übernehmenden Subfonds engagiert, auf die sich die
Zusammenlegung auswirken würde.
Auswirkungen der Zusammenlegung auf die Anteilinhaber des übertragenden Subfonds
Die Zusammenlegung gewährleistet eine effizientere Verwaltung der Vermögenswerte des übertragenden
Subfonds. Die Folgen der Zusammenlegung für die Anteilinhaber halten sich aufgrund der relativen
Ähnlichkeit des übertragenden und des übernehmenden Subfonds in Grenzen.
Im Gegenzug zur Übertragung der Vermögenswerte und Verbindlichkeiten des übertragenden Subfonds
gibt der übernehmende Subfonds gebührenfrei Aktien aus. Anteilinhaber, die derzeit Anteile am
übertragenden Subfonds halten, erhalten gemäß nachfolgender Tabelle Aktien am übernehmenden
Subfonds:

Rechtsform
Der übertragende Subfonds ist ein Subfonds des CS Investment Funds 11, ein Investmentfonds
(«fonds commun de placement»), der von seiner Verwaltungsgesellschaft Credit Suisse Fund Management S.A. vertreten wird.
Rechtsform
Der übernehmende Subfonds ist ein Subfonds der CS Investment Funds 2, einer
Investmentgesellschaft mit variablem Kapital (société d'investissement à capital variable). CS Investment Funds 2 hat die Credit Suisse Fund Management S.A. zur Verwaltungsgesellschaft
ernannt.
Anlageziel und Anlagepolitik
Das Vermögen dieses Subfonds wird zu mindestens zwei Dritteln in Unternehmen investiert, die
in Italien ansässig sind oder den überwiegenden Teil ihrer Tätigkeit dort ausüben und sich durch
hohe Rentabilität, eine solide Finanzstruktur und erfolgreiche Geschäftsführung auszeichnen.
Darüber hinaus kann dieser Subfonds vorbehaltlich der in Kapitel 6 «Anlagebegrenzungen»
aufgeführten Anlagebegrenzungen bis zu einem Drittel seines Vermögens in Aktien und
aktienähnlichen Wertpapieren investieren.
Der Subfonds wird mindestens 51% seines Gesamtnettovermögens in zulässige Eigenkapitalinstrumente investieren.
Anlageziel
Das Ziel des Subfonds ist es, eine möglichst hohe Kapitalrendite in Euro (Referenzwährung) zu
erzielen, bei gleichzeitiger Berücksichtigung des Grundsatzes der Risikoverteilung, der Sicherheit
des Anlagekapitals und der Liquidität des Anlagevermögens. Dieser Subfonds hat das Ziel, den
Ertrag des Referenzindex MSCI Italy 10/40 (NR) zu übertreffen. Der Subfonds wird aktiv
verwaltet. Der Referenzindex dient als Orientierungspunkt für die Portfoliozusammenstellung. Die
Aktien des Subfonds sind zu einem Großteil Bestandteil des Referenzindex und richten ihre
Gewichtung an diesem aus. Der Anlageverwalter kann in eigenem Ermessen bestimmte Komponenten des Referenzindex über- oder untergewichten und auch in nicht im Referenzindex
enthaltene Unternehmen oder Branchen anlegen, um spezifische Anlagechancen zu nutzen. Es

ist daher zu erwarten, dass die Performance des Subfonds in begrenztem Maße vom Referenzindex abweichen wird.
Anlagegrundsätze
Das Nettovermögen des Subfonds wird zu mindestens zwei Dritteln in Aktien und anderen aktienähnlichen Wertpapieren und Rechten (American Depository Receipts [ADRs], Global Depository Receipts, Gewinnanteilscheine, Partizipationsscheine, Genussscheine usw.) von
Unternehmen investiert, die ihren Sitz in Italien haben oder dort den Großteil ihrer Geschäftstätigkeit ausüben und sich durch eine hohe Rentabilität, solide Finanzstruktur sowie
eine erfolgreiche Geschäftsführung auszeichnen.
Die Wertpapiere werden unabhängig von ihrer Marktkapitalisierung ausgewählt.
Zu Absicherungszwecken und im Hinblick auf eine effiziente Verwaltung des Portfolios sowie die
Umsetzung der Anlagestrategie dürfen die vorgenannten Anlagen auch mittels Derivaten getätigt
werden, sofern die Anlagebegrenzungen gemäß Kapitel 6 «Anlagebegrenzungen» eingehalten werden. Derivate können Futures und Aktienoptionen enthalten und mit Wertpapierkörben oder -
indizes verbunden sein; ihre Auswahl erfolgt in Übereinstimmung mit Artikel 9 der Großherzoglichen Verordnung vom 8. Februar 2008.
Der Subfonds kann bis zu einem Drittel seines Nettovermögens in Aktien und aktienähnlichen
Wertpapieren von Unternehmen, welche die vorgenannten Anforderungen nicht erfüllen, sowie in
Barmitteln, Sicht- und Termineinlagen, Geldmarktinstrumenten und festverzinslichen
Wertpapieren anlegen, darunter u. a. Anleihen, Wandelanleihen, Notes und ähnliche fest und
variabel verzinsliche Wertpapiere sowie abgezinste Wertpapiere, die von öffentlichen, privaten und gemischtwirtschaftlichen Emittenten weltweit begeben werden.
Der Subfonds darf in Einklang mit den vorgenannten Anlagegrundsätzen bis zu 10% seines Nettovermögens in strukturierte Produkte (Zertifikate, Notes) auf Aktien, aktienähnliche
Wertpapiere, Aktienkörbe und Aktienindizes investieren, die ausreichend liquide sind und von
erstklassigen Banken (bzw. Emittenten, welche einen solchen erstklassigen Banken gleichwertigen Anlegerschutz bieten) ausgegeben werden. Diese strukturierten Produkte müssen
sich als Wertpapiere im Sinne von Artikel 41 des Gesetzes vom 17. Dezember 2010
qualifizieren. Ferner muss die Bewertung dieser strukturierten Produkte regelmäßig und jederzeit
nachprüfbar auf der Basis unabhängiger Quellen erfolgen. Die strukturierten Produkte dürfen
keinen Hebeleffekt beinhalten. Die Aktienkörbe und -indizes müssen ausreichend diversifiziert sein und die Vorschriften zur Risikostreuung erfüllen. Zudem kann der Subfonds zum Zweck der Währungsabsicherung und um seinem Vermögen
eine Ausrichtung auf eine oder mehrere andere Währungen zu geben, Devisenterminkontrakte
und andere Devisenderivate im Sinne von Kapitel 6 «Anlagebegrenzungen» Abschnitt 3
einsetzen. Der Subfonds investiert mehr als 50% seines Gesamtvermögenswerts in zulässige
Eigenkapitalinstrumente.

Der übertragende Subfonds und der übernehmende Subfonds weisen dieselben Dienstleister auf,
einschließlich der Verwaltungsgesellschaft, der Depotstelle, der Verwaltungsstelle und des
Wirtschaftsprüfers.
Ab dem Datum des Inkrafttretens wird der übernehmende Subfonds gemeinsam von der Credit Suisse
(Italy) S.p.A., dem gegenwärtigen Anlageverwalter des übertragenden Subfonds, und der Copernicus Asset
Management S.A. verwaltet. Die Co-Anlageverwalter werden gemeinsam für die Anlageentscheidungen
hinsichtlich des Anlageportfolios des übernehmenden Subfonds verantwortlich sein. Die Anteilinhaber des
übertragenden Subfonds profitieren nach der Zusammenlegung vom Know-how beider Anlageverwalter.
Die jeweiligen Aktienklassen des übernehmenden Subfonds unterscheiden sich bisweilen von den
entsprechenden Anteilklassen des übertragenden Subfonds, was (i) geltende Gebühren, Kosten und
Vergütungen und (ii) die Absicherungspolitik anbelangt.
Außerdem werden die Anteilinhaber des übertragenden Subfonds darauf hingewiesen, dass sie infolge der
Zusammenlegung Aktionäre der Gesellschaft werden und folglich Stimmrechte an der Gesellschaft
erhalten. Generell sollten die Anteilinhaber beachten, dass der Fonds und die Gesellschaft eine andere
Rechtsform besitzen, und die sich hieraus ergebenden Unterschiede in der Governance-Struktur zur
Kenntnis nehmen.
Anteilinhaber des übertragenden Subfonds werden ferner darauf hingewiesen, dass der Subfonds «White
Fleet III – Globes Italy Equity Star» (der «White-Fleet-Subfonds»), ein Subfonds eines anderen Fonds
der Credit Suisse Group namens «White Fleet III», auch mit dem übernehmenden Fonds zusammengelegt
wird. Somit werden das Portfolio des übertragenden Subfonds und des White-Fleet-Subfonds
zusammengeführt und die Anteilinhaber des übertragenden Subfonds sollten sich dessen bewusst sein,
dass infolge dieser Portfoliozusammenführung nicht garantiert werden kann, dass die Performance des
übernehmenden Subfonds künftig der Performance des übertragenden Subfonds entsprechen wird.
Ab dem 9. Juli 2020 um 15.00 Uhr (MEZ) sind keine Zeichnungen von Anteilen des übertragenden
Subfonds mehr möglich.
Gleichwohl können Anteilinhaber des übertragenden Subfonds, die der Zusammenlegung nicht zustimmen,
in einem Zeitraum ab dem Datum dieser Mitteilung, d. h. ab dem 9. Juni 2020, bis zum 29. Juli 2020 um
15.00 Uhr (MEZ) die gebührenfreie Rücknahme (mit Ausnahme der zur Begleichung von
Veräußerungskosten einbehaltenen Gebühren) aller oder eines Teils ihrer Anteile beantragen.
Rücknahmeanträge für Anteile des übertragenden Subfonds, die nach 15.00 Uhr (MEZ) am 9. Juli 2020
eingehen, werden nicht bearbeitet. Derartige Rücknahmeanträge sind dem übernehmenden Subfonds über
dessen Zentrale Verwaltungsstelle, Credit Suisse Fund Services (Luxembourg) S.A., 5, rue Jean Monnet,
L-2180 Luxemburg, am oder nach dem Datum des Inkrafttretens zu übermitteln.
PricewaterhouseCoopers, Société Coopérative, mit eingetragenem Sitz in 2, rue Gerhard Mercator,
L-2182 Luxemburg, Großherzogtum Luxemburg, ist von der Verwaltungsgesellschaft im Auftrag des
Fonds als unabhängiger Wirtschaftsprüfer mit der Erstellung eines Berichts beauftragt worden, in dem das
Vorliegen der Bedingungen bestätigt wird, die im Gesetz von 2010 für den Zweck der Zusammenlegung
vorgesehen sind.
Der letzte Nettovermögenswert des übertragenden Subfonds wird per 17. Juli 2020 berechnet.
Anteilinhaber des übertragenden Subfonds, die keine Rücknahme beantragt haben, erhalten zum Datum
des Inkrafttretens eine Anzahl neuer Aktien (soweit anwendbar) der jeweiligen Aktienklasse des
übernehmenden Subfonds nach Maßgabe des nachfolgenden Umtauschverhältnisses (die «neuen
Aktien»), wobei keine Zeichnungsgebühr berechnet wird. Die Anleger können mit den neuen Aktien
handeln, bevor deren Zuteilung bestätigt wird.
Sämtliche Kosten der Zusammenlegung (mit Ausnahme von Transaktions- und Revisionskosten, sonstigen
Kosten und Übertragungssteuern auf die mit der Übertragung verbundenen Vermögenswerte und
Verbindlichkeiten sowie von Kosten für die Depotübertragung) werden von der Verwaltungsgesellschaft
getragen, darunter auch Rechts-, Buchführungs- und sonstige Verwaltungskosten.

Anteilinhaber des übertragenden Subfonds sollten sich selbst über die möglichen steuerlichen
Konsequenzen der oben genannten Änderungen in den Ländern ihrer Staatsangehörigkeit, ihres
Wohnsitzes oder ihres Aufenthaltes informieren.
IV. Für die Bewertung von Vermögenswerten und Verbindlichkeiten am Tag der Berechnung des
Umtauschverhältnisses angewandte Kriterien
Die Vermögenswerte und Verbindlichkeiten des übertragenden Subfonds und des übernehmenden
Subfonds werden gemäß den Bewertungsregeln unter Kapitel 8 der aktuellen Prospekte des Fonds und
der Gesellschaft sowie gemäß Artikel 11 der Vertragsbedingungen des Fonds und Artikel 20 der Satzung
der Gesellschaft bewertet.
V. Verfahren zur Berechnung des Umtauschverhältnisses
Das Umtauschverhältnis wird am 17. Juli 2020 gemäß den Schlusskursen vom 16. Juli 2020 berechnet
und so bald wie möglich veröffentlicht. Anteilinhaber des übertragenden Subfonds werden entsprechend
informiert.
Die Anteilinhaber des übertragenden Subfonds werden darauf hingewiesen, dass die Zusammenlegung in
einem Umtauschverhältnis von 1:1 erfolgt, d. h. der Ausgabepreis der Aktien des übernehmenden
Subfonds entspricht dem letzten berechneten Nettovermögenswert pro Anteil der entsprechenden
Anteilklasse des übertragenden Subfonds.

Die Anteilinhaber erhalten weitere Informationen zu dieser Zusammenlegung am eingetragenen Sitz der

Par la présente, les porteurs de parts de Credit Suisse (Lux) Italy Equity Fund (le «compartiment
fusionnant»), un compartiment du fonds, sont informés de la décision du conseil d’administration de la
société de gestion de fusionner le compartiment fusionnant avec Credit Suisse (Lux) Copernicus Italy
Equity Fund (le «compartiment recevant»), un compartiment de CS Investment Funds 2, un
organisme de placement collectif en valeurs mobilières constitué sous la forme juridique d’une société
d’investissement à capital variable sise 5, rue Jean Monnet, L-2180 Luxembourg, et immatriculée au
R.C.S. luxembourgeois sous le numéro B 124.019 (la «société») (la «fusion»).
I. Type de fusion
Les conseils d’administration de la société de gestion et de la société ont décidé de procéder à la fusion
conformément à l’article 1(20)(a) et aux dispositions du chapitre 8 de la Loi luxembourgeoise du
17 décembre 2010 concernant les organismes de placement collectif, telle que modifiée (la «loi
de 2010»), à l’article 18 du règlement de gestion du fonds et à l’article 25 des statuts de la société en
transférant tous les actifs et passifs du compartiment fusionnant au compartiment recevant.
Les actifs et passifs du compartiment fusionnant seront apportés au compartiment recevant en date du
17 juillet 2020 (la «date d’effet»).
Le compartiment fusionnant sera l’unique compartiment restant du fonds à la date d’effet. Par conséquent,
le fonds cessera d’exister à la suite de la fusion.
II. Justification de la fusion
Le conseil d’administration de la société de gestion estime que la fusion s’inscrit dans le meilleur intérêt
des porteurs de parts du compartiment fusionnant, le but étant de bénéficier des expertises
d’investissement combinées des cogestionnaires de portefeuille du compartiment recevant, à savoir Credit
Suisse (Italy) S.p.A. (actuel gestionnaire de portefeuille du compartiment fusionnant) et Copernicus Asset
Management S.A.

III. Impact de la fusion
Impact de la fusion pour les actionnaires du compartiment recevant
Dans la mesure où le compartiment recevant a été créé en vue de la fusion, il n’y aura pas, avant ladite
fusion, d’actionnaires investis dans le compartiment recevant affectés par la fusion.
Impact de la fusion pour les porteurs de parts du compartiment fusionnant
La fusion permettra de renforcer l’efficacité de la gestion des actifs du compartiment fusionnant. Cette
fusion aura un impact limité pour les porteurs de parts, compte tenu des similarités relatives existant entre
les compartiments fusionnant et recevant.
En échange du transfert des actifs et passifs du compartiment fusionnant, le compartiment recevant
procédera à l’émission de parts sans frais, et les porteurs de parts existants du compartiment fusionnant
recevront des parts du compartiment recevant, conformément au tableau ci-dessous.

Objectif et principes de placement
Les actifs de ce compartiment sont investis à raison de deux tiers au moins dans des entreprises
qui ont leur siège ou qui exercent l’essentiel de leurs activités en Italie et qui se caractérisent par
une rentabilité élevée, une structure financière solide et une direction performante.
De plus, ce compartiment peut investir jusqu’à un tiers de ses actifs dans d’autres actions et titres analogues, sous réserve des restrictions de placement énumérées au chapitre 6
«Restrictions de placement».
Le compartiment doit investir au moins 51% de ses actifs nets dans des titres à dividende
qualifiés.
Objectif de placement
L’objectif du compartiment est d’obtenir le meilleur rendement possible en euros (monnaie de
référence), tout en tenant compte du principe de répartition des risques, de la sécurité du capital
investi et de la liquidité des actifs. Ce compartiment a pour objectif de surperformer le rendement
de l’indice de référence MSCI Italy 10/40 (NR). Le compartiment est géré activement. L’indice de référence sert de point de référence pour la construction du portefeuille. La majeure partie
des droits de participation du compartiment relèvera de l’indice de référence et présentera des
pondérations issues de celui-ci. Le gestionnaire de portefeuille, à sa discrétion, surpondérera ou
sous-pondérera certaines composantes de l’indice de référence et peut investir dans des
entreprises ou des secteurs qui ne figurent pas dans l’indice de référence afin de tirer parti d’opportunités de placement spécifiques. Il est donc attendu que la performance du compartiment soit différente, dans une certaine mesure, de celle de l’indice de référence.

Principes de placement
Le compartiment investit au moins deux tiers de ses actifs nets dans des actions et autres titres
assimilés à des actions ainsi que dans des droits (certificats américains de dépôt ADR [American Depository Receipts], Global Depository Receipts, parts bénéficiaires, bons de participation, bons
de jouissance, etc.) d’entreprises qui sont domiciliées ou réalisent l’essentiel de leurs activités
commerciales en Italie, et qui se caractérisent par une rentabilité élevée, une structure financière
solide et une direction performante.
La sélection des titres s’effectue indépendamment de leur capitalisation boursière.
À des fins de couverture, et en vue d’une gestion efficace du portefeuille ainsi que pour la mise
en œuvre de la stratégie de placement, les investissements susmentionnés pourront également
être opérés au moyen d’instruments financiers dérivés, à condition que les limites énoncées au chapitre 6 «Restrictions d’investissement» soient respectées. Les produits dérivés peuvent inclure
des futures et des options sur actions, être liés à des paniers ou indices d’actions, et doivent être
choisis conformément à l’article 9 du Règlement grand-ducal du 8 février 2008.
Le compartiment peut investir jusqu’à un tiers de ses actifs nets dans des actions et des titres
assimilés à des actions d’entreprises ne remplissant pas les conditions ci-dessus, dans des
liquidités, des dépôts à vue ou à terme, des instruments du marché monétaire, ainsi que dans des titres à revenu fixe, notamment des obligations, des obligations convertibles, des notes et
des titres à taux d’intérêt fixe ou variable similaires, des titres escomptés d’émetteurs publics,
privés ou semi-privés, et ce dans le monde entier.
En conformité avec les principes de placement énoncés ci-dessus, le compartiment peut investir
jusqu’à 10% de ses actifs nets dans des produits structurés (certificats, notes) reposant sur des
actions, des titres assimilés à des actions, des paniers et indices d’actions caractérisés par une
liquidité suffisante et émis par des banques de premier ordre (ou par des émetteurs offrant aux
investisseurs une protection comparable à celle fournie par des banques de premier ordre). Ces produits structurés doivent être reconnus comme des titres négociables au sens de l’article 41
de la loi du 17 décembre 2010. En outre, ces produits doivent être évalués de façon régulière et transparente à partir de sources indépendantes. Ces produits structurés ne doivent être assortis d’aucun effet de levier. Les paniers et indices d’actions doivent satisfaire les réglementations
applicables en matière de répartition des risques et être suffisamment diversifiés.
En outre, pour couvrir les risques de change et lever ses actifs dans une ou plusieurs devises, le
compartiment peut opter pour des opérations à terme sur devises et pour d’autres dérivés
monétaires conformément à la section 3 du chapitre 6 «Restrictions d’investissement». Le compartiment doit investir plus de 50% de ses actifs nets dans des titres à dividende
qualifiés.

Les compartiments fusionnant et recevant ont les mêmes prestataires, y c. la société de gestion, la banque
dépositaire, l’administration centrale et l’auditeur.
À compter de la date d’effet, le compartiment recevant sera cogéré par Credit Suisse (Italy) S.p.A., actuel
gestionnaire de portefeuille du compartiment fusionnant, et Copernicus Asset Management S.A. Les
cogestionnaires assumeront la responsabilité conjointe quant à la prise de décisions d’investissement
concernant le portefeuille de placements du compartiment recevant. À l’issue de la fusion, les porteurs de
parts du compartiment fusionnant bénéficieront de l’expertise des deux gestionnaires de portefeuil le.
Les catégories d’actions du compartiment recevant diffèrent parfois des catégories de parts
correspondantes du compartiment fusionnant en termes de (i) frais, charges et coûts applicables, et de (ii)
politique de couverture.
Les porteurs de parts du compartiment fusionnant sont priés de noter qu’à la suite de la fusion, ils
deviendront des actionnaires de la société et obtiendront à ce titre des droits de vote dans la société. Plus
généralement, les porteurs de parts doivent noter que le fonds et la société n’ont pas la même forme
juridique et que des différences en termes de structure de gouvernance en résultent.
Les porteurs de parts du compartiment fusionnant sont en outre informés que le compartiment «White
Fleet III – Globes Italy Equity Star» (le «compartiment White Fleet»), un compartiment d’un autre
fonds du Credit Suisse Group nommé «White Fleet III», fusionnera également avec le compartiment
recevant. Par conséquent, les portefeuilles du compartiment fusionnant et du compartiment White Fleet
seront combinés. Ainsi, les porteurs de parts du compartiment fusionnant doivent noter qu’en raison de la
combinaison de ces deux portefeuilles, la performance du compartiment recevant pourra différer de celle
du compartiment fusionnant.
Plus aucune souscription ne sera acceptée pour le compartiment fusionnant à compter du 9 juillet 2020 à
15h00 (HEC).
Toutefois, les porteurs de parts du compartiment fusionnant qui n’approuvent pas la fusion peuvent
demander le remboursement de tout ou partie de leurs parts sans autres frais que ceux retenus pour couvrir
les coûts de désinvestissement, pendant la période débutant à la date de la présente publication, c’est-à-
dire le 9 juin 2020, et se terminant le 9 juillet 2020 à 15h00 (HEC). Les demandes de rachat au sein du
compartiment fusionnant reçues après 15h00 (HEC) le 9 juillet 2020 ne seront pas traitées. Ces dernières
devront être soumises dans le compartiment recevant auprès de son administration centrale, Credit Suisse
Fund Services (Luxembourg) S.A., 5, rue Jean Monnet, L-2180 Luxembourg, à la date d’effet ou après
celle-ci.
La société de gestion agissant au nom du fonds a désigné PricewaterhouseCoopers, Société Coopérative,

prévues dans la loi de 2010 aux fins de la fusion.
La dernière valeur nette d’inventaire du compartiment fusionnant sera calculée en date du
17 juillet 2020.
À la date d’effet, les porteurs de parts du compartiment fusionnant qui n’auront pas demandé le rachat de
leurs parts recevront un certain nombre de nouvelles actions (selon les modalités applicables) de la
catégorie d’actions correspondante du compartiment recevant sur la base du rapport d’échange mentionné
ci-dessous (les «nouvelles actions») et des frais de souscription ne seront appliqués à cet égard. Les
investisseurs peuvent négocier leurs nouvelles actions avant d’avoir reçu la confirmation de leur attribution.
Tous les coûts de la fusion (à l’exception de tous frais de transaction, frais d’audit, autres frais divers et
taxes de transfert sur les actifs associés au transfert d’actifs et de passifs, ainsi que des coûts du transfert
de garde) seront pris en charge par la société de gestion, y compris les frais juridiques, comptables et
autres frais administratifs.
Les porteurs de parts du compartiment fusionnant sont invités à s’informer personnellement quant aux
éventuelles incidences fiscales des changements précités dans le pays dont ils ont la nationalité et/ou leur
pays de résidence ou de domicile.

IV. Critères adoptés pour l’évaluation des actifs et passifs à la date de calcul du rapport
d’échange
Les actifs et passifs du compartiment fusionnant et du compartiment recevant seront évalués
conformément aux principes d’évaluation prévus au chapitre 8 des prospectus actuels du fonds et du fonds
et de la société, à l’article 11 du règlement de gestion du fonds et à l’article 20 des statuts de la société.
V. Méthode de calcul du rapport d’échange
Le rapport d’échange sera calculé le 17 juillet 2020 sur la base des cours de clôture au 16 juillet 2020 et
publié dans les plus brefs délais. Les porteurs de parts du compartiment fusionnant seront informés en
conséquence.
Nous informons les porteurs de parts du compartiment fusionnant que la fusion s’effectuera à une parité
d’échange de 1:1, c’est-à-dire que le prix d’émission des actions du compartiment recevant sera identique
à celui de la dernière valeur nette d’inventaire par part calculée de la catégorie de parts correspondante du
compartiment fusionnant.
VI. Informations complémentaires pour les porteurs de parts
Les porteurs de parts peuvent obtenir des informations complémentaires sur la fusion au siège social de la
société de gestion, 5 rue Jean Monnet, L-2180 Luxembourg.
Une copie des conditions de fusion adoptées par le conseil d’administration de la société de gestion et de
la société ainsi que du certificat émis par la banque dépositaire du fonds et de la société portant sur la
fusion, et le rapport de l’auditeur sur les conditions de la fusion pourront être obtenus gratuitement au siège
social de la société de gestion dès que ces documents seront disponibles.
Les porteurs de parts du compartiment fusionnant sont priés de noter qu’une fois les changements ci-
dessus entrés en vigueur, ils pourront se procurer sans frais le nouveau prospectus, les documents
d’information clé pour l’investisseur, les statuts ainsi que les derniers rapports annuel et semestriel de la
société au siège social de la société de gestion ou sur Internet à l’adresse www.credit-suisse.com.
