PROJECT OVERVIEW

General

The Industrial Development Board of the City of New Orleans, Louisiana, Inc. (the "IDB") seeks proposals to redevelop the site of the former Jazzland/Six Flags theme park in New Orleans East into a vibrant asset for the community. Potential uses could include an amusement or water park, projects related to the film industry, a family entertainment venue, a shopping center or other commercial or retail facility, a business or technology park, a "clean" manufacturing facility, a warehouse, an office building or buildings, a hotel, resort or conference center, or any other appropriate use.

Jazzland/Six Flags Theme Park

The Jazzland Theme Park opened in New Orleans East in 2000. Six Flags Theme Parks purchased the property in 2002 and operated until closing the property after Hurricane Katrina in August 2005.

Existing Infrastructure

The property consists of 65 acres of developed land and 86 acres of undeveloped land, located at municipal address 12301 Lake Forest Blvd., in New Orleans East. Because the site enjoys excellent road access and visibility from Interstate 10, it is ideal for a variety of commercial developments. Approximately 20 of the original theme park rides and related structures are still on site, but have not been operated in more than eight years. Utilities (electric/water/sewer) and more than 1,000 parking spots are available to the site. See Appendix C for maps of the site, and photographs of the property including current infrastructure and recent uses as a film back lot.

Proposals for redevelopment of the property may either assume that the existing remaining infrastructure on the site will be removed and/or demolished or may incorporate some or all of the existing infrastructure into their proposed development. Proposals must indicate on their Initial Proposal some detail of what existing infrastructure may be used in the development.

Film Industry Use of Site

Due to favorable incentives provided by the State of Louisiana, a growing film and television production industry has developed in the New Orleans area. Over the last 2-3 years, several film production companies have used the former Jazzland/Six Flags site as a filming location on a short-term basis. The use of the site for filming activities has been a welcome interim use of the site while more permanent development proposals are sought.

Economic Incentives

The State of Louisiana, through Louisiana Economic Development (LED), has some of the most aggressive economic development incentives in the entire country. Depending

on the scope, this project may gain access to the state's Quality Jobs or Enterprise Zone incentive pools. Both of these programs provide healthy tax breaks to businesses that meet a certain criteria and are establishing (or strengthening) a presence in Louisiana. Furthermore, the redevelopment of this property may be eligible for revenue bond financing or a Payment-in-Lieu-of-Tax (PILOT) arrangement through the IDB.

Zoning Matters

The property is currently zoned "BIP" (Business Industrial Park District), which allows for numerous kinds of commercial activities. A new Comprehensive Zoning Ordinance for the City of New Orleans may be in effect by the time the development of the property begins, which ordinance may initially contain a more restrictive zoning classification for the property. If zoning changes are necessary for any particular proposal to be implemented, then the IDB will cooperate with the City and the successful developer to secure such zoning changes. DEVELOPMENT PROPOSALS

Invitation to Negotiate

This request and evaluation process is being used by the IDB to determine the best method or proposal for achieving its goal of redeveloping the former Six Flags property, by identifying one or more interested qualified parties with which the IDB may negotiate with a view towards identifying and implementing a redevelopment plan that is most beneficial to the community as a whole.

Open Call for Initial Proposals

The IDB will begin accepting Initial Proposals immediately from all interested parties and will continue accepting Initial Proposals until 4:00 pm, CST, Friday, February 28, 2014, before consideration is given to any proposals. However the IDB will accept

proposals on a continuing basis after such date until a final development partner is chosen.

After February 28, 2014, a review committee will meet publicly to review any and all proposals. As soon as any one or more proposals are deemed to be promising enough to warrant additional development, the IDB will enter into an appropriate agreement with the submitting person(s) outlining a timeframe for further development of the proposal. Such agreement may or may not grant an exclusive right to pursue development. The IDB specifically reserves the right to negotiate with multiple parties simultaneously.

Until such time as development partner(s) are chosen by the IDB, the IDB will accept additional proposals on a continuous basis. Although the initial proposal deadline is February 28, 2014, the IDB encourages prospective developers that did not submit a proposal by February 28 to submit proposals after such date until a final development partner is chosen.

Submission of Proposals

All proposals should be submitted as follows:

1. Enclose one (1) signed original and seven (7) copies of the proposal in a sealed envelope marked "Jazzland/Six Flags Redevelopment Opportunity," and deliver to the following address:

3. Proposals submitted by fax will not be accepted.

4. Each proposal must also be accompanied by one (1) signed original of the Developer's Affidavit (See Appendix A).

Non-Refundable Deposit

All proposals must be accompanied by a non-refundable deposit of $5,000 payable to the Industrial Development Board of the City of New Orleans, Louisiana, Inc.

Additional Agreements During Development Period

Each applicant must acknowledge in the Developer's Affidavit (See Appendix A) that if selected to pursue development of the site:

(a) it may be required to enter into a lease or other agreement relating to the development of the property, and make a monthly payment to the IDB during the development period in an amount to be negotiated;

(b) it must allow the IDB to continue entering into concession agreements on a temporary basis (i) to film or television production companies that wish to use the property for filming activities during the development period and/or (ii) to other entities that wish to use the property on a temporary basis for activities that do not interfere with the applicant's development activities; and

(c) it will agree to insure, maintain and secure the property during the term of any development activities.

Required Content of all Proposals

Proposals should clearly demonstrate the applicant's qualifications to pursue and complete the proposed development. Proposals should include detailed résumés or curricula vitae and financial statements of the Respondent, a pro forma and financing plan (including market analysis and projected return on investment), a conceptual development plan describing the suggested use of the site, and a proposed schedule. Each proposal should specifically address the following items:

developed of this size and scope in the past 5 years) • Work Quality • References

2. Financial Capacity and Structure of Respondent, including:

4. Project Return on Investment, including:

Proposals are required to specify whether any or all of existing infrastructure, including the rides and buildings, will be used in the development. Finally, proposals must include a proposed pro forma & financing plan as well as a Conceptual Development Plan as two separate attachments.

DBE Program

In the affidavit attached as Appendix A, each applicant or its authorized representative must acknowledge receipt of the IDB/City Goals and Guidelines for the use of DBEs and agree to use its best efforts to fully comply with the such goals and guidelines, including all reporting requirements and any specific contract goals for DBE participation.

The DBE Goals and Guidelines are attached to this RFP as Appendix B.

Proposals become Public Records

All proposals and all documentation submitted therewith will become IDB property for all purposes. Applicants may clearly mark documents or information claimed exempt from

public records disclosure and specifically justify the exemption, however the IDB cannot guarantee the confidentiality of submissions or any part thereof.

REVIEW COMMITTEE AND SELECTION CRITERIA

Review Committee

A review committee consisting of representatives of the City of New Orleans and the IDB will review all Initial Proposals, and will meet publicly prior to selecting one or more respondents for further consideration. A final decision regarding the initial proposals is expected to be made by Friday, March 28, 2014. The IDB will continue to accept proposals on a continuous basis, even after the initial February 28, 2014 deadline, until a proposal is selected for further development; however the proposals received by the initial deadline will be given priority in the initial round of consideration.

QUESTIONS REGARDING THIS RFP; CONE OF SILENCE

Questions Regarding RPF Prior to February 21, 2014

All correspondence and other communications regarding this RFP should be directed in writing to the IDB at the mailing address OR the email address shown above under "Submission of Proposals."

Substantive questions or requests for clarifications must be submitted by proposers, in writing, no later than 4:00 pm CST on Friday, February 21, 2014.

Any question or request received after that time may not be reviewed for inclusion in this solicitation. The request shall contain the requester's name, address, telephone number and email address.

Cone of Silence

It is the policy of the IDB that a "Cone of Silence" be established on any competitive selection processes including RFPs, RFQs, invitations to negotiate and bids for the provision of goods and services, and audit contracts. The Cone of Silence is designed to protect the integrity of the selection process by shielding it from undue influences during the review and selection process. This Cone of Silence shall be imposed on the RFP and responses after advertisement of same.

The Cone of Silence policy prohibits any communication regarding this RFP between a potential developer and its owners, principals, officers, employees, consultants, representatives and/or lobbyists and:

A. Any Director, employee, consultant or attorney of the IDB;

B. Any member of the review committee or such member's staff; or

C. The Mayor or any City Councilmember, including their administrative personnel.

The Cone of Silence does not apply to:

1. Written questions or requests for clarification regarding the RFP directed to the IDB prior to February 21, 2014 as set forth above;

2. Written questions or requests for clarification relating to the DBE Goals and Guidelines submitted directly to the Mayor's Office of Supplier Diversity;

3. Public presentations or discussions during any open meeting;

4. Oral presentations to the review committee; or

The Cone of Silence for this RFP commences on January 14, 2014 and continues until the later of March 28, 2014 or the date on which one or more proposals are accepted for further negotiation or development. Any potential developer who violates the Cone of Silence may have its development proposal disqualified from consideration.

No owner, partner, shareholder or other principal, officer or employee, of the Developer has, within the preceding five years, been convicted of, or pled guilty to, a felony under state or federal statutes for embezzlement, theft of public funds, bribery, or falsification or destruction of public records.

Appendix B

DBE GOALS AND GUIDELINES

1. Minimum Use of Orleans Parish Workers. At least 40% of the persons employed in the redevelopment of the Jazzland/Six Flags property on an average daily basis shall be residents of Orleans Parish. The developer agrees to maintain records and/or require contractors and others to keep records sufficient to demonstrate that at least 40% of the employees on an average daily basis, during the construction period, are residents of Orleans Parish.

2. Good Faith Efforts to use Disadvantaged Business Enterprises. Best efforts must be used to use Disadvantaged Business Enterprises in the redevelopment of the property in the manner provided in Ordinance No. 25369 adopted by the New Orleans City Council on June 6, 2013, subject to the additional terms and conditions set forth in this Paragraph 2 and in the "Standards of Demonstrated Good Faith Efforts" immediately following Paragraph 3 below. The DBE Goal shall be at least 35% of the total construction cost of the Project, including all contracts and/or subcontracts. The developer must agree that it will use its best efforts to meet the DBE Goal by seeking out and utilizing local DBEs in the following order of priority, with the phrase "located in" being defined in Paragraph 3 below:

(a) DBEs located in Orleans Parish shall be sought out and given first priority; then

(b) DBEs located in the New Orleans-Metairie-Kenner Metropolitan Statistical Area (consisting of Jefferson, Orleans, Plaquemines, St. Bernard, St. Charles, St. John the Baptist and St. Tammany Parishes), but outside of Orleans Parish; and finally

(c) DBEs located in the State of Louisiana but outside of the New Orleans-Metairie-Kenner MSA.

Commencing at least thirty days prior to commencement of the redevelopment work, and continuing quarterly until completion of the Project, the developer shall furnish the IDB and the Director of the City of New Orleans Office of Supplier Diversity (or its successor), with a written report describing its good faith efforts to comply with the goals described in Paragraphs 1 and 2 of this Appendix B.

3. Criteria for "Local" Business. The words "located in" as used in 2(a), (b) and (c) above refer to a business enterprise in the applicable jurisdiction (i.e., Orleans Parish, the New Orleans-Metairie-Kenner MSA or the State of Louisiana) that meets each of the following four criteria:

(a) it has its principal business office physically located within the applicable jurisdiction and, if required by an applicable municipal or parochial authority, holds a current occupational license from such municipal or parochial authority located in the applicable jurisdiction,

(b) it is largely free to make its own local advertising, operational, employment and legal decisions without interference from persons or entities doing business outside of the applicable jurisdiction,

(c) it requires its chief executive officer, or equivalent, and the highest level managerial employees to maintain their offices and perform their managerial functions in the applicable jurisdiction, and

(d) it meets at least two of the following four criteria:

(1) More than 50% of the assets of the business enterprise, excluding bank accounts, are physically located in the applicable jurisdiction;

(2) More than 50% of the employees of the business enterprise are full-time residents of the applicable jurisdiction;

(3) The owners of more than 50% of the business enterprise are full-time residents of the applicable jurisdiction; or

(4) More than 50% of the total sales or other revenues are derived from transactions of the business enterprise in the applicable jurisdiction.

A franchise business may be treated as a local business if it independently meets all four of the criteria described above as if it were not a franchise business.

For purposes of 3(a) above, a business office is a fixed and established place of business, including a qualified home office, where business is conducted on a regular basis. A residence qualifies as an office only if none of the business owners also maintain an office outside the residence in the same or related field, and a business owner claimed the home office as a business deduction on the prior year's income tax return, or for businesses started after the last tax return, would qualify for a deduction on the next tax return. None of the following constitutes a business office: a post office box, a temporary location, any movable property, a location that was established to oversee a project such as a construction project office, or a work space provided in exchange for services as opposed to monetary rent.

STANDARDS OF DEMONSTRATED GOOD FAITH EFFORTS

City of New Orleans Ordinance No. 025369 establishes an overall goal of 35% disadvantaged business enterprise ("DBE") participation for all public spending or private projects that utilize public funding and/or incentives on contracts over $15,000.

Identifying opportunities available for small locally-owned firms is an essential part of the strategy of the Industrial Development Board of the City of New Orleans, Louisiana, Inc. (the "IDB"), to strengthen the economic base of the City of New Orleans. To achieve these goals for economic inclusion city-wide, the IDB takes steps to ensure that

persons and entities that receive economic development incentives through the IDB will comply with the provisions of City of New Orleans Ordinance No. 025369. To this end,

• All applicants are required to make a demonstrated Good Faith Effort to award 35% percent of the amount anticipated construction expenditures to certified DBEs.

• Each application is subject to a Good Faith Effort review prior during and upon completion of construction, and may be subject to penalty payments if the IDB determines that the applicant has not demonstrated good faith efforts ("GFE") to comply with DBE goals.

• The specific terms of any PILOT arrangement, and penalties for failing to demonstrate GFE to comply with DBE goals will be negotiated separately for each development, based on the nature of the development.

The GFE evaluation assesses DBE certification status, participation percentage, subcontract dollars, and Commercially-Useful Function in order to conclude one of the following:

(a) The applicant met the goal; or

(b) The applicant did not meet the goal, but did make good faith efforts to meet the goal; or

(c) The applicant did not meet the goal and did not make good faith efforts to meet the goal.

In all cases, the applicant must document its GFE using the form that follows these guidelines. If the DBE participation is below the goal; the applicant must provide all required supporting documentation of demonstrated Good Faith Efforts.

In measuring compliance with the DBE goal, the applicant may only consider certified State & Local DBE and/or LAUCP-DBE firms from the following lists of certified firms.

(a) City of New Orleans SLDBE directory of certified firms at www.nola.gov; (b) The LA-UCP directory search at www.dotd.louisiana.gov The Mayor’s

executive order authorizes use of firms certified with DOTD-LAUCP.

DOCUMENTING GOOD FAITH EFFORTS TO MEET GOAL

The applicant must demonstrate its Good Faith Efforts to meet the DBE goals by documenting substantial compliance with the following procedures:

A. Sufficient Work Identified For Subcontractors. Identify the efforts made to select portions of work to be performed by DBEs in order to increase the likelihood that the DBE goal will be achieved. This includes, where appropriate, breaking out contract work items into economically feasible units to facilitate DBE participation, even when the prime contractor might otherwise prefer to perform these work items with its own forces.

B. Initial Solicitation & Notice To Subcontractors. The applicant should provide notice of its interest in receiving sub-bids on the contract to those business enterprises, including DBEs having an interest and capability in participation in the selected work items. The notice should contain:

(i) Adequate information about plans, specifications, and relevant terms and conditions of the contract and about the work to be subcontracted or the goods to be obtained from subcontractors and suppliers;

(ii) A contact person within the applicant's office to answer questions about the proposed work; and

(iii) The last date for receipt by the applicant of DBE bids or price quotations from prospective DBE bidder.

C. Follow-Up On Initial Solicitation. The applicant must document its efforts to follow-up on initial solicitation of sub-bid interest by contacting the business enterprises to determine with certainty whether said enterprises were interested in performing specific portions of the project work. Applicant must follow-up with all subcontractors to whom they sent any initial correspondence.

D. Negotiate In Good Faith. The applicant must negotiate in good faith with interested DBEs and must not unjustifiably reject an unsatisfactory bids or proposals prepared by any enterprise, as determined jointly by the IDB and the Director of the City of New Orleans Office of Supplier Diversity (or it successor). A detailed explanation of the reason for not accepting DBE quotes must be supplied. The applicant should provide:

(i) copies of all solicitations for bids or proposals and/or written notices distributed to DBEs. Each non-accepted quote should be addressed individually;

(ii) an explanation of the efforts the bidder/respondent made to negotiate in good faith with interested DBEs; and

(iii) information about any cost comparisons that were considered in the decision to not accept DBE quotes. The fact that there may be some additional costs involved in selecting a DBEs is not in itself sufficient reason for an bidder/respondent’s failure to meet the contract DBE goal, as long as such costs are reasonable.

E. Community Resources/Organizations. The applicant must request assistance from a minimum of two (2) community resource organizations that provide assistance in the recruitment and placement of DBEs.

REQUIRED SUPPORTING DOCUMENTATION OF GOOD FAITH EFFORTS WHEN GOAL NOT MET

If the DBE participation goal is not met, the applicant must submit the required documents listed below confirming that they have timely applied the Standards of Demonstrated Good Faith Efforts.

(i) A cover letter addressed to the IDB and the Director of the City of New Orleans office of Supplier Diversity, including any relevant information explaining the circumstances surrounding not meeting the DBE participation goal.

(ii) All subcontractor quotes from DBE and non-DBE contractors and suppliers for this specific project.

(iii) Request for quotes sent, as well as other efforts to contact DBE firms, must show the actual contract items being subcontracted (masonry, concrete, pavement, etc.).

(iv) A complete explanation of why each not-used DBE quote was not accepted, including any cost comparisons that clearly show differences.

(v) One or more actual documents showing all DBE firms contacted, the manner of contact (phone call, fax, email, etc.), the date of contact, the person contacted and response.

(vi) Copies of newspaper, magazine or industry related website advertisements, if any, for DBE Subcontractors. Advertisements must include information about the project(s) being bid, type(s) of work for which quotes are being solicited, and specific contact information.

Blanket solicitations to DBE firms in work categories unrelated to the project work, or requests without specific work items are not a demonstration of good faith efforts. Generic requests do not demonstrate a good faith effort. Advertisements/Solicitations must include information about the project(s) being bid, type(s) of work for which quotes are being solicited, and specific contact information.
