REASONS FOR DECISION

APPLICATION FOR APPROVAL OF CHANGE OF CONTROL OF NEOTEL (PTY)

LTD'S LICENCES FROM THE CURRENT SHAREHOLDERS OF NEOTEL (PTY)

LTD TO VODACOM (PTY) LTD

1. The Independent Communications Authority of South Africa ( "the Authority ")

hereby gives notice in terms of section 9(5) of the Electronic Communications

Act, 2005, as amended, of the reasons document in respect of the application

for approval of change of control of Neotel (Pty) Ltd's licences from the current

shareholders of Neotel (Pty) Ltd to Vodacom (Pty) Ltd ( "Application ").

2. The reasons for the Authority's decision on the Application are available on the

Authority's website (www.icasa.orq.za) and at the Authority's library in Sandton,

Block D, Pinmill Farm, 164 Katherine Street during office hours.
