SERVICE AGREEMENT Date: / /20

This agreement entered between M/s Incube Management Services having its registered company at 33, White

House, Nr. Panchwati Cross Road, Panchwati, Ahmedabad hereinafter referred to IMS (which expression shall

unless repugnant to the context or meaning thereof to be deemed to include their successors and assigns) of the

FIRST PART

And

M/s_______________________________, having its registered company at _____________________________

_________________________________________________, herein after referred to as Recipient (which

expression shall unless repugnant to the context or meaning thereof to be deemed to include their successors

and assigns) of the SECOND PART

IMS is desirous of providing its services for recruitment of employees for Recipient through head search, staffing

solutions.

Hereby IMS and Recipient are desirous of entering into mutual agreement.

Now this agreement of mutual business witnessed as follows:

1. Service Agreement: Service Agreement will be for IMS and Recipient to provide services and decided rewards

respectively.

2. Effective Date: The effective date of agreement shall be the date on which this agreement is entered into between

the parties.

3. Confidentiality: This agreement entered between the parties shall be kept in strict confidence by both the parties

and the same should not be circulated to any unrelated parties without prior consent in writing.

4. Period of Agreement: This Agreement between IMS and Recipient for the services of recruitment will be in force

from the date of Agreement. This agreement, if not specifically terminated/changed with mutual agreement, will

stand continue for all the openings offered by Recipient for any period of time.

5. Fees: The fee for the services will be made as per the Annexure-I attached here with.

6. Invoice: Invoice will be generated by Incube Management Services and details of the same are mentioned in the

Annexure-I attached herewith.

7. Payment: i) Recipient is liable to pay payment to IMS based on the details mentioned in Annexure-I ii) Payment has

to be made by cheque/Demand Draft in favor of Incube Management Services.

8. Termination: This agreement can be terminated by giving not less than one month advance notice by either party in

writing addressed to the other party and the same should be agreed to by other party.

9. Amendments: No Amendments, modifications or waiver in respect of this agreement will be effective unless it is in

writing and is executed by both the parties.

10. Final Provisions: This agreement comes into force upon signing by both the parties.

This agreement constitutes the entire understanding between both the parties and super-cedes any and all prior

understandings and arrangements whether oral or written between both the parties relating to the subject matter hereof.

Annexure-I

Based on the services availed from IMS, Recipient is liable to pay the fee as structured below:

PAY:

Payment of the selected Candidate shall become payable to us within 15 Days from the date of candidate joining the

organization. Invoice will be generated on the 7th

day from the date of Joining. Payments are to be made by Demand Draft /

Cheque in favor of Incube Management Services, Ahmedabad.

Transparency:

1. The Employer are required to update us after every interview schedule and sending a copy of offer/Appointment

letter of the confirmed candidate.

2. Proper Job Description, Interviewer Details and any other required details has to be provided by the company

before conducting Interviews.

3. Consultancy is committed to provide suitable profiles to the company for screening before conducting Interviews.

*CTC - the annual gross emoluments (Cost to Company + plus prevailing Service Tax – as & when applicable)

** Period from the Date of Joining as mentioned in Appointment Letter. Free Replacement will be provided if candidate leaves within the duration.
