Memorandum of Association.

1. The name of the association is " Avatar Meher

Baba Andhra Centre " Eakinada.

2. The area of operation shall be the geographicalunit of the entire state of Andhra Pradesh.

3. The Head Quarters of the Centre shall be atKakinada in the State of Andhra Pradesh;until otherwiae decided by the GoverningBody.

4. The objects for which the Centre is establishedare ;

(i) To desseminate Avatar Meher Baba'smessage of Truth and Love by

a. publishing sniritual literature and^ journals in Telugu, English, Hmdi

and other languages,

b. establishing and maintaining librariescontaining spiritual literature ofMeher Baba for the use and benefit

of the public, and

Avatar Melier Baba Andhra Centre, Kakinada.•Rules and Regulations for the management

of the Association.

1. MEMBERSHIP.

A. Eligibility :— Any person, irrespective ofreligion, caste, creed, nationalityand sex.

i. Who is nob less than 18 years ©f age,

ii. Who accepts the objects, rules andregulations of the Centre,

iii. And who pays a membership fee of notless than Es. 3/- per annum,can become a member of the Avatar Meher Baba

Andhra Centre.

B. Admission :— The right of admission of anindividual to the membership ofthe Centre shall vest in the Exe

cutive Committee

C. Any local Meher Centre in Andhra Pradeshcan be admitted as a member on

payment of an affiliation fee ofRs- 6/- per annum. Such Centrecan send a representative to thjGenera] Body of this Centre.

D. The General Body shall consist of:a. all members of the Governing Body

?l membersfor the present,-consisting of 1 President, 2 VicelPresidents, 1 Secretary - cum - Treasurer, 2 JointSecretaries and 45 other members.

ii. The Governing Body is competent to fil-up the remaining places, and any vacancies thatmay hereafter arise, from the General Body, whenever it deems necessary.

iii. A vacancy in the membership of theGoverning Body shall arise in the event of one'sdemise, resignation, or absence from 4 consecutivemeetings of the Governing Body It shall, however,be open to the Governing Body to restore themembership of the category last mentioned

iv. The President shall be elected by theGoverning Body every year.

V. All correspondance on behalf of theCentre shall be carried on in the name of theSecretary and all moneys payable and due to the

Centre shi,ll be paid to the Secretary. The receiptgiven by the Secretary shall be sufficient dischargefor the same.

vi. The President of the Centre shall

preside over all the meetings of the General Body»the Governing Body and the Executive Committee*In the absence of the President the Vice President,

or in his absence, any one from among themselvesshall preside.

3 EXECUTIVE COMMITTEE.

There shall be an Executive Committee to

carry out the work of the Centre from time to time.

It shall consist of eleven members including the

President and Office bearers. The President shall

nominate the office bearers and other members of

the committee every year.

4 MEETINGS OF THE CENTBE,

i. An annual Governing Body meetingshall be held every year generally in the month ofFebruary to receive and consider the balance sheer,receipts, disbursements, accounts, budget, andrepoL't presented by the Secretary to the ExecutiveCommittee and approved by it.

ii. A special Governing Body meeting ofthe Centre may be held as and when required orwhen requested for in writing by not less than 15of its members,

iii. A meeting of the Executive Committeeshall be held at least once in a month or oftnerwhen found necessary

iv. A notice of every meeting shall be givenby the Secretary specifying the venue, day, andhour along with the agenda of the meeting generally 15 days in advance in the case of the annualor special meeting of the Governing Body and8 days with regard to the meeting of ExecutiveCommittee.

V. Quorum : Any Four members of the

Executive Committee present in a meeting shall bethe quorum for all purposes of the meeting of theExecutive Committee. Similarly nine membersof the Governing Body present shall be the quorumfor the Governing Body meetings-

5. PROPERTIEScS;FUNDS OF THE CENTRE

I (a) The Centre shall have the power toacquire, possess and own properties mcv-eible and Immoveable

(b) The Centre shall receive, collect, holdand manage funds raised for and belonging to the Centre from any source.

II. The main sources of income shallconsists of donations and annual fees

payable by individuals and Centres.III. The funds of the Centre shall be kept

in a Scheduled Bank as may be resolvedby the Executive Committee and the saidaccount shall be operated upon by theTreasurer jointly with P.Tesident or theSecretary.

IV. All funds and the property of the Centreshall be held in the name of the Centre.

AH rights of property of the Centra shallvest in the Governing Body.

6. The Centre shall sue and and by sued in thename of the Secretary.

7. Books, Accounts, and Documents etc :—i. The calendar year from January to

December shall be the year for the purpose of accounts for the Centre.

ii. The accounts of the Contre shall be dulyaudited every year.

3. Power of modification :i. And addition, alteration or omission in

these rules shall be effected by a resolu

tion passed by the Governing Body by

two thirds of the members attending themeeoing. at a meeting of the GoverningBody specially convened for the purpose

ii. The Executive Committee may makerules not inconsistent with any of therules for the management of the affairsot the Centre.

9. Dissolntion ;

On dissolution of the Centre, the action ofthe Centre shall be subject to the pjovisions contained in Sections 12 to 14 of the Societies Registration Act, Act XXI of I860.10. There is no business intention in forming theAssociation. °
