Summary of Proceedings of the Extra-ordinary General Meeting of Madhav Copper Limited
Extra-ordinary General Meeting (EGM) of the Company was held on Wednesday, April 17, 2019
at 3:00 pm. at the registered office of the Company situated at Plot No. 2107/ D, 202/ 203,
2nd floor, D & I Excelus, Waghawadi Road, Bhavnagar- 364 001.
10 (Ten) members holding in aggregate 45,86,400 equity shares attended the meeting in person
or through authorized representatives or proxies as per the attendance slips.
Mr. Nilesh Patel, Chairman & Whole Time Director, welcomed the members at the EGM of the
Company and introduced them to the Directors and Key Managerial Personnel sitting on the
dias.
After ascertaining that the requisite quorum was present, the Chairman declared the meeting to
be in order. The Chairman then informed the members that the Memorandum of Association of
the Company, Proxy Register and other statutory documents were available for inspection.
The Notice dated March 19, 2019 convening the EGM was taken as read with the consent of the
members present.
The following items of businesses as set out in the notice convening the Extra-ordinary General
Meeting were commenced for members' consideration and approval:
1. Sub-division of face value of equity shares of the Company from Rs. 10/— each to Rs. 5/ —
each.
2. Alteration of Capital clause of the Memorandum of Association of the Company.
The above business items were duly proposed and seconded by the Members present. Both the
resolutions were passed with requisite majority.
The Chairman further informed the shareholders that the voting results would be placed on the
website of the Company and also be informed to the National Stock Exchange.
There being no further business to transact, the meeting was concluded at 4.00 pm. with a vote
ofthanks to those present.
