TERMS OF PAYMENTUponapprovedcredit,termsofpaymentarenet30fromdateofshipment.Depositsmayberequiredforlargeorcustomorders.Theprocessingofordersand/orshipmentofordersplacedmaybedelayedifthedepositisnotreceivedwiththeorderorifcustomer’saccountisin“PastDue”status.

CREDIT POLICYAllcustomersofHumanscalemustcompleteacreditapplication,withcurrentinformation,whichmustbesignedbyanownerorofficer.AlineofcreditmaybesetbyourCreditDepartment,howeverthebasisforthelineofcreditmaybechangedorcancelledatourdiscretionandadvancepaymentmayberequired.Anyunpaidbalance,uponwhichpaymentsarenotmadeaccordingtothetermsgoverningthesale,willbeconsidered“PastDue”andwillincreasebyamaximumof2%permonth,withoutforfeitofHumanscale’srighttopayment.

Anycustomerwhohasfailedtopayforgoodsdeliveredorservicesrenderedinatimelymannershallbeliableforallfees,expenses,disbursements,andcharges(includingalllegalcosts)incurredbyHumanscaleincollectingmoniesowed,aswellasinterest(at24%perannum).

PURCHASE ORDERSPurchaseordersmustincludethefollowing:“BillTo”and“ShipTo”information—CompanyName(ShipTocompanymaybeenduserorinstallationcompany),Address,Telephone,Fax,ContactPerson;EndUserCompanyName;RequestedShipDate;PurchaseOrderNumber;SpecialDelivery,ShippingandPackingInstructions(ifapplicable);ProperDiscountOffCurrentListPrice,ProductQuantitiesandFullModelNumbers;andTotal(List/Net).

ORDER CHANGES & CANCELLATIONSAllchangestoorcancellationsofordersplacedwithHumanscalemustbeinwritingandsenttoCustomerService.OrdersmaybechangedorcancelledwithoutpenaltyifHumanscaleisnotifiedatleasttwo(2)weeksbeforethescheduledshipdateforstandardorders(under250units),oratleastthree(3)weeksbeforethescheduledshipdateforlargeorders(250unitsormore).Orderchangesorcancellationsmadelessthantwo(2)weeksbeforethescheduledshipdateforstandardordersorlessthanthree(3)weeksbeforethescheduledshipdateforlargeorderswillincuraminimumchange/cancellationfeeof10%ofnet.Irrespectiveofwhennotified,changesorcancellationsarenotbindinguponHumanscaleuntilHumanscaleissuesawrittenacknowledgmentofthechangeorcancellation.Orderchangesaredefinedasthedeletionoflineitems;changesinstyle,color,quantityorrequestedshipdate;orship-toaddresschanges.Orderchangesthatresultinaquantityreductionmaybesubjecttoanadditionalsmallorderfeeoradjustmentinpricing.Undernocircumstanceswillchangesorcancellationsbeacceptedonanycustomfabric,specialorderorcustomproductorders.

TAXESHumanscalelistpricesdonotincludesalestax.Customerisresponsibletoremitallsuchtax.HumanscalerequiresaStateResale/ExemptionCertificationtobeonfileatitsmainoffice.SalesmadewithoutsaidCertificatewillbechargedtheappropriatesalestax.

PRICESAlldiscountsandlistpricesaresubjecttochangewithoutnotice.Pricesarethoseineffectatthetimeoforderentry.Iftherequestedshipmentdateismorethan90daysaftertheorderdate,Humanscalereservestherighttopricesaidorderbasedonthepublishedlistpriceasoftheshipmentdate.

SMALL ORDER FEEA3%smallorderfeeappliestoallinvoiceableordersof$1,500netorless,includingbillablereplacementparts,regardlessofproductcategory.

SHIPPING AND DELIVERYAllHumanscaleordersareacknowledgedwithapromisedate(scheduledshipdate)basedontheproductwiththelongestleadtime.Largeordersmayincreasestandardleadtimes.Standardshippingchargeswillbebilledtocustomer.Customplatformordersrequire4to6weeks.

Seatingorders,unlessotherwisespecified,willship4to6weeksfromthedateoforder.Unlessotherwisecontractuallyspecified,DiffrientWorld,FreedomandLibertychairswillshipwiththebaseandframedisassembled.Chairscanbeeasilyassembledinsecondswithoutuseoftools.Blanket-wrappedshippingisavailableforfulltruckloadsof200ormoreDiffrientWorld,FreedomorLibertyTaskandConferencechairs.ConsultyourHumanscalerepresentativeforblanket-wrappedshippingrequirementforCintoandtheLibertySidechair.

Ship Sets:Allproductsorderedonasinglepurchaseorderwillbedeliveredtogetherinasingleshipset.Tobreakashipset,customersmustindicate“ShipasAvailable”onthepurchaseorder.Uponrequest,customeraccountsmaybedefaultedtoshipallordersonanas-availablebasis.

Shipping Instructions:Humanscalewillattempttoaccommodatebasicshippinginstructions,suchas“callahead”or“deliverbefore12:00p.m.,”ifclearlyidentifiedonthepurchaseorderas“ShippingInstructions.”

Packing Instructions:Humanscalewillattempttoaccommodatebasicpackinginstructionsforinternaldeliveryofspecificitemsonanorder,suchas“DelivertoJoeSmith”or“Delivertocube#218,”ifclearlyidentifiedonthepurchaseorderas“PackingInstructions.”

DELIVERY SHORTAGESProductshortagesmustbenotedatthetimeofdeliveryandreportedtothecarrier for correction. Claims against Humanscale for shortages, errors, etc., mustbemadeinwritingandwithinthree(3)daysofthedateofdeliveryorcustomerwaivesitsrighttomakesuchaclaim.

FREIGHT CLAIMSHumanscalewillfileallF.O.B.destinationclaims.Inordertoreceivecredit,customeragreestocooperateandassistintheproceduressetoutbythecarrier and Humanscale.

EXTERNAL DAMAGEIftheshippingcontainershowsanyexternaldamage,customerisinstructedtorefusetheproductattimeofdelivery.Ifitisamultiplepieceshipment,customermayrefuseonlythedamageditems.Humanscalewillnotissuefullcreditforreturnedproductunlesscustomertakesthefollowingactionsteps:

CONCEALED DAMAGE/LOSSIfcustomerdeterminesthatthereisinternaldamagenotvisibleattimeofdelivery,customerwillretainallpackagingmaterialsandtakethefollowingactionstepswithinfifteen(15)calendardaysfromthedateofdelivery:1.Requestinspectionbycallinglocalfreightcarriertoreportdamage.2.Retainmerchandiseintheoriginalbox.3.CallyourHumanscaleCustomerServiceagenttoprovideorderandproductinformation.4.Getacopyoftheinspectionreportfromcarrier.5.Enterachargeablereplacementorder;creditwillbeissuedafterthedispositionofdamagedproductisdetermined.

STORAGEIfacustomerisunabletoacceptascheduledproductdelivery,Humanscale,ifnotifiedinwritingafterproductassemblyandpriortothescheduledshipdate,willstoretheproductatcustomer’sexpense.HumanscaleshallinvoicecustomerfortheproductandmonthlyStorageFees.

StorageFeeswillbe1%ofthenetordervaluepermonthoractualstoragecosts—whicheverisgreater.StorageFeesarecalculatedwithaone-monthminimumandwillnotbepro-rated.Ifcustomerisunabletoacceptascheduledproductupondelivery,customershallberesponsibleforplacingtheproductinstorageandbearstheriskofloss.However,paymentofthebalancedueisperHumanscale‘sTermsofPayment.

RETURN AUTHORIZATIONS & REFUSALSAllreturnedandnon-damagedrefusedordersaresubjecttoafivepercent(5%)restockingfee.Seatingandspecialorderreturnswillnotbeaccepted.CustomermustrequestaReturnAuthorizationthroughtheHumanscaleCustomerServiceDepartmentwithin45daysofproductreceipttoreturnanyproduct.IfHumanscaleagreestorestocktheproduct,customermustreturnitfreightprepaidtoHumanscale,F.O.B.,totheoriginalshippingpointorasotherwiseinstructedbyHumanscaleCustomerService.IfproductisreturnedwithoutaReturnAuthorization,Humanscalewillnotifycustomeroftheunauthorizedreturnandcustomermustprovideinstructionsforitsdispositionwithinoneweekthereafter.FailureofcustomertorespondwithinoneweekwillresultinHumanscale’srighttodisposeoftheproductwithnocredit.ReturnAuthorizationsexpiresixty(60)daysafterthedateofissue.Ifthereturnedproductisnotinresalablecondition,customerwillnotreceivecreditforthereturn.Customermustpromptlyprovideapurchaseorderorotheracceptanceoffees/creditreductionasrequired.
