Human Resource Department

1. Purpose

To standardize employee training management , improve employee’s quality ,

organizational performance and establish learning organization.

2. Scope of application

The policy apply to Zhongxing Telecom Pakistan (Pvt.) Ltd (ZTE Pak hereafter).

3. Principle

Employee training (training hereafter) management operates with the principle of

“centralized management and hierarchical implementation”. The Training section

of HR Department ( HR Dept hereafter) is responsible for Employee training

management of ZTEPAK, make employee training regulations and policy as well

as supervising the implementation of them, and provide coaching for the training

coordinators of all divisions and departments of ZTEPAK, who are responsible for

planning, organization, implementation, evaluation and improvement of various

training projects in their own unit.

4. Definition

4.1 Training program means teaching & learning activities with some

scale involving planning, organization and evaluation, which aims

at improving trainees’ knowledge, skills, work attitudes and

behavior to inspire greater potential of the trainees for better

work quality and organizational performance.

4.2 There are four categories of training program based on priority :

systematic training, out-sourcing training, foreign training and

internal training seminar .

4.2.1 Systematic training means the duration of full time training is

more than one day per month or the accumulative training

duration total is more than 8 hours per month.

4.2.2 Out-sourcing training is the training in which the courses are

provided by the experts outside of the company.

4.2.3 Internal seminar means the internal exchange within the

divisions or departments.

5. Organization structure

5.1 HR department is responsible for employee training.

5.2 HOD is the first responsible person for the training in their unit.

5.3 Full time training manager should be appointed in HR department

and part-time training coordinators should be appointed in

various divisions/departments, who will be responsible for

planning, organization, implementation the training program in

their respective unit with the guidance of training manager in HR.

6. Duties

6.1 HR department

6.1.1 To be responsible for the whole training effect of the company

level training, to supervise and to guide the training

implementation in the company.

6.1.2 To establish employee training management system,

formulate training policies and monitor to implement it.

6.1.3 To make employee annual training plan .

6.1.4 Centralized management of training fees.

6.1.5 To file and to maintain the training records .

6.1.6 To be responsible for organizing orientation training,

management training and technical training for employees.

6.2 Training coordinator of respective department

6.2.1 To be responsible for department training and assist HOD to

plan, organize and implement department training program.

6.2.2 To assist HOD to collect training needs , implement

department training regularly and maintain the department

training records.

6.2.3 To be responsible for submitting training application and

training plan to HR department monthly basis.

7. Content

7.1 Training plan

7.1.1 HR department makes annual training plan based on company

strategies and HR policies, which is subjected to be adjusted

every six month .

7.1.2 HR department makes the monthly training plan and publish

the next month’s training plan in the public bulletin on 25th of

every month.

7.2 Training implementation

7.2.1 HR department is responsible for implementing the company

level training according to the scheduled training plan timely.

7.2.2 HR department is responsible for outsourcing training program

and investigating or verifying qualifications of instructors from

local universities or training/consultive agencies . HR will

submit all concerned documents to CEO for final approval.

7.2.3 HR department shall keep completed training archive for each

employee of ZTEPAK, and keep the information updated

timely.

7.3 Training fees

7.3.1 HR department is responsible for the training fees

management of ZTEPAK.

7.3.2 Training fees refer to all the expenditure on execution of

training programs, including expenses on traveling,

accommodation, meals, course tutor, training manuals and

materials, rent, certificate making and activities.

7.3.3 At the end of every year, HR department shall submit annual

training budget for next year to CEO for approval.

7.4 Training expense standard

7.4.1 Local training

7.4.1.1 The expense occurred in the local training, such as

transportation, accommodation and meal etc, shall comply

with relevant financial policies of the company.

7.4.2 Foreign training

7.4.2.1 Long-distance transportation including the air-tickets,

airport construction fee and bus fee from the airport to

hotel is the real expense by the invoice incurred .

7.4.2.2 If the trainees have a training in

Shenzhen ,Beijing ,Shanghai or Guangzhou , the

accommodation expense is not more than RMB 250.00 for

one room living by the two trainees necessarily. If in other

cities , the maximum's expense is not more than RMB

150.00 for one room living in by two trainees. If the trainee

amount is odd , the left one can live in one room alone,

which will be arranged by the trainees or the training

coordinator.

7.4.2.3 The trainees are entitled to 100rmb living allowances per

day during the training session, covering urban

transportation, food and laundry service. Training organizer

may decide whether to arrange group meals according to

the situation while trainees may decide whether join the

arranged meals or not. If they do, the food expenses for

arranged meals shall be deducted from their allowances,

otherwise, the allowances shall be given to them.

7.4.2.4 The communication allowances are 400rmb per month and

200rmb per half a month (including the training session

less than a month ) , which shall be given to trainees

directly.

7.4.2.5 For more details, please refer to finance police #007

Expense Standard for Training in China

7.4.3 Part-time trainer

7.4.3.1 Part-time trainers entitle training fees of 300 Rs/hour, which

will be distributed according to the result of training

evaluation score. according to the training evaluation

result: above 85 marks (contain 85) get 100% of the trainer

fee ;60-85 marks get 60% of the trainer fee ;Below 60 marks

get 20% of the trainer fee.

7.4.4 Outsourcing training

7.4.4.1 Any invited lecturer as professionals , or government public

official, University teacher , researcher of national R&D

institute, whose trainer fee standard shall be handled

according to their academic level ,course quality ,social

popularity etc. Factors , the trainer fee can not be more

than $80 Usd/per hour/per person.(tax included)

7.4.4.2 The payment for outside trainer have to link with the

training effect, paying expenses according to the training

evaluation result: Above 85 marks (contain 85) pay 100%

of the training expenses ;70-85 marks pay 60% of the

training expenses ;Below 70 marks pay 20% of the training

expenses .

7.4.5.1 For the systematic training of more than 5 days( include 5

days), if stationeries or other necessities are needed, the

training materials expense standard is 100Rs for one

person.

7.4.5.2 For the systematic training of more than 5 days( include 5

days), the activity fee doesn’t exceed 300 Rs/per person.

7.4.5.3 Refreshment during the training, if necessary, shall be not

more than 50Rs/per day/per person.

7.4.5.4 All the training organized by the company for employees

will not issue gifts.

7.4.6 In the above-mentioned training fee expenditure standard,

except for the personal subsidy and part-time trainer fee ,

others such as accommodation fee ,meal expenses and

activity fee etc. can not be distributed to person directly.

7.4.7For special expenses occurred in the training program but not

listed in this policy, after getting approval from HR, can be

included in the training fee.

7.4.8Actual expenses exceed the standard, the expenditure which

more than the standard shall be borne by the concerned

division or person.

7.5 Surety bond

7.5.1 If the training expense is more than $500USD/per person in

local outsourcing training, the trainees shall sign the surety

bond with ZTEPAK before they attend the training.

7.5.2 For all the foreign training, surety bond is must for every

trainees.

7.5.3 Employee Surety Period and Cost

7.5.3.2 For foreign training :

7.5.4 In the event of an employee wishing to leave the employment

of the Company , he/she will reimburse the Company the

expenses incurred on providing the training. ZTE Pakistan will

make appropriate deductions from the employee final

settlement including Provident fund. And remaining amount

will be deposited by the employee in the Company account.

7.5.5 The employees are required to submit a Surety bond on Stamp Paper (Legal

Paper) having minimum denomination of Rs.200/- to the HR department

before the training start.

7.5.6Any breach of surety bond clauses will result in a legal action.

8. HR Department of ZTE Pak is responsible for interpretation of the

regulations.

Appendix II SURETY BOND (FOREIGN TRAINING)

THIS SURETY BOND is made at Islamabad this ______ day of __________ , 2006 by and

BETWEEN:

___________________________________ son/daughter of ____________________________________, resident

of _______________________________________________________________, (hereinafter referred to as the

"Employee", which expression shall, where the context may admit, include his heirs, successors-in-interest and

assigns); and

___________________________________ son/daughter of ____________________________________, resident

of _________________________________________________________________________, (hereinafter

referred to as the "Surety", which expression shall, where the context may admit, include his heirs, successors-in-

interest and assigns); and

ZHONGXING TELECOM PAKISTAN (PRIVATE) LIMITED, with its registered office located at

House No. 30, Street No. 48, Sector F-8/4, Islamabad (hereinafter referred to as the "Company", which expression

shall, where the context may admit, include its successors-in-interest and assigns); WHEREAS:

1. The Company has selected the Employee to undergo a course of training and is required to serve at a location of

the Company's choice for a minimum period of two years with and under the supervision or Zhongxing Telecom

Corporation at the Company's expenses.

2. As a pre-condition to the Company selecting the Employee to undergo the Training, the Company requires the

Employee and the Surety to irrevocably and unconditionally agree and bind themselves, their heirs, executors and

assigns jointly and severally to guarantee to the Company to serve for two years and if employee fails to do so the

sum of Rs. 400,000 (Rupees Four Hundred Thousand Only) shall be payable on first demand to company. (the

"Secured Amount"); and

3. The Employee and the Surety have accepted the Employee's selection by the Company to undergo the Training

and they desire and hereby jointly and severally unconditionally and irrevocably agree and guarantee to the

Company the payment of the Secured Amount.

NOW, THEREFORE, in consideration of the promises and mutual covenants and agreements hereinafter set forth,

the Parties hereby through this Bond agree and declare as follows:

4. Upon instructions by the Company, the Employee shall immediately proceed to Peoples Republic of China for

advance training with Zhongxing Telecom Corporation in the Peoples Republic of China, and serve if required

with ZTE Corporation .

5. The Employee shall devote his full time, attention and energies to gain and achieve the optimum benefits from

the Training to the best of his abilities. During Training, the Employee shall carry out all lawful instruction of the

Company, its agent and those of Zhongxing Telecom Corporation relating to the training, including manual work,

in full and without any demur. The Employee shall, at all time Training and service, be subject to the discipline as

enforced Zhongxing Telecom Corporation.

6. If during the Training and service, the Company determine in its sole and absolute discretion, that the conduct or

the progress of the Employee's Training is, for reasons wholly attributable to the Employee, unsatisfactory then the

Company shall be at liberty to terminate the Training and the Employee and the Surety shall, on the demand by the

Company, refund to the Company all moneys and expenses spent and incurred by the Company in respect of

Employees traveling expenses, training expenses, tuition fees and boarding/lodging abroad, salary and otherwise.

7. Upon successful completion of the training the Employee shall serve the Company or any of its offices in any

country or any other organization if and so directed by the Company for a period of two years .

8. In the event of the Employee's premature leaving of the ZTE Corporation after successful completion of the

Training or during the service with the Company for a period of at least two (2) Years, the Employee and the

Surety shall jointly and severally be liable to pay to the Company the Secured Amount upon first demand without

demur i.e. if the employee fails to serve for two years he shall pay Rs.400,000 (Rupees Four Hundred Thousand

Only) as surety money.

9. This Bond shall remain in force until the Employee and/ or the Surety have paid to the Company the Secured

Amount, or until the Employee has served the Company for a period of at least two (2) year .

IN WITNESS WHEREOF, the Parties have duly executed this Agreement as of the date set forth

above:

Street No. 48, Sector F-8/4, Islamabad (hereinafter referred to as the "Company", which expression shall, where

the context may admit, include its successors-in-interest and assigns); WHEREAS:

The Company has selected the Employee to undergo a course of training and is required to serve in the Company

afterwards. The effective date of the bond will start from the first day of the training (i-e) April 17, 2006.

NOW, THEREFORE, in consideration of the promises and mutual covenants and agreements hereinafter set forth,

the Parties hereby through this Bond agree contained on two pages and declare as follows:

1. As a pre-condition to the Company selecting the Employee to undergo the Training, the Company requires the

Employee and the Surety to irrevocably and unconditionally agree and bind themselves, their heirs, executors and

assigns jointly and severally to guarantee to the Company to serve for ...........and till the completion of ...........

Amount upon first demand without demur i.e. if the employee fails to serve for one year he shall pay
