She has owned Savvy Productions, The Performing Arts Institute and Showtime here in Utah and works with KSL as an event organizer.

Wid has nine years of experience with senior care. He previously owned a Home Health & Hospice company. Wid is currently the Managing Director of SeniorLeaf/KSL.com Seniors, an online resource and community directory for seniors, family caregivers of seniors, and professional caregivers of seniors. Wid has been a partner and worked with KSL.com for the last five years.

Thiscontractisnon-cancelablebyVendor.IfduetounforeseencircumstancesVendorisunabletoparticipateintheshow,VendorwillnotifyEliteEventsin writing on or

before September 1, 2017.20. Vendorisresponsibleforanyloss,theftordestructionofitsgoodsorpropertywhileattheshow.Tothefullestextendallowedbylaw,Senior Leafandtheowner/

operatoroftheFacility,andtheirrespectiveofficers,directors,members,employees,agentsandrepresentatives,arenotresponsiblefortheactsoromissionsofany securityequipmentorsecuritypersonnel.

21. VendorherebygrantsSenior Leafanditsdesignatestherighttousephotographs,audio/videocreationsorotherrenderingsofVendor’sexhibitspaceat the show for an unlimited period of time for its own purposes without compensation.

22. VendormaynotusethelogofortheshoworanyothertangibleorintangiblepropertyofEliteEventsortheowner/operatoroftheFacilitywithoutpriorwritten consent.

23. Vendorshallprotect,indemnify,defendandholdharmlessSenior Leaf,theowner/operatoroftheFacilityandanypersonassociatedwiththesponsorshiporadministrationof theshow,andtheirrespectiveofficers,directors,members,employees,agentsandrepresentatives,(collectively,the“IndemnifiedParties”)for,fromandagainstany third partyclaims,demands,proceedings,suitsandactions,includinganyrelatedliabilities,obligations,losses,damages,deficiencies,penalties,taxes, levies, fines, judgments, settlements, costs, expenses, legal fees anddisbursements, and accountants’ fees anddisbursements, incurredby, bornebyorassertedagainstanyof the IndemnifiedPartiesthatrelateto,ariseoutoforresultfromVendor’sparticipationintheshow.

24. THE INDEMNIFIEDPARTIES’MAXIMUMLIABILITYFORDAMAGES INCONNECTIONWITHTHISCONTRACT,REGARDLESSOFTHECAUSEOFACTION,WILL NOTEXCEED THE TOTAL AMOUNT PAID BY VENDOR TO ELITEEVENTS FOR EXHIBIT SPACE AT THE EXPO. IN NO EVENTWILL ANYOFTHEINDEMNIFIED PARTIESBELIABLETOVENDORORANYOTHERPERSONORENTITYFORANYINCIDENTAL,SPECIAL,INDIRECT,PUNITIVE,EXEMPLARYORCONSEQUENTIAL DAMAGES, INCLUDING,WITHOUTLIMITATION,LOSSOFPROFITS,REVENUE,BUSINESSORGOODWILL,WHETHER INANACTION INCONTRACT,TORT(INCLUDING,WITHOUTLIMITATION,NEGLIGENCEANDSTRICTLIABILITY)OROTHERWISE,EVENIFTHEINDEMNIFIEDPARTIESHAVEBEENADVISEDORKNEW OF THEPOSSIBILITYOFTHEDAMAGES.THEFOREGOINGLIMITATIONOFLIABILITYAPPLIESEVENIFANYREMEDYUNDERTHISCONTRACTFAILSOFITS ESSENTIAL PURPOSE.

25. Ifalloranyportionoftheshowisnotheldduetowar,fire,strike,governmentregulationorrestriction,naturalorpubliccatastropheoranyothereventofforcemajeure, Senior LeafwillrefundtoVendoranyprepaidamountsonaproratebasis.NoneoftheIndemnifiedPartieswillbeliableiftheFacilityisdamagedfromanycause whatsoever.

26. Byenteringintothiscontractthepartiesdonotintendtoundertakeajointventure.Neitherpartywillbetheagentoftheotherandneitherpartywillhaveanyauthorityto createorassumeanyobligationswhatsoeverinthenameoftheotherpartyoronitsbehalf.ThiscontractestablishesabusinessrelationshipbetweenVendorandSenior Leaf.VendorherebyacknowledgesthatSenior LeafmaycommunicatewithVendorviafax,email,telephone,U.S.mailoranyothermethod.Vendormayoptoutof receivingthesecommunicationsatitsdiscretion.

27. Thesubstantiallyprevailingpartyinanysuit,actionorproceedingbroughtinconnectionwiththiscontractwillbeentitledtopaymentbytheotherpartyofallattorneys’fees, collectioncosts,courtfeesandotherexpensesincurredbythesubstantiallyprevailingparty,regardlessofwhetherincurredbeforeorafterjudgment.Allnoticesunderthis contractmustbeinwriting.Noticeswillbeeffectiveifdeliveredpersonally,mailedbycertifiedmail(returnreceiptrequested)ordeliveredbyrecognizedcommercial courieraddressedtotheotherpartyattheirlastknownbusinessaddress.ThiscontractandanyinterpretationthereofwillbegovernedbythelawsoftheStateif Idaho. Facsimilesignatureswillhavethesamelegaleffectasoriginalsignatures.Thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothe subject matterhereofandneitherpartywillbeboundbyanyterms,conditionsorrepresentationsnotsetforthinthiscontract.Neitherpartywillbeboundbyanyoral agreementor specialarrangementscontrarytothetermsandconditionsofthiscontract,andnoagentoremployeeofSenior Leafhastheauthoritytovaryanyoftheterms andconditions ofthiscontract,exceptpursuanttoadulyauthorizedandexecutedwrittenamendmentorwaivertothiscontract.Ifanyportionofthiscontractisdeclared invalidunder applicablelaw,suchdeclarationwillnotaffecttheremainingtermsofthecontract,allofwhichwillremaininfullforceandeffect.
