HK Company –Incorporation Procedure

Applying for COI• Proposed name must be filled and

approved by the Registrar of companies

• A company may be incorporated in by submitting to the Registrar of following:

• M & A of the proposed company;• a completed incorporation form

(containing information on particulars of first directors, first secretary, founder members, share capital, as well as the address of the registered office of the company); and;

• Prescribed Fee• The Registrar of Companies will then

issue a certificate of incorporation

Applying for Business Registration Certificate

• Every limited company is required to hold a valid Business Registration Certificate (BR Cert) which is issued and regulated by the Inland Revenue Department (IRD)

• A copy of CI and BR Cert application form shall be submitted to IRD together with the prescribed fee. The BR Cert will be issued instantly.
