Expression of Interest – Commercial Tourism Operators The Museum of Underwater Art Ltd (MOUA) is a not for profit company limited by guarantee. MOUA is seeking proposals from Commercial Tourism Operators to provide Expressions of Interest to operate a commercial tourism licence to MOUA at John Brewer Reef. Commercial operators will need to outline their capabilities and record in providing a unique tourism experience in line with the vision of the MOUA; which is to provide an exemplary underwater experience, in line with marine safety guidelines, which promotes education and the importance of our ocean and reefs. MOUA also respects the values of Traditional Owners cultural diversity and reconciliation in the natural environment. Proposals are to be submitted via hardcopy to the MOUA project management office, PVW Partners at 52 Walker St, Townsville, QLD, 4810 by 5:00PM on Monday, 03 March 2020. 1. Introduction The Museum of Underwater Art (MOUA) is a globally important tourism infrastructure project for Townsville, North Queensland and is the first of its kind in the Southern Hemisphere. It is a true blend of art and science with the subject nature’s masterpiece ‘The Great Barrier Reef’. MOUA aims to generate a net environmental benefit for the Great Barrier Reef and encourage conservation action within the local and wider community. MOUA presents an opportunity to permanently and uniquely preserve the Townsville North Queensland region’s history within an underwater museum, through the renowned work of the world’s preeminent underwater sculptor Jason deCaires Taylor. MOUA’s objectives are to advance awareness and promote the importance of the Great Barrier Reef, using sculpture to interpret the challenges the Reef faces, and provide opportunities for tourists to engage in action based learning and meaningful travel destinations. In conjunction with Ocean Siren, the Coral Greenhouse at John Brewer Reef provide a unique tourism experience. MOUA seeks Expressions of Interest from Commercial Tourism Operators (CTOs) capable of delivering on MOUA’s vision. 2. Statement details MOUA requires prospective CTO’s to demonstrate their experience and capabilities in delivering commercial tourism to the Great Barrier Reef and MOUA. Under licence, successful CTO’s will have access to the MOUA moorings located at John Brewer Reef to facilitate snorkel and dive experiences to the Coral Greenhouse of MOUA. MOUA is planning the instalment of four (4) private moorings at John Brewer Reef. The intent is to have a limited number of commercial operators in the first year of MOUA’s launch. The commercial model includes an annual mooring access fee, booking fee (if using the MOUA booking system and where applicable) and a cost per passenger. Other operators who wish to access MOUA on a one off basis would pay a mooring use fee, a booking fee (if applicable) and a cost per passenger. MOUA also intends to allow recreational vessels to one-off mooring fee and booking fee. The revenue raised will be used by MOUA to develop education materials, cover annual insurance and maintenance costs for the underwater sculptures, and other monitoring and permit compliance requirements. Specific elements of the capability statement are identified at paragraph 3. In addition, CTOs will need to: • work collaboratively with MOUA on all aspects of safety compliance (in respect of the

snorkel and dive requirements of the MOUA structure), GBRMPA permitting requirements where applicable, tourism experience and branding.

• Indicate their willingness to subscribe to MOUA official merchandise exclusively or otherwise seek approval from MOUA for merchandise originated elsewhere.

MOUA commits to: • work collaboratively with CTOs on the tourism experience and ensure the Coral

Greenhouse and associated moorings compliance with all safety and GBRMPA permitting requirements.

• build marketing partnerships through Townsville Enterprise, Tourism and Events Queensland, digital and print partners to build the brand and consistent messaging of MOUA

• providing the necessary content to assist marketing and branding for the tourism experience within your business networks.

DEFINITIONS 1.1 In these Conditions of Expression of Interest, except where the context otherwise requires:

‘Closing Time’ means Monday 3rd March 2020 at 5:00 pm Australian Eastern Standard Time. ‘Conditions of EOI’ means these Conditions. ‘Confidential Information’ means any technical, commercial or other information, ideas, concepts, know–how, data, drawings, specifications or designs of any kind:

owned by the Principal and supplied or made available by the Principal to the Operator; or created by the Operator, from the material supplied or made available to the Operator by

the Principal for the purposes of submitting the Expression of Interest. ‘Contact Person’ means Vanessa Cannon. ‘Contract’ means the commercial licence ‘Commercial Tourism Operator’ means an Operator ‘Expression of Interest or ‘EOI’ see Clause 2.1. ‘GST’ has the meaning given in the General Conditions of Contract. ‘Operator’ means the individual, company or joint venture submitting an EOI. ‘Principal’ means Museum of Underwater Art Limited (MOUA) ‘Relevant Person’ means the Operator and each person engaged in the preparation of an Expression of Interest on behalf of the Operator. ‘Expression of Interest’ means an Expression of Interest lodged in response to the Request for Expression of Interest. ‘Operator’ means any person lodging an Expression of Interest. ‘Expression of Interest Response’ means the Expression of Interest Response comprising Part 3 of the Request for Expression of Interest, including any templates or attachments to be completed and included in an Expression of Interest.

STRUCTURE OF REQUEST FOR EXPRESSION OF INTEREST 2.1 The documents comprising the Request for Expression of Interest are, collectively:

Section 1 – Capability Statement: Section 2 – Conditions of Expression of Interest; and Section 3 - Expression of Interest Response which, when completed by the Operator,

comprises the Expression of Interest of the Operator. 2.2 All parts of the EOI must be read and construed together so that all parts are as far as possible

consistent. Where the documents are inconsistent, the documents should be read and construed in the order of priority from document (a) to (c) as follows: (a) Capability Statement and attachments (b) Conditions of Expression of Interest; (c) Expression of Interest Response.

2.3 The EOI is not an offer. It is an invitation for persons to submit statements indicating their capability and capacity to deliver a tourism experience in line with the MOUA vision and objectives.

EXPRESSION OF INTEREST BRIEFING/SITE INSPECTION 3.1 Any briefing or site inspection will be at MOUA discretion.

OBTAINING INFORMATION 4.1 The Principal will provide the Operator with the EOI. No fee is payable for the supply of the EOI. 4.2 Any additional information required by an Operator may be obtained from the Contact Person. 4.3 Operators must not direct requests for information to, or seek to discuss the EOI process with,

any officer of the Principal other than the Contact Person. 4.4 The Principal will not be bound by any advice or information furnished by any officer of the

Principal with respect to the EOI. 4.5 Information provided to the Operator by or on behalf of the Principal:

(a) will be provided for the convenience of the Operator only, and, unless expressly incorporated into the Contract, will not form part of the Contract; and

(b) is not warranted or represented by the Principal as accurate, correct or adequate. 4.6 If the Principal makes information available to an Operator, the Principal reserves the right to

distribute the information to each Operator who has obtained a copy of the EOI from the Principal. 4.7 If requested by the Principal, the Operator must:

(a) provide further information relating to the Expression of Interest; and (b) give a presentation at a time and place nominated by the Principal:

(i) to demonstrate the Operator’s financial substance, technical capabilities and resources; and

(ii) to demonstrate its ability to comply with the terms and conditions of the Contract; and (iii) in relation to anything else relative to the Expression of Interest; and

(c) allow the Principal and its agents to inspect any facility or equipment the Operator proposes to use in complying with the terms and conditions of the Contract; and

(d) authorise the Principal and its agents (in writing, if required) to contact any referee nominated by the Operator; and

(e) authorise the Principal (in writing, if required) to obtain information about the Operator, particularly information relevant to the Operator’s ability to discharge the responsibilities of the Contractor under the Contract, from any third party the Principal considers may be able to provide that information.

4.8 The Principal may provide information to Operators in electronic format, in addition to the hard copy format.

4.9 Where there is an inconsistency between the information in the electronic format and the hard copy information, the latter prevails.

COLLUSIVE OR ANTI – COMPETITIVE CONDUCT 5.1 The Principal reserves the right, at its discretion, to report suspected collusive or anti – competitive

conduct by Operators to the appropriate regulatory authority and to provide that authority with any Operator information.

5.2 Each Operator is required to confirm that no conflicts of interest are present between existing staff of any Operator, its directors and the Principal.

RESPONSIBILITIES OF OPERATOR 6.1 Before submitting its Expression of Interest, each Operator must:

(a) carefully read and consider the EOI and any other information made available by the Principal with respect to the EOI and the process; and

(b) read and consider all information relevant to the risks, contingencies and other circumstances relevant to the EOI; and

(c) inform itself of the nature of the obligations it must discharge under the EOI; and (d) not rely upon information provided by or on behalf of the Principal; and (e) independently verify any information provided by or on behalf of the Principal, and satisfy

itself that the information is adequate and accurate; and (f) satisfy itself that the information in its Expression of Interest is accurate and complete; and (g) satisfy itself that its Expression of Interest complies in all respects with the requirements of

the Conditions of Expression of Interest. 6.2 In evaluating Expressions of Interest and determining with whom it will enter the Contract, the

Principal will rely upon Operators having complied with the requirements of Clause 6.1. 6.3 The Principal will not be responsible for the payment of any expenses or losses incurred by the

Operator in: (a) preparing and lodging its Expression of Interest; or (b) participating in any post Expression of Interest activities.

6.4 An Expression of Interest will not be considered if the Operator or anybody on its behalf offers or gives anything to: (a) any Principal or of the Principal; or (b) any officer or agent of the Principal, as an inducement or reward that could influence the actions of the person in relation to the Expression of Interest.

6.5 Indigenous based organisations are encouraged to submit an Expression of Interest.

FORMAL REQUIREMENTS 7.1 The Expression of Interest must be submitted in writing in the form of the Expression of Interest

Response. 7.2 The Expression of Interest Response must be fully completed, and include all supporting

documents and materials required by both the Conditions and the Expression of Interest Response.

7.3 The Expression of Interest Response must contain the Operator’s: (a) full name; and (b) Australian Business Number; and (c) address and facsimile number for the service of notices.

7.4 If the Operator operates as a firm, the Expression of Interest Response must contain: (a) the full names and addresses of each member of the firm; and (b) the business name under which the firm trades; and

(c) the firm’s address and facsimile number for the service of notices; and (d) the firm’s Australian Business Number.

7.5 If the Operator is a corporation, the Expression of Interest Response must contain details of the corporation’s: (a) name; and (b) business name (if applicable); and (c) Australian Business Number; and (d) registered office; and (e) address and facsimile number for the service of notices; and (f) the name, telephone number and address (if different from the address for service of

notices) of a natural person who is authorised by the corporation to represent it in relation to the Expression of Interest.

7.6 If the Operator is a consortium or a joint venture, the Expression of Interest Response must contain details of: (a) the name of each member; and (b) the structure of the consortium or joint venture, including the proposed managerial structure;

and (c) the role to be played by each member in complying with the terms and conditions of the

Contract; and (d) in the case of a consortium, the member who is to be the principal contractor on behalf of

the consortium. 7.7 The Expression of Interest Response must be duly executed in a manner that binds the Operator. 7.8 Any pricing in the Expression of Interest Response must be:

(a) in Australian dollars; and (b) unless otherwise specified in the Expression of Interest Response, GST inclusive.

7.9 An Operator must provide 3 executed copies of its Expression of Interest (one to be marked ‘ORIGINAL’ and each other (if any) to be marked ‘COPY’.) Any brochure or pamphlet which forms part of an Expression of Interest must be attached to both the original and each copy of the Expression of Interest.

CONFORMING AND NON-CONFORMING EXPRESSIONS OF INTEREST 8.1 An Operator may lodge non-conforming Expressions of Interest only if it has lodged a conforming

Expression of Interest. 8.2 Each non-conforming Expression of Interest must be accompanied by a clear summary of all

points of difference between the non-conforming Expression of Interest and the conforming Expression of Interest.

8.3 Each non-conforming Expression of Interest must be submitted on a separate Expression of Interest Response.

8.4 An Expression of Interest may be considered as non-conforming if the Operator has failed to supply any of the information required by the Conditions of Expression of Interest, does not comply with any of the requirements of the Conditions of Expression of Interest or has been lodged subject to any condition or qualification.

8.5 If more than one conforming Expression of Interest is lodged, each Expression of Interest must be accompanied by a clear summary of all points of difference between each conforming Expression of Interest.

8.6 The Principal will not be obliged to consider any Expression of Interest that does not comply with the requirements of the Conditions of Expression of Interest.

LODGEMENT OF EXPRESSION OF INTEREST 9.1 Each Offer must be submitted in a sealed envelope, addressed:

c/- PVW PARTNERS 52 Walker St, Townsville and clearly marked with the Principal’s postal or street address.

9.2 Where an Operator lodges a non-conforming Expression of Interest: the conforming and non-conforming Expressions of Interest must be submitted in separate

envelopes; and the non-conforming Expression of Interest must be clearly marked, ‘ALTERNATIVE EOI

(in addition to being clearly marked in accordance with Clause 9.1). 9.3 The Principal may extend the Closing Time at its discretion. 9.4 The Principal reserves the right to consider an Expression of Interest which is not in the

Expression of Interest Box by the Closing Time. 9.5 An Operator must not alter or add to the Expression of Interest Response unless required by the

Conditions of Expression of Interest. 9.6 An Expression of Interest is irrevocable for 90 days after the Closing Time. 9.7 The period in Clause 9.6 may be extended by mutual agreement between the Operator and the

Principal. 9.8 Each Expression of Interest constitutes an offer by the Operator to the Principal to supply the

services required under, and otherwise to satisfy the requirements of, the Specification on the terms and conditions of the Contract.

OPENING OF EXPRESSIONS OF INTEREST 10.1 Expressions of Interest will be opened after the Closing Time. 10.2 Expressions of Interest will not be opened publicly.

EXPRESSIONS OF INTEREST EVALUATION PROCESS 11.1 Expressions of Interest will be evaluated by reference to the following and the evaluation criteria

identified at Appendix A: (a) building capacity in the Townsville and broader region’s tourism economy; (b) open and effective competition; (c) assisting to develop competitive local and indigenous business and industry; (d) environmental and educational considerations : and (e) ethical behaviour and fair dealing. Each Expression of Interest will be evaluated using the information provided in the Expression of Interest Response.

11.2 If an Expression of Interest Response for an Expression of Interest is not fully completed or does not include all supporting documents and materials required by the Conditions of Expression of Interest or the Expression of Interest Response, the Expression of Interest may be rejected.

11.3 In evaluating Expressions of Interest, the Principal may: (a) require presentations from Operators (b) contact Operators referees; and (c) investigate an Operator’s structure and management, and that of any relevant subsidiary or

related corporation; and (d) make its own assessment of the Operator’s ability to comply with the terms and conditions

of any commercial licence offered; and (e) verify that the Operator holds all necessary permits, licences, approvals and certifications

necessary to enable it lawfully to comply with the terms and conditions of the commercial licence.

11.4 Operators must give the members of the evaluation panel of the Principal any cooperation and assistance reasonably requested of them to facilitate consideration of their Expressions of Interest.

CLARIFICATIONS AND VARIATIONS 12.1 The Principal may issue to Operators before the Closing Time:

(a) additional information; and (b) information clarifying or correcting information previously provided, (c) to assist them in preparing their Expressions of Interest.

12.2 If the Principal issues information to Operators under Clause 12.1, each Operator must take the information into account in the preparation of its Expression of Interest.

12.3 After the Closing Time, the Principal may (without limiting its options): (a) request clarification or further information from any Operator; and (b) invite all Operators to change their Expressions of Interest in response to an alteration to

the capability statement deliverables or evaluation criteria; and (c) negotiate with one or more Operators upon any aspect of their Expressions of Interest.

CONFIDENTIALITY 13.1 The Operator:

(a) acknowledges that the Confidential Information is sensitive and valuable, and will remain at all times the property of the Principal; and

(b) must not use the Confidential Information for any purpose other than preparing its Expression of Interest; and

(c) must not copy any material comprising or containing Confidential Information, other than where (and then only to the extent that) copying is necessary to enable it to prepare its Expression of Interest; and

(d) must allow access to the Confidential Information by Relevant Persons only to the extent necessary to enable the Expression of Interest to be prepared; and

(e) must obtain the Principal’s written consent before disclosing Confidential Information to a person other than a Relevant Person.

13.2 The consent of the Principal to disclosure of the Confidential Information by the Operator may be given or withheld on such terms and conditions as the Principal considers appropriate.

13.3 The Operator’s obligation under this Clause 13 continues after closure of tenders and award of any commercial licence.

13.4 The Principal reserves the right to retrieve from a Relevant Person any Confidential Information held by that person, subject to the Principal having given written notice to the Operator in writing that the Relevant Person is to be denied access to the Confidential Information.

13.5 Failure or delay by the Principal in enforcing strict compliance with this Clause 13 or pursuing a remedy under this Clause 13 will not constitute a waiver or implied variation of the entitlement or remedy.

13.6 This Clause will not apply to an item of Confidential Information where the Operator can establish that: (a) the item has been transferred to the public domain through no fault of the Operator; or (b) the item was already in the Operator’s possession when it was supplied or made available

by the Principal, and not acquired directly or indirectly from the Principal; or (c) it has received from the Principal written notification that the Principal no longer requires the

Operator to keep the item confidential.

ACCEPTANCE OF EXPRESSION OF INTEREST 14.1 The Principal will not be bound to accept the lowest or any Expression of Interest. The Principal

may accept more than one Expression of Interest. 14.2 The Principal may accept an Expression of Interest from an Operator by giving written notice in

the form of a commercial licence to the Operator who submitted the Expression of Interest to the Principal.

14.3 The commercial licence will not come into existence until the Principal has given written notice to the Operator.

14.4 When the commercial licence comes into existence the Operator becomes the Commercial Tourism Operator.

14.5 The Principal reserves the right to accept an Expression of Interest in part or in whole. OWNERSHIP OF EXPRESSIONS OF INTEREST

15.1 Each Expression of Interest Response (including all supporting documentation and materials submitted by an Operator as part of, or in support of, an Expression of Interest) becomes the property of the Principal on submission and will not be returned to the Operator.

15.2 However, the Operator shall retain copyright and other intellectual property rights in respect of the Expression of Interest except to the extent specified in the Contract.

15.3 The Principal may reproduce the Expression of Interest for the purposes of evaluation.
