1. PROJECT BACKGROUND
Background:
Lahore Waste Management Company (LWMC) was established under section 42 of the Companies
Ordinance 1984 in March 2010. Incorporation of LWMC was aimed to improve the SWM services
by encouraging private sector participation. It is envisioned to outsource the Waste Management
Services for a second time to the contractors with improved amenities, new organizational design
of LWMC integrated with the mandate of Metropolitan Corporation Lahore (MCL) under Local
Government System.
Purpose:
The purpose of this exercise is to hire the advisory services of consultant, including but not limited
to; advice, support, design, plan, engineering estimates, feasibility study, route optimization,
capacity assessment and strategy development for outsourcing of SWM services, keeping in view
the challenges and issues faced during implementation of existing contracts, with cost effective
solutions, value for money, transparency and accountability.
Scope of Work:
The LWMC is seeking an experienced and eligible consulting firm / company (not single member)
for outsourcing of SWM services which is economical, efficient & cost effective and in line with
the best international practices. The scope and extent of the consultant firm / company is to review
the existing outsourcing agreements, technical specifications, costs, LWMC’s organizational
architecture, monitoring mechanisms, current practices of international contractors and prepare new
procurement strategy, procurement of contracts, engineering estimates, LWMC’s organizational
design and agreements for Lahore. The subject exercise, interalia, shall include as out lined below:
1. Review the work and contracts of existing SWM contractors.
(i) Deployment of suitable technical and analytical staff for learning from existing
agreement of LWMC with two international contractors for new contracts.
(ii) Review existing technical specifications of equipment and machinery of existing
contracts and develop updated specifications and requirement as per zones.
2. Formulate Zones / route(s) based on efficiency and cost optimization.
(i) Formulate Zones / Areas for outsourcing with HR, equipment, machinery and
facilities and duration of contracts. It will entail the premise of route optimization
and economy of scale for each zone viz-a-viz distance from GTS (Garbage Transfer
Stations), landfill site(s) and any prospective RDF, MRF or Compost facility.
(ii) Review of HR and Organizational Design of LWMC and suggesting succinct
measures for new organizational architecture for making LWMC a viable and
thriving company.
(iii) Review the organizational design of LWMC and MCL as per proposed future
mandate, review their capacity and skillsets for SWM and propose a workable
business model.
(iv) Propose structure and qualification of all required staff including monitoring and
contracts administration staff and their qualification.

(v) Prepare engineering estimates for each proposed zone including boundary
demarcation, breakup of equipment, machinery, HR (Management and Labor),
Operation and Maintenance (O&M), Garbage Transfer Stations (GTS), segregation
facility, monitoring conduits and reporting. The costing must include the Primary
Collection and without primary collection by LWMC.
3. Detailed feasibility study and capacity assessment of LWMC for integrated SWM services.
(i) Propose feasible zones for outsourcing cost with their engineering cost for
a. Secondary collection, transportation, segregation and safe disposal with
contactor’s vehicle.
b. Secondary collection, transportation, segregation and safe disposal with
vehicle provided by LWMC international contactor vehicle.
(ii) Conduct in detailed feasibility study about the primary collection whether it is a
viable option for LWMC to be conducted by LWMC or Metropolitan Corporation of Lahore
(MCL) with its own resources or by outsourcing mode by looking at capacity &
management expertise of MCL and LWMC in light of the legal mandate as per Services and
Asset Management Agreements (SAAMA) & Punjab Local Government Act 2019.
4. Propose exist strategy from existing SWM contracts, transition and its implementation plan
and new SWM plan.
(i) Propose transition and its implementation plan from International contracts for
taking over of all services, system, vehicle equipment and facilities
5. Prepare all necessary bidding documents, evaluation reports and assist in outsourcing of
SWM operations.
(i) Prepare Advertisement, TORs along with technical specifications / Pre-qualification
documents or evaluate pre-qualification documents/ contract / bidding documents including
KPIs & penalties mechanism, complete Bid evaluation reports on each procurement stages
and any other relevant document for outsourcing for the new contracts.
(ii) Prepare contract document and support LWMC for signing as per PPRA
6. Evaluate current landfill mechanism and devise strategy for new land fill site (s).
(i) Preparing preliminary design, engineering estimate and operational plan for landfill
site (s) including HR requirement.
(ii) Prepare scope of work for secondary solid waste collection including option for
transfer stations, segregation and safe disposal including management of existing
dumpsite till new disposal site /land fill site is developed.

The Lahore Waste Management Company (LWMC) invites applications from eligible (as
per the EOI document) and experienced national consultancy Firm/Company for
“HIRING OF TRANSACTION ADVISOR (CONSULTANT) TO OUTSOURCE SWM
(SOLID WASTE MANAGEMENT) SERVICES IN DISTRICT LAHORE”. National
Competitive bidding process will be adopted as stipulated in PPRA Rules, 2014.
EOI documents are immediately available after date of publication of the notice. Interested
participants may view the EOI documents by downloading from the LWMC & PPRA
website. Participant must purchase EOI document from the office of the employer against
non-refundable fee of Pak Rs. 2000/- which should be deposited in LWMC bank account
No 3531-1 (6580003820300018), Liberty Branch, Bank of Punjab, Lahore. A pre-EOI
meeting will be held on October 14, 2019 at 1100 Hours.
Applications for EOI in original (signed and stamped) must be delivered in sealed envelopes
by hand or through registered mail to address given below not later than 1100 Hours on
October 21, 2019 and be clearly marked “HIRING OF TRANSACTION ADVISOR
(CONSULTANT) TO OUTSOURCE SWM (SOLID WASTE MANAGEMENT)
SERVICES IN DISTRICT LAHORE”. In case of official holiday on the day of submission,
next day will be treated as closing date.

3. INSTRUCTIONS TO APPLICANTS
3.1 Submission of Application
Applications for EOI (one original hard copy and two copies signed in original and soft
copy) must be received in sealed envelopes, to be delivered by hand or through registered
mail to:-

Not later than 1100 Hours on October 21, 2019 and be clearly marked “APPLICATION
FOR HIRING OF TRANSACTION ADVISOR (CONSULTANT) TO OUTSOURCE
SWM (SOLID WASTE MANAGEMENT) SERVICES IN DISTRICT LAHORE”
The applications are to be prepared in English language. Response to all questions should
be provided completely along with supporting documents. No column is to be left blank.
Applicants may request the office of General Manager (P & C), at above mentioned
address, for clarification about the Project or EOI document, during office hours, three
days prior to deadline for submission. No document will be received/considered after the
due date. All documents submitted by the consulting firms/JVs should preferably be
delivered in one packet/parcel.
3.1.1 Basic Eligibility/Mandatory Criteria
The firms (individual consultants are not allowed) fulfilling the following basic
requirements shall only be considered for further evaluation (relevant documents to be
attached). Lead Partner and all other partners in Joint venture shall individually comply with
the following criteria:
i. Registration with Income Tax Authorities
ii. Active Taxpayer Status
iii. Registration certificate from PRA (if not already registered with PRA then, if
awarded the work, the Firm/company will have to get registered with PRA before
signing of contract)
iv. Registration with Registrar of Firms (Certified copy of Partnership Deed, along with
Form C/D) OR SECP along with latest certified copy of Form 29 and A)
v. Affidavits for each of the following on a separate Rs. 100 Stamp Paper:
a. Non blacklisted (FORM A-13)
b. Correctness of information (FORM A-12)
c. Power of attorney (FORM A-11)
vi In case of a JV, Joint Venture or association, agreement (stamp paper of Rs. 100) of
the parties specifying shares of each party and clearly mentioning the lead partner.
vii Three (03) years audited financial statements
Note: All companies/JV will sign & stamp all the pages of EOI document issued by LWMC and
submit this document along with the EOI proposal.

3.2 Evaluation Criteria
EOI evaluation will be based on the criteria given in succeeding paras in line with PPRA rules and
as demonstrated by the Applicant’s responses in the forms given in this document.
Sub-contractor’s experience and resources shall not be taken into account in
determining the Applicant’s compliance with the qualifying criteria.
Joint Venture may meet the following criteria jointly.
The interested consultancy firm having experience of similar nature may apply for selection,
containing the following information/particulars, duly supported with necessary documents.

3.2.1 Litigation History
The applicant and partners of a Joint Venture should provide accurate information
on any litigation or arbitration resulting from contracts completed or under execution
over the last five (05) years. A consistent history of litigations against the applicant
or any partner of a joint venture may result in rejection of the application.
3.3 Joint Venture (JV)
3.3.1 Joint Venture must comply with the following requirements: -
a) Following are minimum qualification requirements: -
i) The lead partner and all other partners in Joint venture shall individually meet
all the criteria given in para 3.1.1.
ii) Joint Venture may meet criteria jointly of paras 3.2.
b) Request for EOI shall be signed by all members in the JV so as to legally
bind all partners, jointly and severally, and any bid shall be submitted with a
copy of the JV agreement providing the joint and several liabilities with
respect to the contract.
c) One member of consortium participate in only one EOI and if one member
participate in more than one EOI, the procuring Agency may reject all such
EOI applications.
The shortlisting of a JV does not necessarily prequalify/shortlist any of its partners
individually or as a partner in any other JV or association.
3.4 Conflict of Interest
The applicant (including all members of a JV) must not be associated, nor have been
associated in the past, with the consultants or any other entity that has prepared the
design, specifications, bidding documents for new project, or was proposed as
Engineer for the contract, over the last five (05) years. Any such association may
result in disqualification of the applicant.
3.5 Updating EOI Information
3.5.1 Bidders shall be required to update the financial and personnel information used for
EOI at the time of submitting their proposal, to confirm their continued compliance
with the qualification criteria and verification of the information provided at the time
of EOI. A proposal shall be rejected if the Applicant’s qualification thresholds are
no longer met at the time of Request for proposal.
3.6 Other Factors
3.6.1 Only firms/consultants/JVs that have been short listed under this procedure shall be
invited to RFP. A shortlisted firm/JV may participate only in one RFP for the

contract. If a firm submits more than one proposal, singly or as a JV, all proposals
including that consultant will be rejected.
3.6.2 All procurement processes shall abide by PPRA rules 2014 and LWMC procurement
manual.
3.6.3 a) All the applicants will be informed, in due course, of the result of evaluation
of applicants.
b) The Client shall neither be liable for any such actions nor be under any
obligation to inform the Applicant of the grounds for rejection, however, may
be debriefed.

5. ADDITIONAL CLAUSES
5.1 Answers must be given to all questions in the attached Forms. If necessary,
additional sheets may be attached. Failure to provide complete information may
result in disqualification.
5.2 Each sheet shall be duly signed by the applicant or by the duly authorized
representative of the applicant. Such authorization shall be indicated by a written
power of attorney which shall be attached with the application.
5.3 All the documents submitted by the applicants shall be treated as confidential and
shall not be returned.
5.4 If necessary, additional sheets may be added to the Forms. Each page of each Form
shall be clearly marked in the right top corner as follows: Form I, Page 1 of 2, Form
I, Page 2 of 2 etc.
5.5 All the forms given in the documents shall be completely filled in.

(b) The LWMC reserves the right to:
(i) amend the scope and value of any contract under this project; in such event
proposals will only be called from shortlisted applicants/consultants who meet

(ii) cancel the EOI process, and reject applications; and
(c) The LWMC shall not be liable for any such actions and shall be under no obligation

6. Appended to this application, we give details of the participation of each party, including
capital contribution and profit/loss agreements, to the joint venture or association. We also
specify the financial commitment in terms of the percentage of the value of the (each)
contract, and the responsibilities for execution of the (each) contract. 7. We confirm that in the event that we participate in request for proposal, that proposal as well
as any resulting contract will be.
