TERMS & CONDITIONS1. AGREEMENT

These terms and conditions and the front page of the Hire Agreement Form, forms the agreement between Pro AV Solutions and the Hirer.

2. DEFINITIONS

In this agreement:

Agreed Hire Period means the period commencing on the Date of Hire and expiring on the Return Due Date.

Business Day means a day that is not a Saturday, Sunday or public holiday in South Australia.

Date of Hire means the date of hire specified on the front page of this agreement.

Default Daily Rate means the default daily rate specified on the front page of this agreement.

Equipment means equipment specified on the front page of this agreement as well as any replacement or substitute equipment and all parts and components including operation and other manuals and instructions, cables, carry cases, power packs and any part of such equipment.

Hire Fee means the hire fee specified on the front page of this agreement and any additional or increased Hire Fee specified by Pro AV Solutions under this agreement.

Hire Period means the period commencing on the later of the Date of Hire and the date of delivery of the Equipment to the Hirer and expiring on the later of the Return Due Date and the date of return of the Equipment to Pro AV Solutions.

Hirer means the person named as hirer on the front page of this agreement.

Liabilities means liabilities, losses, damages, actions, causes of action, claims, orders, judgments, outgoings, costs (including legal costs calculated on a solicitor and own client basis) and expenses, whether present or future, actual or contingent.

Pro AV Solutions means Electronic Concepts Pty Ltd ACN 008 141 124 trading as Pro AV Solutions and its employees, contractors and agents.

Return Due Date means the return due date specified on the front page of this agreement or such later date as Pro AV Solutions may agree under clause 3.2.

3. HIRE OF EQUIPMENT

3.1 The Hirer hires and Pro AV Solutions rents to the Hirer the Equipment for the Agreed Hire Period.

3.2 Pro AV Solutions may in its discretion upon request by the Hirer made before the Return Due Date extend the Return Due Date for an additional Hire Fee.

4. DELIVERY OF EQUIPMENT

4.1 Any delivery times advised by Pro AV Solutions to the Hirer are estimates only and Pro AV Solutions reserves the right to deliver the Equipment by portion.

4.2 Unless otherwise specified on the front page of this agreement, delivery will be taken to have occurred when the Equipment is made available for collection by the Hirer or the Hirer’s agent from Pro AV Solutions’ premises.

5. ACCEPTANCE OF EQUIPMENT

5.1 The Hirer is responsible for ensuring that the Equipment is suitable for its purposes and Pro AV Solutions makes no warranty in that respect.

5.2 The Hirer is responsible for its own checks of completeness and correct operation of the Equipment on delivery of the Equipment.

6. PAYMENT

6.1 The Hirer shall pay the Hire Fee to Pro AV Solutions in accordance with the payment terms specified on the front page of this agreement.

6.2 All amounts payable to Pro AV Solutions by the Hirer must be paid in Australian dollars to a bank account nominated by Pro AV Solutions or as otherwise set out in the payment terms specified on the front page of this agreement.

6.3 Subject to clause 6.1, all amounts payable by the Hirer shall be paid in full without set-off on or before the due date specified in the relevant invoice or if no due date is specified within 14 days of the date of the relevant invoice.

6.4 Any costs or charges incurred by Pro AV Solutions in collecting or attempting to collect overdue amounts shall be

6.5 Pro AV Solutions reserves the right to charge interest at the rate of 12% on all overdue amounts owing to it. Such interest shall accrue daily and shall be payable on demand.

6.6 Payment shall not be taken to occur until all cheques tendered in discharge of amounts owing to Pro AV Solutions have been presented and cleared in full.

7. RISK AND INSURANCE

7.1 The Equipment shall be at the risk of the Hirer during the Hire Period.

7.2 The Hirer shall during the Hire Period:

7.2.1 take all steps required to safeguard the Equipment from loss, theft, damage or destruction;

7.2.2 immediately notify Pro AV Solutions in writing if the Equipment is lost, stolen, destroyed or damaged;

7.2.3 insure the Equipment for its full insurable against fire, accident or theft and any other risk commonly insured against in regard to equipment of a similar nature and such other risks as Pro AV Solutions may reasonably stipulate;

7.2.4 produce any policy or other evidence of such insurance upon request by Pro AV solutions;

7.2.5 promptly pay all premiums and charges in respect of such insurance;

7.2.6 not do or allow any act or thing which might prejudice such insurance; and

7.2.7 immediately notify Pro AV Solutions in writing in the event such insurance is cancelled or terminated.

7.3 Notwithstanding any insurance which may be in force, the Hirer shall be responsible for the costs (including freight costs) of repair or replacement of any Equipment which is lost, stolen, destroyed or damaged during the Hire Period.

7.4 The Hirer shall be responsible for the costs of refurbishing the Equipment in the event that any ownership labels or other notices affixed to the Equipment by Pro AV Solutions or the manufacturer are removed or defaced during the Hire Period.

8. HIRER’S GENERAL OBLIGATIONS

The Hirer shall during the Hire Period:

8.1 immediately notify Pro AV Solutions in writing of any change in the Hirer’s contact details specified on the front page of this agreement;

8.2 use the Equipment only for the purpose for which it is manufactured and designed;

8.3 use the Equipment only in accordance with the manufacturer’s instructions or any other instructions provided by Pro AV Solutions;

8.4 use the Equipment carefully and not make any alteration or addition to the Equipment without Pro AV Solutions’ consent;

8.5 not permit any person other than the Hirer and its employees to operate the Equipment;

8.6 employ suitably qualified and trained personnel to operate the Equipment;

8.7 not use or install the Equipment in any manner that might lead to the Equipment becoming affixed to any other property;

8.8 keep the Equipment at the Hirer’s address specified on the front page of this agreement and not remove the Equipment from such premises without Pro AV Solutions’ consent; and

8.9 maintain possession and control of the Equipment and not attempt or purport to sell, dispose of or encumber the Equipment in any way.

9. MAINTENANCE

9.1 The Hirer shall during the Hire Period:

9.1.1 keep clean and maintain the Equipment in good order and repair so that the Equipment shall at all times be in first class condition; and

9.1.2 immediately notify Pro AV Solutions in writing if the Equipment does not or ceases to operate properly or is otherwise defective.

9.2 Po AV Solutions shall use its best endeavours to expeditiously repair or replace Equipment which does not or ceases to operate properly or is otherwise defective through no fault of the Hirer.

9.3 In the event that the Equipment does not or ceases to operate properly or is otherwise defective as a result of any


fault by the Hirer, the Hirer shall be responsible for the costs (including freight costs) of maintenance, recalibration, repair or replacement of the Equipment.

10. OWNERSHIP OF EQUIPMENT

The Equipment shall at all times remain the property of Pro AV Solutions.

11. IMPLIED CONSUMER GUARANTEES

11.1 The Equipment and the hire of the Equipment may be covered by certain consumer guarantees under the Australian Consumer Law (“Implied Consumer Guarantees”). If that is the case the following clauses 11.1 and 11.2 apply and override any other provisions in this agreement to the extent of any inconsistency and such other provisions must be read and construed accordingly.

11.2 If the Equipment or the hire of the Equipment fails to meet any Implied Consumer Guarantee, the Hirer will be entitled to such rights and remedies as are permitted or provided in the Australian Consumer Law for such failure, to the extent that such rights and remedies cannot be lawfully excluded. This may include the right to reject or return the Equipment or terminate the hire of the Equipment and obtain a refund, have the failure remedied by repair or replacement/substitution or receive compensation for any reduction in the value of the hire of the Equipment below the Hire Fee paid or payable by the Hirer.

11.3 The Customer may only exercise any right or remedy for breach of an Implied Consumer Guarantee strictly in accordance with the rights and responsibilities of the Customer under the Australian Consumer Law.

12. RETURN OF EQUIPMENT

12.1 The Hirer shall return the Equipment to Pro AV Solutions on the Return Due Date:

12.1.1 clean, undamaged and in good working order;

12.1.2 in its packaging provided by Pro AV Solutions;

12.1.3 complete with all other related items of Equipment (including manuals and instructions, cables, carry cases and power packs). Unless otherwise specified on the front page of this agreement, the Equipment will be taken to be returned to Pro AV Solutions when returned to Pro AV Solutions’ premises by the Hirer.

12.2 Without prejudice to any other rights, if the Hirer does not return the Equipment to Pro AV Solutions in accordance with clause 12.1:

12.2.1 the Hirer shall pay to Pro AV Solutions the Default Daily Rate for each period of 24 hours or any part thereof from the Return Due Date until the Equipment is returned to Pro AV Solutions; and

12.2.2 if the Equipment is not returned to Pro AV Solutions within 10 Business Days of the Return Due Date then, in addition to the amount payable under clause 12.2.1, the Hirer shall pay to Pro AV Solutions the cost of replacing the Equipment.

12.3 Payment to Pro AV Solutions of the replacement cost under clause 12.2.2 shall transfer title in the Equipment to the Hirer.

13. LIMITED WARRANTY AND EXCLUSION OF LIABILITY

13.1 Pro AV Solutions warrants that the Equipment is of acceptable quality and in reasonable condition for the purpose for which it is designed.

13.2 To the extent permitted by law:

13.2.1 all other conditions, guarantees, warranties and representations whether express or implied and whether statutory or otherwise are excluded;

13.2.2 Pro AV Solutions’ Liability to the Hirer arising in connection with the hire of the Equipment is limited to replacing or repairing the Equipment, supplying equivalent equipment or refunding any Hire Fee paid.

13.3 Unless otherwise expressly required by law, Pro AV Solutions will not have any Liability whatsoever for loss of profits or any other incidental, consequential or indirect damages.

14. CANCELLATION

14.1 Pro AV Solutions may cancel this agreement any time before the Equipment is delivered to the Hirer by giving written notice to the Hirer. On giving such notice, Pro AV Solutions shall repay to the Hirer any sums paid in respect of the Hire Fee. Pro AV Solutions will not have any Liability whatsoever in respect of such cancellation.

14.2 The Hirer may cancel this agreement at any time before delivery of the Equipment only with Pro AV’s prior written

In the event that the Hirer cancels this agreement, Pro AV Solutions shall be entitled to retain any sums paid on account of any Hire Fees paid and if the Hire Fee is not already paid in full, the Hirer shall be responsible for any Liability incurred by Pro AV Solutions in respect of such cancellation (including for loss of profits or other incidental, consequential or indirect damages).

15. TERMINATION

15.1 A party may terminate this agreement with immediate effect by giving notice to the other party if:

15.1.1 that other party fails to pay any sum of money within five Business Days after the date such payment fell due under this agreement;

15.1.2 that other party breaches any other provision of this agreement and fails to remedy the breach within five Business Days after receiving notice requiring it to do so;

15.1.3 that other party breaches a material provision of this agreement where that breach is not capable of remedy; or

15.1.4 any event referred to in clause 15.2 happens to that other party.

15.2 Each party must notify the other party immediately if:

15.2.1 that party disposes of the whole or part of its assets, operations or business other than in the ordinary course of business;

15.2.2 that party ceases to carry on business;

15.2.3 that party ceases to be able to pay its debts as they become due;

15.2.4 any step is taken by a mortgagee to take possession or dispose of the whole or part of that party’s assets, operations or business; or

15.2.5 any step is taken to enter into any arrangement between that party and its creditors;

15.2.6 any step is taken to appoint a receiver, a receiver and manager, a trustee in bankruptcy, a provisional liquidator, a liquidator, an administrator or other like person of the whole or part of that party’s assets, operations or business; or

15.2.7 where that party is a partnership, any step is taken to dissolve that partnership or a partner dies.

15.3 Termination of this agreement does not affect any accrued rights or remedies of either party.

16. ENTRY OF PREMISES

16.1 Pro AV Solutions reserves the right to at all reasonable time enter upon any premises where the Equipment may be located for the purposes of inspecting, testing or repairing the Equipment.

16.2 Without prejudice to any other rights available, in the event the Hirer does not return the Equipment to Pro AV Solutions in accordance with clause 12.1, Pro AV Solutions may at any time and without notice enter upon any premises where the Equipment may be located and repossess the Equipment. The Hirer must indemnify Pro AV Solutions against all costs it may incur and releases and discharges Pro AV Solutions absolutely from any Liability in respect of the exercise of such right of entry into premises and/or repossession of the Equipment.

16.3 The Hirer grants to Pro AV Solutions a license to enter the above premises to exercise the rights under clauses 16.1 and 16.2.

17. GST

17.1 In this clause an expression defined in the A New Tax System (Goods and Service Tax) Act 1999 (Cth) has the meaning given to it in that Act.

17.2 Unless otherwise indicated, all amounts specified in this agreement are expressed exclusive of GST.

17.3 If a party makes a supply under or in connection with this agreement in respect of which GST is payable, the consideration for the supply is increased by an amount equal to the GST payable by the supplier on the supply.

17.4 A party need not make a payment for a taxable supply under or in connection with this agreement until it receives a tax invoice for the supply.

18. NOTICES

18.1 A notice under this agreement (Notice) must be:

18.1.1 in writing, in English and signed by a person authorised by the sender; and

18.1.2 hand delivered or sent by pre paid post or facsimile to the recipient’s address or facsimile number


TERMS & CONDITIONSspecified on the first page of this agreement, as varied by any Notice given by the recipient to the sender.

18.2 A Notice is deemed to be received:

18.2.1 if hand delivered, on delivery;

18.2.2 if sent by prepaid mail, three Business Days after posting (or seven Business Days after posting if posting to or from a place outside Australia);

18.2.3 if sent by facsimile, at the time and on the day shown in the sender’s transmission report, if it shows that the entire Notice was sent to the recipient’s facsimile number last Notified by the recipient to the sender.

18.3 However if the Notice is deemed to be received on a day that is not a Business Day or after 5:00pm, the Notice is deemed to be received at 9:00am on the next Business Day.

18.4 If two or more people comprise a party, Notice to one is effective Notice to all.

19. SOUTH AUSTRALIAN LAW

19.1 This agreement is governed by the law in South Australia. The parties irrevocably submit to the exclusive jurisdiction of the courts in South Australia.

20. MISCELLANEOUS

20.1 This agreement may be altered only in writing signed by each party.

20.2 Unless otherwise provided, a party may in its discretion give (conditionally or unconditionally) or withhold any approval or consent under this agreement.

20.3 A party must not assign or otherwise deal with this agreement or any right under it without the written consent of the other party.

20.4 This agreement constitutes the entire agreement between the parties about its subject matter and supersedes any prior understanding, agreement, condition, warranty, indemnity or representation about its subject matter.

20.5 A waiver of a provision of or right under this agreement must be in writing signed by the party giving the waiver and is effective only to the extent set out in the written waiver.

20.6 The failure, delay, relaxation or indulgence by a party in exercising a power or right under this agreement is not a waiver of that power or right.

20.7 An exercise of a power or right under this agreement does not preclude a further exercise of it or the exercise of another right or power.

20.8 Each indemnity, obligation of confidence and other term capable of taking effect after the expiration or termination of this agreement, remains in force after the expiration or termination of this agreement.

21. INTERPRETATION

In this agreement, unless the context otherwise requires:

21.1 headings do not affect interpretation;

21.2 singular includes plural and plural includes singular;

21.3 words of one gender include any gender;

21.4 a reference to a party includes its executors, administrators, successors and permitted assigns;

21.5 a reference to a person includes a partnership, corporation, association, government body and any other entity;

21.6 an agreement, representation, warranty or indemnity by two or more parties (including where two or more persons are included in the same defined term) binds them jointly and severally;

21.7 an agreement, representation, warranty or indemnity in favour of two or more parties (including where two or more persons are included in the same defined term) is for the benefit of them jointly and severally;

21.8 a reference to legislation includes any amendment to it, any legislation substituted for it, and any subordinate legislation made under it;

21.9 a provision is not construed against a party only because that party drafted it;

21.10 an unenforceable provision or part of a provision may be severed, and the remainder of this agreement continues in force, unless this would materially change the intended effect of this agreement;

21.11 the meaning of general words is not limited by specific examples introduced by ‘including’, ‘for example’ or similar expressions.
