Introduction

Emerging Asset Management Ltd. (“EAM”) manages a number of fund

platforms in various offshore regulated jurisdictions, including Bermuda

and the Cayman Islands.

Cayman Emerging Manager Platform SPC is a Cayman Islands mutual

fund established as a segregated portfolio company. This means that the

assets and liabilities of each Sub-Fund are segregated or “ring-fenced”

from those of the other Sub-Funds on the Platform so as to avoid any

cross-collateral risk. Each Sub-Fund will operate independently and the

manager of each Sub-Fund will be able to establish its own track record.

Emerging fund managers can establish their Fund as a Sub-Fund of an existing

authorised fund, with legal segregation of their assets and liabilities from all other

Sub-Funds. This cost-effective solution allows an emerging fund manager to

create and launch a Fund with a smaller initial seed capital and without the high

costs associated with structuring and managing an independent Fund.

DirectorsPeter Hughes and Rayal Bodden are the directors of Cayman Emerging

Manager Platform SPC. Peter is the Managing Director of Apex Fund

Services Ltd., a specialist funds administration company founded in 2003.

Rayal is the Senior Associate of Apex Fund Services (Cayman) Ltd. Both

Peter and Rayal have many years experience in the financial services

industry.

ManagementJerry Gil, Managing Director, is responsible for developing and promoting

the EAM range of products globally, and is responsible for oversight of

the Sub-Funds managed by EAM on the Emerging Manager Platforms.

Prior to EAM, Jerry held Director positions at SEI and BNP Paribas. Jerry

has over 20 years of experience in the financial services industry in the

US, Scotland and United Kingdom, with global mandates in the Middle

East and Asia. Jerry’s career has a particular focus on funds services,

middle/back office solutions, global and domestic custody and prime

brokerage.

Fees

Management Company: EAM has been appointed as the fund management company. EAM will ensure that Cayman Emerging Manager Platform SPC complies with Cayman Islands laws and regulations and that the investment advisors comply with the terms of the offering documents and the memorandum and articles of association of the Cayman Emerging Manager Platform SPC.

Investment Manager: Cayman Emerging Manager Platform SPC and EAM will appoint investment advisors for each of the Sub-funds.

Cayman Legal Counsel: Walkers, Cayman Islands.

Auditors: Deloitte.

Administrator: Apex Fund Services Ltd, an internationally recognised funds administrator with a global network of offices.

Prime/broker and custodian: EAM has established relationships with prime brokers and custodians.

EAM Management Fee 0.25% (25 basis points) per annum subject to a minimum of US$6,000 per annum
