GRC Complaint No. 20XX-XX
By participating in mediation, I/we agree:
1. To engage in a good faith effort to resolve the above referenced complaint filed with the Government Records Council(“GRC”) concerning access to records or related matters described in the Complaint;
2. That I will abide by any procedural rules set forth by the mediator. Such rules may include the establishment of a timetable forcompletion of mediation and/or phases of the mediation, a requirement that the parties periodically reduce settled issues towriting, a requirement that the parties personally meet with the mediator at a mutually convenient time and place and suchother reasonable procedural rules deemed by the mediator to facilitate the mediation process.
3. That all discussions and documents arising during mediation are confidential unless otherwise legally obtainable. Documentsprovided in mediation cannot be used in a GRC hearing or appeal from a GRC determination unless those documents arepublic records or the party with control over the documents consents to their use in such a proceeding. Conversations withthe mediator or with the other party during mediation will not constitute statements that can be used in a later GRC hearing orappeal from a GRC determination;
4. That I will not subpoena the mediator to testify or to produce any mediation materials whatsoever following the mediation. Iacknowledge that the mediator will not testify on behalf of any party in any pending or future administrative or judicialproceeding, or disclose any information obtained during mediation unless the parties expressly consent to such disclosure, orunless law or court order requires disclosure. I further agree that the mediator will be held harmless for any claim arising fromthe mediation process;
5. That the mediation session will not be recorded (either video or audio) and that no transcript of the session will be produced;
6. That the mediator will not decide who is right or wrong, and that I shall not ask the mediator to act as my advocate. Iacknowledge that the mediator will try to help the parties reach their own resolution of this dispute by encouraging discussion;however, if the mediator determines that the mediation process is no longer productive the mediator may unilaterallyterminate said mediation and refer the matter back to the GRC for further processing;
7. That when a settlement is reached, it shall be put in writing and signed, and shall be binding upon all parties to the agreement.A copy shall be provided to the GRC. If the complaint is not resolved during mediation, the complaint will be transferred tothe GRC for further processing.
The parties to this agreement, whose names and signatures appear below, are the only persons authorized to participate in themediation process. The principal’s representative, if any, affirms that he/she is authorized to act by, and on behalf of, theprincipal.

Summery
On June 12, 2014 at 6:48 a.m. an OPRA request was submitted online for legal bills. In Kelley v. Township of Rockaway, GRC Complaint No. 200711 (October 2007). The GRC held that a custodian’s failure to respond in writing to a complainant’s OPRA request either granting access, denying access, seeking clarification or requesting an extension of time within the statutorily mandated seven (7) business days results in a “deemed” denial of the complainant’s OPRA request pursuant to N.J.S.A. 47:1A5.g., N.J.S.A. 47:1A5.i. The statutory deadline for this request was “immediately” N.J.S.A. 47:1A5.e. If the custodian had a valid reason for an extension, the custodian was still required to immediately contact the requestor to request an extension. The Custodian did not respond to the request until June 17, 2014 on the fourth business day. In Harry B. Scheeler, Jr. v Motor Vehicle Commission GRC Complaint # 2013207 (January 2014) the GRC found the custodian involation of OPRA’s immediate release provision for providing documents on the third business day. The documents provided are heavily redacted. The custodian has given several reasons for redactions. However the custodian has failed to attribute the redactions and did not provide a redaction log. OPRA, specifically N.J.S.A. 47:1A5(g), requires records custodians, when denying access to a record in whole or part, to inform the requestor of “the specific basis” for the denial. Beyond stating the “specific basis” for each suppression, the custodian is required to “produce specific reliable evidence sufficient to meet a statutorily recognized basis for confidentiality.” Courier News v. Hunterdon County Prosecutor’s Office, 358 N.J. Super. 373, 38283 (App. Div. 2003). Further, he or she must explain each suppression in a manner that “without revealing information itself privileged or protected, will enable other parties to assess the applicability of the privilege or protection.” Paff v. New Jersey Department of Labor, Board of Review, 379 N.J. Super. 346, 35455 (2005) (quoting R. 4:102(e)) (emphasis in original). More recently, the Appellate Division reaffirmed its commitment to this principle in Burke v. Brandes, 429 N.J. Super. 169, 178 (App. Div. 2012).
For the foregoing reasons I request the GRC find this custodian in violation of OPRA and provide an order for the release of the requested documents as required by law.

That includes $1,076,092.Oq forattorneys' and paralegals' fees and $1,693.20 for photocopying. As you will also see, we arebilling substantially less far this period than. the indicated. charges under the terms of ourretention.. agreement. Mist significantly, we are billing at a blended rate of $350 per hour forattorney time, instead of the agreed-upon $650 per hour rate, and we have written off the time ofattorneys who billed limited total hours for this period or mire than a capped number of hours inany given ciay.' State engagements to a 14-hour aday cap on any attorney's billings. Even that higher daily cap has res~ilted in a substantial write-off of attorneytime; acid in c~m~ection with that waiver, we agreed. not to charge for any travel expenses. In addition, given.the many diffet•ent aspects of the matter, we appreciate that yUur Office has authorized multiple attorneys toparticipate in cerkain meetings and interviews when we deemed this necessary, although we have written off
substantial attorney time in this regard as well.

exceeded what was originally anticipated, not only in terms of the scope of the internal review
but also in terms of the broad subpoenas to which the Governor's Office has had to respond from
both the L1.S. Attorney's Office and the Select Coznmitt~:e on Investigation. Indeed, at the outset
of this engagement, the sweeping scope; of these subpoenas {which ultimately required us to
review hundreds of thousands of documents totaling millions of pages) and the full extent of our
internal review (which expanded to include Hoboken Sandy aid allegations} were not yet known.
In addition, we have written off disbursements, other than copying costs at the State's standard
rate. Overall, the total new being billed is barely half the amount of the indicated charges of
mare than two-million dollars to which our firm would have otherwise billed under the terms of
our retention agreement; and the effective hourly billing rate for attorney tune reflected in this
bill, given write-offs, is less than the $3S0 per hour being charged. In subsequent bills, v~~e plan
to charge at this same lower billing rats and make similar reductions, meaning the effective
billing rate will be .less than $350 per hour.
