GUJARAT STATE FINANCIAL CORPORATION 1. The Particulars of its Organization, Functions & Duties. Gujarat State Financial Corporation is established in the year 1961 under the State Financial Corporations Act,1951. It is under the control of Industries & Mines Department of Government of Gujarat. The main activity of the Corporation was to sanction/disburse of loans and advances to small and medium industrial units under various schemes. The main objective of the Corporation is to have a balanced industrial growth in the State of Gujarat. Since 2001, Corporation has discontinued its main activity viz., lending and advancing. 1. The Particulars of its Organization, Functions & Duties.

Gujarat State Financial Corporation is established in the year 1961 under the State

Financial Corporations Act,1951. It is under the control of Industries & Mines

Department of Government of Gujarat. The main activity of the Corporation was to

sanction/disburse of loans and advances to small and medium industrial units under

various schemes. The main objective of the Corporation is to have a balanced industrial

growth in the State of Gujarat. Since 2001, Corporation has discontinued its main activity

viz., lending and advancing. Since then, it is concentrating only on recovery and its allied

functions. The Corporation is discharging its functions/duties through the Board of

Directors. The Board of Directors consist of Chairman, Managing Director, nominees of

State Government and nominees of SIDBI.

3. The Procedure followed for decision making process, including channels of supervision and accountability.

The same is followed as per the chart provided at http://gsfc.gujarat.gov.in/RTI/rti2.aspx above. Decision is taken as per the delegation of Powers and if found necessary final decision is required to be made after getting necessary approval from Board/MD.

2. The Powers and Duties of Officers and Employees.

At present 106 employees are working in the Corporation, and out of which 29 are on deputation to various offices of the State Government. Corporation is having 06 officers and they are discharging their duties as per the policy of the Corporation. The officers/employees of the Corporation are governed as per the provisions of GSFC (Staff) Regulations 1961 of the Corporation and the Policy of the State Government in this respect. Further, Board of Directors in its meeting held on 30.09.2003 passed resolution in respect of implementing the provisions of Gujarat Civil Services (Conduct) Rules, 1971 and Gujarat Civil Service (Disciplinary & Appeal) Rules, 1971 wherever they are not inconsistent with the present GSFC (Staff) Regulations, 1961.

D. Legal

WORK DESCRIPTION OF LEGAL DEPT.

Legal Department, a part of Head Office, is located at Ahmedabad for administrative

convenience. It looks after and manages the following:-

1. Alphabetical Region wise Registers and files of the units in different cupboards,

where the litigation is pending in the Gujarat High Court, Municipal High Court,

DRT- Ahmedabad, DRAT-Mumbai and other courts.

2. Maintaining of Accounts Register in which the details of payment like cheques

no. , cheque date, bank name, unit name and case no. and advocate wise ledger

page, made by GSFC towards professional charges and other charges to the

empanelled advocates engaged for the various court litigations.

3. Legal department is also maintaining register for new cases coming and

disposing of old cases.

4. Region wise statement showing the latest status and details of pending court

cases of Legal Department to Gujarat High Court, High Court cases in other

states, Supreme Court and case with Tribunals.

7. The Particulars of any arrangement that exists for consultation with, or representation by, the members of the public in relation to the formulation of its policy or implementation thereof.

In the Corporation, Board of Directors and Managing Director are the decision making

authorities.

In HRD matters, Corporation is taking sufficient care to see that the said decision may

not be inconsistent with the policies decisions of the State Government.

8. A STATEMENT OF BOARD, COUNCILS AND COMMITTEE AND OTHER BODIES CONSISTS OF TWO OR MORE PERSONS CONSTITUTED AS PART THOSE BOARDS, COUNCILS AND COMMITTEE AND OTHER BODIES ARE OPEN TO THE PUBLIC OR MINUTES OF SUCH MEETINGS ARE ACCESIBLE FOR PUBLIC

Gujarat State Financial Corporation is established under the State Financial Corporation’s Act, 1951 with effect from 1.5.1960. The Corporation is a State development financial institution with the Government of Gujarat and Small Industries Development Bank of India as principal shareholders. Corporation was established to provide financial assistance to entrepreneurs who set up small scale industries in the State of Gujarat and the Union Territory of Dadra and Nagar Haveli. Section 10 the SFCs Act deals with constitution of Board of Directors, according to which the Board should consist of members as under:

1. A Director to be nominated as Chairman by Small Industries Development Bank in consultation with the State Government.

2. Two Directors to be nominated by the State Government. 3. Two Directors to be nominated by Small Industries Development Bank of India. 4. Two Directors to be nominated from amongst shareholders who have been

allotted shares under Section 4 (3) ( c ) of the SFCs Act 1951. 5. Three Directors to be elected from amongst shareholders who have been

allotted shares under section 4 (3) (d) of the SFCs Act, 1951. 6. Managing Director to be appointed by the State Government in consultation

with Small Industries Development Bank of India.

Presently, the Board of Directors consists of following members :

1. Shri D J Pandian, IAS, (Nominated as Director by the State Government under Section 10 (b) and appointed as Chairman by SIDBI under Section 15 of the SFCs Act, 1951).

2. Shri C J Macwan, Director (Nominated by State Government under Sectiono 10 (b) of the SFCs Act 1951).

3. SHRI AJIT NATH JHA, Dy General Manager, Representative of SIDBI. 4. Shri Arvind Agarwal, IAS, Managing Director (appointed by the State

Government under Section 17 read with Section 10 (f) of SFCs Act, 1951).

I. To provide information regarding the general rules and regulations and details of the

existing officers /staff of the Corporation.

II. To provide Accounting Information as well as existing schemes prevalent in the

Corporation for the benefit of clients/ units.
