User License Agreement

Statement of Copyright and All Other Rights

The China Listed Firm’s Shareholders Research Database (GTA_HLD Database) is designed and developed by GTA Information Technology Company Limited (GTA IT Co., Ltd.). All rights of the GTA_HLD Database and its related files are vested in the GTA IT Co., Ltd. Such rights are protected under the national Copyright Laws and Trademark Laws of the People’s Republic of China, and under the provisions of the International Copyrights Agreement. GTA IT Co., Ltd. takes charge of activities related to updating, maintaining, and promoting the GTA_HLD Database. Users of the GTA_HLD Database may not delete the Statement of Copyright from the system. Users of the Database must guarantee that all authorized installed copies of the system (in part or whole) carry the Statement of Copyright; users must also agree to prevent any unauthorized reproduction of the GTA_HLD Database, or any of its files. Unauthorized copying or distribution of the content of the GTA_HLD Database or any of its files, in part or whole, will be liable to prosecution.

The China Listed Firm’s Shareholders Research Database is a registered name protected by trademark laws and all other laws on rights protection.

Statement on User License Agreement

The two parties to this User License Agreement are the User - individual or organizational - of the Database, and GTA Information Technology Company Limited (GTA IT Co., Ltd.). Before using the Database, the User must accept the Agreement by endorsing it. In case of objections to the Agreement, the User should not use this Database. Instead, the software, with its seal intact, should be returned together with a written declaration to GTA IT Co., Ltd., within 30 days.

Terms of the License Agreement

The User, under pledge of this Agreement, is not to transfer or sell, or make available, the GTA_HLD Database, in part or whole, to any third party. Under this Agreement, the right to use the GTA_HLD Database and software is granted to the User only.

The User must agree and guarantee that all necessary and appropriate precautions will be taken to protect the copyright and all other rights of the GTA_HLD Database and its data.

The User must inform all its users regarding the copyright of the GTA_HLD Database and this User License Agreement. The User must also request all its users to abide by the copyright declaration, and all the clauses contained in this Agreement.

Before the expiration of the User License Agreement, the User agrees to be held liable for all the obligations and responsibilities stipulated in the Agreement.

After-sale Guarantee

GTA IT Co., Ltd. guarantees that the GTA_HLD Database and its medium of storage will run without defects under normal circumstances. Should there be any defects (to be verified by GTA IT Co., Ltd.) within 90 days of purchase, GTA IT Co., Ltd. will undertake all obligations to provide a replacement for the GTA_HLD Database. GTA_HLD Database thus replaced will be guaranteed for the remaining time of

the original 90-day guarantee, or for 30 days whichever is longer. GTA IT Co., Ltd. will not be liable for defects caused by accidents, errors on the part of the User, or by failure to use GTA_HLD Database in accordance with the instructions provided.

Termination of the User License

Should the User violate any clause stipulated in this Agreement, GTA IT Co., Ltd. can terminate the User License at any time and with immediate effect. Upon termination of the User License, the User must immediately destroy all copies of GTA_HLD Database and its files, or return them to GTA IT Co., Ltd.

Governing Laws of the Agreement

Copyright Law and Trademark Law of the People’s Republic of China, and International Copyright Agreement.

Disclaimer

GTA IT Co., Ltd. makes its best endeavors to provide the User with data that are reliable and accurate. However, GTA IT Co., Ltd. cannot guarantee the total accuracy or completeness of such data. Under no circumstances will GTA IT Co., Ltd. be held liable for any profit loss, damage (whether direct or indirect, extraordinary or accidental, unavoidable or occasional), or expense arising from the use of the data provided.

I. Product Development Description Along with the improvement and regularity of Chinese financial market, the requirements on information disclosure of listed companies are increasingly stringent. Regarding the disclosure requirement of shareholder information in 2004, it was stipulated that listed companies needed not only to introduce the information of both direct controlling shareholders and ultimate controlling shareholder, but also to disclose the property and control relationship between the company and ultimate controlling shareholder in the form of block diagram.

The GTA_HLD Database provides the shareholders data of companies listed at Shanghai and Shenzhen stock exchanges since 2003, including listed company profile, shareholder file, capital structure, equity chain, controlling shareholders, changes in equity, etc. Since the information and announcement released by listed companies are neither structured nor uniform, we have performed stringent and methodical checks and verifications of the GTA_HLD Database so as to ensure its data are accurate, systematic and complete.

The data in GTA_HLD Database are mainly obtained from Shanghai Stock Exchange and Shenzhen Stock Exchange. The database not only displays detailed information about indirect controller from the aspects of name of controlling shareholder, proportion of shareholding held by controlling shareholder, shareholding nature of controlling shareholder, name of ultimate controlling shareholder, and the relationship between ultimate controlling shareholder and indirect controller, but also shows detailed data about ultimate controlling shareholder from nature of shareholding, shareholding proportion, etc.

II. How to Use this Guide This User Guide is for the China Listed Firm’s Shareholders Research Database (hereafter abbreviated as the GTA_HLD Database) (2012V).

The data in the GTA_HLD Database range from 2003 to 2011.

1. Target Users

Target users of the Database include finance and accounting academics of education institutions, individuals and organizations engaged in Chinese financial market research, and the research departments of investment banks, finance institutes, and stock brokerage firms.

2. Components of this Guide

This Guide comprises three parts. They are:

III. Introduction to the Product 1. Content

The GTA_HLD Database provides the shareholders data of companies listed at Shanghai and Shenzhen stock exchanges, including listed company profile, shareholder file, equity chain, controlling shareholders, capital structure, etc.

2. Features

Comprehensiveness

The database records all information on relevant research subjects and fields obtained from materials of authorized institutions. It has incomparable comprehensiveness with other similar domestic database. The data items are comprehensive and complete, and a reasonable number of empty data fields have been reserved to meet future expansion needs.

Accuracy

Designed and developed for the purpose of academic research, the database offers a high degree of accuracy. We have performed, entry-by-entry, meticulous proofreading and checking. On top of that, we have also conducted rigorous verification and confirmation in various ways, thus eliminating the occurrence of errors and ensuring data are accurate.

Timeliness

The database will be updated annually in a regular way and supplemented irregularly to ensure its continuity and timeliness.

Convenience

The database has an open data structure and can be retrieved as a FoxPro, Excel, or TXT file with specialized GTA data software system. It can also be directly accessed through the statistical analysis software of SAS and SPSS, and the computer languages Fortran, C, or Pascal. Data classification is logical and well defined, making the searching of financial data according to certain selection criteria fast and convenient.

3. Use Type

To meet different needs of various users, we provide two types of services:

We provide to the user the entire database. At any time, a user can access the data in the database according to his or her needs. Data are integrated in special GTA format, and supported by specialized data soft system developed by GTA. As for detailed use, please refer to software user guide.

We provide to a user only those parts of the database that answer the particular needs of the user. This kind of service has the advantage that a user does not need to be familiar with the data

3. Special Codes

1. Only when the field “Share Pledged, Frozen or under Custody Sign” in the “Top 10 Negotiable Shareholders” is 1, the “Share Pledged, Frozen or under Custody” is applicable.

2. “Controlling Shareholders” provides data based on two judgment standards, that is, disclosed by annual report and calculated according to equity control chain. When it is marked with 1, it is subject to the name of effective controller definitely indicated by the reports of listed companies. When it is marked with 2, it refers to the relevant equity control chain, equity control chain diagram and related party relation between shareholders. The data are calculated by GTA, just for reference.

4. Data Source and Data Range

The data mainly originated from the annual report and announcement of shareholding change of shareholder disclosed by listed companies. As the stipulation of Regulations for Implementation of IPO Information Disclosure (Trial) released by CSRC, the listed companies should release the abstract of annual report on at least one national publications designated by CSRC, such as China Securities, Securities Times, Shanghai Securities News, Annual Report on China's Securities Industry, etc.

CSRC stipulated the listed companies must disclose the abstract of annual report both on the publications and the Internet designated by CSRC since 1999.

Appendix 2 Glossary The body of state-owned assets authorized operation and administration consists of principals and agents.

The principal refers to governments and state-owned assets supervision and administration institutions of

governments (that is, governments are the principals to authorize state-owned assets operation in

enterprises with company mechanism), while agent refers to sole state-funded enterprises and companies,

which have the conditions to be authorized and are invested by governments and state-owned assets

supervision and administration institutions of governments.

State-owned assets authorized operation (authorized shareholding) means that the government holds all

property-authorized corporations of state-owned enterprises, invested and established directly by the State

through various ways, so as to establish property relationship between parent company and branch.

According to the property relationship, corporation becomes and acts as the authorized capital contributor,

that is, the corporation is entitled to benefit from assets, make major decisions and choose administrators

while is responsible for maintaining and increasing state-owned assets value.

Sole state-funded enterprises mean the enterprises, whose assets are all owned by the State, are authorized

to operate and administrate in accordance with the principal of separating ownership from operation right.

They are qualified as a legal person legally with self-management, independent accounting as well as

self-responsibility for the profit and loss, and undertake the civil liability with the assets authorized to

operate and administrate by the State. Sole state-funded enterprises are economic organizations with

non-company mechanism and registered according to Administrative Regulations of the People’s Republic

of China for Governing the Registration of Legal Corporations, excluding limited liability companies and

sole state-funded companies.

Sole state-funded companies refer to investment institutions authorized by the State or sole state-funded

limited liability companies solely invested by departments authorized by the State according to the

Company Law, in which it is regulated that state-owned enterprises with single investor established before

the implementation of the Company Law can be restructured as sole state-funded limited liability

companies as long as they conform to conditions of establishing limited liability companies regulated in the

Company Law.

Total Share Capitals The total number of shares, including both negotiable and

non-negotiable shares.

State-owned Shares

Shares held by governmental agencies or institutions, which are

authorized to invest on behalf of the state, including state shares and

state-owned legal person shares.

Legal Person Shares Shares held by companies or organizations that invest as legal

person.

Domestic

Promoter’s Legal

Person Shares

Shares held by Chinese promoters who converted capital invested in

their own company to shares during the company’s initial public

offering.

Foreign Promoter’s

Legal Person Shares

Shares held by promoters to who laws governing foreign investment

is applicable (e.g. foreign investors, investors from Hong Kong,

Macao, or Taiwan).

Raised Legal Person

Shares

Shares issued by companies raising funds from targeted sources

before the implementation of the “Corporate Law”, which are formed

from the external capital investment by other social enterprises.

Employee Shares

Shares purchased by individual staff members of a company with

their own legitimate personal fund. These are shares issued before

the promulgation of the “Corporate Laws”.

Preference Shares Compared with ordinary shares, preferred shares have less risk and

fewer benefits, but have priority over ordinary shares in allotment.

Fund Allotment

Shares held by securities investment funds (set up in accordance with

the “Interim Procedures for Administration of Securities Investment

Funds”) that purchased such shares through share applications to

initial public offering which issued 50 million or more shares.

Transfer Right

Shares

Shares purchased by public shareholders through share options

acquired from shareholders of State Shares or Legal Person Shares

during rights offering.

A-share Ordinary shares freely traded in CNY in the Chinese stock markets,

available for purchase and sale by the mainland residents.

B-share

Foreign investment shares listed at the Chinese stock markets. The

face value of such shares is in CNY, but subscription and trade are

conducted in foreign currencies. These shares are especially offered

to investors from Hong Kong, Macao, Taiwan, and abroad.

H-share Shares issued by companies registered in China but listed and traded

at the stock exchange in Hong Kong. Such companies, under

approval, list their shares in Hong Kong to raise capital from specific

or non-specific investors.

Other Overseas

Negotiable Shares

Other shares traded overseas (except Hong Kong), referring to those

issued to specific or non-specific overseas investors by listed

company under approval. Such cases are few and lack data

temporarily.

Other Promoters’ Shares

The promoters’ shares other than state-owned shares and legal person promoters’ shares.

Note 1: Public offering to institution investors is classified as public offering to strategic investors in this database if there is no definite classification.

Note 2: Failed fund allotment subscribed by underwriter is counted as fund allotment and the listing day is subject to the listing day of fund allotment.

Note 3: Legal person refers to the one registered in PRC and has the right to purchase ordinary A stocks

other than securities company. There are two kinds of legal persons: strategic investor who has close

business relationship with the issuing company and is willing to hold its shares for a long term, and

common legal person who has no close relationship with the issuing company.

Controlling Shareholder

According to the Clause 41 of Guidelines for the Articles of

Association of Listed Companies, which was released by the CSRC

on December 16, 1997, the controlling shareholder in the article

refers to shareholder meeting one of the following conditions, 1. the

person can select over half of directors independently or by acting in

concert with others; 2. the person can exercise or control more than

30 percent of voting rights independently or by acting in concert with

others; 3. the person holds over 30 percent of shares independently or

by acting in concert with others; 4. the person can actually control the

company independently or by acting in concert with others.

Guideline No.2 on Contents and Format of Information Disclosure of

Companies That Make Public Offering of Securities – Contents and

Format for Annual Report, which was newly revised by the CSRC,

stipulated that controlling shareholders, including the largest

shareholder, are entitled to control the composition of board of

directors and make major decisions as the stipulations of the

shareholding proportion, corporate constitution, business agreement

or other law.

Persons Acting in Concert

According to the definition in Measures for the Administration of

Disclosure of Shareholder Equity Changes of Listed Companies,

persons acting in concert means that more than two natural persons,

legal persons or other organizations who share the same attitude while

executing voting rights with the purpose of enlarging controlling

proportion of a listed company or consolidating the controlling status

in listed company by legal channels such as agreement, cooperation,

related party relationships.

Ultimate Controlling Shareholder

Defined as the standard of the Measures for Administration of Takeover of Listed Companies, that is,

1. the one with the maximum shareholding in the shareholder list of listed company unless opposite evidence exists;

2. the one who can execute and control superior voting rights than the shareholder with the maximum shareholding of a listed company;

3. the one who holds and controls 30 percent or above of shares and voting rights unless opposite evidence exists;

4. the one who can decide the election of over half of members of board of directors of a listed company by executing voting rights;

5. the one who is under other circumstances as the stipulations of CSRC.

Control Right

It is also called voting right. The database adopts the calculation

methods of La Porta, R., F. Lopez-de-Salines, A. Shleifer (1999) and

S., S. Djankov, J. Fan, L. Lang (2000), that is, control right is

shareholding relation chain or the weakest layer among all

shareholding relation chains or the total weakest layers. The result is

calculated by GTA Co., Ltd. for reference only.

Ownership Right

It is also called cash flow right, which means the property of listed

company possessed by ultimate controlling shareholder by means of

acting in concert, multi-layer pyramid shareholding,

cross-shareholding, etc. The database adopts the calculation methods

of La Porta, R., F. Lopez-de-Salines, A. Shleifer (1999) and S., S.

Djankov, J. Fan, L. Lang (2000), that is, the ultimate controlling

shareholder multiplies the proportion held by each layer of

shareholding relation chain or the total of the ultimate controlling

shareholder multiplying proportion held by each layer of shareholding
