• DocumentationmeanstheprintedorelectronicreferencematerialsandotherprintedorelectronicmaterialsaccompanyingtheSoftware.

• ProductmeansSoftwareandDocumentation.• Usemeansinstall,use,access,display,run,orotherwiseinteractwiththeProduct.

• LicensemeansaSingle-UserLicense,aSchool/InstitutionLicense,aStudentLicense,aStudent1-YearLicense,oranyotherlicenseasdefinedbyKeyfromtimetotime.

GRANT OF LICENSE

KeygrantstheLicenseealimited,non-exclusivelicensetoUsetheProductononeormorecomputersoftheLicenseeconsistentwiththeconditionssetforthbelow.IfaLicenseeisfoundtohaveviolatedtheseconditionsofuse,thenKeymaycanceltheLicensee’sLicenseandterminatethisAgreement.AllotherrightsareexpresslyreservedbyKey.

Single-User LicensesALicenseewithaSingle-UserLicensemayUsetheProductonuptothreepersonalcomputers,providedonlyonecopyoftheProductisinuseatonetime.

School/Institution LicensesALicenseewithaSchool/InstitutionLicensemayUsetheSoftwareorauthorizeUseoftheSoftwareonthenumberofphysicalorvirtualcomputersasintheOrderConfirmationorLicenseConfirmation.UsebyaninstructoronapersonalorhomecomputershallbeconsideredoneinstanceofuseunderaSchool/InstitutionalLicense.

Student LicensesAstudentLicenseewithaStudentLicensemayUsetheProductonuptothreepersonalorfamily-ownedcomputers,providedonlyonecopyoftheProductisinuseatonetime.AstudentwhoreceivestheProductand/oranAuthorizationCodefromtheirschooloreducationalinstitutioninordertousetheSoftwareonapersonalorfamily-ownedcomputershallbeconsideredaLicenseeandshallbeboundbythetermsoftheStudentLicense.AuserofaStudentLicensemustbeastudentataneducationalinstitutionatthetimethelicensewaspurchasedorobtained.

License TermIfaLicensehasaLicenseTerm,oriftheOrderConfirmationorLicenseConfirmationindicatesaLicenseTerm,LicenseemayUsetheSoftwareforthespecifiedLicenseTermcommencingonthedaythattheLicensewasissued(thedateonwhichtheAuthorizationCodewasgenerated).UsingtheSoftwarebeyondtheLicenseTermortamperingwiththeSoftwareinordertouseitbeyondtheLicenseTermisaviolationofthisAgreement.

GRANT OF LIMITED PREVIEW LICENSEKeygrantseachindividualwhoinstallstheProductonacomputeralimited,non-exclusivelicensetoUsetheProductinPreviewModeonthecomputeronwhichitisinstalled.

VALIDATION OF LICENSELicenseemustregistertheProductonacomputerwithavalidLicenseNameandAuthorizationCodeinordertounlockthefullsetofProductfeatures.Onlaunch,theProductmaycommunicate

viatheInternetwithalicenseservermaintainedbyKeyforthepurposeofvalidatingtheLicense.ThatcommunicationcontainstheLicenseNameandAuthorizationCodeassociatedwiththeLicenseaswellasrelevantinformationregardingthecomputersonwhichtheLicenseisregisteredandused.InordertoassistLicenseAdministratorsintroubleshootingregistrationproblemsshouldtheyarise,forSchool/InstitutionLicensesandSpecialLicenses,thecommunicationincludeseachcomputer’sMediaAccessControl(MAC)address,othercomputer-specificinformation,andInternetProtocol(IP)address.ToprotecttheprivacyofLicenseeswithaSingle-UserLicenseoraStudentLicense,allinformationidentifyingthespecificcomputeronwhichSketchpadisusedisscrambledinsuchawayastoproduceauniquesignaturewhileensuringprivacy.KeywillusethisinformationonlyinordertoverifythevalidityofaLicense,assistLicenseeswithtechnicalproblems,andtoimprovetheProduct.ThisinformationwillnotbesharedwithpartiesotherthantheLicensee’sdesignatedLicenseAdministratorandthosechargedwithmaintainingtheProductandvalidatingandadministeringProductLicenses.

LIMITATIONS ON USETheProductislicensedasasingleproductanditscomponentpartsmaynotbeseparatedforuseonmorethanthenumberofcomputerssetoutintheLicenceand/orasstatedintheOrderConfirmationorLicenseConfirmation.TherightsgrantedhereunderarepersonaltotheLicensee.NeithertheProductnortherightsgrantedhereundermayberesold,sub-licensed,assigned,leased,lent,orrented,whetherforvalueorotherwise,exceptbyKeypre-approvedresellersorasnotedinthetermsofthisAgreement.TheLicenseNameandAuthorizationCodeassociatedwiththeLicensemaynotbepostedforpublicaccessanduse,includingbutnotlimitedtoInternetwebsites.TheProductshallnotbeUsedaspartofatime-shareorservicebureauarrangement.TheProductmaynotbemodified,reverseengineered,decompiled,ordisassembled.TheproprietaryrightslegendscontainedonandintheProductshallnotberemovedorobscured.

ASSIGNMENT OF USE BY SCHOOLSSchoolsoreducationalinstitutionsthatpurchaseeitheraSchool/InstitutionLicenseoraStudentHome-UseLicensemayassignorsellasub-licenseinsuchProductforusebyaninstructororastudentenrolledintheschooloreducationalinstitution.ForthepurposesofthisLicense,suchafacultymemberorstudentisconsideredaLicenseesubjecttoalloftheconditionsonUseoftheProductastheoriginalLicensee.

REPRESENTATIONS OF LICENSEETheLicenseerepresentsthatithasobtainedallnecessaryconsentandauthorityfortheimportationandUseoftheProductinthejurisdictioninwhichtheLicenseeintendstoUsetheProduct.

INTELLECTUAL PROPERTY RIGHTSKeyand/ortherightsholdersnamedintheProductaretheownersofandretaintitletoallproprietaryandintellectualpropertyrightsinandtotheProduct,includingcopyrights,tradesecrets,trademarksandknow-howprotectedbothbyUnitedStatesandCanadiancopyrightlaws,andundertheprovisionsofinternationaltreaties.CopyingoftheProduct,otherthanasexplicitlyprovidedherein,constitutesaninfringementoftherightsholders’intellectualpropertyrights.Licenseeacknowledgestheforegoingandagreesthatithasnoright,titleorinterestintheProduct,exceptasspecificallysetforthherein,andthattheLicenseehasnorightsinanytrademarksidentifiedasbelongingtotherightsholders.

SUPPORT SERVICESKeymayprovidetheLicenseewithsupportservicesrelatedtotheProduct(“SupportServices”).UseofSupportServicesisgovernedbyKey’spoliciesandprogramsdescribedintheusersoftwarereferencemanual,inonlinedocumentation,and/orinotherKey-providedmaterials.AnysupplementalsoftwareprovidedtotheLicenseeaspartoftheSupportServicesshallbeconsideredpartoftheProductandsubjecttotheprovisionsofthisAgreement.IntheeventthattheLicenseeprovidestechnicalinformationtoKeypursuanttothedeliveryofSupportServices,Keymayusethisinformationforitsbusinesspurposes,includingProductsupportanddevelopment.

TERMINATIONWithoutprejudicetoanyotherrights,KeymayterminatethisAgreementiftheLicenseefailstocomplywiththetermsandconditionshereof.Insuchevent,theLicenseeagreestoremoveallcopiesoftheProductfromanycomputersonwhichtheywereinstalledanddestroyallsuchcopies.

LIMITED WARRANTYTHEPrODUCTISPrOVIDED“ASIS”WITHOUTWArrANTYOFANYKIND,EITHErExPrESSEDOrIMPLIED,INCLUDINGbUTNOTLIMITEDTOIMPLIEDWArrANTIESOFMErCHANTAbILITY,FITNESSFOrAPArTICULArPUrPOSE,TITLE,ANDNON-INFrINGEMENT,WITHrEGArDTOTHEPrODUCT,ANDTHEPrOVISIONOFOrFAILUrETOPrOVIDESUPPOrTSErVICES.SOMEjUrISDICTIONSDONOTALLOWTHEExCLUSIONOFIMPLIEDWArrANTIES,SOTHEAbOVEExCLUSIONMAYNOTAPPLYTOYOU.

LIMITATION OF LIABILITYINTHEEVENTTHEExCLUSIONOFIMPLIEDWArrANTIESDOESNOTAPPLYANDINTHEEVENTOFAbrEACHOFSUCHWArrANTIES,KEY’SANDITSDEALErS’ANDDISTrIbUTOrS’ENTIrELIAbILITYANDYOUrExCLUSIVErEMEDYSHALLbE,ATKEY’SOPTION,EITHEr(A)rETUrNOFTHEPrICEPAID,IFANY;Or(b)rEPAIrOrrEPLACEMENTOFTHEPrODUCTrETUrNEDTOKEYWITHAPUrCHASErECEIPT.TOTHEMAxIMUMExTENTPErMITTEDbYAPPLICAbLELAW,INNOEVENTSHALLKEYOrITSSUPPLIErSbELIAbLEFOrANYSPECIAL,INCIDENTAL,INDIrECT,OrCONSEqUENTIALDAMAGES(INCLUDING,WITHOUTLIMITATION,DAMAGESFOrLOSSOFbUSINESSPrOFITS,bUSINESSINTErrUPTION,LOSSOFbUSINESSINFOrMATION,OrANYOTHErPECUNIArYLOSS)ArISINGOUTOFTHEUSEOFOrINAbILITYTOUSETHEPrODUCTOrTHEPrOVISIONOFOrFAILUrETOPrOVIDESUPPOrTSErVICES,EVENIFKEYHASbEENADVISEDOFTHEPOSSIbILITYOFSUCHDAMAGES.ASSOMEjUrISDICTIONSDONOTALLOWTHEExCLUSIONOrLIMITATIONOFLIAbILITY,THEAbOVELIMITATIONMAYNOTAPPLYINCErTAINjUrISDICTIONS.

ENTIRE AGREEMENTTheLicenseeagreesthatthisAgreementisthecompleteandsolestatementoftheagreementbetweenLicensee,Key,andKey’sdistributorsanddealers,andsupersedesbothallrepresentationsmadeinrespectoftheProductandallotheragreements(whetherwrittenororal)relatingtothesubjectmatterofthisAgreement.

PARTIAL ILLEGALITYIfanyprovisionsofthisAgreementshallbeconstruedtobeillegalorinvalid,itshallnotaffectthelegalityorvalidityofanyotherprovisionthereof,andtheillegalorinvalidprovisionsshallbedeemedstrickenanddeletedherefromtothesameextentandeffectasifneverincorporatedherein,butallotherprovisionshereofshallcontinueinfullforceandeffect.

APPLICABLE LAWSTherightsandobligationsofthepartiesunderthisAgreementshallnotbegovernedbytheUnitedNationsConventiononContractsfortheInternationalSaleofGoods.Instead,unlessexpresslyprohibitedbylocallaw,therightsandobligationsofthepartiesunderthisAgreementshallbegovernedbytheStateofCalifornia,andthelawsoftheUnitedStatesapplicabletherein.
