• I AGREE TO PAY a $20.00 Application Processing Fee and allow HTE to charge the credit card indicated above for this amount. • This program is available to all Distributors and/or Distributor’s Costumers in the United States with a minimum FICO credit score of 600.

• All BVP will be awarded in the month when the initial down payment is made. Commissions will be paid out at a percentage rate proportionately equal to the percentage rate of payments.

• All purchasers of SOQI Bed Set will be immediately promoted to Supervisor upon completion of their Distributor Application. • Supervisor status will revert to Distributor status if customer makes a partial return. • Payment methods are by credit card (Visa, Master Card, Discover or American Express) • Credit card deductions for Installment Payments will be made on the 20th of each month. For months in which the 20th falls on a weekend, the credit card

deductions will be made the following Monday. • All customers making partial returns will be required to pay the remaining balance in full. Example: A customer who decides to return one HotHouse from

the SOQI Bed Set will no longer be able to pay through installments and must immediately pay the remaining balance on the other products. • Returns made on SOQI Bed Set within the 14-day trial period will be refunded upon HTE’s receipt of all items. THE will assess a 30% restocking fee on

any return. All return items for SOQI Bed Set should be packed in the original, unmarked packaging including any accessories, manuals, documentation and registration that belong to SOQI Bed product. *** Restocking fee: The person who places the order will be responsible for a restocking fee of 30% of the order price if the order is returned to the company in any of following conditions: (i) the receiver refused to accept the order. (ii) UPS is unable to reach the receiver after 3 trial deliveries. For tax exempt sales please call customer service. The shipping fee won’t be refundable.

Buyer authorizes any holder of this Contract to release to credit bureaus, credit interchanges, and other grantors of credit such information relating to this transaction and Buyer’s creditworthiness as may be determined by such holder. RETURNS AND REFUNDS: Returns made on Package (Product) within the 14- day trial period will be refunded upon Seller’s receipt of all items. Buyer who makes partial returns of Package (Product) will be required to immediately pay the balance in full; and will be refunded the cost of returned item.

LOCATION OF COLLATERAL. The Product will be kept at Buyer’s address shown above unless

Buyer agrees not to remove the Product from the address designated herein unless he first notifies Seller and receives its express written consent, and not to sell, encumber, or abandon the Product or use it for hire or illegally, and to keep it free of liens. Whenever placed, the Product shall remain personal property and shall not become part of the freehold. DEFAULT Time is of the essence of this Contract. If Buyer fails to pay the Total Amount Due or any part thereof when due, or fails to observe or perform any of the terms and conditions of this Installment Sale contract and Security Agreement, or any warranty, representation, or statement of fact made to seller at any time by buyer is false or misleading in any material respect when made, or if there shall occur any substantial damage to or destruction of the product, or making any levy upon seizure or attachment of the product, or if Buyer shall become insolvent or commit an act of bankruptcy or make an assignment for the benefit of creditor, or if there shall be filed by or against buyer any petition for any relief under the bankruptcy law of the United States now or hereafter in effect, or under any insolvency, readjustment of debt, dissolution or liquidation law or statue of any jurisdiction now or hereafter in effect (whether at law or in equity), Seller may, without notice to (except as herein set forth) or demand upon buyer declare any part or all of the obligations and indebtedness immediately due and payable, and seller shall have the following rights and remedies in addiction to all the rights and remedies of a secured party under any statute. Seller’s right and remedies are cumulative and enforceable alternatively, successively or concurrently. Seller may, at any time or time, with or without judicial process and the assistance of others, enter upon any premises upon which the Product may be located and, without interference by Buyer, take possession of the product; and / or dispose of any part of the Product or the product on any premises of the buyer; and / or require Buyer, at Buyer’s expense, to assemble and make available to Seller the Product at any place and time designated by Seller and reasonably convenient to both parties; and/ or remove the product from any premises on which the same may be located, for the purpose of effecting sale or other disposition thereof; and / or to sell, resell, lease, assign, and deliver, grant options or otherwise dispose of any part of the product or the product in its then condition or following any commercially reasonable preparation or processing, at public or private sale or proceedings, with or without having the product at the place of sale or other disposition, for cash and/or credit, upon any terms and to such persons, firms, or corporations as seller deems best, all without demand for performance or any notice or advertisement whatsoever, except where an applicable statute requires reasonable notice of sale or other disposition. Buyer agrees that the sending of ten(10) days’ notice by ordinary mail, postage, prepaid, to any address of Buyer set forth in this Contract, of the place and time of any public sale or of this time after which any private sale or other intended disposition is to be made, shall be deemed reasonable notice thereof. If the product is sold by Buyer upon credit or for future delivery, Seller shall not be liable for the failure of the purchaser to pay for same, and in such event Seller may resell or otherwise dispose of the Product. Seller may apply the cash proceeds actually received from any sale or other disposition to the cost and expenses in connection therewith, including the expense of retaking, holding, preparing for sale, selling, or otherwise disposing of the Product, to reasonable attorney’s fees, to legal and travel expenses, premiums on bonds, sheriff’s, marshal’s, and auctioneer’s fees (including advertising and labor), and all other expenses that may be incurred by the Seller in attempting to collect the indebtedness hereunder, proceed against the Product or otherwise enforce this Installment Sales Contract Security agreement, or in the prosecution or defense of any action or proceeding related to he indebtedness hereunder of this Product Security Agreement, or in the balance of such cash proceeds actually received shall be applied to the indebtedness hereunder, and buyer

shall remain liable and will pay Seller on demand any deficiency remaining, together with any charges specified herein or in any instruments evidencing any of the obligations and indebtedness of the Buyer to the Seller, and the balance of any expenses unpaid, with any surplus to be paid to Buyer subject to any duty of Seller as a secured party imposed by law in favor of the Seller or the holder of any subordinate security interest in the Product known to Seller. Seller for Buyer without liability may, temporarily hold any personal property in the Product when so retaken, other than that sold under this Contract or that which has become part of the Product by accession. MODIFICATION AND WAIVER. No modification or waiver of any provision of this contract, and no consent by seller to any breach thereof by buyer, shall be effective unless such modification or waiver shall be in writing and signed by seller, and the same shall then be effective only for the period and on the conditions and for the specific instances and purposes specified in such writing. No course of dealing between Buyer and Seller in exercising any rights or remedies hereunder shall operate as a waiver or preclude the exercise of any other rights or remedies hereunder. All such rights and remedies shall continue unimpaired, notwithstanding any delay, extension of time, renewal, compromise or other indulgence granted with regard to any of the obligations. Buyer hereby waives all notice of any such delay, extension of time, renewal, compromise or other indulgence, and consents to be bound thereby as fully and effectually as if buyer had expressly agreed thereto in advance. Seller may negotiate this installment Sale and Security Agreement, without releasing Buyer or the Product. CUMULATIVE RIGHTS. All rights, remedies and powers granted to Seller herein, or in any instrument or document related hereto, or provided or implied by law or in equity shall be cumulative and may be exercised singly or concurrently on any one or more occasions. SEVERABILITY. Whenever possible, each provision of this Contract shall be interpreted in such manner as to be effective and valid under applicable law. But if any provision of this Contract shall be prohibited by or invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity, without invalidating the remainder of such provision or the remaining provisions of this Contract. NOTICES. Except as otherwise provided, all notices, requests, demands or other communications provided for herein shall be in writing and shall be deemed to have been given went by registered mail or certified mail, return receipt requested, addresses to the parties at their respective addresses hereinabove set forth, or at such other addresses as the parties may designate in writing. Each of the parties that comprise Buyer immediately shall notify Seller of any change in the address of Buyer or discontinuance of the place of business or residence of Buyer. APPLICABLE LAW. This contract shall be construed in accordance with and shall be governed bye the laws of the State of New York. The invalidity or unenforceability of any provision of this Contract shall not affect the validity or enforceability of any other provision of this Contract. Buyer covenants and agrees to execute and deliver to Seller for the purposes of effectuating the intent of this Contract. The captions in this Contract are for convenience only, and shall not be considered in construing this Contract. BENEFIT. This Contract shall be binding upon and inure to the benefit of the parties hereto and there respective heirs, executors, administrators, legal representative, successors and assigns. Seller may assign this Contract, and if assigned, the assignee shall be entitled, upon notifying Buyer, to the payment and performance of all of the obligations and agreements of Buyer hereunder and to all of the rights and remedies Seller hereunder, and Buyer will assert no claims or defenses Buyer may have against Seller against the assignee. The gender and number used in this Contract are used for reference term only and shall apply with the same effect whether the parties are masculine, feminine, neuter, singular or plural.
