General information on the land plot

Two adjacent land plots leased with the right of reconstruction of the existing buildings and construction of a multifunctional hotel, business and residential centre, and their further operation belong to Open Joint Stock Company “Kamenny Most” and Open Joint Stock Company “Kremlin Site” according to the leasehold for a term of 49 years.

The land plots are cleared, communication lines are placed outside the borders, archaeological excavations are partially made. The land plots are physically prepared for the work commencement.

Location: in the Central Administrative District of Moscow, in Yakimanka District.

Address: Sofiyskaya embankment, estate 4-12, Bolotnaya Square, estate 14, Moscow.

The construction of multifunctional apartment hotel complex is intended on the land plots with a total area of 3 ha, according to the initial project.

Location: the protected zone of the group of buildings of “Moscow Kremlin” in the western part of the block No. 359 of the Yakimanka District (adjacent to the Residence of Ambassador of Great Britain).

Private transport access to the Facility is provided from the sideline of Sofiyskaya embankment, Serafimovich street and Bolshaya Yakimanka street, as well as Bolotnaya Square. Nearest metro stations: “Borovitskaya”; “Tretyakovskaya”; “Polyanka”.

Yakimanka District is characterized as highly developed according to the infrastructure and business environment. Hotels, business centres, embassies, retail facilities, including restaurants and cafes, are located near the Project. The district is notable for its favorable environmental situation due to its location in the centre of the green/park areas, which are Borovitskaya Square, Taynitsky Garden and Alexander Garden.

In accordance with the land use regulations project and town-planning regulations:

Total area of the two land plots – 30,064 sq.m. Maximum total overground area of facilities –

45,635 sq.m. Restored monuments area – 8,935 sq.m. Total overground area of recoverable facilities is

not more than 36,700 sq.m; Land use ratio of every land plot is not more than

58%. Elevation point is not more than 17.1 m. Inclined roofs, chute pitch 12-15%, direct welt.

Colour – green (patinated copper) or gray (zinc-coated steel)

Location of the main blocks of development – perpendicularly to the embankment, parallel to Bolshoy Kamenny Bridge. Encumbrance: public pedestrian street in the centre of the plot, directed to the Borovitskaya Tower of the Moscow Kremlin.

Six buildings are situated on the land plots – administrative buildings with a total current area of 6,050 sq.m.

Five facilities have a historical value and are related to the newly discovered cultural heritage sites.

Buildings are provided with the preservation orders, according to which the restoration project should be agreed upon with the City of Moscow Cultural Heritage Committee.

Enlargement of the actual area of the buildings approximately to 8,935 sq.m. is possible during the restoration, that is confirmed by the notes in Unified State Register of Immovable Property Rights and Transactions.

Investors are offered to implement the unique project of comprehensive development in the center of Moscow, to create the integral concept of implementation of the Project together with the existing facilities.

1. Conclusion of the sale and purchase agreement:

6,024,958 (six million twenty-four thousand nine hundred fifty-eight) ordinary registered uncertificated shares of Open Joint Stock Company “Kamenny Most”, which amounts to 95.85% of the authorized capital of “Kamenny Most” OJSC and

 2,103,120 (two million one hundred three thousand one hundred twenty) ordinary registered uncertificated shares of Open Joint Stock Company “Kremlin Site”, which amounts to 95.16% of the authorized capital of “Kremlin Site” OJSC.

2. Conclusion of the agreement on assignment of claims under loan agreements concluded between “Kamenny Most” OJSC and “Kremlin Site” OJSC with the Shareowner of the specified Companies for a total amount of 1,124,000,000 rub.
