SECTION I – GENERAL OVERVIEW

A. PURPOSE: Georgia Behavioral Health Services, (hereinafter, GBHS) a subsidiary non-profit corporation founded by River Edge Behavioral Health Center (hereinafter, River Edge) is issuing this Invitation for Bid (IFB) to solicit services from all interested, qualified and licensed Pest Management Professional (hereafter referred to as the "PMP") who specialize in Pest Control Services and licensed in accordance with the Georgia Pesticide and Application Act and the Environmental Protection Agency. The purpose of this IFB is to establish a firm fixed price contract with one (1) qualified PMP, to provide Termite Inspection and Extermination Services in all administrative, outpatient care facilities, residential housing units, and areas for facilities managed and service provided by River Edge. PMPs are responsible for informing any commercial delivery service, if used, of all delivery requirements and for ensuring that the required address information appears on the outer wrapper or envelope used by such service. Submission by US Mail must be sent to the below address:

The submittal must be signed by a company officer who is legally authorized to enter into a contractual relationship in the name of the PMP.

3. CONTACT PERSON

PMPs are encouraged to contact Cass Hatcher, Director of Facilities & Housing at (478) 803-7753, by fax at (478) 803-8576 or email [email protected] to clarify any part of the IFB requirements. All questions that arise prior to the DEADLINE FOR QUESTIONS due date shall be directed to the contact person in writing via facsimile or email. Any unauthorized contact shall not be used as a basis for responding to this IFB and also may result in the disqualification of the PMP's submittal. The PMPs may not contact any elected official or other GBHS / River Edge employees to discuss the bid process or bid opportunities except: (1) through the Director of Facilities & Housing named herein, or (2) as provided by existing work agreement(s). This policy shall be strictly enforced and the GBHS reserves the right to reject the submittal of any PMP violating this provision.

4. ADDITIONAL INFORMATION/ADDENDA

GBHS will issue responses to inquiries and any other corrections or amendments it deems necessary in written addenda issued prior to the due date posted on the River Edge website under the bid information. PMPs should not rely on any representations, statements or explanations other than those made in this IFB or in any addendum to this IFB. Where there appears to be a conflict between the IFB and any addenda issued, the last addendum issued will prevail. PMPs are advised to check the website for addenda before submitting their bids. PMPs must acknowledge any issued addenda by including Attachment B Addenda Acknowledgement with the submittal. Proposals which fail to acknowledge the PMP’s receipt of any addendum will result in the rejection of the offer if the addendum contains information which substantively changes GBHS’s requirements.

5. LATE SUBMITTAL AND LATE MODIFICATIONS

Submittals received after the due date and time will not be considered. Modifications received after the due date will not be considered. GBHS assumes no responsibility for the premature opening of a proposal not properly addressed and identified, and/or delivered to the proper designation.

6. REJECTION OF PROPOSALS/CANCELLATION

GBHS reserves the right to reject any and all submittals and reserves the right to waive any irregularities or informalities in any submittal or in the submittal procedure, when to do so would be to the advantage of GBHS. GBHS reserves the right to cancel this IFB at any time.

7. MIMINUM IFB ACCEPTANCE PERIOD

Submittals shall be valid and may not be withdrawn for a period of 90 days from the date specified for receipt of submittals.

8. NON-COLLUSION AFFIDAVIT

By submitting a response to this IFB, the PMP represents and warrants that such proposal is genuine and not a sham or collusive or made in the interest or in behalf of any person not therein named and that the PMP has not directly or indirectly induced or solicited any other PMP to put in a sham proposal, or any other person, firm or corporation to refrain from submitting and that the PMP has not in any manner sought by collusion to secure to that PMP any advantage over any other PMP. By submitting a proposal, the PMP represents and warrants that no official or employee of GBHS and River Edge have, in any manner, an interest, directly or indirectly in the proposal or in the contract which may be made under it, or in any expected profits to arise there from.

9. COST INCURRED BY PMPS

All expenses involved with the preparation and submission of the IFB to GBHS, or any work performed in connection therewith is the responsibility of the PMP(s).

10. IFB OPENING

Only the names of the PMPs responding to this IFB will be read aloud publicly due to the fact that the proposals will be subject to an evaluation review for accurate qualifications. A list of names of firms responding to the IFB may be obtained from the River Edge’s website www.river-edge.org after the IFB due date and time stated herein.

11. OPEN RECORDS All materials submitted in connection with this IFB will be public documents and subject to the Open Records Act and all other laws of the State of Georgia, the United States of America and the open records policies of River Edge Board of Directors. All such materials shall remain the property of River Edge and will not be returned to the respondent.

12. TAXES GBHS is tax exempt. No sales tax will be charged on any products or services. GBHS cannot exempt any other person/PMP from applicable sales taxes that may be required of them in relations to this project. Selected PMP will be provided with GBHS Sales and Use Tax Certificate of Exemption number upon request.

13. PMP INFORMATION All submissions shall include a completed PMP information form, current copy of business license and current W-9. Failure to provide this information could result in the disqualification of the PMP from submitting a proposal.

14. INSURANCE All insurance certificates must have thirty (30) days written notice of cancellation, list GBHS as “Additional Insured,” list the site/work, and be ORIGINAL documents. The requested related information shall also be entered where provided for on the Profile of Firm Form.

DO NOT SUBMIT COPIES WITHIN THE BID SUBMITTAL. Prior to award the successful bidder must provide:

1. An original certificate evidencing the bidder’s current Workers Compensation insurance carrier and coverage amount.

2. An original certificate evidencing General Liability coverage, naming the GBHS as an additional insured, together with the appropriate endorsement to said policy reflecting the addition of the GBHS as an additional insured under said policy (minimum of $1,000,000 each occurrence, general aggregate minimum limit of $1,000,000, together with damage to premises and fire damage of $50,000 and medical expenses any one person of $5,000), with a deductible of not greater than $1,000.

3. An original certificate showing the bidder’s professional liability and/or “errors and omissions” coverage (minimum of $1,000,000 each occurrence, general aggregate minimum limit of $1,000,000), with a deductible of not greater than $1,000.

4. An original certificate showing the bidder’s automobile insurance coverage in a combined single limit of $500,000. For every vehicle utilized during the term of this program, when not owned by the entity, each vehicle must have evidence of automobile insurance coverage with limits of no less than $50,000/$100,000 and medical pay of $5,000.

15. BONDS If required, under SECTION II – SCOPE OF SERVICE of this document any combination of the following bonds may be requested by GBHS. A five percent (5%) bid bond, a one hundred percent (100%) payment bond, and a one hundred percent (100%) performance bond. All bonds would be payable to GBHS Board of Directors. Failure to submit appropriate bonding will result in automatic rejection of bid. Bonding company must be authorized to do business in Georgia by the Georgia Insurance Commission, listed in the Department of Treasury’s publication of companies holding certificates of authority as acceptable surety on Federal bonds and as acceptable reinsuring companies, and has an A.M. Best rating.

16. ANTI-DISCRIMINATION

GBHS, in accordance with Title VI of the Civil Rights Act of 1964, 42 U.S.C. 2000d to 2000d-4 and Title 49, Code of Federal Regulations, Department of Transportation, Subtitle A, Office of the Secretary, Part 21, Nondiscrimination in Federally-assisted programs of the Department of Transportation issued pursuant to such Act, hereby notifies all bidders that it will affirmatively ensure that in any contract entered into pursuant to this advertisement, disadvantaged business enterprises as defined at 49 CFR Part 23 will be afforded full opportunity to submit bids in response to this Invitation for Bid and will not be discriminated against on the grounds of race, color, national origin, sex, handicap/disability in consideration of an award.

By submitting their bids, all PMPs certify to GBHS that they will conform to the provisions of the Federal Civil Rights Act of 1964.

In every contract of over $10,000 the provisions in (1.) and (2.) below apply:

1. During the performance of this contract, the PMP agrees as follows: a. The PMP will not discriminate against any employee or applicant for

employment because of race, religion, color, sex or national origin, except where religion, sex or national origin is a bona fide occupational qualification reasonably necessary to the normal operation of the PMP. The PMP agrees to post in conspicuous places, available to employees and

applicants for employment, notices setting forth the provisions of this nondiscrimination clause.

b. The PMP, in all solicitations or advertisements for employees placed by or on behalf of the PMP, will state that such PMP is an equal opportunity employer.

c. Notices, advertisements and solicitations placed in accordance with federal law, rule or regulation shall be deemed sufficient for the purpose of meeting the requirements of this section.

2. The PMP will include the provisions of (1.) above in every subcontract or

purchase order of over $10,000 so that the provisions will be binding upon each subcontractor or PMP.

17. GEORGIA SECURITY AND IMMIGRATION COMPLIANCE ACT

PMPs submitting a Qualification package in response to this IFB must provide the following information in the package to indicate compliance with the Georgia Security and Immigration Compliance Act. The form is provided for completion.

1. A statement that indicates the PMP will conduct itself in compliance with O.C.G.A. §13-10-91 and Rule 300-10-.02 in the execution of the contract.

2. By completing the affidavit that is provided with this solicitation, the PMP is attesting to the following:

a. The affiant has registered with and is authorized to use the federal work authorization program;

b. The user identification number and date of authorization for the affiant; c. The affiant is using and will continue to use the federal work

authorization program throughout the contract period; d. Any employee, PMP, or subcontractor of such PMP or subcontractor shall

also be required to satisfy the requirements set forth in this paragraph; and

e. Upon contracting with a new subcontractor, a PMP or subcontractor shall notify GBHS and shall deliver a completed Subcontractor Affidavit to GBHS within five (5) working days of entering into a contract or agreement of hire with the subcontractor before the new subcontractor begins any work.

3. Failure to provide the completed and notarized affidavit with the PMP’s proposal will result in immediate disqualification as required by the Georgia Security and Immigration Compliance Act.

END OF SECTION I

INVITATION FOR BIDS (IFB) Termite Inspection & Extermination Services

SECTION II – GENERAL CONDITIONS

A. PURPOSE:

Georgia Behavioral Health Services, (hereinafter, GBHS) a subsidiary non-profit corporation founded by River Edge Behavioral Health Center (hereinafter, River Edge) is soliciting bids from qualified and licensed Pest Management Professional (hereafter referred to as the "PMP"), who specialize in Pest Control Services and who are licensed in accordance with the Georgia Pesticide and Application Act and the Environmental Protection Agency to provide Termite Inspection and Extermination Services at GBHS housing developments and offices as are or may become necessary. The successful PMP shall provide all necessary equipment, materials, transportation/delivery, and labor to provide the inspection, monitoring, and treatment services for termite services as needed in various GBHS locations beginning FY2015. Other pest control services are not part of this bid. GBHS does not guarantee a minimum value for this contract.

B. CONTRACT PERIOD:

The initial term of a contract awarded as a result of this IFB shall be from August 1, 2015 through July 31, 2016. The contract may be renewed according to the terms stated herein for five (5) additional one (1) year periods. The contract shall terminate absolutely and without further obligation at such time as appropriated and otherwise unobligated funds are no longer available to satisfy the obligations of GBHS under this contract. If, at any time, GBHS determines it is in its best interest to discontinue use of these services GBHS reserves the right to cancel this Agreement by giving thirty (30) days advance written notice.

C. SCOPE OF SERVICE: The Scope of Services, as may be modified through negotiation and/or by written addendum issued by GBHS, will be made part of this Agreement. PMPs interested in obtaining a contract with GBHS for providing PMP services shall prepare a written bid to include, but not be limited to, the following terms and conditions: 1. TERMITE TREATMENT SERVICE

Upon receipt, the PMP shall perform a termite treatment service at a specific site covered under this agreement. The treatment shall comply with all professional standards and applicable laws. Upon the completion of a termite treatment service, the PMP shall issue a “termite warranty” for that site. The warranty will permit, for one year from date of issuance, re-treatments (as necessary) at no additional cost to GBHS.

2. YEARLY TERMITE INSPECTION Once per year the successful PMP shall inspect each facility covered by this contract. This inspection shall be a standard examination for evidence of termites.

GBHS reserves the right to amend locations during the course of the term contract. 3. SPECIAL TREATMENT SERVICE

Upon request, for non-warranted sites, the PMP shall provide termite treatment services for selected areas of sites. This service shall be charged to GBHS.

4. SPECIFICATIONS PMP shall provide Facilities Director with the Material Safety Data Sheets (hereafter “MSDS”), if available on all products to be used prior to first application. All chemicals used must be in accordance with the Georgia Pesticide and Application Act and the Environmental Protection Agency. The PMP shall provide the following services:

a. Bait system for soil treatment below slab—on-grade for subterranean termites. b. Bait system soil treatment at interior and exterior of building subterranean termites.

5. PMP’S PERSONNEL

The PMP is responsible for providing pesticide applicators that have been trained and certified to handle and apply the classes of pesticide products necessary to implement the termite control program. PMP must be an established business with a minimum of five (5) years hands-on experience in Pest Control Services.

6. LEGAL AND PROPER APPLICATION OF PRODUCT The PMP is further responsible for fully complying with all applicable federal, state and local pesticide laws and regulations. No pesticide shall be used in any manner inconsistent with its labeling. All pesticides used in the pest control program shall be properly labeled for the control of termites against which they are being used and label instructions shall be strictly followed. The PMP shall be responsible for the safe use and application of the pesticides used in the termite control program. Protective clothing, equipment and devices shall, as a minimum, conform to Occupational Safety and Health Administration (OSHA) standards for the products being used.

7. APPLICATION OF PRODUCT Apply toxicant in accordance with manufacturer’s published instructions. No product shall be used in any manner inconsistent with its labeling. All pesticides used in the termite control program shall be properly labeled for the control of the termites against which they are being used and label instructions shall be strictly followed.

8. INSPECTION OF BUILDINGS

PMP shall be responsible for assessing the size and conditions of all listed buildings prior to submitting the bid. PMP’s failure to do so will not excuse the PMP from fulfilling the terms of the resulting contract.

9. BUILDINGS AND LOCATIONS

Following is a list of buildings and/or locations that will require Termite Inspection and Extermination Services. The list provided includes the locations to be serviced but is not limited to the following:

10. HOURS OF SERVICE

Service shall be provided yearly during the regular business hours of each building (typically 9:00 A.M. until 4:30 P.M.) Monday thru Friday. On occasion the PMP may be required to perform service before or after regular business hours, or on non-business days. There will be no additional charge for these services. For the purpose of pricing, the PMP should understand that treatment of facilities means treating the inside and outside of buildings. With that said, when treating the inside of buildings when people are present shall be sprayed during outside normal business hours.

The successful PMP must coordinate and schedule all treatments with the Director of Facilities and Housing and with each Department Head prior to arrival. Failure to

coordinate in advance may result in PMP not being able to treat facilities. GBHS will not pay for services not rendered due to lack to scheduling.

11. QUALITY CONTROL

Applications: Must be a company specializing in soil treatment for termite control with five years documented experience. Materials: PMP must provide certification that toxicants conform to specified requirements of the authorities having jurisdiction.

12. CRITICAL AREAS Areas such as, crawl spaces, sink rooms, mop rooms, storage areas, wire closets, toilet rooms, kitchens and loading docks are considered to require concentrated attention. Such areas will receive intensive preventive treatments for the life of the contract.

13. WARRANTED SERVICE

Inspect work annually and report findings in writing to the appropriate GBHS

representative.

A one year warranty, (at a minimum) must be included and provided to designated GBHS representative. The warranty entitles GBHS to re-treatment at no charge to GBHS during that year. All warranty conditions, including damage policy must be attached and expressly noted.

14. RE-TREATMENT

If inspection identifies the presence of termites, retreat infested areas and re-test (at no additional cost to GBHS).

15. USE OF PREMISES During the progress of the work, the PMP shall keep the premises free from accumulations of waste materials, and other debris resulting from the work. At the completion of the work, the PMP shall remove all waste materials, and debris from, and about the premises as well as tools, equipment, machinery, and surplus materials, and leave the site clean and ready for occupancy.

16. SAFETY AND PROTECTION The PMP shall be solely and completely responsible for initiating, maintaining and supervising all safety precautions and programs in connection with the work. The PMP shall take all necessary precautions for the safety of, and shall provide the necessary protection to prevent injury to, all employees on the work site and other persons including but not limited to, the general public who may be affected thereby. The PMP shall be responsible for providing and for the placement of barricades, tarps, plastic, flag tape and other safety/traffic control equipment required to protect the public, surrounding areas, equipment and vehicles. The flow of vehicular traffic shall not be impeded at any time during the project. The safety of the public is of prime concern to the GBHS, and all costs associated are the responsibility of the PMP.

17. STRUCTURAL MODIFICATIONS Any modification of any structure covered by this contract shall be done by GBHS.

INVITATION FOR BIDS (IFB) Termite Inspection & Extermination Services

Any penetration or the drilling of access ports to accommodate the treatment of our facilities must be coordinated so as not to disrupt operations w/o prior consent of the facilities manager or create friable asbestos at any location. Any encounter must meet all appropriate governmental policies such as: EPA and OSHA Regulations and all other regulatory authorities for pest operations.

18. PERMITS AND LICENSURE REQUIREMENTS

The PMP MUST hold a current pesticide license issued by the State of Georgia. Proof of licensing: Vendor shall submit proof of professional license, insurance and business license in bid response.

19. PRICING

The PMP must complete the PMP’s Price Proposal Form. a. Pricing shall remain as bid for the entire 12-month contract period with GBHS option

to renew for (1) additional 12-month contract.

b. Billable work will begin at time PMP or their employee(s) arrive on job site. c. GBHS will not pay for travel time to job site.

The Director of Facilities and Housing will determine whether the Respondent has met the experience and staff qualifications described in this IFB.

GBHS shall be the sole judge of the provider’s ability to meet the requirements set forth. Their decision in determining responsible and responsive provider(s) will be final. GBHS reserves the right to act in its best interest in this determinations process, to waive all technicalities, and to select the most responsible and responsive treatment provider.

D. ADMINISTRATION

The project will be administered by the GBHS Board of Directors with the GBHS Facilities & Housing Department being the main point of contact for all questions during the term of the contract.

E. PROCEDURES AND MISCELLANEOUS ITEMS All questions shall be submitted in writing (e-mail is acceptable) and shall be communicated in the form of an addenda if the scope specifications are to be affected and posted on the River Edge’s website under the bid information, all PMP responding to this IFB should check the website before responding to this IFB. All respondents to this IFB shall indemnify and hold harmless the GBHS Board of Directors and any of their officers and employees from all suits and claims alleged to be a result of this IFB. The issuance of this IFB constitutes only an invitation to present a proposal. The GBHS Board of Directors reserve the right to determine, at its sole discretion, whether any aspect of a respondent's submittal meets the criteria in this IFB. The GBHS Board of Directors also reserves the right to seek clarifications, to negotiate with any PMP submitting a response, to reject any or all responses with or without cause, and to modify the procurement process and schedule. In the event that this IFB is withdrawn or the project canceled for any reason, the GBHS Board of Directors shall have no liability to any respondent for any costs or expenses incurred in connection with this IFB or otherwise.

INVITATION FOR BIDS (IFB) Termite Inspection & Extermination Services

The IFB is subject to the provisions of the GBHS Procurement Policy and any revisions thereto, which are hereby incorporated into this IFB in their entirety except as amended or superseded herein. Failure to submit all the mandatory forms from this IFB package shall be just cause for the rejection of the qualification package. However, GBHS reserves the right to decide, on a case by case basis, in its sole discretion, whether or not to reject such a bid as non-responsive. Any payment terms requiring payment in less than 30 days will be regarded as requiring payment 30 days after invoice or delivery, whichever occurs last. This shall not affect offers of discounts for payment less than 30 days, however. In case of failure to deliver goods in accordance with the contract terms and conditions, GBHS, after due oral or written notice, may procure substitute goods or services from other sources and hold the PMP responsible for any resulting additional purchasing and administrative costs. This remedy shall be in addition to any other remedies which GBHS may have. By submitting a qualification package, the PMP is certifying that they are not currently debarred from bidding on contracts by any agency of the State of Georgia, nor are they an agent of any person or entity that is currently debarred from submitting bids on contacts by any agency of the State of Georgia. Any contract resulting from this IFB shall be governed in all respects by the laws of the State of Georgia and any litigation with respect thereto shall be brought in the courts of the State of Georgia. Then PMP shall comply with applicable federal, state, and local laws and regulations. It is understood and agreed between the parties herein that GBHS shall be bound hereunder only to the extent of the funds available or which may hereafter become available for the purpose of this agreement. Each proposal should be prepared simply and economically, avoiding the use of elaborate promotional materials beyond those sufficient to provide a complete presentation. The cost for developing the submittal is the sole responsibility of the respondent.

G. FINAL SELECTION Following review of all qualified proposals, selection of a suitable vendor, and preliminary contract negotiations, a recommendation will be made to the GBHS Board of Directors by the Director of Facilities & Housing. Following Board approval, the GBHS will complete contract negotiations. The GBHS Board of Directors reserves the right to accept the response that is determined to be in the best interest of the GBHS. The Board reserves the right to reject any and or all proposals. Every vendor submitting a proposal must complete the forms showing compliance with the GEORGIA SECURITY AND IMMIGRATION COMPLIANCE ACT OCGA §13-10-90. The forms are provided with this IFB package.

As per the Georgia Senate Bill 529 and Senate Bill 447, the Georgia Department of Labor has promulgated new rules for the implementation of Section 2. O.C.G.A. §13-10-91 and Chapter 300-10-01-.02 state that no Georgia Public Employer shall enter into a contract for the physical performance of services within the State of Georgia unless the Contractor registers and participates in a federal work authorization program to verify the work eligibility information of all of its new employees. The Employment Eligibility Verification “E-Verify” site operated by the U.S. Citizenship and Immigration Services Bureau of the U.S. Department of Homeland Security is the electronic federal work authorization program to be utilized for these purposes. The website is https://e-verify.uscis.gov/enroll/ By executing the attached Contractor Affidavit, Contractor verifies its compliance with O.C.G.A. §13-10-91 stating affirmatively that the individual, firm or corporation which is contracting with the GBHS Board of Directors has registered and is participating in this federal work authorization program in accordance with the applicability provisions and deadlines established in this Statute.
