The holidays are a special time of year and traditions are often at the heart of family activities. The annual downtown Santa Rosa tree lighting—Winter Lights—is one event that the community looks forward to with much anticipation.

Winter Lights brings our community together to celebrate the holidays with activities for all ages. It’s a family-focused event with live entertainment, children’s activities, and food & beverage, culminating with the Sutter Care at Home and Hospice remembrance candle lighting ceremony and the holiday tree lighting. This beloved celebration in downtown Santa Rosa is free and open to the public with an expected attendance of 4,000-5,000 people!

We’re looking for restaurants, caterers, food trucks and snack creators to promote and highlight their food and beverage offerings. This is a great opportunity to promote your business to local residents. Winter Lights is free and open to the public with an expected attendance of 4,000-5,000 people, so there’s plenty of opportunity.

You can set your own pricing for the food you sell. As a vendor, you keep all proceeds, but you’re responsible for own cash handling and menu offerings. Please note: while we’ll make an honest effort at not doubling up on menu items, we cannot guarantee that you’ll be the exclusive vendor of a particular type of item.

To secure your spot, there’s a non-refundable registration fee due at the time of registration:• $125 for a 10’x10’ booth space• $200 for a 10’x20’ food truck space

In addition to the Food Vendor Application and Vendor Agreement in this packet, you’ll need to provide us with supporting documentation: • Certificate of Insurance, • Health Permit, • Seller’s Permit, • Santa Rosa Business Tax Certificate, and • Propane License (if applicable)by November 2. You can apply for a Propane License through the Santa Rosa Fire Department.

Downtown merchant applications due by August 31 to secure priority space. After August 31, space will be opened up to non-downtown Santa Rosa vendors.

THIS VENDOR AGREEMENT (“Agreement”), dated as of_______________________, 2018, is made by and between THE SANTA ROSA METRO CHAMBER (“SRMC”), and _____________________________(“Vendor”).

RECITALS

A. The SRMC, in coordination with the Winter Lights Planning Committee (“WLPC”), is organizing the annual holiday tree lighting event with live music and entertainment on November 23, 2018 (the “Event”) at Courthouse Square in Santa Rosa (the “Event Location”).

B. Vendor desires to sell its goods at the Event upon the following terms and conditions.

AGREEMENT

NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties hereto agree as follows:

1. Non-Refundable Registration Fee. The fee is $125 for 10 x 10 booth, $200 for 10 x 20 booth. Fee to be submitted with application and is non-refundable. Application and fee are due before November 2, 2018.

2. Concession Booth. Vendor may set up a concession booth at the Event in an area not to exceed space reserved, the location of which will be assigned to Vendor at the sole discretion of the WLPC. Vendor will be responsible and liable for delivery, handling, assembly, and removal of its booth and all supplies, materials, and trash in connection with selling its goods at the Event. If Vendor will be barbequing, frying or otherwise cooking food at its booth, it must have a fire extinguisher present at all times. Hot coals or cooking oil may not be disposed of (e.g. in garbage cans at the Event Location) at the Event Location and must be removed by Vendor at the end of the Event. Signage cannot extend beyond the boundaries of assigned booth space. Booth areas must be kept neat, clean & in compliance with all governmental statutes, ordinances & regulations at all times.

3. Setup; Takedown. Vendor acknowledges it will only be permitted to set-up its concession booth between 1:00 pm and 3:00 pm on the day of the Event. Vendor’s automobiles must be removed from the Event Location no later than 3:00 pm on the day of the Event or will be subject to towing. Vendor’s booth, materials and supplies cannot be removed until the end of the Event (after 8:00 pm) and after the general public has vacated the Event Location. All trash & spills must be cleaned up and Vendor’s assigned booth area must be left broom clean.

4. No Alcohol Sales. Vendor acknowledges and agrees that it may not sell beer, wine, liquor or any other alcoholic beverage whatsoever at the Event.

5. Insurance. Vendor shall, at its own expense, procure and maintain General Liability insurance providing liability coverage for its participation in the Event. Such insurance shall have a minimum policy limit of $1,000,000 per occurrence and $2,000,000 in the aggregate for bodily injury or death. Vendor shall provide the SRMC with a Certificate of Insurance evidencing the foregoing insurance, which Certificate shall name the SRMC as an additional insured by November 9, 2018.

6. Release. In consideration for the opportunity to sell its products at the Event, Vendor hereby agrees that the SRMC shall not be liable for loss or damage of any kind to Vendor’s property or goods, and further, Vendor agrees to release, indemnify and hold harmless the SRMC, its directors, officers, agents, employees, volunteers, sponsors, and partners, from any and all claims, demands, suits, or cause of action from injury, damage, or loss to person or property asserted by any Event patron, Vendor or its employees, volunteers, agents, and customers, of whatever kind or nature, in law, equity, or otherwise, whether known or unknown, suspected or unsuspected, and whether or not concealed or hidden, arising from or in connection with Vendor’s participation and sale of its goods at the Event or Vendor’s breach of any of the terms or conditions of this Agreement. Vendor further expressly agrees that the forgoing release and indemnity is intended to be as broad and inclusive as permitted by the laws of the State of California and that if any portion thereof is held invalid, Vendor agrees that the balance of the foregoing release and indemnity shall continue in full force and effect.

7. Compliance With Applicable Laws. Vendor acknowledges and agrees it shall be responsible for satisfying any and all applicable local, state and federal tax, health and safety requirements, laws and regulations. Vendor shall provide the SRMC with photocopies of its current Health Permit, Sellers Permit & Santa Rosa Business Tax Certificate. If Vendor will be using propane, Vendor will also provide the SRMC copy of Vendor’s Propane Use Permit.

8. Cancellation. Vendor may cancel this Agreement at any time; however the registration fee will be non-refundable. The SRMC will have the sole discretion to cancel the Event due to weather.

9. Misc. This Agreement constitutes the entire agreement between the parties. No amendment or modification of this Agreement shall be valid unless it is in writing and signed by the parties hereto. This agreement will inure to the benefit of and bind the parties successors and assigns. No waiver of any breach of any term of this Agreement shall be deemed the waiver of any other breaches, and no such waiver shall estop either party from enforcing any provision of this Agreement. This Agreement may be executed in counterparts. In the event of any litigation between the parties arising from this Agreement the prevailing party shall be entitled to recover its reasonable attorney’s fees and costs.
