Executive SummaryHydroponics is a rapidly growing industry being adapted around the world for crop production. Unlike conventional soil-based methods of horticulture, hydroponics is a method of growing plants using water without soil. This method has been proven as more cost-effective, producing higher plant yields and being more environmentally friendly. While a number of factors have led to the increased usage of hydroponics, the liberalization of medical marijuana laws is sprouting new opportunities for the hydroponics industry.

weGrow is the first hydroponic retailer to sell products and services that specifically cater to the growing medical marijuana community. Traditional hydroponic retailers do not allow for any discussions pertaining to medical marijuana cultivation, despite a large majority of their customers purchasing products specifically for that purpose. weGrow does not sell any marijuana, only products and services to help safely and responsibly cultivate it.

In a weGrow store customers can expect to find a 6,000 - 15,000 square foot warehouse with some of the largest inventories of hydroponic equipment. Since many weGrow customers are seeing an indoor hydroponic system for the first time, weGrow stores include live grow demonstrations with real plants. To promote compliance, weGrow locations sub-lease space to medical doctors that can issue patient recommendations, so customers can get their cannabis cards on-site. weGrow has also partnered with the University of Cannabis, which is the first online university for medical cannabis learning, and customers can purchase classes to learn about horticulture, propagation, grow room construction, and other various cannabis curriculums. Finally weGrow also offers the Bloom Room, which is a team of expert technicians providing consultations, grow room construction and plant management assistance so patients can learn hands-on by professionals and maximize their crop’s quality and yield.

The innovative business model and niche market sprouted a lot of interest from local, national and international media. On the opening day of weGrow’s first location in Oakland, California, on January 28th, 2010, weGrow made headlines on Yahoo News, San Francisco Chronicle, CNN, Life Magazine, and other top publications. San

Francisco Chronicle called weGrow “The Walmart of Weed.” CNN called weGrow “The retail king of marijuana growing.” Since, weGrow has been featured multiple on times on NYTimes, LATimes, Tokyo TV, London Times, the Atlantic, and other top publications. In February 2011 weGrow founder Dhar Mann made the front cover of Mother Jones magazine.

The high-level exposure of weGrow attracted the interest of many investors worldwide. Inquiries came from around the world for investment opportunities within weGrow , and amongst other entry points, for franchise opportunities. Mann decided to add a link on weGrow‘s website for individuals that would be interested in owning a franchise, and overnight seventy-five (75) individuals filled out franchise applications. Mann began to assemble some of the top franchise consultants in the country, and in February 2011, just a year after the original grand opening, weGrow Sacramento opened as the first weGrow franchise.

weGrow Sacramento opened its doors to just as much media exposure as the original weGrow opening in Oakland, making headlines on Times, Huffington Post, Bloomberg and other top publications. Fox’s Geraldo Rivera, in a feature on weGrow , said “This type of business [could] be the next dot-com.” Fast Company said “Clearly, there is a hungry customer base for shops such as these.” Even comedian George Lopez did a 45-second feature on Sacramento’s “medical marijuana superstore.” By spring 2011 weGrow will be featured in documentaries on National Geographic and PBS’ Frontline, and offers from top-level production companies for a reality show have been received.

weGrow has immediate plans to open stores across the country. weGrow expects to have 10 stores open by the end of 2011 in 6 states, with even faster growth rates anticipated in 2012. Currently 16 states, in addition to DC, have medical marijuana programs, and additional states are expected to legalize each year, opening up new market opportunities for weGrow stores. weGrow has even received inquiries from Canada, Australia, Europe and Asia, and plans to explore these markets in the future

The IndustryHydroponicsHydroponics represents one of the fastest growing sectors in our economy today. Consumers are becoming increasingly concerned with where their fruits, vegetables and medicinal plants are coming from, and are now choosing to grow for themselves. Combine this with a rapid loss of commercial cultivation land due to urbanization, an increasingly health conscious society and more liberal laws surrounding medical cannabis, it’s no wonder the hydroponics industry is exploding. Until now, retail hydroponics has been a relatively fractured market. Most storeowners are single store operators, without any significant store presence or brand name outside their immediate areas. Think about it- how many hydroponic retail stores can you name outside of your city? Probably not a lot. And that means these single storeowners do not have the power of numbers giving weGrow the perfect opportunity to be the first significant retail chain in hydroponics. With our professional customer service standards, worldwide brand awareness, aggregate purchasing power and strategic relationships with product manufacturers, weGrow is positioned to be the leader in retail hydroponics.

MEDICAL MARIJUANAWhat does medical marijuana have to do with the hydroponics industry? Well, while all of the other hydroponic store are not open about it, a large percentage of customers are medical marijuana cultivators. Medical marijuana is the largest cash crop in the United States, larger than corn and wheat combined. Recent studies estimate that marijuana production exceeds the combined value of corn ($23.3 billion) and wheat ($7.5 billion) at an estimated value of $35.8 billion. 16 states have already passed medical marijuana legislation with more already considering it. In California alone cannabis is responsible for $14 billion a year in sales, dwarfing the state’s other agricultural commodities. This medical marijuana boom means big bucks for hydroponics. We are facing a time where governments are in desperate need of tax revenues, law enforcement is understaffed and underequipped to deal with non-violent crimes, a new more progressive government has taken place, and convincing new evidence has emerged validating cannabis for its’ medical value. Now policymakers are looking to medical marijuana as a solution for some of our current economic and social problems. And as laws regarding medical cannabis become more liberal, economists predict this will lead to an upward surge in cannabis consumption and cultivation, placing higher demands on hydroponic equipment. As more individuals decide to join collectives, become caretakers or grow their own medicine, they all need to purchase their grow equipment from a hydroponics store, and that’s why medical marijuana cultivators represent a significant revenue source for our business. We’re just the first to admit it.

The CompanyTHE INCEPTIONweGrow started on January 28, 2010, by Dhar Mann, in Oakland, California. He opened a 15,000 square foot facility next to the Oakland International Airport. The grand opening ribbon cutting included many elected officials, media coverage from around the world and thousands of activists and customers astounded by the new store and concept. It wasn’t the first hydroponics store in Oakland- in fact there were a handful of other established stores that had been around for several years. So why was weGrow different than any other hydroponics store on the planet?

OUR HONEST APPROACH TO HYDROPONICSThe inspiration of weGrow came shortly before our grand opening when Mann decided to start his own indoor garden. He went to a local hydroponics shop in Northern California looking to buy some equipment and obtain some information. He noticed signs all over the store that prohibited any discussion of medical marijuana, even though it was legal in the city, county and state. Mann was an existing cannabis patient and wanted to purchase hydro equipment to start a small cannabis garden. When he asked the sales clerk for assistance with starting a medical marijuana grow, Mann was kicked out of the store for just mentioning the words.

Mann couldn’t believe that hydroponic store could be so hypocritical. It was obvious that most of the customers in the store were not spending thousands of dollars on systems to grow indoor tomatoes. He also discovered that many hydroponics storeowners had their own cannabis grow operations, although they refused to give any information or assistance to new growers. So where were medical cannabis patients supposed to go to receive information and assistance for cultivation? He couldn’t believe how difficult it was to get any help for setting up a cannabis garden and wondered how many medical cannabis patients had similar experiences.

So he decided to set up the world’s first hydroponics store that would openly discuss the real interests of most hydro store customers, dubbing it the “first honest hydro store.” In addition to selling all of the equipment typically found within hydro stores, such as lights, hoods, ballasts, reservoirs and growing mediums, Mann wanted to offer a full array of resources to all cultivators, including cannabis patients. These services included an on-site medical marijuana doctor that could perform evaluations for cannabis cards, a team of highly skilled technicians called the Bloom Room that could assist with consultations and build-outs, live plant demonstrations so growers could visualize a complete hydroponic setup, and finally a University specializing in cannabis education and training. All of these services were aimed at bringing medical marijuana cultivators into compliance and providing customers additional learning resources for becoming better gardeners.

THE GRAND OPENINGOn January 28, 2010, the grand opening of this new concept came with huge success, attracting thousands of people to the event and receiving worldwide media coverage including CNN, MSNBC, and NYTimes. Mann’s honest approach to hydroponics and the innovative business model sparked a lot of interest and desire from new customers, the media and medical marijuana advocates. Customers poured in from all over the states and weGrow‘s inventory turned over more quickly than he ever imagined. The creative business model quickly made history and headlines around the world.

DECISION TO FRANCHISEAs word spread about the first hydroponics store to offer a full set of services for cultivators and openly discuss medical marijuana, tourists from around the world inspired by this new concept traveled to come and see this innovative store. Investors from New York to China called inquiring about investment opportunities. Even existing hydroponic store inquired about converting their stores into a weGrow brand. This strong interest from the public and opportunists coupled with the boom of the hydroponics industry convinced Mann it was time to bring this new idea all across the United States.

Mann began identifying emerging markets for the hydroponics industry and setting expansion goals. He decided the most effective way to meet their expansion goals and give other entrepreneurs’ opportunities was to set up weGrow as a franchise. He began by simply adding a franchising inquiry link on the weGrow website, and within 24-hours over seventy-five (75) franchise applications were received. In February 2011, just a year after our grand opening, our first franchise store opened in Sacramento, California. Today, weGrow has over a dozen new store locations in planning across several states, with immediate plans to expand up to ten (10) locations by the end of 2011.

We work very hard and invest a lot in developing a global brand so it’s important that each store provides upstanding representation as to why weGrow is the leader in retail hydroponics.

Finally, while we recognize providing robust services and customer experiences are important, we understand that pricing is still the number one factor driving customer choices. That’s when having you as part of our team becomes so valuable. With all of our franchisees we are able to increase our aggregate purchasing power and take advantage of more competitive pricing. We strive to source many of our products directly from factories they are manufactured in, which means we can buy our products significantly below wholesale cost and our competition. Our direct purchasing relationships give franchise owners higher profitability and better pricing than industry competition. Since most of the competition is single storeowners, they cannot solicit the interest of overseas factories with their small purchase orders. With our ability to pool together larger orders from all of our store locations, we receive special pricing relationships, allowing our stores to capture not only service-oriented clientele, but now also bargain shoppers seeking cheaper prices.

By offering our products cheaper than our competitors, providing a positive customer service experience and turnkey cultivation resources, it is no wonder that weGrow is the ONLY hydroponics store to have been featured on CNN, NY Times, Life Magazine, Associated Press, Dr. OZ, TIME, and many, many more global and local media outlets.

Legal Counsel – Scott MarchScott March has practiced franchise law for over 25 years. He is certified as a Franchise and Distribution Law Specialist by the California State Bar Board of Legal Specialization and serves as a Vice-Chairperson of the California Bar Franchise Law Committee. He also is admitted to practice in Hawaii and the District of Columbia. He has represented both franchisors and franchisees, giving him a broad prospective when drafting documents and dealing with issues in the field. He holds a Certificate in Franchise Management from Georgetown University and earned his MBA while serving as an Air Force officer.

Financial Advisory – Walt TchirkineWith more than twenty years of public accounting experience, Waltis well-known for his creative expertise in the area of taxation. He isable to assist in important phases from business start-ups to businessoperations. Walt is a tax and consulting stockholder at RINA Accountancy Corporation and specializes in franchising. He has advised both franchisors and franchisees. He is a member of the California Society of Certified Public Accountants and the American Institute of Certified Public Accountants.

Human Resources - Erica Reed-EllisErica Reed holds a Bachelor of Science degree in Business Management and a Masters Degree in Human Resources. Erica has been working in the human resource field for over a dozen years and has been a member of SHRM-Society for human resource management since 2007. She manages the overall provision of human resource services, policies, and programs for weGrow. She has established standards and information material that can assist each franchisee with their respective store development and management.

Marketing & Public Relations - Melissa RzeppaMelissa Rzeppa is a Partner and Public Relations Director at Serendipit Consulting in Phoenix, Arizona. Melissa focuses on developing and executing creative public relations and social media strategies for clients in a variety of industries. PRICINGPerhaps the biggest advantage of being a weGrow franchisee is access to more products at lower prices than your competition. Given that the hydroponics industry is relatively fragmented without a significant large retailer presence, the existing distribution process entails hydroponic storeowners buying all of their products from middlemen distribution companies. These distribution companies who service sometimes hundreds of hydroponic stores aggregate the purchasing power of these stores and can make large purchases directly from manufacturers with substantial savings. Since the order volume of a single store would not produce the order volume necessary to attract the interest of manufacturers directly, they have no choice but to pay high markups to these distribution companies.

Unlike other hydroponic stores, weGrow is able to combine the purchasing power of all of its stores and source a lot of our products direct from factories, avoiding the middlemen. We take advantage of larger economies of scale to place big orders and save our franchisees money. Often weGrow purchases products significantly cheaper than the cost of our competition, so other retailers will not be able to compete with your pricing. And as your sales volume increases, you will have access to larger discounts allowing for even higher profit margins. With each store that opens, weGrow is able to leverage the additional purchasing power to negotiate even better terms with our suppliers. We have the ability to aggregate the purchasing of all of our stores, while other storeowners typically are just purchasing for their single store, not giving them much room to negotiate. By bundling our purchasing across our stores, we can purchase containers of products rather than palettes, making us a more valuable customer to our suppliers and affording us even better pricing. In the future, all of our products will be sourced directly from manufacturers, eliminating the need for distributors completely. To keep pace with the demand of the hydroponics industry and our expansion plans, we have decided the quickest way of covering new territories where weGrow products are demanded is to work with aggressive new store owners interested in creating their own business opportunities. OPPORTUNITIESWithin the above green states we are looking to create strong relationships with professionals and entrepreneurs interested in this unique opportunity. The two types of franchising opportunities that currently exist are for franchisees and multi-unit developers.

Franchisees are interested businesspeople that want to open up a hydroponics store. They enjoy the thrill of running a day-to-day business, interacting with customers, managing employees and receiving daily revenues. Typically franchisees have experience in retail environments and either have worked within the industry or recognize the industry’s growth potential. Franchisees pay a fixed fee to use the weGrow business model and individually own their own stores. BLOOM ROOM The Bloom Room provides expert technician services for cultivators. From in-store product consultations, to design and consulting services, to in-home grow room buildouts, Bloom Room is the leading group of technicians specializing in indoor grow room setups. As any grower can tell you, building out a grow room takes a lot of manpower and a specialized skill set. There are also a number of risks involved that Bloom Room can help mitigate through our experienced and highly trained staff, helping customers maximize safety and stay within compliance. Bloom Room technicians may be set up as independent contractors and typically earn from $20-25/hr. Each hour of service is billed to clients at a rate averaging $95/hr, allowing a significant profit margin for these types of services. During your training session a significant portion will be dedicated to Bloom Room training, including all forms, legal disclosures and professional skills training. If performed correctly the Bloom Room can be a significant profit center for weGrow franchisees. And considering many Bloom Room build-outs require products from your weGrow retail store, the Bloom Room is an excellent source to create a reoccurring revenue stream for your retail arm.

UNIVERSITY OF CANNABISThe University of Cannabis is the largest school for marijuana education with over 30 different classes, 10 academic departments, a graduate learning program and capacities to seat over 3,000 students in an online or physical classroom setting. There has been a strong interest in medical marijuana across the United States, and as demand increases so has demand for information. weGrow will help you with setting up your University and offer you access to highly trained professors, structured curriculum and a successful educational system. Franchisees can either host live classes or receive commissions for enrolling students in UniCann’s online learning program. To make sure each franchisee receives compensation for their referrals, promotional codes are given that are assigned to each store, so anytime a student enrolls in an online course and provides a promotional code, we will know which store should receive the commission.

Live classes are also an attractive way to supplement your weGrow revenue stream and draw more traffic into your store. Typically in a single weekend UniCann hosts up to 8 classes in one weekend and sells each class for $50/student. Student capacities range from 25 students to 100 students depending on the store. In this scenario a sold out weekend could generate tens of thousands of dollars just from educational services alone. And of course, all of these weekend seminars boost sales and exposure for the hydroponics store, again creating secular revenue streams for you.

ON-SITE DOCTORIn medical marijuana states you will have the option to adding a medical marijuana physician to your facility. Many hydroponics store customers cultivate medical cannabis, which usually requires a valid doctor’s recommendation that expires annually. By offering an on-site doctor to perform evaluations, your facility will attract new customers and bring additional revenue from the medical facility that’s leased to a 3rd party.

LOCATION, LOCATION, LOCATIONAt weGrow we believe great visibility is the key to success. It is valuable to have signage that can be seen from freeways and major public roadways. Since our stores are destination centers it is not required to be located off of a major thoroughfare but always preferred. Smaller stores with smaller inventories should be located in areas with high foot traffic such as commercial plazas or town centers. Parking is another consideration when finding a suitable location. For every 1,000 sq ft of shopping space it would be important to have at least two free parking spaces. Having a location where parking is effortless will attract more customers. It is also preferable to have two truck-loading bays, although only one is required. Take into consideration deliveries will come from large trucks and you don’t want inventory shipments interfering with customer traffic.

Your training will consist of one week of classroom training at our main headquarters in Oakland, CA, and one week in-store training (see training schedule below). STEP 7: SETTING UP YOUR STORE.Once your staff is trained and you’ve chosen your store location, the next step is to begin setting up your store. Our design and branding guidelines will help you design your store’s new façade and assist you with creating an efficient floor plan. weGrow prides ourselves on creating a positive and enjoyable customer experience and our designs are drafted by professional retail consultants to provide just that. You will have a few options for your in-store imaging so there will be some customization but we also ensure each store has a consistent look and vibe.

After the aesthetic elements are addressed the next step is to make your store functional. This includes purchasing palette racks, computers, fixtures, furniture, a forklift and palette jack, building out display units, and ordering inventory. Everything needed to start placing products for sale and running a retail operation. The largest expense will be purchasing your inventory, but we’ll work with your budget to make sure you get a diverse group of products that are most demanded by your customers so you won’t be holding onto inventory for long periods of time.

Now that your store design is complete, your fixtures are in place and you’ve ordered your inventory, the next step is opening for business!

STEP 8: OPEN FOR BUSINESS.You are now ready to open your doors. Most franchisees prefer to have a large grand opening ceremony that weGrow will help you facilitate. It’s important to let your local community know that your business exists and there’s no better way to do that than with a grand opening celebration. Our first grand opening attracted thousands of new customers and made major headlines all over the world. Staff from our corporate office will be present during your grand opening and helping you deal with last-minute problems and managing your media attention. FAQ’STIME EXPECTATIONS

How long does the Franchise Application approval process take? And opening a store?

Typical franchisees with no experience in hydroponics and without a location will take approximately 10 weeks from introduction to store opening. The timing really depends on your ability to organize resources and execute.

FRANCHISE FEES & COSTS

What is your franchise fee and royalties?

The franchise fee is currently priced at $40,000.00 regardless of the store size. Much of this fee will be used for the 2-week training seminar for you and your staff. Each store also has a 6% gross royalty fee, with 1% national advertising fee. Please see the FDD for more information.

How much can I expect to earn?

Your earnings capability will depend on a number of factors such as your location, the amount of time you spend in your store, your business and retail acumen, and market conditions. Naturally, as in any business venture there is no guarantee of your success or profitability. We do not make any representations as to your earnings potential.

Can I sell my weGrow store?

Yes- like any other business, you can sell your store to a buyer approved by the company. There is a transfer fee for administrative, legal and training expenses that affect the transfer, which can be passed on to the new buyer.

What about advertising?

weGrow will invest thousands of dollars in local, regional, and national advertising campaigns designed to help drive traffic into stores around the country. Each store contributes to this advertising budget through their royalty fees. In addition, for storeowners wanting to run their own local advertising, weGrow designs and provides resources to help assist local marketing efforts.

ASSISTANCE & SUPPORT

Do I receive training from weGrow?

Absolutely! We have a great training program for new franchise operators. New franchise operators are required to go through a two-week rigorous training course. The cost of the training program is included in the initial franchise fee and ongoing support is always available.

Do I receive field assistance in opening my weGrow store?

Yes. In addition to our comprehensive training program, our corporate staff will routinely visit your store and facilitate any operational challenges you may face.

What form of continuing operational guidance will I receive?

In addition to being assigned a local representative to assist you, owning a weGrow franchise includes having access to our learning resources and training manuals. If there ever is a question you cannot answer or a problem you need assistance with, our corporate staff and local representatives will be available to assist you in any way possible.

TERMS & AGREEMENT

What is the term of the franchise agreement?

The details of the franchising opportunity are contained within the Franchise Agreement. The regular franchise term is for ten (10) years, after which the agreement may be renewed twice for additional five-year terms.

I would like to study your franchise agreement. Will you send me one?

Our Franchise Agreement is a confidential document that is only supplied to qualified franchisees. After you have applied and been approved as a franchisee, you will receive a copy of our Franchise Agreement which contains detailed information for the weGrow franchising opportunity.

Am I given any territorial protection?

Yes. We do not want our stores to be competing with one another, so your location will include an adequate buffer zone to ensure another weGrow is not opened in a nearby area. This buffer will depend on population density, and typically includes 100,000 people. More information is provided in the Franchise Disclosure Document (FDD) that you receive after submitting an application and qualifying.

Do I have to live in a medical marijuana state?

No. While you may be limited on the types of services you can offer, selling hydroponic equipment does not require any special licensing or laws. Most of our products you can find in a typical gardening supply store. You should check with weGrow corporate as to which auxiliary services you might not be able to offer, such as the on-site doctor or UniCann.
