Curves Complete Membership

Member agrees to maintain a Curves Complete membership for 3 months or 6 months. Existing Curves Complete Program Participants Only: 1 month or 2 months.

Member will be drafted monthly at a rate of ________ (plus any applicable taxes) during the term above, unless Member has selected to pre-pay for the term above for a one-time fee of _________.

Following the completion of the term above, the monthly draft will continue at the Success Rate of ________ (plus any applicable taxes) until member cancels with a 14-day written notice.

Member may extend or revert to a Complete Membership and continue or resume weekly coaching sessions at any time by signing a new Complete Membership Agreement specifying the then current Complete Membership monthly rate and the desired number of months as indicated above. 1. Curves Curves is a franchise system and your Curves Home Club is owned by the person named on page 1 in the box headed "Name of Curves Facility". We refer to the owner of your Curves Home Club as “we” or "us" in these Conditions. This membership agreement is between "you" (the member named above) and "us" (the owner of your Curves Home Club). Curves International Inc. as franchisor of the Curves System is not a party to this membership agreement. Your Home Club’s rules, if any, are hereby incorporated into this membership agreement. 2. Duration of your Membership Your membership starts on the Joining Date given on the first page of this membership agreement. The minimum duration of your membership is either 3 or 6 months, as chosen by you. You may either pre-pay for the Curves Complete term at a discounted price or pay monthly. Following the completion of the 3 or 6 month term, membership continues at the Success rate on a rolling monthly basis until you cancel with 14-day written notice. You will have certain rights of early termination that are set out in clauses 3-5 and 7 below. 3. Your Right to change your mind You have the right to cancel your membership by notice in writing within 3 days of the day when you signed this membership agreement if you have decided that you would prefer not to proceed. If you cancel your membership under this clause we will repay to you all fees that we have received from you. 4. Ending your Membership under normal circumstances If you chose the 3-month Curves Complete term, you may cancel any time after the three months, and if you chose the 6-month term, you may cancel any time after the six months, by giving us 14-day notice in writing in either instance. The notice must be given 14 days before the end of the month if you want to terminate your membership with effect from the last day of that month. If we do not receive this notice on time your membership will automatically continue for another month. 5. Injury, Illness, Moving House, Loss of Job, or Pregnancy If you are unable to use the club because of genuine and serious illness or injury or if you become pregnant or just given birth, you have the right to end your membership, contingent upon you producing a doctor's certificate. If you move your permanent residence to a location which is more than 30 minutes away from your Home Club facility, you have the right to terminate your membership. If you or your spouse or partner lose your job and are in receipt of income support (and, if we ask, you provide us with reasonable evidence of that) you also have the right to terminate your membership. In all these cases your membership ends at the end of the month, provided you have given us 14 days' written notice of your intention to terminate. If you have pre-paid for your Curves Complete membership, we will refund to you pro-rata the fees prepaid. If you prefer, instead of ending your membership, you can transfer it to another Curves facility or freeze it under clause 6. 6. How can I freeze my membership? If you are certified as temporarily unfit to train by your GP, (more than 4 weeks), you can ask us to suspend your membership. You will then be credited any period of absence in excess of one (1) month for future use. 7. Other Reasons for ending your membership early You will also have the right to end your membership early if we (1) significantly reduce the opening hours of your Curves Home Club or (2) increase the membership fees or (3) move your Curves Home Club to another area or (4) make changes to these Conditions that significantly reduce the benefits of your membership. To end your membership in these cases you must give us written notice within 45 days of the change coming into force. If there are other circumstances beyond your reasonable control that mean that you would like to end your membership early please let us know and we will consider these in good faith. 8. Reasons for asking you to leave We may end your membership by notice in writing to be sent to your home address that we have on record in the following cases

if you seriously or repeatedly breach the terms of this membership agreement or the Club Rules. Where appropriate you will first be given a written or oral warning and an opportunity to change your behaviour;

if your conduct is offensive, dangerous or threatening or if you repeatedly disregard our instructions or training principles;

if you fail to pay your membership fees or other monies due to us within 30 days after their due date;

if this Curves facility closes (in which case we can terminate this membership agreement with 1 month’s notice and a pro rata refund for monies paid will apply).

if you are not suited to continue training (in which case this membership agreement will terminate with one month’s notice and a pro rata refund will apply).

If we terminate your membership early, you are released from payment obligations for any remaining months of your minimum term. 9. Using other Curves Clubs Members of our facility are entitled to use all other Curves facilities

worldwide free of charge subject to presenting proof of membership at reception and sign in. We reserve the right to modify the arrangements for reciprocal use on at least one calendar month’s notice. Restrictions may apply, including extra fees for specialty classes, such as Curves with Zumba®. Please check details locally to avoid disappointment. If you have a complaint or suffer an accident or loss whilst using anther Curves facility, your complaint must be directed to the owner of the relevant Curves facility, not to us. 10. Membership Fees and payment Service Fee. You must pay the service fee immediately when you sign this membership agreement. The Service Fee is non-refundable unless we expressly state otherwise. Membership Fee: If you have chosen to pay monthly, then the membership fee is due on the first day of each month, unless another monthly draft date is indicated by us. If you have chosen the discounted pre-paid membership, then the full Curves Complete fee is payable when you sign this membership agreement. Other fees: We may offer option programs such as Curves with Zumba® for an extra fee. If you want to participate in such programs you must pay the applicable extra fees. Payment: You must pay monthly fees by monthly direct debit or credit card, unless otherwise agreed to by us in writing. Unless otherwise so agreed, we do not accept any other form of payment for monthly fees. Your signature on the direct debit instruction form shall constitute your authority to us to debit the nominated account with the total amount due without notice to you. If you are late with any payment we will write to you and remind you to pay. If you do not pay despite the reminder, we may contact a debt collection agency to get payment from you. We also have the right to suspend your membership and refuse entry to your Curves Home Club if you have not paid us on time. 11. Changes to Fees We regularly review our monthly membership fees and may change them from time to time. We will give you at least 45 days' advance notice of any change. If you do not want to accept an increase in fees you may end your membership as set out in clause 7 point (2). If you do not end your membership, the new fees will become payable once the 45 days notice period has expired. 12. Changes to the Opening Hours Current opening hours are available at your Curves Home Club. If we need to change the opening hours we will give you reasonable notice. If there is a significant reduction in respect of the opening hours of your Curves Home Club, you have the right to terminate your membership. See clause 7(1). 13. Changes to these Conditions and the Club Rules We also have the right to make reasonable changes to these Conditions and to the Club Rules, if any. We will give you at least 45 days' notice of these changes and display them on our website and on our notice board. If the changes significantly reduce the benefits of your membership you have the right to end your membership. See Clause 7(4). 14. Your Age and health You confirm that you are either over 18 years of age or that your parent or legal guardian consents to this membership agreement. You warrant that you are not aware of any medical or other reason why you are not capable of engaging in exercise or why exercise may be detrimental to your health. We are not qualified to express an opinion confirming that you are fit to use our facilities and it is therefore your responsibility to ensure that you are fit to use our facilities. We strongly advise you to take expert medical advice prior to commencing any exercise programme. If you are in any doubt about your ability to engage in active or passive exercise please consult your doctor first. You will inform us at any time during your membership of any condition which might affect your training and you will comply promptly with our recommendations in this respect. You will not use any Curves facility whilst suffering from an infectious disease or illness where there is a risk to the health and safety of others. 15. Limitation of Liability We will pay you compensation for any loss or damage you suffer because we fail to carry out our obligations under these Conditions to a reasonable standard or if we fail to comply with duties we have under applicable law unless the loss or damage is your own fault or has been caused by another member or an independent person who is not connected with us. We are not responsible for events that we could not have expected or avoided even if we had taken reasonable care. We are not responsible for any death, personal injury or illness occurring in any Curves facility or as a result of the use of any Curves facilities, and you hereby expressly assume and accept any and all risk of death, personal injury or illness in respect of yourself in that regard except where it results from our negligence or the negligence of our employees and agents. We will not be liable for any loss caused by another member or a guest of a member to you and you hereby expressly assume all responsibility for any injury or death caused directly or indirectly through your wilful misconduct or negligence to any third party. Our maximum liability to you (except for personal injury or death caused by our negligence or the negligence of our employees or agents) is £ …………., or if not specified, the liability is capped at the total amount

paid under the membership agreement. Nothing in this limitation clause limits our liability for fraud. Member’s Initials: _______ 16. Acknowledgments I understand and am aware that strength training, flexibility, and aerobic exercise, including the use of equipment, are a potentially hazardous activity. I also understand that fitness activities involve a risk of injury and even death, and that I am voluntarily participating in these activities and using equipment and machinery with knowledge of the dangers involved. I do hereby further declare I am physically sound and suffering from no condition, impairment, disease, infirmity, or other illness that would prevent my participation or use of equipment or machinery and the Curves facility. I do hereby acknowledge that I have been informed of the need for a medical practitioner’s approval for my participation in an exercise fitness activity or in the use of exercise equipment and machinery. I also acknowledge that it has been recommended that I have a yearly or more frequent physical examination and consultation with my physician as to physical activity, exercise and use of exercise and training equipment so that I might have his/her recommendations concerning these fitness activities and equipment use. I acknowledge that I have either had a physical examination and been given my medical practitioner’s permission to participate, or that I have decided to participate in activities and use of equipment and machinery without the approval of my physician. Member’s Initials: __________ 17. Use of our facilities You confirm that you have been made aware of our instructional guidelines which will apply to your use of all Curves facilities. You are under an obligation to use our equipment carefully and sensibly to avoid damage to the equipment or injury to fellow users. If you are in any doubt as to how to correctly operate any equipment you should consult a member of staff before use. There is a strict policy of not allowing alcohol or drugs into any Curves facility. Persons who are intoxicated will be asked to leave the facility or refused access. 18. Transfers The right to use the Curves facility is personal to you. You cannot transfer it to any other person but you can apply to transfer from your Curves Home Club to another Curves facility if you move house or jobs. Please see the details in the Club Rules, if any. We may sell this Curves’ facility and transfer the benefit of this membership agreement to the purchaser at any time by giving written notice of transfer to you. 19. How you should contact us If you need to give us notice please do so in writing and give it to a member of staff or send it to us by post or email. 20. Various This membership agreement can only be altered if we agree to this in writing. Please make sure you get written confirmation of any special request you feel has been agreed. If there is a dispute between us we will first try to talk to each other before taking the matter to lawyers.

We are responsible for protecting the personal information you provide when you join as a Curves member. The personal information you provide is collected so that we may administer your membership of this Curves facility and provide you with the fitness-related products and services that you require. We collect your health information so that we can ensure the fitness programs we provide you are best suited to your needs and capabilities and so that, if a need arises to disclose your health information in the event of a medical emergency, we have this readily available. Please note that we enter the personal information you provide to us onto a database maintained by Curves International, Inc. in the United States of America (the “Curves OS” database). This enables us to keep an electronic

record of your membership, to have ready access to your health information, and to chart your fitness progress during the course of your membership. The personal information we enter into the Curves OS database is also used for direct marketing purposes – this is explained below. Direct marketing We may use your personal information to contact you by post, phone or e-mail with health and fitness services and products, including health and fitness updates and information that we think will interest you. The personal information we enter about you in the Curves OS database is also used by CFW Group, Inc. and other companies within the Curves group of companies (collectively, “Curves”) so that they can contact you by post, phone or e-mail for this purpose. However, if you do not wish to be sent direct marketing by either us or Curves, you can indicate this preference by ticking the appropriate box on the signature page of your membership agreement. We will always respect your marketing preferences. Who may access your personal information? We may disclose the personal information we collect from you to:

other companies within our corporate group (if any) including to other Curves facilities to administer your membership, provide you with fitness-related products and services and to allow you to workout at other facilities;

to companies within the Curves group of companies when we enter your personal information into the Curves OS database so that they may send you direct marketing in accordance with your contact preferences (Curves group companies that may use your personal information for these purposes are Curves International, Inc., CFW Group, Inc. and Curves For Women II, LC);

to doctors and other medical practitioners, in the event of injury during a workout session or if we otherwise need to arrange medical treatment for you;

to Curves when we enter your personal information, including information about your health, into the Curves OS database so that they can use it to generate anonymised information and statistics for use in research into the effectiveness of Curves' products and services (Curves companies that may use your personal information for these purposes are Curves International, Inc., Curves Europe ML, Inc., CFW Group, Inc., CFW Operations Europe Limited, and Curves for Women II, LC). This research may be published but no individual will be identifiable from the material released;

to third parties that provide services on our behalf and under our instruction (such as IT service providers), and

to another franchisee if this Curves franchise is sold or transferred to another business;

We may also disclose your personal information where required by law or regulation, where necessary to exercise, establish or defend legal rights, or where disclosure is necessary to protect your vital interests or those of another person.

International transfers Please note that some of the recipients of your personal information referred to above (such as Curves' group companies) may be situated in countries located outside of the European Economic Area (“EEA”), including the United States of America, and we store personal information you provide to us on the Curves OS database in the United States of America. Countries outside of the EEA may not have laws that offer the same standards of data protection as those inside the EEA, although your personal information will at all times be treated in accordance with this Privacy Statement. Your rights: You have the right to access, correct and update the personal information we hold about you. You can also ask us or Curves to stop sending you direct marketing at any time, even if you have previously asked us to send this to you, or to delete the personal information it holds about you. You can exercise any of these rights by contacting us using the details provided at the outset of the Privacy Statement.
