Dear Professional Colleagues,
The message from Shri Narender Modiji is quite clear to moti-
vate all citizens to make a strong India. Taking the task fur-
ther, at Chapter level our target is to make a movement to
involve students and members in the activities of the chapter
by organizing regular programs, seminar etc. Your chapter is
providing an open opportunity to members and students to
come forward and participate in events organized by the
chapter for the benefit of all.
Last quarter was historical due to constitution of the National
Company Law Tribunal (NCLT) and the National Company
Law Appellate Tribunal (NCLAT) with effect from 1st June,
2016 and dissolution of Company Law Board (CLB). The
NCLT will start functioning with eleven Benches – two at New
Delhi and one each at Ahmadabad, Allahabad, Bengaluru,
Chandigarh, Chennai, Guwahati, Hyderabad, Kolkata and
Mumbai. The Principal Bench of the NCLT will be at New
Delhi. Some of the provisions of the Companies Act, 2013
relating to powers of Tribunal have also been notified by the
Government on the same day except provisions pertaining to
compromise and arrangement, winding up etc. It is a great
opportunity for all of us to excel in the field of Corporate Liti-
gation. Company Secretaries would for the first time be eligi-
ble to appear for matters which were hitherto dealt with by the
High Court like mergers, amalgamations, winding up proceed-
ings, capital reduction etc. under the Companies Act, 2013.
Your chapter is actively organizing various programs, semi-
nars and student programs. The brief details are as under:
ACTIVITES DURING APRIL 2016 TO SEPTEMBER 2016
3 DAYS E-GOVERNANCE PROGRAM - 08.04.2016 TO
10.04.2016
Your Chapter organized a 3 day e-Governance program for
the students. The program was attended by students form
NCR.
CORPORATE GOVERNANCE DAY-16.04.2016
At the initiative of CS Mamta Binani, President of The Institute
of Company Secretaries of India, International corporate Gov-
ernance Day was celebrated on PAN India basis on
16.4.2016. The program was a grand success. During the
program, following activities were done:
1. Hoisting the Flag of the ICGD.
2. Releasing of Balloons depicting the logos of ICSI and
ICGD
3. Releasing of Stamp of ICGD
4. A talk show was also organized.
EARTH DAY-22.04.2016
Your Chapter celebrated EARTH DAY in the Chapter prem-
ise. A week long celebrations were organized by ICSI on Pan
India Basis. Plantation was done in Faridabad Chapter prem-
ises. Many past Chairman & representative from local Women
Police station also participated in the event.
CRICKET MATCH-01.05.2016
Your chapter organized a friendly 20:20 cricket match be-
tween the Chairman‟s Eleven led by CS Arun Goel and Past
Chairman‟s Eleven led by CS Nitin Rawat. Past Chairman‟s
Eleven won the match by 21 runs. CS Arun Goel was de-
clared MAN OF THE MATCH for his all round performance.
PRACTICING COMPANY SECRETARY (PCS) DAY CELE-
BRATIONS-15.06.2016
"PCS Day" was celebrated on PAN India basis. Your chapter
have also organized PCS day. "PCS HELPLINE" was
launched on fortnightly basis by NIRC. CS Sanjay Grover,
Past Central Council Member of ICSI was the Chief Guest.
Cake Cutting ceremony was done to celebrate PCS day. CS
Pradeep Jain, Senior Practicing Company Secretary was
honored on the occasion.
SEMINAR - CUM - PDP ON CAPITAL MARKETS:
25.6.2016
Your chapter organized a program during Capital Market
week on “Transcending Horizons - Capital Market Way”. CS
Yogesh Gupta- Past Chairman of NIRC of ICSI was the Chief
Guest. Other speakers including Shri D K Bhatia-DGM of
NSIC Ltd, Mr Rajkumar-Astt Manager NSIC and CS Anjali
Aggarwal, Partner & Head-Capital Market and Stock Ex-
change Services with Corporate Professionals Capital (P) Ltd.

ANNUAL GENERAL MEETING OF THE CHAPTER-
25.06.2016
Annual General Meeting of the Chapter was held to approve
Audited balance sheet of the Chapter for the year ended on
31.3.2016 & other agenda items.
VAN MAHOTSAV ON 1.7.2016:
Your chapter organized the Van Mahotsav on 1.7.2016. Large
number of students and members of Faridabad Chapter par-
ticipated in the celebration of Van Mahotsav and planted the
plants near the boundary wall of the Chapter.
INAUGURATION OF OTC & FELICITATION OF STUDENTS
ON 7.7.2016:
Your chapter inaugurated the Oral Tuition Classes for the Stu-
dents of CS Foundation and CS Executives of Faridabad
Chapter on dated 7.7.2016 and also felicitated the students
stood topper in the previous sessions CS Exams. Total 20
students enrolled for the Oral Tuition Classes for the Students
of CS Foundation and CS Executives.
ICSI QRG HEALTH CHECK UP CUM PDP ON 10.7.2016:
Your Chapter organized a Health Checkup in tie up with QRG
Central Hospital and also organized a full day seminar on
“CORPORATE SOCIAL RESPONSIBILITY” & PDP for stu-
dents on SUNDAY, July 10, 2016 from 9:00 A.M. onwards at
ICSI House, Institutional Plot No. 1A, Sector-16A (Near Sai
Baba Temple) Faridabad-121002
The program started with lighting of lamp by the Dignitaries.
CS Praveen Ranka, Chapter Chairman welcomed the Chief
Guest CS Nesar Ahmed, Past President of The Institute of
Company Secretaries of India, Guest of Honour Dr D K
Baluja, President of QRG Medicare, DrKulwinder Singh,
Team of Senior Doctors from QRG Central Hospital including
Senior Heart Specialists DrGajinder Goyal &Dr Shahe Jafar,
Dr S K Sharma- Senior Physician, Dr Ila Jha- Gynecologist,
Senior Joint & Bone Specialists Dr Rajiv Gupta
&DrSachinManocha, MrAshwaniBaweja, CS P C Jain, stu-
dents and members of ICSI and Guests.
Total 44 students and members participated in the Seminar
cum PDP who were awarded with 4 PCH and 8 PDP hours
certificate as per eligibility.
SAMADHAN DIWAS ON 20.7.2016:
Your chapter organized Samadhan Divas on 20.7.2016 as
part of the Students‟ month. Chapter Incharge requested to
students to explain about their grievances / queries and ad-
dressed and promptly resolved all the grievances / queries
faced by the students on this day. Around 35 students partici-
pated the Samadhan Divas and multiple type queries were
resolved.
SOFT / COMMUNICATION SKILL DEVELOPMENT PRO-
GRAMME ON 22.7.2016:
Your Chapter organized “Skill Development Programme” on
22.7.2016 as part of the Students‟ month. CS Vinit Sikka was
the guest faculty for this programme to teach a lesson to the
Students on the Soft / Communication skills Development.
Around 45 students participated in this programme and learnt
about Soft/ Communications skills.
SWATCH BHARAT ABHIYAN ON 27.7.2016
Your Chapter organized “Swatch Bharat Abhiyan” on
27.7.2016 as part of the Students‟ Month. The students,
members and employees of the ICSI participated in the pro-
gramme and contributed their best efforts to make the pro-
gramme successful.
INDEPENDENCE DAY CELEBRATION ON 15.8.2016:
Your Chapter celebrated Independence Day on 15.8.2016.
Chairman and other Committee members along with students
and employees hoisted the national flag and sung the national
song on this occasion and distributed the sweets among all
the participants.
SEMINAR CUM PDP ON GST ON 18.9.2016:
Faridabad Chapter of NIRC of ICSI organized a full day semi-
nar on “ GST-An opportunity to Professionals” & PDP for stu-
dents on Sunday, September18, 2016from 9:00 A.M. to
5:00P.M.at ICSI House, Institutional Plot No. 1A, Sector-16A
(Near Sai Baba Temple) Faridabad-121002
CS P C Jain, Past Chairman of Faridabad Chapter started the
program and invited all for lighting of lamp.
CS Praveen Ranka, Chapter Chairman welcomed the Chief
Guest CS P K Mittal, Past Central Council Member of ICSI,
CA Nagesh Gupta, other members of ICSI, students and
Guests. He explained opportunities for the for the company
secretaries under GST regime. He stressed upon the need for
CS professionals to give dedicated thought to explore the op-
portunities provided under Goods & Services tax (GST).

Chief Guest CS P K Mittal, an Advocate by profession and
Past Central Council Member of ICSI addressed the gathering
and shared his knowledge and experience with them on GST.
According to him, GST is an opportunity for all specially for
Company Secretaries due to special nature of law and its first
time implementation in India.
CA Nagesh Bajaj, an eminent speaker and well known expert
on GST took two technical sessions on GST. He explained
basic provisions of GST, technical aspects and special provi-
sions which are of immense important in day to day work. Ac-
cording to him, GST will open new opportunities for all profes-
sionals and CS profession is in forefront due to strict legal
compliances under the Act.
ICSI INITIATIVE FOR STUDENTS
ICSI is taking various initiatives for the benefit of students .
Some of them are as under:
1. Monthly Webcast 'Precious You'- President ICSI, CS
Mamta Binani will be kindly addressing the same.
2. Ascentia 2016 (Special drive to register Companies/
PCS/Law Firms/other entities with the ICSI for impart-
ing training to CS students)
3. July,2016 declared as Students month.

Here, Darkness symbolizes enemy’s intellect and with the arrival of light, darkness disappears. Likewise, light (Good’s Grace) destroys darkness (enemy’s intellect)
Dear Members & Students
Greetings of the day !
First of all I congratulate my professional colleagues and stu-
dents for the festival season ahead. May the almighty bring all
happiness joy and prosperity in your professional as well as
personal lives.
I have been communicating to you through this column since
last 5 years. It seems like yesterday when we launched our
own e-newsletter. Despite its myriad challenges, the journey
so far is a happy and fulfillment one- made possible by many
of you who have contributed in various issues of Newsletter.
Looking at the growth of Indian economy the expectations of
the various govt authorities and the society from our profes-
sion has increased and thus we have to update and sharpen
ourselves on regular and continuous basis.
Once Shri Morarji Desai, the then Finance Minister quoted
that, “…for safeguarding our own independence and liberty,
we have got to provide some checks which automatically do
not allow independence and liberty to be misused…Anybody
who misuses power loses it; otherwise democracy is not
maintained….”
I know one thing: our curriculum has taught us to be ethical
and responsible. And I am sure, we will be able to build a bet-
ter and secure time for our generations to come.
Recently, the most awaited GST bill has been passed.GST is
a tax on goods and services with value addition at each stage
having comprehensive and continuous chain of set-of benefits
from the producer‟s/ service provider‟s point up to the re-
tailer‟s level where only the final consumer should bear the
tax.
GST is a solution provider by lining up total indirect tax struc-
ture of all streams into one single tax payable by the compa-
nies. The impact of this will be on all multinational companies
and facilitates for ease of doing business and adds factor to
the globalization and liberalization.
The concept of GST is not new to the world. Keeping in view
of the governance, accountability and for making a single line
of tax system. Undoubtedly, there is a need for GST in India.
It would encourage the system to be transparent. It is ex-
pected that tax evasion would be largely reduced. The GST
law shall bring transparency, accountability and efficiency in
the tax administration and reduce the arbitrage opportunities
available to tax avoidance and evasion. It will also open up
new avenues of professional opportunities for “We” Company
Secretaries.
I had the onerous privilege to communicate with you through
this column, as well as in the programs organized by the
chapter. You will appreciate that we have tried our level best
to provide best of services. The chapter has taken several
initiatives and organizing multiple seminars on subject of wide
professional interest. I cordially invite all of you to attend and
participate in these programs in large number and make them
a grand success.
I am delighted to inform you that there has been overwhelm-
ing response by the members and students to our e newslet-
ter. Your ideas and suggestions are welcomed on this e
newsletter to make it a real memorial document. Let us work
together to take our profession to the greater heights.

“Goods And Services Tax”

INTRODUCTION
The Goods and Services Tax Bill or GST Bill, officially known
as The Constitution (One Hundred and Twenty-Second
Amendment) Bill, 2014, proposes a national value added
tax to be implemented in INDIA from 1 April 2017.
The Constitution (122nd Amendment) Bill, 2014 was intro-
duced in the LOK SABHA by Finance Minister Mr. Arun
Jaitley on 19 December 2014, and passed by the House on 6
May 2015. In the RAJYA SABHA, the bill was referred to a
Select Committee on 14 May 2015. The Select Committee of
the Rajya Sabha submitted its report on the bill on 22 July
2015. The bill was passed by the Rajya Sabha on 3 August
2016, and the amended bill was passed by the Lok Sabha on
8 August 2016.
What is GST?
Goods and Service Tax (GST) is a comprehensive tax levy on
manufacture, sale and consumption of goods and service at a
national level.
The introduction of Goods and Services Tax (GST) would be
a significant step in the reform of indirect taxation in India.
Amalgamating several Central and State taxes into a single
tax would mitigate cascading or double taxation, facilitating a
common national market.
REMOVAL OF CASCADING EFFECT
GST is a tax on goods and services with comprehensive and
continuous chain of set-off benefits from the producer's point
and service provider's point up to the retailer's level. It is es-
sentially a tax only on value addition at each stage, and a
supplier at each stage is permitted to set-off, through a tax
credit mechanism, the GST paid on the purchase of goods
and services as available for set-off on the GST to be paid on
the supply of goods and services. The final consumer will thus
bear only the GST charged by the last dealer in the supply
chain, with set-off benefits at all the previous stages.
MECHANISM OF GST
Taxable Person
It will cover all types of person carrying on business
activities, i.e. manufacturer, job-worker, trader, importer,
exporter, all types of service providers, etc.
If a company is having four branches in four different
states, all the four branches will be considered as tax-
able person under each jurisdiction of SGs.
A dealer must get registered under CGST as it will
make him entitle to claim ITC of CGST thereby attract-
ing buyers under B2B transactions.
Importers have to register under both CGST and SGST
as well.
Proposed Rate Structure
There will be a two-rate structure –a lower rate for nec-
essary items and items of basic importance and a stan-
dard rate for goods in general. There will also be a spe-
cial rate for precious metals and a list of exempted
items.
It is understood that the Government is considering
pegging the revenue neutral rate of GST at a rate be-
tween 18% to 22%.
Models of GST
GST constitutes in it three models of it which can be de-
scribed as a chart given below:
IGST: It means integrated goods and service tax. IGST appli-
cable on all supplies of goods/services in course of inter state
trade or commerce. State includes union territory. However a
goods supply in the course of import in India shall be treated
as an inter state supply.
CGST:- CGST extends for central goods and services tax.
This tax will go into treasure of central government.
SGST: SGST stands for state goods and service tax. This tax
will go into treasure of the respective state.
INPUT TAX CREDIT
ITC has been defined as credit of (IGST/ CGST / SGST)
charged on any supply of goods and/or services used or
intended to be used in course or furtherance of business.
Registered taxable person shall be eligible to avail ITC cred-
ited to the electronic credit ledger subject to condition pre-
scribed. ITC availed by taxable person shall be credited provi-
sionally to electronic ledger.

What will be out of GST?
Levies on petroleum products
Levies on alcoholic products
Taxes on lottery and betting
Basic customs duty and safeguard duties on import of
goods into India
Entry taxes levied by municipalities or panchayats
Stamp duties on immovable properties
Composition/Compounding scheme
The empowerment committee has recommended that compo-
sition/compounding scheme for the purpose of GST should
have an upper ceiling on gross annual turnover of Rs.50
lakhs and a floor rate of 0.5% across the states.
However, no input credit should be allowed against the com-
pounded levy or purchases made from exempt dealers.
Emerging Issues
What preparations are required at the level of CG and
SG for implementing GST?
Whether the Government machinery is in place for such
a mammoth change?
Whether the tax-payers are ready for such a change?
What impact it can have on the revenue of the govern-
ment?
Conclusion
The taxation of goods and services in India has, hitherto,
been characterized as a cascading and distortionary tax on
production resulting in mis-allocation of resources and lower
productivity and economic growth. It also inhibits voluntary
compliance. It is well recognized that this problem can be ef-
fectively addressed by shifting the tax burden from production
and trade to final consumption. A well designed destination-
based value added tax on all goods and services is the most
elegant method of eliminating distortions and taxing consump-
tion. Under this structure, all different stages of production
and distribution can be interpreted as a mere tax pass-
through, and the tax essentially „sticks‟ on final consumption
within the taxing jurisdiction.

Dear Members,
It gives me immense pleasure to welcome you all at the 35th
Annual General Meeting of the Faridabad Chapter of ICSI. It
is indeed a special occasion and I am glad that all of you are
here to share the pride of having our own building. The An-
nual Report for the year ended 31st March 2016 have been
with you for some time now so, with your permission, I shall
take it as read.
Review of Performance
Building of the Chapter: Faridabad Chapter of ICSI
started its Journey 35 years back. In 2004, during my
tenure as Chairman, we started process of taking pos-
session of the plot from HUDA. Today we have our own
building by dedicated efforts of CS P C Jain- Past
Chairman who completed the task started by CS N K
Goel- Past Chairman. My sincere thanks to CS Sanjay
Grover-Past Central Council Member and CS Vineet
Chaudhary, Central Council Members who have sup-
ported the cause as Chairman of INFRA Committee. My
special gratitude to CS Atul S Mehta, Past President of
ICSI who had supported the Chapter by providing timely
funding which resulted into completion of the Building.
Finally, I am happy to inform you that we have
achieved the best milestone in the history of Faridabad
Chapter on 10th January,2016., the day when Building
of our chapter was inaugurated by Shri Krishan Pal
Gurjar, Minister for Social Justice and empowerment
and Shri Vipul Goyal, MLA in the gracious presence of
CS Atul Mehta, President of ICSI (2015-16), CS Mamta
Binani, Vice President & present President of ICSI
( 2016-17), CS Vineet Chaudhary, Central Council
Member & other dignitaries.
Programs: We are now marching ahead towards our
mission of providing the best services to the members
and the students of our Chapter at large. We have or-

Members & Students: Today, we are serving over 400
members and 3500 students at Faridabad Chapter. We
expect to increase the number of members to 500 and
number of students to 6000 by the end of this financial
year. All the members and students will be requiring lot
of services and facilities. I, on behalf of the Manage-
ment Committee of the Chapter, assure you that we
will provide services to the best of your expectation.
Towards this mission I am happy to share with you that we
are planning to start following new avenues:
1. Oral tuition classes for Foundation, Executive and Pro-
fessional students.
2. Library for members and students
3. Furnishing of entire building at the earliest

REPORT ON EARTH DAY ON 22.04.2016 AT 8.00 A.M. AT ICSI HOUSE, SECTOR 16-A, FARIDABAD
Faridabad Chapter of NIRC of ICSI celebrated EARTH DAY
by organizing plantation in the Chapter premises on 22nd
April,2016. Program was attended by Members, Students and
Guests.
CS Praveen Ranka, Chairman of the Chapter welcomed all
the members present and introduced the theme of the pro-
gram. He informed that CS Mamta Binani-President of ICSI
had planned a one week celebration of EARTH DAY at all the
chapter offices on Pan India basis. In that series, Faridabad
Chapter has also organized a plantation program in its prem-
ises. He requested all to join for plantation.

Faridabad Chapter of NIRC of Institute of company Secretar-
ies of India organized a friendly cricket 20:20 match between
the Chairman‟s Eleven and Past Chairman Eleven. Chair-
man‟s Eleven led by CS Arun Goel won the toss and decided
to field.
Past Chairman‟s Eleven led by CS Nitin Rawat opening part-
nership made 30 runs and thereafter with a good performance
by CS Nitin Rawat (21 runs) , CS Vicky Chauhan(21 runs),
CS Sumit Garg(21 runs) and CS Kapil (21 runs) took score to
142 runs(142/9). Good Bowling performance by CS Arun
Goel, Ashish Pandey, Updesh Tomar who took 2 wickets
each and CS Praveen Ranka and Sunil Nagar took 1 wicket
each.
Chairman‟s Eleven opener CS Arun Goel remained not out
and made 75 runs. Ankur Chauhan made 12 runs. CS
Praveen Ranka remained not out. Final score (121/7). Good
Bowling performance by CS Vicky Chauhan, Jai Prakash who
took 2 wickets each and CS Nitin Rawat, Atul Arora and
Sumit Raj took 1 wicket each.
Past Chairman‟s Eleven won the match by 21 runs. CS Arun
Goel was declared MAN OF THE MATCH for his allround per-
formance of 75 runs not out and 2 wickets.

CS Praveen Ranka, Chapter Chairman welcomed the Chief
Guest Shri Anil Sharma, Councilor, Guest of Honour Shri A.S.
Ranka, Governing Council Member of Mahavir International,

CS Praveen Ranka, Chairman informed that blood donation
camp is organized to celebrate forthcoming Blood Donors day
and PCS day. He stressed that all should strive to donate
blood regularly.

for professionals to avail opportunity in the “Start up – Stand
up” scheme of Govt.
Chief Guest CS Yogesh Gupta- Past Chairman of NIRC of
ICSI addressed the gathering and shared his knowledge and
experience with them on capital markets, wealth management
etc. According to him, Company Secretary profession is high
in demand as all listed companies are required to appoint
Compliance officers without which they can can not raise
funds.
Shri D K Bhatia, DGM of NSIC Ltd, a PSU took next session
on the opportunities for MSME sector with NSIC. He ex-
plained various schemes of NSIC which can be availed by the
manufacturing and services sector including participation in
Govt tenders. Mr Rajkumar, Astt Manager NSIC gave a power
point presentation on all the schemes.
