12 month option - 100% interest, no royalties
30 day due diligence period
Consideration: US$300K cash + US$1.5M in Global shares* payable on completion of the due diligence
period;
US$200K cash + US$1.5M in Global shares* payable on exercise of the option;
US$1.0M in cash or Global shares* (vendor election) payable on the 2nd anniversary of the date of the agreement; and
US$3.0M in cash or Global shares* (vendor election) payable on announcement of decision to develop a mine at the Project
During 12 month option period Global will lease the project from sellers and must spend a minimum of US$1M on exploration
*The number of Global shares to be issued will be determined using the 30 trading day VWAP for Global shares (15 trading days on either side of the relevant payment date) and an exchange rate of A$1:US$0.75. The first two tranches of shares will be subject to 6 months voluntary escrow. All shares issued subject to Global shareholder approval.
