Executive Summary

The 2016 Annual Jobs Report on ESD’s Loan and Grant Programs details the performance of Empire

State Development’s (ESD) loan and grant programs with job growth and retention goals. In calendar

year 2016, ESD’s loan and grant programs achieved an overall employment compliance rate of 88%.

This performance is marginally lower than the 2015 compliance rate of 91% and it is consistent with

recent rates, which have significantly improved since 2009.

For the year ending December 31, 2016, there were 213 active projects subject to employment

stipulations and funded with $246.6 million from various New York State investment sources. There

were 188 projects (88%) that were in compliance with the employment requirements and 25 non-

compliant projects (12%). These non-compliant companies were subject to an extensive employment

review process, which included negotiations to resolve the default. They have either repaid a portion of

their grant, had their job commitment terms extended, or have agreed to pay a higher interest rate on

their loan.

The 213 active projects have created 15,533 net new jobs in New York State since they first received

financial assistance, increasing their total employment from 42,256 to 57,789 jobs. The average cost

per job created/retained is approximately $4,267.

I. The 2016 Annual Jobs Report on ESD’s Loan and Grant Programs

This report details the performance of ESD’s loan and grant programs related to job growth and

retention for the 2016 calendar year.1 Compliance with the employment requirements of the various

ESD loan and grant programs was 88% in 2016, which is slightly lower than the 91% compliance in

2015 and is still considerably strong. Compliance rates have shown an upward trend since 2009 due to

an improving New York State economy. In addition, the enhanced grant and loan disbursement policies

of ESD’s Loans & Grants and Project Finance Departments continue to help minimize ESD’s risk and

exposure to project defaults.

a) Executive Summary

The following are the key findings of the 213 active projects in the 2016 ESD commercial

portfolio:

There were 188 projects (88%) in compliance with their employment requirements (See

Attachment IA).

There were 25 projects (12%) that did not meet their employment requirements. These projects

often lost major contracts, some of which were government-related, or were participating in

industries with high volatility, such as Energy and Aerospace. ESD applied monetary penalties

to 13 non-compliant projects, six of which had previously negotiated workout agreements. ESD

also extended the terms of eight grant agreements, increased the interest rates on two loan

projects and waived the penalty on another. In addition, one project had a loan that the borrower

paid off before any penalty was applied.

Firms that received ESD financial assistance created approximately 15,533 net new jobs in New

York State, with their total employment increasing from 42,256 to 57,789 jobs.

The New York City, Long Island and Central regions had the best performing projects with

100% employment compliance rates (See Attachment II).

b) Reporting and Recommendation Process

Each company with job goals must report its quarterly employment levels for the previous year

by February 1. Companies that fall short of their annual employment goals are sent a letter by ESD

in mid-March notifying them of the default. This ESD letter provides the company with an

opportunity to explain any extenuating circumstances that may have prevented the company from

meeting its employment goals.

ESD Portfolio Management team members are assigned defaulted projects by geographic region

for a formal review, which includes:

Requesting a letter from the company explaining any extenuating circumstances;

Requesting and reviewing the company’s financial statements;

Working with the ESD’s local representatives in the region where the company is located;

Discussing the employment and business climate with the company to gain perspective on the

company’s current situation and to develop a better understanding of these circumstances going

forward;

Completing an analysis of the project; and

Making recommendations to ESD’s Workout Committee.

c) The ESD Workout Committee

The ESD Workout Committee (the “Committee”) includes the Chief Financial Officer,

Executive Vice President & General Counsel, Controller, Senior Vice President of Economic

Incentives, and Vice President of Capital Projects. The Committee evaluates the causes of the

project default and applies one of several existing penalty options, which include:

Maximum Penalty - The grantee is required to pay the maximum penalty as stipulated in the

grantee’s Grant Disbursement Agreement (“GDA”). In contemplating a maximum penalty,

ESD considers company actions to move jobs out of New York State, job declines below initial

levels, no clear defense or mitigating circumstances, lack of cooperation, and company

profitability.

Negotiated Penalty - The grantee is required to pay an amount less than the maximum penalty

stipulated in the GDA. Factors evaluated include the company’s ability to pay, feasibility of

collection and the operating status of company. A negotiated settlement generally is approved in

conjunction with the termination of the GDA.

Pro-Rata Penalty - The grantee is required to pay an amount less than the maximum penalty

under the GDA, which is calculated based on the amount of the employment shortfall relative to

the required employment level. Once the penalty has been paid, the grantee’s future

employment target is lowered to reflect the number last reported or a higher figure. This penalty

is most often applied in cases where circumstances causing the deficiency are beyond the

company’s control, such as industrywide economic deterioration, foreign competition, or loss of

major clients, and are unlikely to be resolved in the foreseeable future.

Extend and Freeze - This penalty extends the term of a grantee’s GDA for one year and freezes

the percentage of the grant ESD can recapture at the current level during the extension period.

Determinative factors include the company’s ability to reach its goals, economic climate and

past history.

Multi-Year Extension (“MYE”) – This penalty option was established in 2009 to address the

lasting effects of the severe recession on New York businesses. This option provides for an

extension of the GDA term for up to three years and a reduction in the grantee’s job target to the

level last reported or to the level at the time of the decision. The option may be recommended

by the staff at its discretion and grantees qualify for the option only if they meet three of the

following four specific criteria: (1) whether a grantee was in a distressed industry, (2) grantee

had experienced a significant drop in sales, (3) grantee was located in a depressed region, and/or

(4) grantee had unattainable employment goals.

Penalty Waiver - Due to extenuating circumstances, the Committee decides to waive all

penalties for the current reporting year only. Factors include missing jobs by a small percentage,

past history, and number of years remaining. A Fractional Waiver is offered to companies that

are short of their respective compliance levels by less than one job.

Loan Interest Rate Adjustment - If a borrower fails to achieve its employment target within a

specified period, the interest rate on the loan may be increased to a default rate set forth in the

Loan Agreement, which is usually the prime rate +2%. If the borrower subsequently achieves its

employment target, the interest rate is reduced to its original level.

d) 2016 Employment Results

In 2016, 188 projects (88%) were in compliance with their employment goals and 25 projects

(12%) were not in compliance. Following due diligence, ESD staff made penalty recommendations

to the Committee, resulting in the following penalties:

e) 2016 Grant Recaptures

After reviewing ESD staff recommendations and supporting documentation, the Committee

decided to apply maximum recapture on one project and assessed pro-rata penalties for 12 projects,

including six projects that were subject to previously negotiated workouts.

The maximum recapture penalty applied was $1.5 million and the pro-rata penalty amounts

ranged from $16,818 to $1.5 million.

ESD is seeking a total repayment of about $3.5 million from the entities that did not meet their

2016 job goals. ESD has recaptured approximately $48 million of its grants since 2001.

f) 2016 and 2015 Employment Comparison

Based on the 2016 employment data, most loan and grant projects with ESD’s financial

assistance continue to meet or exceed their stated employment goals. The project employment

compliance rate was 88% and 91% in 2016 and 2015, respectively. The increased compliance rates

as compared to prior years are attributable to the stabilization of the State economy, the Loans and

Grants Department’s multiple grant disbursement policy, and the application of the pro-rata penalty.

The following highlights the 2016 and 2015 comparative results:

he Committee assessed monetary penalties on 13 projects in 2016, or 52% of those in

default, compared to 42% in 2015.

Extensions were granted for eight projects or 32% in 2016, compared to 37% in 2015.

The Committee waived the penalty for one project in both 2016 and 2015.

In 2016 ESD loan interest rates were increased to the Default Rate defined in their

respective loan agreements for two projects, compared to three projects in 2015.

g) 2015 Recapture Results

In 2015 the Committee approved the recapture of nearly $2.0 million of disbursed grant funds,

100% of which has been recovered.

II. World Trade Center Job Creation and Retention Grants Program (Federal Funding)

Through the World Trade Center Job Creation & Retention Program (“JCRP” or the

“Program”), ESD offers grants to firms committing to maintain, create or attract at least 200 jobs in

lower Manhattan. Many of these businesses experienced a disruption of operations as a result of the

events of September 11, 2001. The US Department of Housing and Urban Development (“HUD”)

provided $320 million in funding for the Program, which was used to fund 93 grant projects.

Each JCRP grant recipient must sign a GDA that requires the retention

and/or creation of a specific number of jobs for a specified number of years, ranging from seven to 15

years. Given this timeline, most of these project grants have now expired. To ensure compliance, ESD

follows the monitoring and workout process for ESD grant defaults, as outlined above.

Since their initial receipt of financial assistance, the 10 companies with active JCRP grants have

created a net total of 2,328 new jobs, with total employment increasing from 10,989 to 13,317 jobs.

HUD’s investment in these 10 active projects totaled $45.1 million and the average cost per job created

or retained is $3,387.

For 2016, each of the 10 projects was compliant with its employment goals. (See Attachment III)

III. Status of ESD’s Loan Portfolio

a) Overview

ESD staff is responsible for monitoring project employment requirements, loan modifications

and workouts on ESD’s loan portfolio.2

Currently, ESD’s loan portfolio includes 64 loans totaling $114.2 million. By ESD’s standards,

loans are considered delinquent when payments are more than 60 days in arrears. ESD’s loan portfolio

currently has no delinquencies. This is in comparison to a delinquency rate of 1% in the 2015 report.

This decrease in the loan delinquency rate is consistent with the recent trend of delinquencies declining

significantly as a result of ESD’s improved Loan Servicing policies and the transition to automated

electronic loan payments.

b) Recent Activity

In 2016, ESD has closed five new loans with total disbursements of $21.2 million. In addition, nine

loans totaling $4.8 million were fully repaid in 2016. Three loans totaling $1.2 million were fully

written off by ESD in 2016.
