Dear Sir, 1. Tender forms with tender conditions and draft Agreement for the above noted

contract are enclosed.

2. Tender is on two packet system.

(i) Packet “A” will contain technical details, earnest money details and other

related documents. All these will be kept in a sealed cover and packet marked

“Packet-A containing Technical Details for Advertisement Rights of display of

Advertisements at…………………………. Railway station for a period of three

years” and the name of tenderer.

(ii) Packet “B” will contain financial bid of tenderer. This will be kept in a separate

sealed envelope and marked “Packet-B containing Financial Bid for

Advertisement Rights of display of Advertisements at………………………

Railway station a period of three years” and name of tenderer.

(iii) Both the envelopes will again be put in a big sealed envelope and will be

marked “Tender for Advertisement Rights at………………. Railway station for

a period of three years” and name of tenderer.

3. Tender should be addressed to Sr. Divisional Commercial Manager , Northern Railway, Firozpur and submitted in a sealed cover as indicated in para -2 above.

4. Tender will be received in a sealed tender box kept in this office in nominated room

for opening this tender up to 15:00 Hrs on 04/09/2015 Tender box will be sealed at 15:00 Hrs on same date and sealed tender box will be opened by nominated officers soon thereafter on same date. Names of all tenderers will be announced soon thereafter in the tender room of DRM‟s office. Tenderers are advised that if they so desire, they can send their authorized representatives to witness the opening of tender. Tender received after closing of tender box will not be considered.

5. After opening of all tenders, all the packets marked Packet-“B”, without opening, will again be put in another big envelope and will be sealed by the tender opening committee.

6. No tender will be considered if not accompanied by requisite earnest money deposit

in Packet “A” as per terms and conditions specified in Para 5 of section II of tender document.

7. The successful tenderer will have to start work within the stipulated period, i.e. The successful bidder will have to give his/ her consent on receipt of acceptance letter within 15 days from the issuance of acceptance letter & start the work within 30 days from the date on which consent has been given, subject to completion of all formalities i.e. submission of Security deposit , signing of agreement etc ., failing which the earnest money and security money deposit will be forfeited and necessary action will be taken by Railway Administration as deemed necessary against the tenderer.

8. The Railway Administration reserves the right to reject any or all the tenders without assigning any reason whatsoever or to accept any tender with a lower offer.

Section-II

Instructions to Tenderers and Terms and conditions

1.0 General Instructions 1.1 The offers in sealed cover on prescribed form are invited up to 1500 hrs on

04/09/2015 by the Sr. Divisional Commercial Manager, Northern Railway, Firozpur for Advertisement Right at………..…………..Railway station for three years from the date of commencement of the contract as per details.

1.2 The tender must be submitted in sealed cover in the prescribed form for Advertisement Rights for display of Advertisements at ……………Railway station and must be deposited in tender box allotted for this purpose in the tender room at DRM's Office, Firozpur not later than 15:00 hrs. The box will be sealed at 1500 hrs on

04/09/2015 and will be opened soon thereafter in the tender room of DRM‟s Office in the presence of tenderers or their authorized representatives who wish to be present. In case of any reason the office is closed on tender opening day, then the tender will be received and opened at the same time and place on next working day. Separate tender forms should be submitted for each station/ contract.

1.3 The tender should be on a prescribed form obtainable from the office of Sr. Divisional Commercial Manager, DRM Office, Northern Railway, Firozpur on payment of Rs. …………… (Cost as mentioned in NIT) per tender form or can be downloaded from the internet website i.e. www.nr.indianrailways.gov.in. The tenderer, who wishes to participate in the tender by downloading from Web-site will have to attach a bank draft of amount equivalent to the tender form cost in favour of “Sr. Divisional Finance Manager, Northern Railway, Firozpur” towards the cost of Tender Form. Tender Forms downloaded from Web site will not be accepted without enclosing the cost of tender form in the shape of Bank Draft. Tenderer shall invariably sign on all sheets before submitting Tender.

1.4 The tender containing overwriting and alterations in the tender documents are liable to be rejected outright. Tenderers must attest any correction made by them. No correction on the typed script of tender form issued by Railway Administration will be allowed. If the tenderer wishes to stipulate any condition of his own, he should state this in a separate letter along with the tender documents. It should however, be noted that the Railway Administration reserves the right not to consider such conditions and to reject the conditional tenders without assigning any reasons.

2.0 Eligibility Criteria 2.1 The tenderer should have completed in the three years (i.e. current year and

three previous financial years) at least one advertisement work of minimum value of 50% of advertised reserve price (1st year) for this tender.

2.2 The annual turnover of tendering firm in last two years shall not be less than one and half time of the reserve price (1st year) as per their profit & loss account which is to be submitted along with this tender.

2.3 The firms should have sound financial capability. The firms should submit a latest solvency certificate from a Nationalized or Scheduled Commercial Bank (not more than four months old from the date of publication) for an amount not less than 40% of the advertised reserve price for the first year for the tender.

3.0 Method of tendering 3.1 The tender will be in two parts i.e. Technical bid and Financial bid. Tenderers may

note the following regarding Technical bid (Packet “A”) and Financial bid (Packet “B”) 3.2 The following documents should also be included in Packet “A”.

i) Tender documents in original complete as per the prescribed format, duly signed on all pages.

ii) Earnest Money Deposit of Rs. …………../- as mentioned in NIT) in the shape of Demand Draft only issued by Scheduled Commercial Banks in favor of “Sr. Divisional Finance Manager, Northern Railway, Firozpur”.

iii) Profit and loss accounts accompanied with balance sheet related to publicity works duly certified by Chartered Accountant for last three years.

iv) Copy of PAN card attested by Notary Public.

v) Copy of Residential certificate i.e. Voter identity card or Ration card, Adhar Card or certificate issued by District Magistrate/ Additional District Magistrate/ Executive Magistrate/ Sub Divisional Magistrate/ Tehsildar (duly attested by the Notary Public)

vi) Particulars of experience in respect of advertising, supported by documentary evidence.

vii) In case of

Partnership firms -- Copy of Partnership Deed should be submitted as per applicable guidelines.

Co-operative society -- Copy of Registration Certificate should be submitted.

Joint Stock Companies -- Copy of Memorandum and Article of Association and Incorporation Certificate should be submitted.

Joint Venture Firms – Joint Venture Firms will be permitted only in tenders having advertised value more than 10 crores, as per applicable guidelines incorporated in GCC.

Sole proprietorship firm -- Certificate from a Chartered Accountant must be attached.

viii) Name, Signature and photograph of authorized signatory on behalf of tenderer, should also be attached.

ix) The Bidder should submit a Power of Attorney as per the format (Annexure-A) at Chapter POWER OF ATTORNEY FOR SIGNING OF BIDDER authorizing the signatory of the Bid to commit the Bidder in case other than individual.

x) Affidavit, that the Proprietor, / Director of the company or any of the partner in case of partnership firm/ Co-operative society/ Joint Stock Company/ Joint Venture Firm/ Sole Proprietorship firm have never been convicted for civil or criminal offence under state or statutory laws

xi) Any other relevant information / documents, which the tenderers may consider appropriate, including their expertise and experience in the areas for which tenders have been invited.

xii) The offer of the firm, which has outstanding dues to be paid, is liable to be rejected. The tenderer shall have to furnish an affidavit on Non-Judicial stamp paper of Rs. 100/- duly attested by Notary Public indicating that they have no dues/ outstanding against Railway or any other civil body or Government of India or State Government

xiii) The tenderers shall have to furnish an affidavit on Non-Judicial stamp paper of Rs. 100/- duly attested by Notary Public indicating that He/ She/ They have not been debarred/ Blacklisted by Railway Administration or any other Civic body, Government of India or State Government.

xiv) The Railway Administration reserves the right to verify the contents of above affidavit from the department concerned, either before the award of, or during the currency of the contract. Furnishing of false affidavit would automatically lead to termination/ cancellation of the tender/ contract and initiation of legal proceedings against the tenderer/ contractor for misleading the Railway Administration.

xv) Only experienced and qualified firms having proven credentials unblemished performance in reputed/ major establishments for similar works should apply along with supporting documents.

xvi) The tenderer should have completed in the three years (i.e. current year and three previous financial years) at least one advertisement work of minimum value of 50% of advertised reserve price (1st year) for this tender. Supporting documents to this effect duly certified by the Chartered Accountant should be attached.

xvii) The firms should have sound financial capability. The firms should submit a latest solvency certificate from a Nationalized or Scheduled Commercial Bank (not more than four months old from the date of publication) for an amount not less than 40% of the advertised reserve price for the first year for the tender.

Note: -

The tenderer must give all the required documents mentioned above. If the tenderer does not fulfill the eligibility conditions as mentioned above, the tender will be disqualified for opening of price bid i.e. Packet “B”.

In case, rate quoted by the tenderer is indicated / included in Packet „A‟, the tender will be summarily rejected.

3.3 Packet “B” Financial Bid

i) The financial bid of the tender document will only contain the schedule of rates. No other documents are to be given in this bid i.e. Packet “B” as given in attached Performa.

ii) Packet „B‟ shall be opened in respect of those tender only who are found

suitable as per Packet „A‟. Packet „B‟ shall be evaluated / considered in respect of financial bid for the first year, commercial suitability and acceptability to Railways. Conditional and ambiguous offers are liable to be rejected.

3.4 The contents of the technical bid will be scrutinized by the nominated tender committee and Packet “B” of those tenderers whose tenders are considered complete will be opened afterwards, the date and time of which will be communicated to the concerned tenderer by post or telephonically.

3.5 In case the Technical offer submitted by any of the tenderer is not found suitable, the financial bid of such tenderer will not be opened and earnest money submitted will be refunded.

3.6 The selected tenderer shall execute an agreement according to the terms and conditions as embodied in the draft agreement attached with the tender forms within stipulated period from the date of acceptance of the offer of the works by the Railway Administration.

3.7 In the event of the tender being submitted by the partnership firm/ private limited company etc, it must be signed by all Partner(s) / Director(s) or on his/ their behalf by a person holding a valid power of attorney authorizing him to do so. A copy of Partnership Deed or a Registration Certificate of a Private Limited Company or Power of Attorney etc be submitted along with the tender in Packet „A‟. Tender not accompanied by such documents will not be considered.

3.8 Acceptance or non acceptance of any tender shall rest with the Railway Administration of Northern Railway, Firozpur for and on behalf of President of India at his discretion and he shall not be bound to accept the highest or any other offer and shall have full authority and discretion to divide or reduce or increase the volume of

work or to accept the tender partly and he shall not be bound to assign any reason whatsoever for any of his action.

3.9 The tender forms are not transferable. 3.10 The administration reserves the right to accept or reject any tender. Authority for

acceptance or otherwise of the tender will rest with the Northern Railway Administration which does not bind itself to accept any quotation or to assign any reason for rejecting / accepting the same.

4.0 Scope of Work 4.1 The contractor will be permitted to display advertisement through as per specific

medias listed in annexure in section -V for each specific zone located in station/ land belonging to Firozpur Division for a period of three years. The contractor may put up request to Railway to display advertisements at sites in addition to those assessed by Railways and listed in zone wise in Section-V of these tender documents. However, the Railway reserves the right to disallow publicity of types and at such places which, in the opinion of Railways, have a bearing on safety, aesthetics, security, synchronicity with existing/ blocked sites and anything which violates laid down Railway procedures / norms/ civil restrictions/ Guidelines issued by any of the Hon‟ble Court from time to time.

4.2 In case additional sites are indentified for commercial publicity in the nominated zone after award of contract, the same will be offered first to the licensee who shall have the first right of refusal, except in case of proposals for innovative/ new ideas of commercial publicity which can be awarded to different agencies/ parties by Railways.

4.3 The successful party shall have advertisements right for only areas mentioned in Annexure in section–V at Railway station as the case may be. All advertisers, recognized agents or otherwise, wishing to advertise will have to deal directly with the licensee and will have no dealing with the Railways or stake any claim on the Railways for any commission etc.

4.4 The publicity rights are as per specification and as per site plan approved by the Railway Administration. The locations meant for fitment of destination boards, segment number, indication boards etc. will not be covered by the sticker/ film so that changing these boards as necessary is not obstructed. It will be ensured that the technique adopted in taking off the sticker/film etc. does not interfere with original paint texture (gloss etc.). The display of advertisement stickers of prescribed size of the boards may be allowed at specific locations as desired by the party and having the approval of Sr.DCM/FZR. Actual displays shall have to be in conformity to structural safety, aesthetics and in accordance with approval from Railway Administration. Such approval and cost thereof and any charge to be paid to such authorities shall have to be borne by the contractor. Railways shall have exclusive rights/ claim on the amount quoted in this tender.

4.5 The publicity right will include all types of medias including hoardings, glow signs / neon signs etc as define in clause 4.1 Visible material especially on front of the displays i.e. frames/ border/ Pole/ structure etc (if permissible at _________ Railway Station as the case may be) should be of good quality steel. Images must be considered decent for the general public & not to create hindrance in any activity of Railways. The message(s) through advertisement(s) should not be socially offensive and should be in keeping with public morality. Advertisements regarding intoxicant, cigarettes biddies and other tobacco products etc. are strictly prohibited. Care shall taken to ensure that advertisement do not interfere/ obstruct the railway station circulating area in or out gates/ main entry. The railway material must be returned to its original condition after the expiry of the contract period by the party which has taken the advertising rights.

4.6 At the beginning of the contract, the contractor will be required to submit the blueprint of the display to the Railway Administration for approval as per area specified in

section-V of tender document before physical execution of the work. The size of each display will be measured end to end of display i.e. including frame/ border used for display.

4.7 Railway will reserve 10% of the area free of cost, for display of commercial/ safety posters, or / and other advertisements to promote socially relevant messages and railway services. This 10% area shall be displayed either on each display or 10 % of the total area allotted in that particular location, on an individual display/ hoarding/ unipole etc. The licensee will not have any claim over these displays. The matter for such displays shall be provided by Railways which the contractor shall arrange to print, erect, display at his cost. This will also be displayed on same pattern as remaining 90% area.

4.8 The amount quoted by the tenderer will be applicable for total advertising area assessed by the Railway or part thereof (including 10% free area as per para 4.7 above). Total assessed area is indicated in Section V of these tender documents. The contractor will be allotted extra sites over and above the assessed area on his request, only after getting the technical and aesthetical feasibility of the sites from the Railway Administration. However, for this purpose, the contractor will have to pay to Railway Pro-Rata extra amount that will be calculated for the relevant year and subsequent years based on total amount quoted for first year and worked out for the subsequent years as per formula given in Packet „B‟ of the Tender Documents.

4.9 The structure of all the advertisement in circulating area/ platforms/ Foot over bridges/ station building should be of same specification as prescribed by the Railway Administration. All the advertisements in circulating area should be display facing only to station building side so that passenger leaving station building can view it. No signage in circulating area/ platforms/ concourse should obstruct view of any of utility signages provided by railway administration like coach guidance boards, arrival departure indication boards or any other media erected for the convenience of travelling public.

5.0 Earnest Money 5.1 The tenderer shall be required to deposit a sum of Rs. ……………… as Earnest

Money Deposit (as mentioned in NIT) along with Tender Form. The earnest money of the unsuccessful tenderers shall be returned. The Railway Administration shall not be responsible for any loss or depreciation that may happen thereto while in their possession as well as shall not be liable to pay interest thereon.

Note: i) The EMD should be in favour of the “Sr. Divisional Finance Manager,

Northern Railway, Firozpur”. ii) Earnest money shall be in the form specified in para 3.2(ii) above.

Government Securities, stock certification cash bonds, promissory notes, and cash certificates etc. will not be accepted.

iii) No interest shall be allowed on the earnest money and security deposit. iv) The tender form is not transferable.

5.2 Tenders without or with less earnest money will be summarily rejected. The offer will remain valid for 90 days from the date of opening of tender.

5.3 If any tenderer withdraws during this period of validity his earnest money deposit will be forfeited. However, if no decision has been communicated within 90 days, the tenderer can withdraw his offer after expiry of the period of validity and his earnest money will be refunded.

5.4 However, the earnest money of the successful tenderer will be adjusted against the subsequent license fee.

5.5 The earnest money will be returned to unsuccessful tenderers 5.6 The earnest money of the successful tenderer will be liable to be forfeited if he does

not fulfill any of the following conditions:

a) Furnishing of security deposit equivalent to 10% of the annual license fee by the tenderer in the form of FDR/Irrevocable Bank Guarantee issued by a Scheduled Commercial Bank for a period of 42 months in favour of Sr. Divisional Finance Manager, Northern Railway, Firozpur .

b) Execution of the agreement within stipulated period of the receipt of award letter.

c) Payment of 1st six months license fees in advance. 6.0 Security Deposit- The successful tenderers shall be required to submit security

deposit equivalent to 10% of the Annual license fee in the form of FDR or Irrevocable Bank Guarantee issued by a Scheduled Commercial Bank for a period of 42 months years before starting the contract.

7.0 Period of Contract & Payment Details: 7.1 The contract will be for a period of Three years from the Mean Commencement Date. 7.2 The commencement date of the contract will be 45 days from issuance of acceptance

letter or 30 days from submission of consent of the tenderer after acceptance letter, subject to completion of all required commercial formalities.

7.3 The reserve price for the first year consists of Part-A & Part-B as defined below: Part-A: Rs…………………… + (plus) Part-B: Service Tax as applicable on amount defined in Part-A above. The tenderers are expected to quote their financial bid for first year in Packet „B‟. The contract will be awarded for a period of three years.

7.4 The successful tenderer will have to pay the six months license fees in advance from the due date failing which a late fee @ Rs.5,000/- per day will be levied . If the payment is not made within 15 days after due day, the Railway Administration will be at liberty to terminate the contract.

7.8 The tenderer will agree to pay and to hold railway harmless on account of any taxes or other government charges (however denominated) including but not limited to service tax, imposed by government or any authority with respect to the execution or delivery of agreement or any transaction hereunder or any income earned or payment received by railway hereunder. The tenderer shall without demur pay or reimburse Railways the amount of any tax which the Railway has to pay or has paid in respect of contract notwithstanding the statuary liability of such tax lies on Railways.

8.0 Other Instructions 8.1 The tenderer will fill separate tender form for each station/ zone. Two zones or more

will not be clubbed by the party. This will lead to rejection to tender summarily. 8.2 If a tenderer expires after the submission of the tender or after the acceptance, of his

tender, the Railway Administration may deem such tender or contract as cancelled. If a partner of a firm expires after submission of his/ their tender or after acceptance of his/ their tenders, the Railway may deem such tender or contract as cancelled unless the firm retains its original character.

8.3 The firm consisting of more than one partner will attach with the tender all the documents in support of partnership, including registration deed, power of attorney etc. Tender received without such documents may not be considered. The person legally authorized by them to enter into commitment on their behalf shall sign the tender.

8.4 The tenderers shall not decrease the offered rates in case the Railway Administration negotiates for enhancement of rates. Such negotiation shall not amount to cancellation or withdrawal of the original offer and rate originally quoted would continue to be binding on the tenderers. The authority for acceptance of tenders will rest with Northern Railway Administration, Firozpur, who does not bind himself to

accept the highest tender or any tender nor does he undertake to assign reasons for dealing to consider any particular tender or tenders.

8.5 The successful tenderer/ tenderers shall be required to execute an agreement for Advertisement Rights at……………… Railway station from the prescribed date with President of India acting through the GM, Northern Railway, New Delhi or any other officer authorized by him.

8.6 The tenderer/ tenderers is/ are required to attach photocopies of supporting documents with his/ their tender documents showing the financial status of the firm and the original thereof shall have to be produced as and when desired by the Railway Administration. Failure to submit such certificate/documents will render the tender for outright rejection.

8.7 Non-compliance with any of the conditions given herein above will result in the tender being rejected.

8.8 Financial bids and Technical bids are to be put up in separate sealed envelopes and clearly marked as packet “A” and packet “B”. Both the envelopes are again to be put up in another big sealed envelope and name of tender, name and address of the firm etc. are to be clearly indicated on top of the covering envelope.

8.9 The tenderers will drop the covering envelopes containing both Packet “A” and Packet “B” in the tender box at the scheduled time and date as mentioned in the tender notice.

8.10 The envelope containing technical bid will be opened at the due time. 8.11 The financial bid i.e. Packet “B” will again be put up in a separate envelope and

sealed in presence of tenderers. 8.12 Each and every page of entire tender form is to be signed by the authorized signatory

of the firm/company/agency. The tender forms without signatures are liable to be rejected.

Section-III.

AGREEMENT for the contract of Advertisement Rights at __________ Railway station

between Northern Railway & _______________________

An Agreement made this ------ day of --------, Two Thousand ____ between the President of the Union of India as the Executive Authority of Administration of the Northern Railway (Hereinafter called preamble “The Administrator”) of the one part and Mr./Messrs ___________________, business at ____________, under the name and style of Mr./Messrs_______________________________________________________________________________(address) (herein after called „Licensee/ Licensees‟) which expression shall where the context so requires or admits, be deemed to include his /their or either of his/their heirs, executors and administrators of the other part. WHEREAS the Licensee/Licensees has /have applied to the administration for a License or permission to erect advertisement displays/media and for said purpose to have the temporary use and occupation of the said area which license or permission the Administration have agreed to grant upon the terms and conditions hereinafter contained. NOW IT IS HERE BY AGREED BETWEEN the said party/ parties hereto as follows:-

Advertisement Rights

1. The licensee shall be given the rights for display of advertisements on Firozpur Division as per the area specified in the Annexure of section-V appended for a period of three years i.e. from ………….. to ……………..

2. The advertisement rights for the sites mentioned in the annexure would vest with the licensee. The total assessed area for such sites works out to ………… Sq.feet.

3. The contractor will be permitted to display advertisement at ……………………… station (for the sites mentioned in section-v) as per specification of RDSO belonging to Firozpur Division for a period of three years i.e. from ………….. to ………….

4. The exclusive advertisements rights for the sites and media mentioned in the annexure……………… at ……………………… Railway station as the case may will vest with the contractor for area comes under zone will vest with the licensee. All advertisers, recognized agents or otherwise, wishing to advertise will have to deal directly with the licensee and will have no dealing with the railways or stake any claim on the Railways for any commission etc.

5. The ownership of existing contracts will pass on to the contractor for display of commercial advertisement only after the expiry of the term of contract. The contactor will have no locus-standi on the advertisement displayed by existing contractor until the expiry of the contract.

6. Period of Contract- The contract will be awarded for a period of Three years i.e. from …………… to ……………. The commencement date of the contract will be 45 days from issue of acceptance letter or 30 days from the submission of consent of acceptance letter by the contractor subject to completion of all formalities. It is the responsibility of licensee to fetch business from advertisers and no relaxation in commencement date of payment of license fee shall be permitted for non-display of advertisements on this account i.e. inability of licensee to obtain advertisements from advertisers etc.

7. Type of publicity / Advertisement - The contractor will be permitted to display advertisement through as per specific media listed in annexure in section -V for each specific zone located in station/ land belonging to Firozpur Division for a period of three years. The contractor may put up request to Railway to display advertisements at sites in addition to those assessed by Railways and listed in Section V of the

tender documents. However, the Railway reserves the right to disallow publicity of types and at such places which, in the opinion of Railways, have a bearing on safety, aesthetics, security, synchronicity with existing/ blocked sites and anything which violates laid down Railway procedures / norms/civil restrictions/ Guidelines issued by any of the Hon‟ble Court from time to time. (For the only sites mentioned in the Section V).

8. Type of Publicity not allowed- The Railway reserves the Right to disallow Publicity of any type, at any point of time which has a bearing on safety, aesthetics, security, synchronicity with existing / blocked, proposed and new sites without compensation.

9. Advertisements pertaining to liquor, cigarettes, pan masalas and other intoxicants and any other subject/item considered objectionable under various Acts and laws of the Govt. shall not be displayed. There shall be no obscenity in the design and matter of the advertisement material. The contractor will abide by various state and statutory laws relating to advertisement/ display of items. The contractor shall be fully liable for any contravention in this regard and shall be suitably taken up under the laws of the land. The advertiser will have to discontinue display of such advertisements for which the Railway Administration will issue instruction. Contractor is liable to abide by the various laws of State and Statutory Law relating to advertisement/display of items.

10. Contractor shall have to be solely responsible for abiding with all laws of land enforce and sign papers giving indemnity to Railways for any loss / damages arising out of such displays.

11. Railway Administration is free to award any other commercial contract of any other type or of same media over & above in same zone in addition to already awarded contract for the area specified in the tender. The licensee has the first right of refusal.

12. At the beginning of the contract, the contractor will be required to submit the blueprint of the display to the Railway Administration for approval as per area specified in section V of tender document before physical execution of the work. The size of each display will be measured end to end of display i.e. including frame/ border used for display. Thereafter during the currency of the contract the contractor will inform in writing to the Station Master concerned for changing of the display as & when he wants to replace the existing display.

Submission of Blue Print and approval of text & design of display

13. The contractor shall submit/ show the plan/ text design of all the advertisements to be displayed and obtain approval prior of the Railway Administration for such displays. The contractor will submit a safety certificate from an approved chartered engineer regarding the safety aspect of structure/hoardings erected by him and non-infringement of Railway track by the same. The contractor will be responsible for damages caused due to heavy winds, storms, fire, explosion, riots or other unforeseen causes and indemnify the railways on account of the above mentioned causes.

14. The structure of all the advertisement in circulating area/ platforms/ Foot over bridges/ station building should be of same specification as prescribed by the Railway Administration. All the advertisements in circulating area should be displayed facing only to station building side so that passenger leaving station building can view it. No signage in circulating area/platforms/concourse should obstruct view of any of utility signages provided by railway administration like coach guidance boards, arrival departure indication boards or any other media erected for the convenience of travelling public.

15. Reserving 10% area for Railway Messages- Railway will reserve 10% of the area free of cost, for display of commercial/safety posters, or / and other advertisements to promote socially relevant messages and railway services. This 10 % area shall be displayed either on each display or 10% of the total area allotted in that particular

location, on an individual display/hoarding/unipole etc. The licensee will not have any claim over these displays. The matter for such displays shall be provided by Railways which the contractor shall arrange to print, erect, display at his cost. This will also be displayed on same pattern as remaining 90 % area.

16. Pro-Rata Allotment - The amount quoted by the Licensee will be applicable for total advertising area assessed by the Railway or part thereof. Total assessed area is indicated in Section V of these tender documents. The contractor will be allotted extra sites over and above the assessed area on his request, only after getting the technical and aesthetical feasibility of the sites from Sr. Divisional Commercial Manager/ Divisional Commercial Manager. However, for this purpose, the contractor will have to pay to Railway Pro-Rata extra amount that will be calculated for the relevant year and subsequent years based on total amount quoted for first year and worked out for the subsequent years as per formula given in Packet „B‟ of the Tender Documents.

17. Maintenance of Register: The Station Manager/SS of each station will maintain a display register media-wise and keep it up to date on every first of the month as per Para 3029 of the Commercial Manual Vol. II, 1991 and the entries in the register will be signed by SS/ SM and the advertising agency.

18. Inspection: A periodical inspection i.e. once in two months should be conducted jointly by the sectional CMI & authorized representative of the contractor for the displays at each station. Inspection report duly signed jointly should be submitted to the Divisional office within a week time.

19. Penalty and interest on delayed payment: The Northern Railway Administration reserves the right to impose a penalty up to Rs.1,000/- for first time, Rs. 5,000/- for second time and Rs. 10,000/- for third and every subsequent time for display of unauthorized advertising material as well as irregularity detected in the premises. The term unauthorized display will include the following:

a) Advertisement material on display without prior permission of Railway Administration.

b) Advertisement material on display without payment of rent even though contact has been executed.

Any violation of clauses mentioned in this contract agreement.

20. A. Licensee will also be penalized as per clause no. 19 per offence on the following offences.

i) Any staff of licensee found in drunken condition/indulging in a bad conduct. ii) Any staff of the licensee found creating nuisance on duty. iii) Dishonoring of drafts of payments. iv) Not following the instructions of the Railway Administration.

B. The contractor will have to pay the six months license fees in advance from the due date failing which a late fee @ Rs.5,000/- per day will be levied . In case, the contractor fails to deposit the license fee for 15 days after due day action will be initiated against the contractor as deemed fit by Railway Administration.

21. Discrepancy, if any noticed or if the licensee does not observe instructions issued by Railway Administration within a reasonable time, the Railway Administration reserves the right to impose a fine as per clause no. 19. Engagement of Guard and Labour by Licensee

22. In addition to the routine Railway security arrangement, the licensee shall be permitted to engage his guard round the clock to watch his material displayed. The police and Railway Administration should duly verify antecedents of such guard. However, the licensee shall be responsible for the security of his/their property and

railway shall not be liable to entertain any claim in this regard. For this purpose the contractor will issue an identity card to his staff and will submit a copy of the same to the concerned Station Master.

23. The laborers/ workmen engaged by the licensee to perform the licensee‟s work shall only be called the employee of the licensee/ contractor and have no link with the Railway department. The staff of licensee/contractor shall not be entitled/ claimed for any Railway benefit.

24. No free passes to Licensee: Free passes to the licensee or his staff for rail journey shall not be permissible.

25. Verification of employees of Licensee: The staff of the licensee should be provided with an identity card with photo duly attested and his/ their conduct verified by the local police authority. Number of staff to be engaged by the licensee at Railway Station will be approved by the Administration and I- cards issued by contractor as per approved format.

26. Security Deposit - The licensee shall be required to submit security deposit equivalent to 10% of the Annual license fee in the form of FDR or Irrevocable Bank Guarantee issued by a Scheduled Commercial Bank for a period of 42 months, within stipulated period from issue date of acceptance letter. The security deposit will be refunded on satisfactory completion of the contract period taking into consideration that all Railway dues are cleared. The contractor shall have to remove all the infrastructure which include steel frames, lighting arrangements, unipole structures etc within 30 days from the date of the expiry of the contract failing which Railway administration will remove them at the cost of licensee & that cost will be recovered from the security deposit. Engagement of other companies for fabrication of advertisements

27. The Railway Administration will have no objection if the contractor engages other companies/concerns/agencies for the purpose of exhibition of the fabrication, painting and selling advertisement space directly to users intending to promote the sale of commodity, of service, to advance an idea or to bring above some other effects desired by the advertisers. However, at no time subletting of rights for advertisements to other advertising agencies would be permissible under this agreement.

28. The engaging of such concern etc. for the purpose of exhibition of fabrication, painting, selling of space etc. will be entirely at the licensee‟s own risk and cost.

29. Clearance from Civic authorities: It will be the responsibility of the licensee to obtain all necessary permission from Municipal Corporation/ Local Bodies etc. in Area and other State Government for other areas as required under law in operation from time to time to enable him to display their material and will pay the fee or any other charges directly to concerned authority at his own. Such charges, if any, are not deductible from amount quoted in this contract agreement.

30. a. Licensee will have to get the clearance for display of advertisement/ hoarding from the competent authority (if required) and also pay advertisement tax etc. if any imposed by the authority acting on behalf of Court or State Govt. or Central Govt. Such charges, if any, are not deductible from amount quoted in this contract agreement.

b. If applicable, the contractor have to pay the applicable service tax over chargeable license fee to Railways and on demand Railway will provide/issue certificate for service tax collected from the concerned contractor for getting credit to contractor from service tax department, if required with each installment of license fee.

31. Cost/ expense bearing: All costs/expenses incidental to the preparation and completion of this agreement including stamp duty shall be borne and paid by the licensee/contractor.

Payment schedule for licensee 32. The licensee will have to pay the license fee for a period of three years. 33. The licensee will have to pay the 1st six months license fee in advance. 34. Further payments for subsequent six months period shall be made on completion of

six months from award of contract and so on every six months. 35. Termination of contract- Northern Railway reserves the right to terminate the

contract without assigning any reason by giving three months notice to the licensee. The notice shall commence from the date of issue of termination notice. However, in the event of an unsatisfactory working of the contractor, or in the event of failure on the part of the contractor in payment of display charges or any other charges due to the Railway Administration, the Railway Administration reserves the right to terminate the contract and discontinue the display forthwith and confiscate the advertisement and other material of the contractor without prejudice to any rights available to him/them under the contract. The privileges in this clause hereof mentioned are granted on the express understanding that the licensee/licensees shall be at liberty to terminate and to put an end to the license, any time after the expiry of the period of 12 months from its coming into force, without being liable for loss or damage which the Railway Administration may suffer by reason of such termination, by giving the Railway administration notice of not less than 3 months in writing along with advance payment of license fee for the period up to which the licensee wants to run the contract. For example, if a contract commences on 01/01/2015, the contractor can give advance surrender notice after completion of 09 months i.e. after 30/09/2015 so that the mandatory condition of 12 month of operation of contract would be fulfilled, subject to completion of other provisions of contract.

36. Under ordinary circumstances the Railway Administration reserves the right to terminate the agreement by giving notice of not less than three months. The contractor shall not be entitled to any damage or compensation because of such termination other than the proportionate abatement of display charges for the period of non-display.

37. For repeated violation of instructions/ breach of agreement, the Railway Administration reserves the right to terminate the contract at the risk and cost of contractor including forfeiture of security deposit.

38. Illumination/ Electricity for displays - The contractor will be permitted to illuminate the displays. Railway will provide electricity connections wherever requested by the contractor and if it is possible for Railways to do so. The charges for such electricity will be computed on average consumption basis at the time of installation and will be paid by the party on half yearly/ annual basis. These lumpsum charges will be reviewed periodically to take into account changes in electricity rates etc. However, necessary installation charges for separate wiring (and also for meter if separate meter is desired by the party) for electrical connections for various publicity points shall be paid by the party. The contractor shall have liberty to make his own arrangement for illumination, at his cost. However, while doing so extent regulations in respect of safety shall be complied with by the contractor at his own risk and cost. The Railway Administration shall have the right to reduce, stagger or disconnect electricity supply due to power shortage or any other cause, whatsoever, with a 15 days prior notice to the licensee. In such an event the railway administration shall not be liable for compensation or proportionate reduction of rent or other charges. The Railway Administration shall also not be responsible for failure, interruption or break down of electricity supply from whatsoever cause and refund of charges for display shall not be permitted on account of such failure of electricity. In case of electricity failure, the licensee would make his own standby arrangements.

39. Modification in Agreement - Any addition/ alteration/ change/ modification/ review and extension can be made to this Agreement, only in writing with the mutual consent

of the licensee and the Railway Administration as per Schedule of Powers, applicable on Northern Railway.

40. Deduction of Railway dues - Railway Administration reserve the right for deduction of Railways dues from the contractor‟s security amount on the following grounds:

a) Any amount imposed as a fine by Railway Administration for irregularities Committed by the contractor.

b) Any amount which Railway Administration becomes liable to pay to the Govt./ Third party on behalf on any default of the contractor or any of his servants/ agents.

c) Any payment/fine made under an order/judgment of any court/ consumer Forum or law enforcing agency or any person working on their behalf.

Once an amount under this clause is debited, the contractor shall reimburse the amount to the security deposit to the extent of the amount is debited within 15 days period failing which it will be treated as breach of agreement.

41. Arbitration - In the event of any dispute or difference of opinion arising out of this Agreement or any special condition of contract or in connection with this agreement, the same shall be referred to the sole arbitration of a Gazetted Railway officer appointed by the General Manager/Northern Railway. The Gazetted officer appointed as arbitrator however will not be one of those who had an opportunity to deal with the matter to which the contract relates or who in the course of their duties as Railway servants have expressed views on all or any of the aspects of the matter under dispute or differences. The award of the arbitrator shall be final and binding on the parties to this contract subject to aforesaid, the Arbitration & Conciliation Act, 1996 and the rules made there under or any statutory modification thereof for the time being in force shall be deemed to apply to the arbitration proceeding under this clause. The venue of arbitration shall be the place from which the acceptance note is issued.

42. Workmen‟s Compensation Act - The Licensee shall keep the Railway Administration indemnified and completely absolved of any risk, damage or loss howsoever caused, due to any kind of disturbance affecting the licensee‟s property or their personnel under employment or otherwise engaged by them in discharge of their duties connected with the display of advertisements. This would include claims under the workmen‟s Compensation Act and for losses suffered by third parties because of advertising material causing damage in the process of dismantling or accidental fall. The Railway Administration accepts no responsibility for any loss/damage of advertising materials belonging to the Licensee, no matter howsoever caused.

43. Legal jurisdiction - All disputes are subject to the jurisdiction of the only High court and subordinates Courts thereof of the State in which the concerned Railway Station/Level crossing gates and other media sites are located.

44. Contract Labour Abolition Act - The contractor shall comply with all the provisions of contract labour (Regulation-abolition) Act 1970 and any subsequent amendment thereof and the rules made there under. Contractor will indemnify the Railway Administration for any loss or damage suffered by it due to violation of its provisions.

General 45. The advertiser shall comply with the laws of land, regulating the

advertisement/display and Railway cannot be held liable for any change/modification in the laws that adversely affect this contract and the licensee will have no right whatsoever.

46. If not provided otherwise in the agreement all notices to be given by the Railway Administration and all other to be received on its behalf may be given or taken by the Sr. DCM / Firozpur or any other officer for the time being entrusted with the functions, duties and powers of the competent authority.

47. Railway Administration will not be responsible for loss/damages caused to the contractor due to removal/alteration/banning of advertisement/hoarding etc. by competent authority.

48. For the purpose of this agreement, the competent authority is Divisional Railway Manager/Firozpur.

49. The Railway Administration shall not be responsible for any loss or damage caused to the contractor due to total discontinuance of the scheme under the agreement for any reason whatsoever.

50. After the expiry of contract licensee will have to remove all the structures within the 30 days.

b) Profit and Loss Accounts, Balance Sheet duly certified by Chartered Accountant for last Three years.

c) Copy of PAN Card duly attested by Notary Public. d) Assessment order for last completed assessment. (In case no assessment is

completed an affidavit to this effect should be furnished). e) Copy of Residential certificate i.e. Voter identity card or Ration card, Adhar Card or

certificate issued by District Magistrate/ Additional District Magistrate/ Executive Magistrate/ Sub Divisional Magistrate/ Tehsildar (duly attested by the Notary Public)

f) Particulars of experience in respect of advertising supported by documentary evidence.

g) The Bidder should submit a Power of Attorney as per the format (Annexure-A) at Chapter POWER OF ATTORNEY FOR SIGNING OF BIDDER authorizing the signatory of the Bid to commit the Bidder in case other than individual.

h) In case of partnership firms, copy of partnership deed. In case of Co-operative society – copy of memorandum and article of association, in case of proprietorship firm, a certificate from a Chartered Accountant. Authorized signatory may be defined in case of firms other than individuals and papers submitted. Joint Venture Firms will be permitted only in tenders having advertised value more than Rs.10 crores, as per applicable guidelines incorporated in GCC

i) Affidavit, whether the tenderer has ever been convicted for civil or criminal offense under state or statutory laws, or not. If so the details thereof.

j) Other relevant information/documents, including their expertise and experience in the areas for which tender is invited.

k) The offer of the firm, which has outstanding dues to be paid, may be rejected. The tenderer shall have to furnish an affidavit on Non-Judicial stamp paper of Rs. 100/- duly attested by Notary Public indicating that they have no dues/outstanding against Railway or any other civil body or Government of India or State Government.

l) The tenderers shall have to furnish an affidavit on Non-Judicial stamp paper of Rs. 100/- duly attested by Notary Public indicating that He/She/They have not been debarred/Blacklisted by Railway Administration/ or any other Civic body, Government of India or State Government.

m) The Railway Administration reserves the right to verify the contents of above affidavit from the department concerned, either before the award of, or during the currency of the contract. Furnishing of false affidavit/information may lead to termination/cancellation of the tender/contract and initiation of legal proceedings against the tenderer/contractor for misleading the Railway Administration. For such cancellation party shall bear the loss at their own cost, expense, etc. if any.

n) Only experienced and qualified firms having proven credentials, unblemished performance in reputed/major establishments for similar works should apply along with supporting documents.

o) The participating agency should have completed in the three years (i.e. current year and three previous financial years) at least one advertisement work of minimum value of 50% of advertised reserve price (1st year) for this tender.

p) The firms should have sound financial capability. The firms should submit a latest solvency certificate from a Nationalized or Scheduled Commercial Bank (not more than four months old from the date of publication) for an amount not less than 40% of the advertised reserve price for the one year for the tender.

q) List of works completed in the last three financial years giving description of work, organization for whom executed, approximate value of contract at the time of award, date of award and date of scheduled completion of work, date of actual start, actual completion and final value of contract and date/amount of payments made should also be given.

r) List of works on hand indicating description of work, contract value, and approximate value of balance work yet to be done and date of award should also be given.

Note:- i) The tenderer must give all the required documents mentioned above in

“Packet-A”. Railway Administration based on Packet-A shall assess eligibility of the firm. If the tenderer does not fulfill the eligibility conditions as mentioned above, the tenderer will be disqualified for opening of price bid i.e. Packet “B”.

ii) Certificates in respect of experience, executing work, payments, etc will be accepted from Government, Semi-Government, PSU and reputed Private Registered Companies only. The certificates from Private Individuals will not be accepted. The Railway Administration reserves the right to call for registration certificates in respect of Private Registered Companies from whom the tenderer has submitted experience / payment / eligibility certificates etc.
