SECTION B: SUPPLIES OR SERVICES AND PRICE/COSTS

B.1 GENERAL INFORMATION

This is a multiple-award Blanket Purchase Agreements (BPA), called hereinafter referred to as “BPAs”, for Salesforce Implementation, Integration, and Support Services (SIISS) in support of procuring expert services on an agile basis. The overall objective of this initiative is to give the Government a fast and effective way to procure high-level SIISS services as detailed in the BPA Statement of Work (SOW). In this process, the BPAs will allow eligible ordering activities to save procurement time, reduce contract duplication and realize economies of scale through high-volume ordering.

The use of experienced vendors using the agile methodology will enable the delivery of quality products within rapid time frames for Salesforce applications. In addition, creating applications with a consistent architecture following standard Salesforce development guidelines will promote reuse and shareability of all code and functionality across government in alignment with the Federal Digital Government Strategy 'Shared Platform Approach' to "build once, use many times."

B.1.2 Authorized BPA Users

See GSA Order ADM 4800.2H (or latest version if updated during the period of the BPAs), “Eligibility to Use GSA Sources of Supply and Services” available for download here: https://insite.gsa.gov/portal/content/658914 Contractors may purchase on behalf of federal agencies when authorized in accordance with FAR Part 51 and the ordering activity’s contracting officer (CO). State and local governments and tribes are not authorized to place orders under these BPAs.

B.1.3 Estimated Value of BPA The total estimated value of the BPAs is $503.7 Million. There is no guaranteed minimum or maximum award amount.

B.1.4 Term and Task order Type

The Term of the BPAs will be 5 years, unless cancelled. Contractors may be awarded BPAs that extend beyond the current term of their GSA Schedule contract, so long as there are option periods in their GSA Schedule contract that, if exercised, will cover the BPA’s period of performance. Should a Schedule contract expire during the period of performance, the BPA written, thereunder, expires on the same date as the Schedule contract and no new BPA orders may be issued after that date. The BPA holder shall notify the BPA CO no less than 60 calendar days prior to the expiration of the contractor’s Schedule contract that its contract is about to expire. The BPA will not extend beyond the final expiration of the contractor’s Schedule contract.

Firm Fixed Price (FFP) orders are preferred as stated in FAR 8.405-3(c)(3). The ordering activity shall develop a statement of work for each order covered by the BPA. Ordering activities shall place these orders on a firm-fixed price basis to the maximum extent practicable. For time-and-materials and labor-hour orders, the contracting officer shall follow the procedures at 8.404(h). All orders under the BPAs shall specify a price for the performance of the tasks identified in the statement of work.

B.1.5 Applicable Schedule/Special Item Numbers (SINs) under this BPA

BPA for Salesforce Implementation, Integration, and Support Services (SIISS) consists of the following GSA Multiple-Award Schedule 70 - General Purpose Commercial Information Technology Equipment, Software, and Services SINs:

SECTION C: STATEMENT OF WORK

C.1 INTRODUCTION AND OVERVIEW

The purpose of the Salesforce Implementation, Integration, and Support Services (SIISS) strategic sourcing initiative is to provide best value to Federal agencies through a pool of highly qualified contractors. The resulting acquisition vehicle will be a GSA Schedule BPA. These BPAs will be established for the creation of Task Orders based on objectives as outlined by the Government for integrator support services on the Salesforce platform. C.2 BACKGROUND Each year, the Federal government spends millions of dollars on the purchase of software integration services. Currently, these services are procured by each individual agency or entity on a case by case basis as need arises. This effort is consistent with several initiatives to strengthen Federal acquisition practices, such as:

• Federal Information Technology Acquisition Reform Act (FITARA): GSA, in collaboration with OMB, shall create, and allow agencies access to, government-wide enterprise software licenses through new awards as part of category management;

• Category Management: As described in Anne Rung, the Administrator of Federal Procurement Policy’s December 4th memo, which encourages strategic sourcing and strategies to drive performance, such as developing common standards and practices and contracts;

• US Digital Service Playbook: Released by the White House in August 2014 as best practice guides for developing effective digital services.

• TechFAR: Released along with the Playbook, this is a guide to increase agencies use of common agile software development services within the IT Consulting, IT Outsourcing, and IT Security Categories.

C.3 OBJECTIVE The objective of these BPAs is to provide a streamlined method for Government Agencies to procure expert services on an agile basis for the Salesforce implementation, integration and support services through the award of a Blanket Purchase Agreement (BPA) in accordance with FAR 8.4. These services will be epitomized by driving towards the delivery of quality product within rapid time frames through the utilization of the Salesforce platform to create applications with consistent architecture following standard Salesforce development guidelines to promote reuse and shareability of all code and functionality across government in alignment with the Federal Digital Government Strategy 'Shared Platform Approach' to "build once, use many times".

In order to achieve this goal, quality Salesforce-certified partners must be able to implement applications, platform and products utilizing End User (UX) Design thinking and Agile Software Development processes that achieve results through continuous capability enhancements, minimal downtime, prompt response to emerging needs, demonstrated reliability, and optimized performance with resource utilization minimized. Requirements for delivering commercial-class service and products include the following and shall apply to all task orders awarded under the BPAs:

a. Utilizing comprehensive, objective metrics that provide accountability with consistent and transparent measures, including incentives to reward outstanding accomplishments that benefit the agency and disincentives when performance fails to meet requirements.

b. Leveraging technology capabilities to meet customer needs with timely and seamless

access to the cloud-based infrastructure, business applications, and data. This includes staying abreast of new Salesforce software-as-a-service (SaaS) product offerings, platform features, and innovative ways to provide technology value to agency customers.

c. Minimizing resource requirements and operational costs with management practices and

technologies that maximize operational efficiencies.

d. Implementing non-proprietary business applications that are based on an iterative process utilizing UX Design & Agile software development methods and repeatable processes, while maintaining flexibility to satisfy unplanned urgent customer needs and ad hoc requests.

e. Maximizing agility and responsiveness in deploying enhancements, upgrades, and new

technology applications that enhance capabilities and meet the continually evolving needs of clients.

f. Development and implementation of verification and validation processes that provide a

high level of assurance that all service requests are completed according to established requirements.

g. Provide customer-friendly support services and training that meet the needs of the end-

users.

h. Establish and maintain a standardized process for enterprise-wide management of releases into the production environments to include all documentation required.

i. Cultivation of positive, trusting, and cooperative working relationships with the

Government and other vendors that support the agency.

j. Participation in and establishment of agency’s Salesforce Center of Excellence and associated activities. A Salesforce Center of Excellence is the governance framework that drives the execution of processes by which organizations identify, prioritize, assign,

execute and communicate while optimally leveraging people, processes, knowledge base, and technology.

k. Regularly advise the Government on emerging technologies, tools, applications, and recommendations for improving the implementation of an agency’s Salesforce platform and related cloud technology ecosystem.

C.4 SCOPE

The scope of the BPAs encompasses requirements for providing platform strategy services, Center of Excellence management and governance, business process analysis, solution architecture and design, application development and configuration, implementation, release and enterprise environment management, and maintenance services required to successfully implement the Salesforce platform and applications to meet agency requirements. The services provided under the BPAs are for enterprise-level Salesforce partners who can manage implementations within complex, multi-org government cloud ecosystems. In some cases supporting more than 100 active applications and several thousand users. The complexity of the work requires that the service providers have proven Salesforce consulting capabilities, a strong past performance record and customer stories of the same scope, a bench of Certified Salesforce personnel, and the ability to manage large-scale, centralized releases and Agile development portfolios. GSA intends to establish BPAs for Salesforce-certified, Implementation, Integration, and Support Services (SIISS). Performance management information technology (IT) tools that are incidental to and in support of the implementation, integration, and support services may also be provided at the task order level as detailed in Section 9.0 of this statement of work (SOW). Firm Fixed Price (FFP) and Time & Material/Labor Hour (T&M/LH) task orders with a not to exceed (NTE) ceiling can be issued under this BPA as performance management support services are required on specific projects. The task orders to be issued under the BPAs will be based on scopes of work defining specific requirements. The BPAs will establish agreed upon minimum discount percentages. Discount percentages will be from the BPA holders GSA Schedule contract rates/prices and will be used to calculate the maximum rates/prices that can be utilized at the BPA order level. Offerors will be required to provide a minimum of a 5% overall discount on their schedule prices for their BPA. Competition of each task order will occur among the BPA holders as established by the BPA ordering procedures in accordance with FAR Part 8.405-3(c). Factors such as (but not limited to) price, past performance on prior task orders issued outside and under this BPA (quality of deliverables/services/ timeliness, and cost control), socio-economic status and potential impact on other orders placed with the contractor (e.g. capacity issues) may be considered in determining award of individual task orders. Due to the potential volume and estimated dollar value of the BPAs, contractors are encouraged

to offer discounts greater than those required in the RFQ from their currently awarded Schedule prices. However, it is emphasized that there are no intended or implied guarantees regarding the Government’s usage of this vehicle. There are no funds obligated or guaranteed as a result of the BPAs. The Government is obligated only to the extent of authorized orders made under the BPAs. It is the responsibility of the individual ordering activities to ensure adequate funds are available.

C. 5 TASKS

To fulfill the requirements of the BPAs, the contractors are required to provide, the following services. Task Orders placed under the BPAs will specify which Functional Area(s) will be included in scope for each individual order. A task order can include at a minimum one Functional Area or any combination of the following:

• Functional Area 1: UX Design, Business Analysis, Development, Integration • Functional Area 2: Data Management and Securitization • Functional Area 3: Program Management Support and Center of Excellence (COE)

Governance • Functional Area 4: Release Management and Post-Implementation Maintenance

Support • Functional Area 5: Support / Help Desk • Functional Area 6: Training • Functional Area 7: Agile Coaching, Agile Portfolio Management, and

Implementation

5.1 Functional Area 1: UX Design, Business Analysis, Development, Integration - Creation of a technical architecture leading to the development of business applications, including integration with the existing systems. This includes expansion or updates to existing production applications to meet the ongoing, unique objectives and requirements of specific components.

Sample activities that would typically fall under Functional Area 1 are:

● Design solutions toward the end user experience so that products produced meet end user goals and measure of success as well as the strategic business objectives of the providing organization.

● Work with stakeholders and technology professionals to properly understand business requirements and develop an industry best practice approach to technology solutions;

●Provide subject matter expertise for the Salesforce Apex coding language;

●Develop, test, stage, and release business applications by applying iterative processes utilizing the proposed Agile methodology and a frequent release cycle;

●Provide customer-friendly open source solutions that provide ease of use for non-technical Government users;

●Ensure commercial best practices workflows shall come bundled with the solutions;

●Design solutions that offer role based identity management, authorization, and authentication across all business applications;

●Ensure all content and activities are traceable to specific persons;

●Ensure all content is preserved according to federal record retention requirements and applications have the ability to protect personally identifiable information (PII);

●Ensure applications are developed such that response times for application end users fall within best practice levels;

●Provide comprehensive documentation and information necessary to analyze processes, procedures, and/or policies that were implemented in the creation of the applications;

●Provide secure mechanisms to allow data exchange and interaction with external systems through Application Programming Interfaces (APIs) or other methods;

●Provide business process analysis expertise with regard to optimizing the utilization and adoption of the software platform among government users;

●Seek to configure out-of-the-box aspects of the selected platform before recommending a customized coding approach;

●Develop system configuration in such a manner as to leverage maximum re-use and sharing across the platform by other federal agencies;

●Provide full technical and end-user documentation for all software development efforts and product releases with all information necessary to document processes, procedures, code artifacts, and/or policies that were implemented in the creation of the development work;

●Be equipped to support an enterprise-wide, multi-org Salesforce ecosystem, providing analysis and solution architecture recommendations considering functional overlap and reuse of objects or utilities

●Rapidly deploy new or improved independent site features without requiring changes or downtime to unrelated site features;

●Design and implement system changes in a manner to support interoperability and scalability with future development efforts and in an open architecture manner;

●Allow the government to publish all source code or software artifacts for reuse in an open source manner;

5.2 Functional Area 2: Data Management and Security – Data management may include database architecture, data import/export tasks, data migration efforts, security with a Government provided third-party encryption tool, and creation of policy and/or procedures surrounding data implementation.

Sample activities that would typically fall under Functional Area 2 are:

●Provide database architecture subject matter expertise for the Salesforce and Force.com platforms;

●Include database performance and impact in all system design or development efforts to ensure industry best practices are supported;

●Work with third-party cloud encryption gateway technologies, if present, provided by the government to secure designated data while in transit to/from the cloud as well as at rest;

● Work with security in the creation of policy and/or procedures surrounding data implementation including the correction of application security vulnerabilities within 24 hours;

●Verify in writing to the Government that data migrated from any legacy system to the new Salesforce application is complete and accurate in accordance with the Federal Records Act and any other applicable federal law, according to the agreed upon framework coordinated with Agency and the Contractor and that all data is accessible;

●Be knowledgeable in data warehousing, data visualization and business intelligence best practices to provide guidance on data architecture and mapping;

●Provide systems and data integration and orchestration services between Salesforce and other systems of record or data warehouses;

5.3 Functional Area 3: Program Management Support and Center of Excellence

Governance- Provide the government program management and center of excellence governance support for managing applications on an enterprise-wide platform.

Sample activities that would typically fall under Functional Area 3 are:

●Give periodic project, program, and operational status updates as required by the government within an agreed-upon frequency and schedule. These are typically weekly or monthly task order status reports and weekly Agile/Scrum development meetings.

●Provide on-site project management support and attend in-person meetings on an ad-hoc basis.

●As part of the COE support, the contractor provide enterprise-wide platform architectural design, centralized design review of configuration and code prior to release, and support of the most current Salesforce / Force.com implementation best practices, features and functions.

●Provide project and operational documentation as required by the government to support specific project deliverables or ongoing operational support such as security Authority to Operate.

●Manage and oversee daily, weekly, and monthly workloads and schedule for active tasks with regard to schedule, budget, priority, risk, and quality to ensure quality response to government task order requests.

●Provide programmatic support for the agency’s Center of Excellence or governing body, including application portfolio management and engagement with Enterprise Architecture, developing strategic roadmaps, creation of executive-level briefings, support in developing OMB capital planning reports, managing the new request intake and governance process, license management, and facilitating recurring program meetings.

5.4 Functional Area 4: Release Management and Post-Implementation Maintenance

Support - Enterprise-level management of releases from development to production and post-implementation operational and maintenance support of production applications on the platform.

Sample activities that would typically fall under Functional Area 4 are:

●Identify usability issues and craft solutions to resolve bug fixes or other performance problems;

●Advise and provide recommendations of how new manufacturer-driven updates of the platform shall be affected or upgraded according to manufacturer release schedules;

●Provide enterprise-wide release management support for large monthly releases, small configuration changes, and out-of-cycle emergency releases of code and configuration to higher environments, including production;

●Provide enterprise-wide release management support for incremental feature releases, configuration changes, and expedited code changes from development through production environments;

●Provide development environment management expertise, regression testing, and continuous integration management including the administration of the systems and tools that are used as part of that process.

5.5 Functional Area 5: Support / Help Desk

Provide support & help desk functions for software development support or application support to end users. Sample activities that would typically fall under Functional Area 5 are:

●Utilize a centralized bug and issue tracking system designated and hosted by the government, unless otherwise proposed and provided by the contractor;

●Provide weekly reporting and metrics on issue tracking and resolution;

●Act as an escalation point for break/fix items as reported by the government. This may require working with end users and the platform vendor as necessary to define, document, test, and address incidents.

5.6 Functional Area 6: Training

Providing training support to improve user adoption.

Sample activities that would typically fall under Functional Area 6 are:

●Develop, utilize, and maintain process flow diagrams, guidelines and other reference materials to assist in troubleshooting problems and resolving outages quickly;

●Provide role-based training solutions for users to become proficient in the business applications, including content creation, content maintenance, review, and approval processes;

●Provide “train-the-trainer” solutions;

●Create, update, or revise and review Knowledge Management practices, procedures, or documents.

5.7 Functional Area 7: Agile Coaching and Agile Portfolio Management – In the

context of supporting the Salesforce implementation.

Sample activities that would typically fall under Functional Area 7 are:

●Provide team-based foundational training on principles and practices of Agile Software Development and Lean;

●Provide tailored Agile coaching in the agency's specific context at the team and project level, including mentoring and co-facilitation of ceremonies for the project leaders and development team through a project/iteration life cycle;

●Provide Agile Portfolio Management support to provide decision support for portfolio-level planning in order to make it easier to track status of cross-project initiatives by maintaining alignment between Agile strategy and execution; ●Provide Agile coaching at the enterprise level, having certified Agile experts consult on the right-sized Agile methodology (SAFE, Scrum, DAD, etc.) and implementation strategy for an agency's current maturity level and program needs;

●Coach on technical practices and release management standards in an Agile organization;

●Analyze alternative and recommend Agile tools for possible implementation in an Agile development enterprise.

SECTION E: INSPECTION AND ACCEPTANCE

NOTE: The contractor’s Federal Supply Scheduled Contract is applicable to this task order and is hereby incorporated by reference. In addition, the following applies:

Inspection and acceptance of services and support will be defined at the task order level. The inspection and acceptance shall be completed by the Task Order’s COR or other authorized Government representative designated in each Task Order.

SECTION F: DELIVERIES OR PERFORMANCE

F.1 PERIOD OF PERFORMANCE

F.1.1 BPA Period of Performance

The duration of the BPAs is for five (5) years, in accordance with FAR 8.405-3(d), and contingent upon annual review in accordance with FAR 8.405-3(e). A GSA Schedule contractor’s BPA will cease to exist upon occurrence of either the following:

•The BPA is cancelled by either party in accordance with the BPA terms and conditions section; •The BPA holder’s GSA Schedule contract no longer exists.

F.1.2 Task Order Period of Performance

Orders can be issued only against existing BPAs. Each order issued shall establish its own period of performance. Orders issued prior to but not completed before the BPA is cancelled/expires shall be completed in accordance with the BPA holder’s GSA Schedule contract. All GSA Schedule contract holders’ clauses applicable to their contract can be accessed via GSA eLibrary. Enter the contract number, then access through the “view the specifics for this contract” link.

F.2 PLACE OF PERFORMANCE

The place of performance under the BPAs may be a Government site or a Contractor site, which includes Government site and/or Contractor site locations both within the continental United States (CONUS) and outside the continental United States (OCONUS), some of which may be within high-risk zones. A large majority of the federal agencies likely to use this multiple award BPA are headquartered and have a large number of office locations in the Washington, D.C. and surrounding metropolitan areas.

F.3 BPA CANCELLATION

Either party may cancel the respective BPAs by providing written notice. The cancellation will take effect 30 calendar days after the other party receives the notice of cancellation. BPA cancellation does not release the BPA contractor from the duty to continue Task Order (TO) performance on existing orders or complete BPA Level reporting requirements. Ongoing orders continue in accordance with their own period of performance, even if the BPA is cancelled. Termination procedures for TOs are addressed in the underlying schedule contract.

F.4 DELIVERABLES

F.4.1 Reporting Requirements

Reporting requirements at the BPA level consist of providing notifications and copies of task order awards, and a two part quarterly status report as described below. The reports submitted will be used to assess contractor performance and program success, and to collect information, best practices, and lessons learned. Information that has been approved for release by BPA users may be disseminated to the SIISS community. Reporting formats are subject to change throughout the life of the BPAs at no additional cost to the government.

F.4.1.1 Task Order Award Notifications

The BPA holder shall provide email notification to the GSA BPA Contracting Officer and GSA Contracting Officer Representative (COR) within five (5) calendar days of all new task orders awarded under the BPAs. The notification shall include a brief description of the task, name of the requiring entity, period of performance, and estimated dollar value. In addition, the BPA holder shall provide one complete electronic copy of each order, including the statement of work

F.4.1.2 Quarterly Status Report

The Quarterly Status Report (QSR) shall consist of high level and detailed information for each awarded task order. The BPA holder shall electronically update and submit the quarterly status report to the BPA Contracting Officer and GSA COR. Reports are to be submitted no later than fifteen (15) workdays after the end of each calendar year quarter. BPA holders with no task orders awarded during the quarter are required to submit an email notification to the BPA CO and COR stating that there is no quarterly status report. The status reports shall be cumulative, beginning from the time of BPA establishment, and include the following:

SECTION G: CONTRACT ADMINISTRATION DATA

G.1 BPA ADMINISTRATIVE FUNCTIONS

Upon or after award, the Contracting Officer may designate a Contracting Officer’s Representative (COR) to oversee the performance of the BPA. A written notification shall be sent to the BPA Contractors indicating the administrative functions assigned to the COR.

Additional points of contact may be specified after BPA establishment. The Contractor may be asked to provide required BPA reports to these points of contact as well.

G.2 CONTRACTOR POINT OF CONTACT

At the order level, the BPA holder shall provide a matrix of all key project personnel with POC information designated by title as a condition of BPA establishment. Any changes to the matrix after BPA establishment must be sent to the BPA CO. An administrative modification to the BPA is not required for such changes. The changes will become effective upon an E-mail from the BPA CO acknowledging the change.

G.3 TRAVEL

All travel must be pre-approved by the ordering activity, shall include no fee, and be in accordance with the agency’s regulations, policies, and procedures.

G.3.1 Travel on T&M/LH orders

All travel costs associated with the performance of specific TOs will be reimbursed in accordance with the Federal Travel Regulations (FTR) and/or IAW the ordering agency’s regulations, policies, and procedures. Costs incurred for transportation and per diem (lodging, meals and incidental expenses) will be billed in accordance with the regulatory implementation of Public Law 99-234, FAR 31.205-46 Travel Costs, and the contractor’s cost accounting system. These costs are directly reimbursable by the ordering agency if specifically authorized in the TO.

The contractor shall notify the TO CO in the TO quote of the requirement for reimbursement of transportation and per diem expenses, prior to traveling. As such, the TO shall include a “not to exceed” limit on these quoted costs. The Government shall NOT be charged G&A fees for any travel, unless other procedures are specified in the underlying GSA MAS contract. Any travel arrangement costs such as direct labor hours from a MAS contract labor category (e.g., administrative assistant for X hours to arrange travel) or indirect costs (to be stated in a fixed amount in accordance with FAR 52.212-4 Alt I (i)(1)(ii)(D)(2) (e.g., booking fee of $X per airline ticket) must be clearly detailed in each order quote to be considered for reimbursement at the order level.

Contractors shall be reimbursed only for any order level CO authorized and approved incurred travel costs at or below the “not to exceed” amount specified on the TO.

G.3.2 Travel on Firm-Fixed Price Orders

The TO CO may either treat travel as a reimbursable expense or the TO CO may allow travel to be included in the lump sum quote for a Firm Fixed Price order. This can be determined at the task order level and at the discretion of the ordering activity.

G. 4 TASK ODER (TO) ORDERING PROCEDURES

These procedures are intended for ordering activities issuing orders under this BPA. GSA reserves the right to modify these ordering procedures at any time (e.g., change them to reference a website for further guidance, make changes based on regulation changes to FAR 8.4, etc.).

General Ordering Procedures

1. The ordering activity shall review the BPA Statement of Work (SOW) and the Special Item Numbers (SINs) stated in section C of the BPA Terms and Conditions.

2. The ordering activity shall ensure their requirement fits within the scope of the BPA SOW and SIN(s) reviewed.

3. The ordering activity shall ensure all internal reviews (e.g. legal review) as required by

ordering activity policies have been completed.

4. The ordering activity shall follow the ordering procedures at FAR 8.405-3(c) for orders under Multiple-Award BPAs.

a. Develop a SOW in accordance with (IAW) FAR 8.405-3(c)(3).

b. Ensure fair opportunity IAW FAR 8.405-3(c) (2). The suggested method for issuing the Task Order (TO) Request for Quote (RFQ) to is to utilize GSA e-buy (www.gsa.gov/ebuy reference FAR 8.402(d)).

5. The ordering activity shall establish firm-fixed priced orders to the maximum extent practicable. For T&M/LH orders, the ordering activity shall follow the procedures at FAR 8.404(h).

6. The ordering activity may include agency specific regulations/terms and conditions in the TO that do not conflict with the GSA Multiple Award Schedule (MAS) contract or the BPA terms and conditions.

7. The ordering activity may utilize the FAR 51 deviation as detailed in the BPA Terms and Conditions

8. The ordering activity shall be responsible for administering the resulting TO.

G.5 TASK ORDER LEVEL PRICING QUOTES The BPAs contain Labor Categories and a minimum discount percentage that will be applied to the BPA Contractor’s current GSA MAS contract pricing at the time the order is issued. When quoting on an order, the quote shall show the GSA MAS contract number, BPA number, current GSA MAS contract labor category title/training/item, current GSA MAS contract rate/price,

G.6 INTERIM GUIDANCE FOR ORDERING ACTIVITIES ON USE OF CONTRACTOR TEAM ARRANGEMENTS (CTAs)

1. Interim Guidance: Ordering activities are responsible for accurately achieving and reporting on their small business goals, including accurate reporting to the Federal Procurement Data System (FPDS). Under CTAs, each contractor has privity of contract with the ordering activity. When a MAS order is awarded with a CTA, small business achievement in contractual terms is based upon the dollar amount of the work the small business contractors perform under the order. FPDS currently will only accept information relating to one contractor per order. The ordering activity must determine which CTA member is realizing the preponderance of the revenue on an order and report that contractor's information to FPDS.

2. Future Guidance: GSA is working with the Office of Federal Procurement Policy (OFPP) and the Small Business Administration (SBA) to provide further clarity around the use of CTAs and anticipates issuing final guidance in the future.

SECTION H: SPECIAL CONTRACT REQUIREMENTS

H.1 CONVENE PROJECT MANAGEMENT REVIEWS (PMRs)

The Requiring Agency Project Manager (PM) shall convene monthly activity and status meetings with the GSA BPA COR and other key Government stakeholders. The purpose of this meeting is to ensure all stakeholders are informed of all BPA activities including key accomplishments, status of deliverables, financial status, other activities and establish priorities, and coordinate resolution of identified problems or opportunities. If no activity on the BPA has occurred in the month, the contractor may request that the GSA BPA CO waive this requirement.

H.2 CONTRACTOR TEAM ARRANGEMENT (CTA)

A GSA Schedule Contractor Team Arrangement (CTA) is an arrangement between two or more GSA Schedule contractors to work together to meet agency requirements. Together they are able to quote a total solution to the customer agency that they might not have been able to quote independently. CTAs are permissible under this RFQ and shall be specifically identified as such. Offerors shall submit a copy of the CTA document if quoting a CTA. This document shall address the items listed under “Elements of a CTA Document” which is accessible through the linkhttp://www.gsa.gov/contractorteamarrangements.

For informational purposes, the North American Industry Classification System (NAICS) code is 541519 and the small business size standard is $27.5M for this acquisition. Offerors shall state their size status (if a Contractor Teaming Arrangement (CTA), the Offerors shall state the size status of each of the team members). Although large businesses will also be considered, it is the policy of the Federal Government to encourage the full participation of small businesses in the procurement process.

In order to maximize small business participation, GSA seeks qualified small businesses, including CTAs, and participants in GSA’s Mentor-Protégé Program. In the event of participation in the Mentor-Protégé Program, the Offeror shall demonstrate participation by submitting a copy of its Mentor Protégé Agreement.

The Contractor Team Arrangement (CTA) at a minimum should address the following:

• Identification of Parties o The CTA document must always be in writing and signed by each participating

GSA Schedule contractor. o Each member of the CTA must be identified by name, address, GSA Schedule

contract number, telephone number, and Point of Contact (POC). The CTA document should also state the name, identity, and POC for the team lead.

o The name and address of the government contracting agency must be included, and the primary points of contact at the government for specific needs should be identified.

o The CTA document should state that it is solely between the team members, and cannot conflict with the terms and conditions of each team member's GSA Schedule contract.

• Specific Team Activities o The CTA document must state the various types of activities that will be

incorporated into the team arrangement and who is the primary party responsible for the particular activity.

• Duration of Arrangement o The duration of the team arrangement must be specified, including any options

and an explanation of how the options will work. • Terms of Arrangement

o The terms of the CTA must define the whole course of the project. The CTA document must specify the duration, the players, the responsibilities, and the limitations of the various players.

• Team Ordering Procedures o The CTA document must list the supplies/services and pricing, including any

team lead fees, if applicable, and note that all prices charged to the government are at or below GSA Schedule contract prices.

• Responsibilities of Team Lead o The CTA document must outline and specify the duties of the designated team

lead at each phase of the project. • Responsibilities of Team Members

o The CTA document must specify and describe the individual duties of the team members.

• Pricing and Costs o The CTA document must specify unit prices or hourly rates and how pricing is

calculated. If there is a project management fee divided within the team, it should be specified. If there are any award or incentive fees, the CTA document should explain how they will be divided within the team.

• Independent Contractors o The CTA document must state that all team members remain independent

contractors, responsible for their own employees. • Delivery Responsibility

o The CTA document must state whether the team lead or each team member is responsible for a particular part of the project, so that delivery responsibility is clearly established.

• Invoicing and Payment o The CTA document must designate who is responsible for invoicing and

payment. While the team lead may submit an invoice on behalf of all team members, GSA recommends that payment be made to each team member. GSA recognizes, however, that there may be instances where it is advantageous to craft the CTA document so that payment is made to the team lead who, in turn, pays each team member. Under such circumstances, the CTA document should clearly indicate that all team members agree to this method of payment.

H.4 GENERAL COMPLIANCE REQUIREMENTS

H.4.1 Security Requirements

The contractor shall be required to obtain/possess varying levels of facility/personnel security clearances in the performance of task orders issued under this multiple award BPA as applicable at the task order level. All costs associated with obtaining/possessing such security clearances are the responsibility of the contractor.

Contractor personnel shall be required to have the appropriate level of investigation and/or security clearance for each agency and information system as applicable at the task order level.

Contractor personnel shall be required to obtain and maintain security badges and adhere to the installation security requirements as applicable at the task order level. Homeland Security Presidential Directive (HSPD-12) mandates the issuance of a common form of identification for all federal employees and contractors for use in accessing government-controlled facilities and information systems. As a result, contract employees that require access to federal facilities for 6 months or more shall have the ability to pass a National Agency Check with Credit (NACIC) background investigation and obtain the HSPD-12 identification, if necessary for performance, before receiving computer access. The Contractor shall be responsible for the cost of complying with HSPD-12.

H.4.2 Protection of Information

The contractor shall be responsible for properly protecting all information used, gathered, disclosed, or developed as a result of work under this BPA. The contractor shall also protect all government data by treating information as sensitive. If contractor personnel must remove any information from the primary work area they should protect it to the same extent they would their proprietary data and/or company trade secrets. The use of this data is subject to the Privacy Act will be utilized in full accordance with all rules of conduct as applicable to Privacy Act Information.

H.4.3 Section 508 Compliance

The provider shall support the Government in its compliance with Section 508 throughout the development and implementation of the work to be performed. Section 508 of the Rehabilitation Act of 1973, as amended (29 U.S.C. 794d) requires that when federal agencies develop, procure, maintain, or use electronic information technology, federal employees with disabilities have access to and use of information and data that is comparable to the access and use by federal employees who do not have disabilities, unless an undue burden would be imposed on the agency. Section 508 also requires that individuals with disabilities, who are members of the public seeking information or services from a federal agency, have access to and use of information and data that is comparable to that provided to the public who are not individuals with disabilities, unless

H.4.4 Privacy Act

Work performed under the BPAs may require that BPA holder personnel have access to Personally Identifiable Information (PII). BPA holder personnel shall adhere to the Privacy Act, Title 5 of the United States Code (U.S.C.), Section 552a, and applicable agency rules and regulations.

H.4.5 Organizational Conflicts of Interest

It is recognized by the parties that, in the course of the contractor's activities, its personnel may require access to or be given custody of certain information (whether in its original or derived form) submitted to the Government on a confidential basis (such as other Government contractors' business practices, designs, mission or operation concepts, sketches, management policies, cost and operating expenses, technical data and similar information) during the performance of task orders issued under the BPAs . The contractor/teams agree that its employees with access will use and examine this information exclusively in performance of the work required under the order and for no other purpose whatsoever. The contractor/teams agree to indoctrinate all personnel who will have access to or custody of the information as to the nature of the confidential relationship under which the Government received such information and shall stress that the information shall not be disclosed to any other party or to contractor personnel who do not have a need to know of the contents thereof for the performance of the order. All contractor personnel shall also be informed that they shall not engage in any other action, venture or employment wherein this information will be used for the profit or interest of any party. Contractor personnel may be required to sign a nondisclosure agreement prepared by the Government at the task order level prior to their receipt of any company proprietary or sensitive source selection data

H.4.6 Confidentiality and Nondisclosure

Contractor generated preliminary and final deliverables, all associated working papers, and other material the Government deems relevant in the performance of each task order are the property of the U.S. Government and must be submitted to the task order CO upon request but no later than the dates required in each task order. All documents produced for each task order under the BPAs are the property of the U.S. Government and cannot be reproduced, or retained by the contractor or team (excluding documentation that is intellectual property such as copyrights, software licenses, or patents in existence prior to being developed at government expense).

Personnel working on any task orders issued under this multiple award BPA may be required to sign formal non-disclosure and/or conflict of interest agreements to guarantee the protection and integrity of Government and/or contractor information and documents by the RFQ close date.

H.4.7 Data Rights

Any works first produced, created, or generated in the performance of any task orders under the BPAs including all design, configuration, and arrangement of information and documentation developed by the contractor’s personnel as a result of any order shall be the property of the U.S. Government without limitation as to usage rights. These data rights are not applicable to intellectual property such as copyrights, software licenses, or patents in existence prior to being developed at government expense.

H.4.8 Information Technology (IT) Tools

Performance management IT tools (e.g. software or web-based tools) may also be provided at the task order level if they are incidental to and in support of the services provided in Section C5.1, 5.2, 5.3, 5.4, 5.5, 5.6, and 5.7.

SECTION I: CONTRACT CLAUSES

I.1 CONTRACT CLAUSES INFORMATION

The contractor shall comply with all terms and conditions of their awarded GSA Schedule 70 contract under the BPAs and orders issued against the BPAs. In the event of any conflict between the schedule contract and the BPA, the terms and conditions of the Contractor's’ Schedule 70 contract shall prevail over the BPAs and Task Order (TO), except to the extent that any discounts established in the BPA take precedence over Schedule 70 higher prices.

Ordering activities may add non-conflicting terms and conditions to individual orders. The terms and conditions in the BPAs apply to all orders placed pursuant to it. In the event of any conflicts between the terms and conditions of the BPA and TOs, the terms and conditions of the BPA will take precedence.

BPAs do not obligate funds. The Government is obligated only to the extent of authorized orders made under the BPAs. It is the responsibility of the individual ordering activities to ensure adequate funds are available. There is no limit on the dollar value of order purchases made under the resultant BPAs. The maximum order limitation shown in Schedule 70 FAR clause 52.216-19 does not limit the dollar value of an order. It is simply the dollar value above which a contractor does not have to honor. For a multiple award BPA, the maximum order limitation would have no practical effect as orders are competed. If a contractor does not wish to honor an order above the maximum order limitation threshold, they simply would not quote on that particular order RFQ.

The BPAs contain a minimum discount percentage applied to the BPA holder’s GSA Multiple Award Schedule (MAS) prices in effect at the time of order issuance. This minimum BPA discount percentage is in addition to any other discount percentage (e.g., prompt payment or tiered discount) which already exists in the BPA holder’s GSA MAS Contract. A BPA holder may quote additional discounts above the BPA minimum at the order level. Retroactive price increases are not allowed on existing Task Orders.
