Annual Meeting Minutes January 26, 2016
The Board of Trustees of the Stark County District Library met in regular session on Tuesday, January 26, 2016 at the Main Branch Library. In attendance were Board members Susan Rodgers, Bert Nero, John Mroczkowski, Sally Efremoff and Shawn O’Brien. Also in attendance were Executive Director Tena Wilson and Fiscal Officer Russ Humerickhouse.
The meeting was called to order at 5:15 p.m. by Vice President, Susan Rodgers.
Board members Steven Pittman and Edmond Mack were absent.
LIFE IN THE SMART STORE® • Technology Director Bryan Harris updated the Board on the Technology Department.
PUBLIC COMMENTS • None
BOARD PRESIDENT COMMENTS • None
EXECUTIVE DIRECTOR’S REPORT • Executive Director Tena Wilson updated the Board on the four priorities. Work has been
progressing on the strategic thinking blueprint for 2016-2017.• The Stark Library Information Consortium (SLIC) Directors met on the transition and
dissolution of the agreement by the end of 2016.• Ms. Wilson informed the Board that her new Executive Assistant will begin her duties on
February 22, 2016.
FISCAL OFFICER’S REPORT • Fiscal Officer Russ Humerickhouse reported to the Board that the Tangible Personal
Property Tax (TPP) reimbursement HB66 for the Library was exhausted on June 30,2015.
• The State Tax revenues for the first half of FY16, July – December, 2015 are $10,965billion compared to estimated $10,963 billion for a variation of zero percent.
• New filings to do business in Ohio reached a record 97,746 in 2015 breaking the previousrecord of 93,775 in 2014.

Resolution 2016-02 Executive Director Bond Resolution BE IT HEREBY RESOLVED by the Board of Trustees of the Stark County District Library that the bond for the Executive Director is fixed at $100,000.00 which is surety payable to the Board of Trustees, and that the Executive Director be authorized and directed to provide bond satisfaction to the Board of Trustees from January 26, 2016 to the Stark County District Library Board of Trustees Annual Meeting in January 2017. Resolution 2016-03 Election of Fiscal Officer BE IT HEREBY RESOLVED by the Board of Trustees of the Stark County District Library that Russell E. Humerickhouse be elected Fiscal Officer for a term not to exceed one year beginning with this, the annual meeting of January 26, 2016 and ending with the annual meeting of 2017. Resolution 2016-04 Bond and Oath of Office for the Fiscal Officer BE IT HEREBY RESOLVED by the Board of Trustees of the Stark County District Library that the bond for the Fiscal Officer is fixed at $100,000 which is surety payable to the Board of Trustees, and that the Fiscal Officer be authorized and directed to provide bond satisfactory to the Board for the term of office to expire on the date of the annual meeting, January 2017. Resolution 2016-05 Appointment of Deputy Fiscal Officer BE IT HEREBY RESOLVED by the Board of Trustees of the Stark County District Library that Michele Monnette be appointed Deputy Fiscal Officer for a term not to exceed one year beginning with this, the annual meeting of January 26, 2016 and ending with the annual meeting of 2017. Resolution 2016-06 Bond and Oath of Office for the Deputy Fiscal Officer BE IT HEREBY RESOLVED by the Board of Trustees of the Stark County District Library that the bond for the Deputy Fiscal Officer is fixed at $100,000 which is surety payable to the Board of Trustees, and that the Deputy Fiscal Officer be authorized and directed to provide bond satisfactory to the Board for the term of office to expire on the date of the annual meeting, January 2017.

Resolution 2016-07 Disposal of Library Furniture, Equipment, and Materials WHEREAS, the Stark County District Library Board of Trustees seeks to provide for the disposal of equipment, furniture and materials no longer usable by the library, BE IT HEREBY RESOLVED by the Board of Trustees of the Stark County District Library that the Executive Director be authorized to dispose of library furniture, equipment and materials by either sale or disposal at various times during the year 2016. Resolution 2016-08 Ohio Department of Administrative Services – Authorizing Library to Participate in the State of Ohio Cooperative Purchasing Program WHEREAS, Ohio’s Cooperative Purchasing Act. (AM. Sub. H.B. No. 100), was signed into law on December 4, 1985; and WHEREAS, effective March 6, 1986, Ohio’s Cooperative Purchasing Act provides the opportunity for counties, townships, municipal corporations, regional transit authorities, regional airport authorities or port authorities and school districts, conservancy districts, township park districts and park districts and other authorities, to participate in contracts distributed by the State of Ohio, department of Administrative Services, Office of Cooperative Purchasing for the purchase of supplies, equipment and certain materials; BE IT HEREBY RESOLVED by the Stark County District Library Board of Trustees; Section 1. That the Executive Director hereby requests authority in the name of the Stark County District Library to participate in state contracts which the Department of Administrative Services, Office of State Purchasing has entered into and the Office of Cooperative Purchasing has distributed for the purchase of supplies, services, equipment and certain other materials pursuant to Revised Code Section 125.04. Section 2. That the Executive Director or her designee is hereby authorized to agree in the name of the Stark County District Library to be bound by all contract terms and conditions as the Department of Administrative Services, Office of Cooperative Purchasing prescribes. Such terms and conditions may include a reasonable annual membership fee to cover the administrative costs which the Department of Administrative Services incurs as a result of Stark County District Library participation in the contract. Further, that the Board of Trustees of the Stark County District Library does hereby agree to be bound by all such terms and conditions and to not cause or assist in any way the misuse of such contracts or make contract disclosures to non-members of the Coop for the purpose of avoiding the requirements established by ORC. 125.04.

Section 3. That the Executive Director or her designee is hereby authorized to agree in the name of the Stark County District Library to directly pay the vendor, under each such state contract in which it participates for items it receives pursuant to the contract, and the Executvie Director or her designee does hereby agree to directly pay the vendor. Resolution 2016-09 Election of Board Officers BE IT HEREBY RESOLVED by the Board of Trustees of the Stark County District Library that the following slate of officers be elected to serve from this annual meeting of January 26, 2016, to the next election at the annual meeting of 2017.

The LOI locks in a lease price of $4,800.00/month for this temporary location and includes Common Area Maintenance (CAM). Further information is required before a recommendation to temporarily relocate can be made by library leadership. Motion by Sally Efremoff to approve the signing of a Letter of Intent with DeHoff Realty for retail space in the Nobles Pond Plaza for a period of 12 months, seconded by Shawn O’Brien; all voting yes. MAIN LIBRARY Re-Imagine Main – No further activity at this time.
MOBILE SERVICES Facilities Department continues to coordinate maintenance of bookmobile fleet.
SYSTEMWIDE Jackson Branch – HBM Architects are updating the project cost estimates. Updated options being submitting to the Building and Grounds committee.
Plain Branch revisions –Entrance door and interior vestibule have been installed. Exterior canopy installation to be scheduled by the school.
Re-Imagine Branches – No further activity at this time.
CAB asphalt – Proposal being submitted to Building and Grounds committee. Paving to be done in the Spring 2016.

Resolution Title: 2016 Schedule of Closings and Adjustments of Hours – Correction from October 20, 2015 Board Meeting (two additional closed days noted)
History/Background/Discussion: Each year, the Stark County District Library Board of Trustees has adopted a resolution in which dates upon which the library system will be closed. A holiday provision is included in the labor agreement between Stark County District Library Board of Trustees and SEIU, District 1199. In the course of the year, there may be occasions upon which the Executive Director may be called upon to adjust the hours or close one or more library facilities. The Executive Director seeks counsel from the library board for those occurrences as they arise.
Recommendation: That the Library Board of Trustees approves the following resolution.

Resolution 2016- 2016 Schedule of Closings and Adjustments of Hours
WHEREAS, the agreement between the Stark County District Library Board of Trustees and SEIU District 1199 includes certain provisions concerning paid holidays and holiday closings, and
WHEREAS, the Board of Trustees seeks to establish closing dates and adjustments of hours, subject to agreement reached with SEIU District 1199 concerning holidays, after that contract expiration date, and
WHEREAS, other community occurrences necessitate adjustments in library hours of service, and
NOTWITHSTANDING, there may be emergency situations arising in the course of the year as a result of which the Executive Director may need to adjust hours or close facilities, and she is hereby authorized to do so as such situations arise,
NOW, THEREFORE, BE IT HEREBY RESOLVED by the Board of Trustees of the Stark County District Library that the Executive Director is authorized to close the library system and adjust the hours of service in 2016 and early 2017 as follows:
