Hi. Ray Williams of the Crystal Lakes Fire Protection District requested that I contact you with an explanation as to why he could appoint three persons to replace the three elected/appointed directors who resigned last month. I explained to him that Sec. 32-1-906(2), C.R.S., expressly authorizes the remaining director or directors to make appointments whenever there is a vacancy on the Board. In this case, the remaining two Board members decided that it was important to have a full board for the March and April meetings to handle the business at hand. Unfortunately, one of the remaining two had to be hospitalized leaving only Ray to run the meeting. They contacted me and I explained that this statute anticipated a situation where two or even one board member is left after multiple vacancies occur. It reads: "Any vacancy on the board shall be filled by appointment by the remaining director or directors, the appointee to serve until the next regular election ...." Accordingly, I advised Mr. Williams that he could appoint the three unopposed candidates (they had previously canceled the election) who would be taking office in May, but that they would be sworn in as directors serving only until May, at which time they would then be seated, and re-sworn in, as members who were "deemed" elected by virtue of no one running against them.
