Post-election federal tax legislative update

The recent US election results have created a fertile legislative landscape for tax reform. Tax policy is one of a handful of high-priority items for the incoming president and Congress, and for the fi rst time in years, comprehensive tax reform is a real possibility. The potential tax changes under consideration could have implications not only for businesses, but for US trade, treaties and global relations. As the government prepares to weigh tax reform options, the global focus on tax is also intensifying, driven by revenue needs, increased tax transparency and economic competition. Smart cities: The promise of the IoT and municipal transformation

Professional ethical aspects of insider trading

In the last fi ve years, there have been a number of signifi cant insider trading court cases involving CPAs. These court cases provide important insight on the motivations of CPAs to: (1) engage in unethical conduct; (2) violate provisions of their professional code of conduct; and (3) laws related to insider trading. Moreover, the Supreme Court denied appeal in the Second Circuit in the Newman case that could completely unravel tipper/tippee insider rules relevant to CPAs unless Congress takes action. If allowed to stand, the Newman case will make legal most tipper/tippee situations that are not only unethical but clear violations of the CPA’s codes of professional responsibility.

Alexa Claybon is a tax Principal of Ernst & Young LLP United States in the National Tax Department in Washington, DC. She is a part of the Business Tax Services group specializing in federal income tax accounting methods, research credit and incentives and the domestic manufacturing incentive(Sec. 199). She is experienced in assisting business taxpayers to identify tax saving opportunities and mitigate risk in industries including aerospace and defense, communications, fi nancial services, retail, industrial manufacturing, power and utilities, real estate, hospitality and construction, and information technology.

Prior to joining Ernst & Young LLP United States, Alexa was an Attorney-Advisor in the U.S. Treasury Department’s Offi ce of Tax Policy from 2011-2015 where she was primarily responsible for the development and review of regulations and other published guidance and coordination of such projects with the IRS’ Offi ce of Chief Counsel, the Large Business and International and the Small Business and Self-Employed divisions. She also participated in drafting the President’s annual budget proposals and tax reform proposals and reviewed Congress’ legislative proposals in her areas of expertise. She advised the Assistant Secretary for Tax Policy and assisted other Treasury Department and other Executive branch departments on tax matters, including international trade and economic development matters and energy-related grant programs.

Before the Treasury Department, Alexa worked at national and local offi ces of public accounting fi rms for 12 years, advising clients, leading tax consulting engagements, meeting with the IRS on behalf of clients and developing thought leadership in her areas of technical specialty. She has authored/co-authored many articles on federal income tax accounting methods topics and has participated frequently as a speaker in public forums on federal tax matters.

Andy Cooper leads EY’s International Tax Services practice in Denver. Andy focuses on international tax advisory services, with a particular emphasis on international structuring, repatriation, foreign tax credit planning, cross-border fi nancing, intellectual property planning and international mergers and acquisitions. Andy also has signifi cant experience with international tax compliance, including the international tax aspects relevant to fi nancial statement reporting. Prior to his current role at EY in Denver, Andy provided international tax services in London, San Jose and Seattle. While in London, Andy was a member of EY’s US Tax Desk.

Andy received a B.S. in accounting and an M.S. in accountancy from the University of Florida. Chad Couch is a Senior Manager in the Indirect Tax Services Practice of EY’s Denver offi ce. Chad has more than 18 years experience practicing in the federal and state and local income tax area. He most recently served as an Income Tax Director at a Fortune 500 corporation. Chad’s primary experience is in the areas of state income and franchise tax compliance, federal income tax compliance, tax compliance process management, state tax controversy, and state income tax planning. Chad serves clients in a variety of industry sectors including fi nancial services, telecommunications, software and technology, restaurant and consumer products, real estate, and life sciences. Chad has a B.S. in Economics from Purdue University in West Lafayette, Indiana in 1995 and a Masters Degree in Taxation from the University of Denver in 2007.

Michael Dell is a member of EY Partnership Transactional Planning & Economics Group. He also leads the EY Center for Tax Policy. His focus is in the taxation of intellectual property, and he has provided tax services to multinational companies. John Gupta is an Executive Director and Indirect Tax Location Leader with EY’s Denver tax practice. John is EY’s liaison to Colorado Department of Revenue regarding tax policy and controversy matters. Kevin is an associate professor in the Department of Business Ethics and Legal Studies at the Daniels College of Business. In the classroom, he analyzes key executive decisions from many perspectives: ethical, professional, international, public policy and legal points of view in his course Ethics for the 21st Century Professional. As an attorney, CPA and an IRS revenue agent, he has wide experience in civil and criminal investigations and has published and lectured extensively on professional ethics. O’Brien is known as one of the leading experts in Sarbanes-Oxley issues as well as corporate whistle-blowing and the law throughout the country. His commentary can also be found on the nationally acclaimed www.theracetothebottom.org, a blog on important legal issues of the day. When working with the media, O’Brien can address issues of values-based leadership and executive responsibility, Sarbanes-Oxley compliance, employment law, corporate whistle-blowing and the law, legislative and corporate corruption, technology and electronic commerce. His government and corporate experience enable him to discuss issues from both a practical and high-level perspective. Carlo Pippolo, an assurance partner with 28 years of experience, serves as a Professional Practice Director in the Southwest Region. Based in Houston, Carlo consults with assurance professionals and their clients on a variety of accounting, auditing and risk management issues. Previously, Carlo was Director – Accounting Standard Setting in EY’s Accounting Standards Department in New York. Carlo led the fi rm’s efforts involving standard-setting activities of the Financial Accounting Standards Board and led EY’s National team dealing with, among other topics, revenue recognition, compensation matters and earnings per share. Carlo was a member of the FASB’s Emerging Issues Task Force and of the Institute of Management Accountants’ Financial Reporting Committee.

Rachel is a sales and use tax professional focused on delivering quality solutions to clients. She is currently a Senior Manager in the Indirect Tax practice of EY based in Denver. Rachel helps clients fi nd and implement solutions in the following areas: tax advisory, planning, compliance, process improvement, controversy, look-back reviews, and voluntary disclosure agreements. Rachel joined the State and Local Tax (SALT) practice at EY after serving as the Tax Manager for the City of Thornton, CO. In this position Rachel managed all aspects of tax administration for the City including managing a team of auditors, coordinating appeals, litigation support, refund review, drafting ordinances and regulations, and oversight of the collections and delinquency unit. Kelley Simon is a senior manager in Ernst & Young LLP’s Exempt Organization Tax Services practice. Kelley practices in the areas of tax-exempt federal (Form 990, 990-T and 990-PF) and state information and business tax fi lings, research and consultation. Taylor is an assurance partner with more than 17 years experience serving SEC registrants, private-equity investees, and VC funded private companies in the software, hardware, retail, real estate, and utilities industries. He has assisted clients with the successful completion of numerous initial public offerings (IPOs), secondary offerings, equity and debt private placements, acquisitions, and carve-outs. He has also assisted companies working through complex accounting issues.

In addition to serving clients, Taylor also is the leader for the Central Texas EY Entrepreneur of the Year program, which annually recognizes high-impact entrepreneurs whose successes are deserving of celebration.
