(1) इन िनयम( का संि89 नाम सीिमत दािय�व भागीदारी (ि#तीय संशोधन) िनयम, 2018 ह।ै (2) ये 2 अ;टूबर, 2018 से $वृ% ह(गे। 2. सीिमत दािय�व भागीदारी िनयम, 2009 म�, - (क) िनयम 3 म� उप िनयम (2), के प@ात् िन/िलिखत म� अंतःBथािपत Cकया जाएगा, अथा5त् :- “(3) $Eप आरयूएन (आरि8त िविशG नाम – सीिमत दािय�व भागीदारी), $Eप Cफिलप (सीिमत दािय�व भागीदारी के िनगमन के िलए $Eप) $Eप 5, $Eप 17 और $Eप 18 को रिजBJार, क� �ीय रिजBJीकरण क� � (सीआरसी) #ारा आिधकाLरक रिजBJार के िलए और उनक� ओर से $CNयाधीन Cकया जाएगा। �प�ीकरण.�प�ीकरण.�प�ीकरण.�प�ीकरण.---- इस उप िनयम के $योजन के िलए क� �ीय रिजBJीकरण क� � से वह क� �ीय रिजBJीकरण क� � का काया5लय ह ै िजसे कंपनी अिधिनयम, 2013 (2013 का 18) क� धारा 396 क� उपधारा (1) और (2) के अधीन यथा Bथािपत क� �ीय सरकार #ारा अिधसूचना संPयांक का.आ., 218(अ), तारीख 22 जनवरी, 2016 को कारपोरेट काय5 मंRालय #ारा जारी Cकया गया था। (ख) िनयम 8 म� “$Eप 2” शSद और अंक के Bथान पर “$Eप Cफिलप” शSद रखे जाएंग;े”

(1) धारा 11 के $योजन( के िलए िनगमन दBतावेज को $Eप Cफिलप म� सीिमत दािय�व भागीदारी के रिजBJीकृत काया5लय वाले राTय पर अिधकाLरता रखने वाले रिजBJार के पास उपाबंध ‘क’ म� िनधा5Lरत फ�स के साथ जमा Cकया जाएगा : परंतु यCद Vि' ऐसे को, िजसके पास डीपीआईएन या िडन नहZ ह,ै िजसे अिभिहत भागीदार के Eप म� िनयु' Cकया जाना आव[यक ह,ै डीपीआईएन के आवंटन के िलए आवेदन को $Eप Cफिलप म� Cकया जाएगा : परंतु यह और Cक डीपीआईएन के आवंटन के िलए आवेदन दो से अिधक Vि'य( #ारा $Eप Cफिलप म� नहZ Cकया जाएगा। परंतु यह भी Cक नाम सुरि8त रखने के िलए आवेदन $Eप Cफिलप के मा\यम से Cकया जा सकता ह।ै परंतु यह भी Cक जहां आवेदक ने िनयम 18 के अधीन नाम सुरि8त करने के िलए $Eप आरयूएन-एलएलपी के अधीन आवंटन Cकया ह ैऔर जो Bवीकृत हो चुका ह,ै वह सुरि8त नाम जैसा सीिमत दािय�व भागीदारी के िलए $Bतािवत Cकया गया ह,ै को भर सकता ह।ै (2) (क) जहां रिजBJार $Eप Cफिलप क� जांच करने पर पाते ह] Cक कोई और सूचना मांगने क� आव[यकता ह ैया यह पाते ह] Cक ऐसा आवेदन या दBतावेज RुLटपूण5 ह ैया Cकसी के संबंध म� अपूण5 ह,ै तो वह आवेदक को ऐसी किमय( को दरू करने के िलए सूचना देगा और पं�ह Cदन के भीतर रिजBJार #ारा क� गई सूचना से ई-$Eप म� पुनः $Bतुत करेगा। (ख) दBतावेज के पुनः $Bतुत करने पर यCद रिजBJार को अभी भी यह ^ात होता ह ैCक दBतावेज म� RुLट ह ैया Cकसी संबंध म� अपूण5 ह,ै वह 15 Cदन का एक और अवसर ऐसी RुLटय( या किमय( को दरू करने के िलए $दान करेगा। परंतु दBतावेज( के पुनः $Bतुत करने के िलए अविध तीस Cदन( से अिधक नहZ होगी। (3) रिजBJार #ारा सीिमत दािय�व भागीदारी के िनगमन का $माण-पR $Eप 16 म� जारी Cकया जाएगा।”; (घ) िनयम 13 म�,- (क) “$Eप 2” शSद और अंक के Bथान पर “$Eप Cफिलप” शSद रखे जाएंग”े; (ङ) िनयम 18 के उप िनयम (2) म�,- (अ) खंड (viii) का लोप Cकया जाएगा; (आ) खंड (xiv) का लोप Cकया जाएगा; (इ) उप िनयम (5) के Bथान िन/िलिखत रखा जाएगा, अथा5त् :- “5 $�येक ऐसा आवेदन वेब सेवा, आरयूएन-एलएलपी जो www.mca.gov.in के मा\यम से Cकया जाएगा और साथ म� उपाबंध ‘क’ म� वaणत फ�स देनी होगी जो या तो Bवीकृत या अBवीकृत, जैसा भी मामला हो, रिजBJार #ारा Cकया जाएगा और ऐसे आवेदन को RुLटय( के सुधार के िलए 15 Cदन के भीतर ऐसे आवेदन को पुनः $Bतुत करने के िलए अनुमत Cकया जाएगा”; (च) $Eप 1 और $Eप 2, के Bथान पर िन/िलिखत $ितBथािपत Cकया जाएगा, अथा5त् :-

NOTIFICATION

New Delhi, the 18th September, 2018

S.O. 896 (E).— In exercise of the powers conferred by sub-sections (1) and (2) of section 79 of

the Limited Liability Partnership Act, 2008 (6 of 2009), the Central Government hereby makes the

following rules further to amend the Limited Liability Partnership Rules, 2009, namely:—

1. (1) These rules may be called the Limited Liability Partnership (Second Amendment) Rules,

2018.

(2) They shall come into force with effect from the 2nd

October, 2018.

2. In the Limited Liability Partnership Rules, 2009,-

(a) in rule 3, after sub-rule (2), the following shall be inserted, namely:—

“(3) Form RUN-LLP (Reserve Unique Name-Limited Liability Partnership), Form FiLLiP

(Form for incorporation of Limited Liability Partnership), Form 5, Form 17 and Form 18 shall be

processed by the Registrar, Central Registration Centre (CRC) for and on behalf of the jurisdictional

Registrar.

Explanation .— For the purposes of this sub-rule, Central Registration Centre means the office

of Central Registration Centre as established under sub-sections (1) and (2) of section 396 of the

Companies Act, 2013 (18 of 2013) by the Government of India vide notification number S.O. 218(E),

dated 22nd January., 2016

(b) in rule 8, in the proviso, for the word and figure “Form 2”, the word and letters “Form

FiLLip” shall be substitute;

(c) for rule 11, the following rule shall be substituted, namely:-`

“ 11. (1) For the purposes of section 11, the incorporation document shall be filed in Form

FiLLiP with the Registrar having jurisdiction over the State in which the registered office of the limited

liability partnership is to be situated alongwith fee as provided in Annexure ‘A’:

Provided that if an individual required to be appointed as designated partner does not have a

DPIN or DIN, application for allotment of DPIN shall be made in Form FiLLiP :

Provided further that the application for allotment of DPIN shall not be made by more than two

individuals in Form FiLLiP:

Provided also that an application for reservation of name may be made through Form FiLLiP:

Provided also that where an applicant had applied for reservation of name under rule 18 in Form

RUN-LLP and which has been approved, he may fill the reserved name as the proposed name of limited

liability partnership.

(2) (a) Where the Registrar, on examining Form FiLLiP, finds that it is necessary to call for

further information or finds such application or document to be defective or incomplete in any respect,

he shall give intimation to the applicant to remove the defects and re-submit the e-form within fifteen

days from the date of such intimation given by the Registrar.

(b) After re-submission of the document, if the Registrar still finds that the document is

defective or incomplete in any respect, he shall give one more opportunity of fifteen days time to

remove such defects or deficiencies:

Provided that the total period for re-submission of documents shall not exceed thirty days.

(3) The Certificate of Incorporation of limited liability partnership shall be issued by the

Registrar in Form 16.”;

(d) in rule 13, -

(a) the word and figure “Form 2”the word and letters “Form FiLLiP” shall be substituted.”;

(e) in rule 18, in sub- rule (2) ,-

(A) clause (viii) shall be omitted;

(B) clause (xiv) shall be omitted;

(C) for sub-rule (5) the following shall be substituted, namely:-

“ 5 Every such application shall be made through the web service, RUN-LLP, available at

www.mca.gov.in and be accompanied by fee as mentioned in Annexure ‘A’, which may either be

approved or rejected, as the case may be, by the Registrar after allowing a re-submission of such

application within fifteen days for rectification of defects.” ;

(f) for Form 1 and Form 2, the following shall be substituted, namely:-
