WHEREAS, the Open Public Meetings Act requires that the Board adopt a resolution at a public meeting to go into private session, now, therefore,

BE IT RESOLVED by the Board of Education of Moorestown Township, that it is necessary to meet in executive session to discuss certain items involving:

1. Matters involving personnel issues, including but not limited to, the employment,appointment, termination of employment, terms and conditions of employment,

Resolution of Board of Education’s Monthly Certification Budgetary Major Account/Fund Status:

BE IT RESOLVED:

Board Secretary’s monthly certification budgetary line item status: Pursuant to N.J.A.C. 6A:23A-16.10(c)3, I certify that no budgetary line item account has obligations and payments (contractual orders) which in total exceed the amount appropriated by the District Board of Education pursuant to N.J.S.A. 18A:22-8. Pursuant to N.J.A.C. 6A:23A-16.10(c)4, we certify that after review of the Secretary’s monthly financial report (appropriations section) and upon consultation with the appropriate District officials, to the best of our knowledge no major account or fund has been over-expended in violation of N.J.A.C. 6A:23A-16.10(b) and that sufficient funds are available to meet the District’s financial obligations for the remainder of the fiscal year.

1. Special Education Out-of-District Placements 2015-2016

The following Moorestown students with special needs are recommended for placement in the appropriate out-of-district programs and schools as mandated in the Individualized Education Programs (IEPs).

I recommend that the Board approve the students with special needs at the placements listed on Exhibit #16-97 for the 2015-2016 school year at the locations indicated at the approved tuition rates with transportation provided.

The State of New Jersey has enacted P.L.2007, c.53, An Act Concerning School District Accountability. Section 15 of the Act addresses “Travel Expenditures” paid by the school district.

MOTION:

I recommend that the Board approve the travel expenditures requests attached as Exhibit #16-103.

2. NJ QSAC Resolution

The Moorestown Board of Education hereby attests to the accuracy of the Statement of Assurance submission required for the New Jersey Quality Single Accountability Continuum. As such, a resolution is requested approving the submission of the Statement of Assurance to the New Jersey Department of Education prior to November 15, 2015.

MOTION:

I recommend that the Board approve the resolution to submit the Statement of Assurance to the New Jersey Department of Education attached as Exhibit #16-104.

3. Comprehensive Maintenance Plan

The District’s Comprehensive Maintenance Plan (M-2) and Annual Maintenance Budget Worksheet (M-1) require Board approval. MOTION:

I recommend that the Board approve the 2015-2016 Comprehensive Maintenance Plan and Annual Maintenance Budget Worksheet attached as Exhibit #16-105.

4. Winter Sports Transportation Bid

I recommend the Board approve the bid results for Bid #16-1 attached as Exhibit #16-106 and award contracts as follows:

Ingrid Demby, as a Long Term Substitute Music Teacher at the George Baker Elementary School. Ms. Demby has a MA from the University of Phoenix. She has been placed on Column MA, Step 1 of the Teacher Salary Guide at a salary of $53,270.00 prorated, effective September 28, 2015 through December 19, 2015.

Regina Evans, as a Part Time Nurse at the Mary Roberts Elementary School. Ms. Evans is a New Jersey Licensed Practical Nurse. Her hourly rate will be $52.36 per hour for 3.75 hours per day, effective October 9, 2015 through June 30, 2016.

Michelle Haque, as a Part Time Nurse at the Mary Roberts Elementary School. Ms. Haque is a New Jersey Licensed Practical Nurse. Her hourly rate will be $52.36 per hour for 3.75 hours per day, effective October 7, 2015 through June 30, 2016.

Helena Evans, as a Part Time Nurse at the Upper Elementary School. Ms. Evans is a New Jersey Licensed Practical Nurse. Her hourly rate will be $52.36 per hour for 3.5 hours per day, effective September 24, 2015 through June 30, 2016.

Patricia Kammerhoff, as a Long Term Substitute Kindergarten Teacher at the Mary Roberts Elementary School. Ms. Kammerhoff has a MA from Drexel University. She has been placed on Column MA, Step 1 of the Teacher Salary Guide at a salary of $53,270.00 prorated, effective November 30, 2015 through February 29, 2016.

Melissa Ryan, as a Long Term Substitute English Teacher at the High School. Ms. Ryan has a MA from the University of Pennsylvania. She has been placed on Column MA+30, Step 1 of the Teacher Salary Guide at a salary of $56,501.00 prorated, effective October 6, 2015 through November 16, 2015.

Support Staff

Kathryn Esaia, as an Applications Administrator for the District. Her annual compensation is $55,000.00 prorated, effective, October 19, 2015 through June 30, 2016.

Frank Harden, as a Part-Time Informational Technology Support Technician for the District. Mr. Harden has been placed on Step 1 of the Information Technology Support Assistant Salary Guide for an annual salary of $14,746.00 prorated, effective October 14, 2015 through June 30, 2016.

Mary Neviel, as a Part Time Secretary for the District. Ms. Neviel has been placed on Column K, Step 7 of the Secretary Salary Guide at an annual salary of $17,767.20 prorated, effective September 28, 2015 through June 30, 2016.

Nicole Faries, as a Paraprofessional at the Mary Roberts Elementary School. Ms. Faries has been placed on Column Para EDUC, Step 5 of the Paraprofessional Salary Guide at an hourly rate of $14.42 for 6.75 hours per day for an annual salary of $18,104.31 prorated, effective October 5, 2015 through June 30, 2016.

Wendie Melton, as a Long Term Substitute Secretary at the South Valley Elementary School. Ms. Melton has been placed on Column H, Step 1 of the Secretary Salary Guide at an annual salary of $22,485.00 prorated, effective October 26, 2015 through February 2, 2016.

Joanne White, as a Paraprofessional at the South Valley Elementary School. Ms. White has been placed on Column Para AA/BS, Step 7 of the Paraprofessional Salary Guide at an hourly rate of $14.84 for 4.5 hours per day for an annual salary of $12,421.08 prorated, effective September 15, 2015 through June 30, 2016.

The Building Principal is responsible for developing a school climate supportive of the mental, emotional, and physical development of pupils, for allowing them to realize their own potential, and for developing favorable self-images. The Principal will therefore take into consideration such factors as teacher recommendation, academic achievement, peer interaction, and class size when placing pupils.

Parent/guardian requests for specific pupil placement will only be considered if they are in writing to the building principal or designee. Such discretion may be exercised where

a) there are siblings scheduled for the same course with the same teacher during thesame period of instruction,

b) retention of a pupil results with subsequent assignment to the same teacher whereanother teacher is available, and/or

c) documented family or pupil prior experience with a teacher that would interferewith instruction.

ATTENDANCE (M)

In accordance with the provisions of N.J.S.A. 18A:38-25, every parent, guardian, or other person having control and custody of a child between the ages of six and sixteen shall cause the child to regularly attend school. The Board of Education requires the students enrolled in the schools of this district attend school regularly in accordance with the laws of the State.

In accordance with the provisions of N.J.A.C. 6A:16-7.6, a student’s absence from school may be excused, unexcused that counts toward truancy or unexcused that does not count towards truancy.

Students that are absent from school for any reason are responsible for the completion of assignments missed because of their absence. A student who is absent from school for observing a religious holiday shall not be deprived of any award, eligibility, or opportunity to compete for any award or deprived of the right to take an alternate test or examination that was missed because of the absence provided there is a written excuse of such absence signed by the parent. Details can be found in building specific student handbooks.

Prolonged or repeated absences, excused or unexcused, from school or from class, deprive the student of the educational and classroom experience deemed essential to learning and may result in retention at grade level, loss of credit or removal from a course that would count toward the high school diploma in accordance with policies of this Board.

Students shall be subjected to the school district response for unexcused absences that count toward truancy during the school year as outlined in N.J.A.C. 6A:16-7.6 (a)4 and Regulation 5200. Unexcused absences from school or from classes within the school day may subject a student to consequences that may include the denial of a student’s participation in co-curricular activities and/or athletic competition. Repeated absences from school interfere with efforts of this Board and its staff in the maintenance of good order and the continuity of classroom instruction and such absences may result in the removal of the student from a class or course of study The Superintendent shall calculate and monitor the average daily attendance rate for the district and for each school in the district. Whenever the average daily attendance rate does not meet the New Jersey Department of Education requirements the Superintendent or designee shall develop a district improvement plan to improve student attendance pursuant to N.J.A.C. 6A:30-5.2.

The morning opening exercises shall include the Pledge of Allegiance and may include an appropriate patriotic song. The Star-Spangled Banner shall be the only national anthem sung during these exercises. Those pupils who have religious or conscientious objections may be excused from participating, but must not disrupt the exercises.

Suitable recognition shall be provided in all schools on or during the week of the last school day preceding:

3. Lincoln’s Birthday;

PROFESSIONAL SERVICES AGREEMENT

THIS AGREEMENT is made effective (hereinafter the “Agreement”) as of this 3rd day of September, 2015 (hereinafter the “Effective Date”) between The Cooper Health System, a New Jersey non-profit corporation, with a principal address of One Cooper Plaza, Camden, New Jersey 08103 (hereinafter “Cooper”) and Moorestown Township Board of Education with a principal address of 803 North Stanwick Road, Moorestown, New Jersey 08057 (hereinafter the “School”).

BACKGROUND

WHEREAS, Cooper is a nonprofit corporation operating under the laws of the State of New Jersey;

WHEREAS, Cooper operates a program known as The Cooper Learning Center (hereinafter the “Learning Center Program”)

WHEREAS, School has student(s) whom it believes would benefit from the Learning Center Program. School has developed an Individualized Education Plan (hereinafter “IEP”) for each student, which includes their attendance with a Learning Center staff member. The Learning Center will provide multi-sensory remediation services to each student as specified in the IEP (hereinafter the “Services”).

WHEREAS, School desires to engage Cooper, and Cooper is willing to provide the Services to each student through the Learning Center Program, in accordance with the terms and conditions set forth herein.

TERMS

NOW, THEREFORE, in exchange for the mutual promises set forth herein, and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

1. Cooper’s Responsibilities(a) Cooper will provide the Services as specified in each students’ IEP. (b) The Services shall be provided at Moorestown Public Schools located in Moorestown,

New Jersey, as per each student’s IEP. Cooper shall not be required to provide Services on days when School is not in session due to vacations, holidays, or otherwise. Cooper will provide Services with the estimated number of hours as five (5) per week based on the thirty-four (37) week school year.

(c) Cooper will provide updates on each students’ progress to School. Upon receipt of authorization from School, Cooper shall also be permitted to respond to inquiries from the parents concerning the child’s progress, provided that the inquiries are reasonable in frequency and scope.

(d) As of the date of this Agreement, the Cooper designee is Richard Selznick, Ph.D. (“Cooper Designee”). Cooper may, at its option, designate from time to time alternative designees for the provision of Services under this Agreement. School will direct parents to make all inquiries to Cooper Designee.

(e) Records maintained by the Learning Center Program will not be supplied to any third parties without the express written consent of School and the parents on a form reasonably designated by Cooper for that purpose.

(f) At the conclusion of the academic year, Cooper will provide School with a post-test educational evaluation for each student to whom it provided the Services.

(g) The parties acknowledge while goals and objectives will be determined in conjunction with the School, Cooper has not guaranteed a level of progress with respect to each student.

(h) Cooper will use reasonable judgment with respect to the student’s behavior. If the student displays inappropriate behavior, the parents and the School will be notified as to such conduct. A meeting will be conducted with parents and School to determine options.

(i) Notwithstanding anything in the Agreement to the contrary, Cooper agrees that it will comply with the provisions and the requirements of the IEP of any student to whom Cooper provides Services where such student has been found to be eligible for special education and related services, and/or has a currently implemented IEP. Cooper and its employees who may provide Services to students with an IEP shall be fully familiar with the requirements of the student’s IEP, and shall comply with all such requirements of those IEPs.

(j) Cooper agrees and represents that it and its employees have experience, training, and such other qualifications as are necessary to provide the Services.

(k) Cooper further represents that it and its employees have, where applicable, undergone the criminal history record check required by applicable New Jersey law, including, but not limited to N.J.S.A. 18A:6-7.1, and the Cooper further agrees that the reports of such checks and examinations, where applicable, have been, or will be, provided to School, and before such employees provide the Services to School.

2. School’s Responsibilities (a) School retains all statutory and regulatory obligations imposed for the provision of

educational services to each student, and, apart from providing the specific services listed. Cooper has no responsibility for the educational needs of each student, and is not responsible for making any such determinations or recommendations.

(b) The School should provide a copy of the child’s medical records indicating if any allergies exist and/or other special instructions. An emergency phone number shall also be included with the medical records.

3. Payment School agrees to compensate Cooper the total sum of Thirteen Thousand Eight Hundred Seventy Five Dollars and Zero Cents ($13,875.00) for the Services, payable in three (3) installments of Four Thousand Six Hundred Twenty Five Dollars and Zero Cents ($4,625.00). Cooper shall invoice School in three (3) installments which shall be submitted on or around winter break, spring break and the end of the school year. In the event School requests additional services from Cooper, the same will be billed at a rate of Seventy-Five Dollars and Zero Cents ($75.00) per hour and invoiced upon completion of services. Cooper may terminate this Agreement immediately in the event an installment is unpaid more than thirty (30) days after it is due. All checks shall be payable to “Cooper Pediatrics” and mailed to: The Cooper Health System, Department of Pediatrics, 3 Executive Campus, Suite 310, Cherry Hill, NJ 08002, ATTN: John Scianni, Director of Accounting. In the event School shall request that Cooper provide services in excess of that which is defined in the Agreement (“Additional Services”), School shall submit a written request to Cooper for the same. If Cooper is able to accommodate School’s request, School shall reimburse Cooper at the rate of Seventy-Five Dollars and Zero Cents ($75.00) per hour for the Additional Services for an individual and Eighty-Five Dollars and Zero Cents ($85.00) per hour for Additional Services for a group.

It is the intention of the parties that in carrying out its obligations under the Agreement, that Cooper and its employees shall at all times be acting as and deemed to be independent contractors. Nothing contained in the Agreement shall be construed to create a partnership, joint venture, agency or employment relationship between School and Cooper. Cooper shall have no responsibility for any of School’s debts, liabilities or other obligations or for the intentional, reckless, negligent or unlawful acts or omissions of School or School's employees or agents. In addition, School may not bind Cooper in any way whatsoever with respect to third parties.

It is understood by the parties that Cooper is an independent contractor and not an employee or agent of School. Cooper retains sole and absolute discretion, control and judgment in the manner and means of carrying out its assignments. Cooper understands and agrees that neither it nor its employees performing services hereunder shall be entitled to any of the rights, fringe benefits and privileges established for School's employees, if any, including, but not limited to, the following: retirement benefits, medical insurance coverage, life insurance coverage, health insurance, disability insurance coverage, severance pay benefits, PTO, overtime pay, etc. Cooper understands and agrees that School will not pay or withhold from the compensation paid to Cooper pursuant to this Agreement any sums customarily paid or withheld for or on behalf of employees for income tax, unemployment insurance, social security, or payment pursuant to any law or governmental requirement, and all such payments as may be required by law.

5. Term and Termination(a) Initial Term. This Agreement shall extend from the Effective Date set forth at the beginning

of this agreement, and shall terminate on September 2, 2016. (b) With Cause. This Agreement may be immediately terminated prior to the expiration of the

Term in the event of the other party's material breach of its obligations as provided for hereunder, if such breach is not cured within ten (10) business days of written notice to the other party detailing such breach. Notwithstanding the foregoing, the parties agree that if, in Cooper’s reasonable judgment, such breach is of such a nature that it cannot be cured within such ten (10) day period or in those instances where a notice and a cure period would immediately and irrevocably jeopardize student safety, then Cooper may immediately terminate this Agreement.

(c) Without Cause. Either party may terminate this Agreement without cause upon thirty (30) days prior written notice to the other party.

6. HIPAAThe parties agree to fully comply with the Health Insurance Portability and Accountability Act of1996 and its associated regulations and, more specifically, in 45 C.F.R. §§ 160 and 164,Standards for Privacy of Individually Identifiable Health Information, Final Rule (the “FinalPrivacy Rule”), and in 45 C.F.R. §§ 160, 162 and 164, Health Insurance Reform: SecurityStandards, Final Rule (the “Final Security Rule”) collectively referred to as (“HIPAA”), as theymay be applicable.

7. Patient ConfidentialityIn the event School is provided with access to Cooper’s patient medical records, School agreesthat all Cooper patient medical records shall be maintained in accordance with Cooper’s policiesand procedures and shall be treated as confidential so as to comply with all state and federal lawsand regulations regarding the confidentiality of medical records, including, but not limited toHIPAA. All medical records and materials relating to patients shall be and remain the property ofCooper during the term of this Agreement and upon the termination of this Agreement.

8. Non-SolicitationSchool agrees that it will not employ, contract or in any manner solicit Cooper's employees orclients associated with Services under this Agreement without the express written permission ofCooper during the term of this Agreement and for a period of one (1) year from the termination ofthis Agreement for any reason. School acknowledges that any breach of the provisions of thisSection would cause Cooper irreparable harm which cannot be compensated by money damages,and agrees that Cooper shall be entitled to injunctive relief, without bond, to prevent or restrainany such breach.

9. InsuranceThe School shall provide general liability insurance coverage covering the School, and any andall other of its employees and agents. Said coverage shall provide for limits of coverage of notless than One Million Dollars ($1,000,000.00) per occurrence and Three Million Dollars($3,000,000.00) aggregate per year, naming Cooper as an additional named insured. Cooper shallprovide copies of applicable insurance coverage declaration documentation to the Schooldemonstrating that it maintains, at its own cost and expense, during the entire term of this Agreementthe following insurance protections/policies insuring Cooper during the provision of the Services tothe School: (i) commercial general liability coverage with a One Million Dollar ($1,000,000.00)combined single limit of liability per occurrence for bodily injury and property damage, includingblanket contractual liability, products liability, completed operations and all broad formcomprehensive general liability enhancements;

Cooper shall provide verification in the form of a Certificate of Insurance that the School has beennamed as a certificate holder for each policy of insurance for which it is permitted do so pursuant tothe terms of the respective policy of insurance.

Cooper reserves the right to satisfy the insurance requirements set forth in this agreement withinsurance policies placed in the commercial marketplace and/or through self-insurance atCooper’s sole discretion. To the extent Cooper satisfies the insurance requirements through self-insurance, Cooper agrees to employ the services of a reputable actuary to establish customaryfunding amounts for the levels of self-insurance maintained and maintain such fundingamounts.

Notwithstanding the requirements set forth in this agreement with regard to the naming of theSchool or any other required third party as additional insured, should Cooper elect to self-insureall or a portion of the insurance requirements, Cooper will maintain excess liability insuranceabove any self-insured retention and list School or any other required third party as additionalinsured on such excess liability insurance policy(s) only. The naming of Landlord or otherrequired third party on such excess liability insurance policy(s) shall satisfy all additional insuredrequirements set forth in this agreement

Cooper shall provide thirty (30) days written notice to the School of any intent to cancel, non-renew,or make material change in insurance coverage.

10. IndemnificationCooper agrees to indemnify and hold harmless School, its administrators, agents, board members,directors, employees, officers, representatives, and/or servants from and against any and allinjuries, claims, costs (including reasonable attorneys’ fees and costs), damages, demands,injuries, judgments and/or liability (collectively “Claims”), including Claims for injuries ordeaths of persons and damage to property, arising directly or indirectly out of the obligations

undertaken, or out of the activities of Cooper and its employees (where applicable) in connection with this Agreement, except for Claims arising through the sole negligence, recklessness or willful misconduct of School, its administrators, agents, board members, directors, employees, officers, representatives, and/or servants. School is not waiving, nor shall it be deemed to have waived, by reason of this paragraph, any defense which it may have with respect to such Claims.

School agrees to indemnify and hold harmless Cooper, its administrators, agents, board members, directors, employees, officers, representatives, and/or servants from and against any and all injuries, claims, costs (including reasonable attorneys’ fees and costs), damages, demands, injuries, judgments and/or liability (collectively “Claims”), including Claims for injuries or deaths of persons and damage to property, arising directly or indirectly out of the obligations undertaken, or out of the activities of Cooper and its employees (where applicable) in connection with this Agreement, except for Claims arising through the sole negligence, recklessness or willful misconduct of Cooper, its administrators, agents, board members, directors, employees, officers, representatives, and/or servants. Cooper is not waiving, nor shall it be deemed to have waived, by reason of this paragraph, any defense which it may have with respect to such Claims.

11. NoticesAny notice required by this Agreement shall be in writing and sent by certified mail, postageprepaid, return receipt requested, or by overnight delivery with acknowledged receipt, addressedto the following:

12. AmendmentThis Agreement may be amended or modified only by a written agreement signed by both parties.

13. AssignmentNeither party shall assign this Agreement in whole or in part without the written consent of theother party.

14. Partial InvalidityIf any portion of this Agreement is declared invalid by any court of competent jurisdiction, theAgreement shall continue in full force as to the remainder, unless the invalidation would affectthe basis of the parties' bargain; in such event, either party shall be entitled to terminate thisAgreement as if for cause.

15. Counterparts

Each party represents that it has authority to enter into this Agreement. This Agreement may be executed in counterparts, each of which for all purposes shall be deemed an original, and all of which constitute, collectively, one agreement. Facsimile or electronically transmitted signatures shall be deemed effective as originals.

16. Waiver

The waiver of a breach of any of the terms of this Agreement shall not be deemed a waiver of any subsequent breach of the same or similar nature and shall not in any way affect the terms hereof. No waiver shall be valid or binding unless in writing and signed by the parties.

17. Governing Law; Venue

This Agreement is made under and shall be construed and enforced in accordance with the laws of the State of New Jersey without regard to its conflicts of laws provisions. The parties expressly consent to the personal jurisdiction of and agree to have all proceedings venued in the applicable state or federal court located in Camden County, New Jersey.

18. Entire Agreement

This Agreement and its exhibits constitute the entire agreement between Cooper and School with respect to the subject matter hereof and the transactions contemplated hereby, and supersedes all prior discussions, negotiations, and any preliminary, oral, or written agreements, including all prior agreements with respect to the subject matter hereof. Any modifications to this Agreement shall be made in writing and signed by both parties. In the event of any conflict between the attached exhibits, if any, and the terms of this Agreement, the terms of this Agreement shall control.

19. No Third Party Beneficiaries This Agreement is intended solely for the benefit of the parties represented by the signatories below. No third party beneficiaries are contemplated or created under operation of this Agreement.

20. Compliance with Applicable Healthcare Laws. The parties believe this Agreement avoids any

element of inappropriate reimbursement for services as currently provided under federal or state law. Nothing in this Agreement shall be construed as a promise or obligation on the part of either party to refer patients or business to the other party.

21. Change in Law

If there are any changes to or clarifications of federal, state, or local statutes, regulations, or rules which would materially affect the operation of this Agreement, including, but not limited to, third-party reimbursement or the application or interpretation of the Medicare or Medicaid laws, the parties agree to use reasonable business efforts to amend this Agreement and to renegotiate any applicable provisions to accommodate the change in law. If, however, the parties are unable to agree to an amendment of this Agreement within thirty (30) days, then either party may terminate this Agreement on thirty (30) days prior written notice to the other party.

22. Education About False Claims Recovery Act

School acknowledges receipt of the document “Education About False Claims Recovery Act” available at http://www.cooperhealth.org/about-us/education-about-false-claims-act, the terms of which are incorporated herein by reference, and agrees to (i) abide by same in its business with Cooper, and (ii) provide same to its employees performing services under the Agreement.

PROFESSIONAL SERVICES AGREEMENT

THIS AGREEMENT is made effective (hereinafter the “Agreement”) as of this 3rd day of September, 2015 (hereinafter the “Effective Date”) between The Cooper Health System, a New Jersey non-profit corporation, with a principal address of One Cooper Plaza, Camden, New Jersey 08103 (hereinafter “Cooper”) and Moorestown Township Board of Education with a principal address of 803 North Stanwick Road, Moorestown, New Jersey 08057 (hereinafter the “School”).

BACKGROUND

WHEREAS, Cooper is a nonprofit corporation operating under the laws of the State of New Jersey;

WHEREAS, Cooper operates a program known as The Cooper Learning Center (hereinafter the “Learning Center Program”)

WHEREAS, School has student(s) whom it believes would benefit from the Learning Center Program. School has developed an Individualized Education Plan (hereinafter “IEP”) for each student, which includes their attendance with a Learning Center staff member. The Learning Center will provide multi-sensory remediation services to each student as specified in the IEP (hereinafter the “Services”).

WHEREAS, School desires to engage Cooper, and Cooper is willing to provide the Services to each student through the Learning Center Program, in accordance with the terms and conditions set forth herein.

TERMS

NOW, THEREFORE, in exchange for the mutual promises set forth herein, and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

1. Cooper’s Responsibilities(a) Cooper will provide the Services as specified in each students’ IEP. (b) The Services shall be provided at Our Lady of Good Counsel School located in

Moorestown, New Jersey, as per each student’s IEP. Cooper shall not be required to provide Services on days when School is not in session due to vacations, holidays, or otherwise. Cooper will provide Services with the estimated number of hours as two (2) per week based on the thirty-four (34) week school year.

(c) Cooper will provide updates on each students’ progress to School. Upon receipt of authorization from School, Cooper shall also be permitted to respond to inquiries from the parents concerning the child’s progress, provided that the inquiries are reasonable in frequency and scope.

(d) As of the date of this Agreement, the Cooper designee is Richard Selznick, Ph.D. (“Cooper Designee”). Cooper may, at its option, designate from time to time alternative designees for the provision of Services under this Agreement. School will direct parents to make all inquiries to Cooper Designee.

(e) Records maintained by the Learning Center Program will not be supplied to any third parties without the express written consent of School and the parents on a form reasonably designated by Cooper for that purpose.

(f) At the conclusion of the academic year, Cooper will provide School with a post-test educational evaluation for each student to whom it provided the Services.

(g) The parties acknowledge while goals and objectives will be determined in conjunction with the School, Cooper has not guaranteed a level of progress with respect to each student.

(h) Cooper will use reasonable judgment with respect to the student’s behavior. If the student displays inappropriate behavior, the parents and the School will be notified as to such conduct. A meeting will be conducted with parents and School to determine options.

(i) Notwithstanding anything in the Agreement to the contrary, Cooper agrees that it will comply with the provisions and the requirements of the IEP of any student to whom Cooper provides Services where such student has been found to be eligible for special education and related services, and/or has a currently implemented IEP. Cooper and its employees who may provide Services to students with an IEP shall be fully familiar with the requirements of the student’s IEP, and shall comply with all such requirements of those IEPs.

(j) Cooper agrees and represents that it and its employees have experience, training, and such other qualifications as are necessary to provide the Services.

(k) Cooper further represents that it and its employees have, where applicable, undergone the criminal history record check required by applicable New Jersey law, including, but not limited to N.J.S.A. 18A:6-7.1, and the Cooper further agrees that the reports of such checks and examinations, where applicable, have been, or will be, provided to School, and before such employees provide the Services to School.

2. School’s Responsibilities(a) School retains all statutory and regulatory obligations imposed for the provision of

educational services to each student, and, apart from providing the specific services listed. Cooper has no responsibility for the educational needs of each student, and is not responsible for making any such determinations or recommendations.

(b) The School should provide a copy of the child’s medical records indicating if any allergies exist and/or other special instructions. An emergency phone number shall also be included with the medical records.

3. PaymentSchool agrees to compensate Cooper the total sum of Five Thousand One Hundred Dollars andZero Cents ($5,100.00) for the Services, payable in three (3) installments of One ThousandSeven Hundred Dollars and Zero Cents ($1,700.00). Cooper shall invoice School in three (3)installments which shall be submitted on or around winter break, spring break and the end of theschool year. In the event School requests additional services from Cooper, the same will be billedat a rate of Seventy-Five Dollars and Zero Cents ($75.00) per hour and invoiced upon completionof services. Cooper may terminate this Agreement immediately in the event an installment isunpaid more than thirty (30) days after it is due. All checks shall be payable to “CooperPediatrics” and mailed to: The Cooper Health System, Department of Pediatrics, 3 ExecutiveCampus, Suite 310, Cherry Hill, NJ 08002, ATTN: John Scianni, Director of Accounting.

In the event School shall request that Cooper provide services in excess of that which is defined in the Agreement (“Additional Services”), School shall submit a written request to Cooper for the same. If Cooper is able to accommodate School’s request, School shall reimburse Cooper at the rate of Seventy-Five Dollars and Zero Cents ($75.00) per hour for the Additional Services for an individual and Eighty-Five Dollars and Zero Cents ($85.00) per hour for Additional Services for a group.

4. Independent ContractorsIt is the intention of the parties that in carrying out its obligations under the Agreement, that

12. Amendment

This Agreement may be amended or modified only by a written agreement signed by both parties. 13. Assignment

Neither party shall assign this Agreement in whole or in part without the written consent of the other party.

14. Partial Invalidity

If any portion of this Agreement is declared invalid by any court of competent jurisdiction, the Agreement shall continue in full force as to the remainder, unless the invalidation would affect the basis of the parties' bargain; in such event, either party shall be entitled to terminate this Agreement as if for cause.

15. Counterparts Each party represents that it has authority to enter into this Agreement. This Agreement may be executed in counterparts, each of which for all purposes shall be deemed an original, and all of which constitute, collectively, one agreement. Facsimile or electronically transmitted signatures shall be deemed effective as originals.

16. Waiver

The waiver of a breach of any of the terms of this Agreement shall not be deemed a waiver of any subsequent breach of the same or similar nature and shall not in any way affect the terms hereof. No waiver shall be valid or binding unless in writing and signed by the parties.

17. Governing Law; Venue

This Agreement is made under and shall be construed and enforced in accordance with the laws of the State of New Jersey without regard to its conflicts of laws provisions. The parties expressly consent to the personal jurisdiction of and agree to have all proceedings venued in the applicable state or federal court located in Camden County, New Jersey.

18. Entire Agreement

This Agreement and its exhibits constitute the entire agreement between Cooper and School with respect to the subject matter hereof and the transactions contemplated hereby, and supersedes all prior discussions, negotiations, and any preliminary, oral, or written agreements, including all prior agreements with respect to the subject matter hereof. Any modifications to this Agreement shall be made in writing and signed by both parties. In the event of any conflict between the attached exhibits, if any, and the terms of this Agreement, the terms of this Agreement shall control.

19. No Third Party Beneficiaries This Agreement is intended solely for the benefit of the parties represented by the signatories below. No third party beneficiaries are contemplated or created under operation of this Agreement.

20. Compliance with Applicable Healthcare Laws. The parties believe this Agreement avoids any

element of inappropriate reimbursement for services as currently provided under federal or state law. Nothing in this Agreement shall be construed as a promise or obligation on the part of either party to refer patients or business to the other party.

21. Change in Law

If there are any changes to or clarifications of federal, state, or local statutes, regulations, or rules which would materially affect the operation of this Agreement, including, but not limited to, third-party reimbursement or the application or interpretation of the Medicare or Medicaid laws, the parties agree to use reasonable business efforts to amend this Agreement and to renegotiate any applicable provisions to accommodate the change in law. If, however, the parties are unable to agree to an amendment of this Agreement within thirty (30) days, then either party may terminate this Agreement on thirty (30) days prior written notice to the other party.

22. Education About False Claims Recovery Act

School acknowledges receipt of the document “Education About False Claims Recovery Act” available at http://www.cooperhealth.org/about-us/education-about-false-claims-act, the terms of which are incorporated herein by reference, and agrees to (i) abide by same in its business with Cooper, and (ii) provide same to its employees performing services under the Agreement.
