YokogawaElectricCorporationandYokogawaTest&MeasurementCorporation,Japanesecorporations (hereinaftercalled “Yokogawa”),grantspermission touse thisYokogawaSoftwareProgram(hereinaftercalledthe“LicensedSoftware”)totheLicenseeontheconditionsthattheLicenseeagreestothetermsandconditionsstipulatedin Article 1 hereof.You,astheLicensee(hereinaftercalled“Licensee”),shallagreetothefollowingtermsandconditionsforthesoftwarelicense(hereinaftercalledthe“Agreement”)basedontheuseintendedfortheLicensedSoftware.PleasenotethatYokogawagrantstheLicenseepermissiontousetheLicensedSoftwareunderthetermsandconditionshereinandinnoeventshallYokogawaintendtosellortransfertheLicensedSoftwaretotheLicensee. Article1(ScopeCoveredbytheseTermsandConditions)1.1ThetermsandconditionsstipulatedhereinshallbeappliedtoanyLicenseewhopurchasestheLicensedSoftwareontheconditionthattheLicenseeconsentstoagree
to the terms and conditions stipulated herein.1.2The“LicensedSoftware”hereinshallmeanandincludeallapplicableprogramsanddocumentation,withoutlimitation,allproprietarytechnology,algorithms,andknow-
how such as a factor, invariant or process contained therein.
Article2(GrantofLicense)2.1Yokogawagrants theLicensee, for thepurposeof singleuse,non-exclusiveandnon-transferable licenseof theLicensedSoftwarewith the license feeseparately
agreeduponbybothparties.YokogawaallowstheLicenseetoinstallonlyoneinstanceofthesoftwareforuseononedevice,whetherthatdeviceisphysicalorvirtual.IftheLicenseewanttousethesoftwareonmorethanonevirtualdevice,theLicenseemustobtainaseparateLicensedSoftwareforeachinstance.
2.2TheLicenseeis,unlessotherwiseagreedinwritingbyYokogawa,notentitledtocopy,change,sell,distribute,transfer,orsublicensetheLicensedSoftware.2.3TheLicensedSoftwareshallnotbecopiedinwholeorinpartexceptforkeepingone(1)copyforback-uppurposes.TheLicenseeshallsecureorsupervisethecopyof
theLicensedSoftwarebytheLicenseeitselfwithgreat,strict,andduecare.2.4InnoeventshalltheLicenseedump,reverseassemble,reversecompile,orreverseengineertheLicensedSoftwaresothattheLicenseemaytranslatetheLicensed
Softwareintootherprogramsorchangeitintoaman-readableformfromthesourcecodeoftheLicensedSoftware.UnlessotherwiseseparatelyagreedbyYokogawa,YokogawashallnotprovidetheLicenseethesourcecodefortheLicensedSoftware.
2.5TheLicensedSoftwareanditsrelateddocumentationshallbetheproprietarypropertyortradesecretofYokogawaorathirdpartywhichgrantsYokogawatherights.InnoeventshalltheLicenseebetransferred,leased,sublicensed,orassignedanyrightsrelatingtotheLicensedSoftware.
2.6YokogawamayuseoraddcopyprotectioninorontotheLicensedSoftware.InnoeventshalltheLicenseeremoveorattempttoremovesuchcopyprotection.2.7TheLicensedSoftwaremayincludeasoftwareprogramlicensedforre-usebyathirdparty(hereinaftercalled“ThirdPartySoftware”,whichmayincludeanysoftware
program from affiliates of Yokogawa made or coded by themselves.) In the case that Yokogawa is granted permission to sublicense to third parties by any licensors (sub-licensor)oftheThirdPartySoftwarepursuanttodifferenttermsandconditionsthanthosestipulatedinthisAgreement,theLicenseeshallobservesuchtermsandconditionsofwhichYokogawanotifiestheLicenseeinwritingseparately.
2.8InnoeventshalltheLicenseemodify,removeordeleteacopyrightnoticeofYokogawaanditslicensercontainedintheLicensedSoftware,includinganycopythereof.
Article3(RestrictionofSpecificUse)3.1TheLicensedSoftware shall not be intended specifically to bedesigned, developed, constructed,manufactured, distributedormaintained for thepurposeof the
following events: a) Operation of any aviation, vessel, or support of those operations from the ground;, b) Operationofnuclearproductsand/orfacilities;, c) Operationofnuclearweaponsand/orchemicalweaponsand/orbiologicalweapons;or d) Operation of medical instrumentation directly utilized for humankind or the human body.3.2Even if theLicenseeuses theLicensedSoftware for thepurposes in theprecedingParagraph3.1,Yokogawahasno liability toor responsibility foranydemandor
damagearisingoutoftheuseoroperationsoftheLicensedSoftware,andtheLicenseeagrees,onitsownresponsibility,tosolveandsettletheclaimsanddamagesandtodefend,indemnifyorholdYokogawatotallyharmless,fromoragainstanyliabilities,losses,damagesandexpenses(includingfeesforrecallingtheProductsandreasonable attorney’s fees and court costs), or claims arising out of and related to the above-said claims and damages.
Article4(Warranty)4.1TheLicenseeshallagreethattheLicensedSoftwareshallbeprovidedtotheLicenseeonan“asis”basiswhendelivered.Ifdefect(s),suchasdamagetothemedium
of theLicensedSoftware, attributable toYokogawa is found,Yokogawaagrees to replace, freeof charge, anyLicensedSoftwareon condition that thedefectiveLicensedSoftwareshallbereturnedtoYokogawa’sspecifiedauthorizedservicefacilitywithinseven(7)daysafteropeningthePackageattheLicensee’sexpense.AstheLicensedSoftwareisprovidedtotheLicenseeonan“asis”basiswhendelivered,innoeventshallYokogawawarrantthatanyinformationonorintheLicensedSoftware, including without limitation, data on computer programs and program listings, be completely accurate, correct, reliable, or the most updated.
4.2NotwithstandingtheprecedingParagraph4.1,whenthirdpartysoftwareisincludedintheLicensedSoftware,thewarrantyperiodandtermsandconditionsthatapplyshall be those established by the provider of the third party software.
4.3WhenYokogawadecidesinitsownjudgementthatitisnecessary,YokogawamayfromtimetotimeprovidetheLicenseewithRevisionupgradesandVersionupgradesseparatelyspecifiedbyYokogawa(hereinaftercalled“Updates”).
4.4NotwithstandingtheprecedingParagraph4.3,innoeventshallYokogawaprovideUpdateswheretheLicenseeoranythirdpartyconductedrenovationorimprovementoftheLicensedSoftware.
4.5THEFOREGOINGWARRANTIESAREEXCLUSIVEAND INLIEUOFALLOTHERWARRANTIESOFQUALITYANDPERFORMANCE,WRITTEN,ORAL,ORIMPLIED,ANDALLOTHERWARRANTIESINCLUDINGANYIMPLIEDWARRANTIESOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSEAREHEREBYDISCLAIMEDBYYOKOGAWAANDALLTHIRDPARTIESLICENSINGTHIRDPARTYSOFTWARETOYOKOGAWA.
4.6CorrectionofnonconformityinthemannerandfortheperiodoftimeprovidedaboveshallbetheLicensee’ssoleandexclusiveremedyforanyfailureofYokogawatocomplywithitsobligationsandshallconstitutefulfillmentofallliabilitiesofYokogawaandanythirdpartylicensingtheThirdPartySoftwaretoYokogawa(includinganyliabilityfordirect,indirect,special,incidentalorconsequentialdamages)whetherinwarranty,contract,tort(includingnegligencebutexcludingwillfulconductorgrossnegligencebyYokogawa)orotherwisewithrespecttoorarisingoutoftheuseoftheLicensedSoftware.
Article 5 (Infringement)5.1Ifandwhenanythirdpartyshoulddemandinjunction,initiatealawsuit,ordemandcompensationfordamagesagainsttheLicenseeunderpatentright(includingutility
modelright,designpatent,andtrademark),copyright,andanyotherrightsrelatingtoanyoftheLicensedSoftware,theLicenseeshallnotifyYokogawainwritingtothat effect without delay.
5.2InthecaseoftheprecedingParagraph5.1,theLicenseeshallassigntoYokogawaallof therightstodefendtheLicenseeandtonegotiatewiththeclaimingparty.Furthermore, theLicenseeshallprovideYokogawawithnecessary informationoranyotherassistanceforYokogawa’sdefenseandnegotiation. IfandwhensuchaclaimshouldbeattributabletoYokogawa,subjecttothewrittennoticetoYokogawastatedintheprecedingParagraph5.1,YokogawashalldefendtheLicenseeandnegotiatewiththeclaimingpartyatYokogawa’scostandexpenseandberesponsibleforthefinalsettlementorjudgmentgrantedtotheclaimingpartyintheprecedingParagraph5.1.
5.3Whenanyassertionorallegationoftheinfringementofthethirdparty’srightsdefinedinParagraph5.1ismade,orwhenatYokogawa’sjudgmentthereispossibilityofsuchassertionorallegation,Yokogawawill,atitsowndiscretion,takeanyofthefollowingcountermeasuresatYokogawa’scostandexpense.
a) ToacquirethenecessaryrightfromathirdpartywhichhaslawfulownershipoftherightsothattheLicenseewillbeabletocontinuetousetheLicensedSoftware; b) ToreplacetheLicensedSoftwarewithanalternativeonewhichavoidstheinfringement;or c) ToremodeltheLicensedSoftwaresothattheLicensedSoftwarecanavoidtheinfringementofsuchthirdparty’sright.5.4IfandwhenYokogawafailstotakeeitherofthecountermeasuresassetforthintheprecedingsubparagraphsofParagraph5.3,YokogawashallindemnifytheLicensee
onlybypayingback thepriceamountof theLicensedSoftwarewhichYokogawahas received from theLicensee.THEFOREGOINGPARAGRAPHSSTATETHEENTIRELIABILITYOFYOKOGAWAANDANYTHIRDPARTYLICENSINGTHIRDPARTYSOFTWARETOYOKOGAWAWITHRESPECTTOINFRINGEMENTOFTHEINTELLECTUALPROPERTYRIGHTSINCLUDINGBUTNOTLIMITEDTO,PATENTANDCOPYRIGHT.

Article6(Liabilities)6.1IfandwhentheLicenseeshouldincuranydamagerelatingtoorarisingoutoftheLicensedSoftwareorservicethatYokogawahasprovidedtotheLicenseeunderthe
conditions herein due to a reason attributable to Yokogawa, Yokogawa shall take actions in accordance with this Agreement. However, in no event shall Yokogawa be liableor responsible foranyspecial, incidental,consequentialand/or indirectdamage,whether incontract,warranty, tort,negligence,strict liability,orotherwise,including,withoutlimitation,lossofoperationalprofitorrevenue,lossofuseoftheLicensedSoftware,oranyassociatedproductsorequipment,costofcapital,lossorcostof interruptionof theLicensee’sbusiness,substituteequipment, facilitiesorservices,downtimecosts,delays,and lossofbusiness information,orclaimsofcustomersofLicenseeorotherthirdpartiesforsuchorotherdamages.EvenifYokogawaisliableorresponsibleforthedamagesattributabletoYokogawaandtotheextentofthisArticle6,Yokogawa’sliabilityfortheLicensee’sdamageshallnotexceedthepriceamountoftheLicensedSoftwareorservicefeewhichYokogawahasreceived.PleasenotethatYokogawashallbereleasedordischargedfrompartoralloftheliabilityunderthisAgreementiftheLicenseemodifies,remodels,combineswith other software or products, or causes any deviation from the basic specifications or functional specifications, without Yokogawa’s prior written consent.
6.2AllcausesofactionagainstYokogawaarisingoutoforrelatingtothisAgreementortheperformanceorbreachhereofshallexpireunlessYokogawaisnotifiedoftheclaim within one (1) year of its occurrence.
6.3Innoevent,regardlessofcause,shallYokogawaassumeresponsibilityfororbeliableforpenaltiesorpenaltyclausesinanycontractsbetweentheLicenseeanditscustomers.
Article7(LimitofExport) UnlessotherwiseagreedbyYokogawa,theLicenseeshallnotdirectlyor indirectlyexportortransfertheLicensedSoftwaretoanycountriesotherthanthosewhere
Yokogawapermitsexportinadvance.
Article8(Term) ThisAgreementshallbecomeeffectiveonthedatewhentheLicenseereceivestheLicensedSoftwareandcontinuesineffectunlessoruntilterminatedasprovided
herein,ortheLicenseeceasesusingtheLicensedSoftwarebyitselforwithYokogawa’sthirty(30)dayspriorwrittennoticetotheLicensee.
Article9(InjunctionforUse) During the termof thisAgreement,Yokogawamay,at itsowndiscretion,demand injunctionagainst theLicensee in case thatYokogawadeems that theLicensed
Software is used improperly or under severer environments other than those where Yokogawa has first approved, or any other condition which Yokogawa may not permit.
Article 10 (Termination) Yokogawa,atitssolediscretion,mayterminatethisAgreementwithoutanynoticeorremindertotheLicenseeiftheLicenseeviolatesorfailstoperformthisAgreement.
However, Articles 5, 6, and 11 shall survive even after the termination.
Article11(Jurisdiction) Anydispute,controversies,ordifferencesbetweenthepartiesheretoastointerpretationorexecutionofthisAgreementshallberesolvedamicablythroughnegotiation
betweenthepartiesuponthebasisofmutualtrust.Shouldthepartiesfailtoagreewithinninety(90)daysafternoticefromoneofthepartiestotheother,bothpartiesherebyirrevocablysubmittotheexclusivejurisdictionoftheTokyoDistrictCourt(mainoffice)inJapanforsettlementofthedispute.
Article12(GoverningLaw) ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofJapan.TheLicenseeexpresslyagreestowaiveabsolutelyandirrevocablyandto
thefullestextentpermissibleunderapplicablelawanyrightsagainstthelawsofJapanwhichitmayhavepursuanttotheLicensee’slocallaw.
Article 13 (Severability) In theevent thatanyprovisionhereof isdeclaredor found tobe illegalbyanycourtor tribunalofcompetent jurisdiction,suchprovisionshallbenullandvoidwith
respecttothejurisdictionofthatcourtortribunalandalltheremainingprovisionshereofshallremaininfullforceandeffect.
Article14(ChangeinAgreement) The contents of this contract, contents of this product, specifications of the licensed software, related support and other related services can be changed at Yokogawa’s
discretion. However, if Yokogawa make the above changes, Yokogawa will notify them to the customer without delay.

ProcedureInstallingtheSoftware ProgramTheCD-ROMcontainsviewerscorrespondingtothevariousopticalspectrumanalyzermodels.Select the viewer you want to install from the installation tool that starts automatically. If theinstallationtooldoesnotstartautomatically,runAutorun.exeintheCD.

The procedure below is for installing the software program on Windows 7.AQ6370Viewerisusedforthisexample.Forotherviewer,substitute“AQ6360/AQ6370B/AQ6370C/AQ6370D/AQ6373/AQ6373B/AQ6375/AQ6375B/AQ6376/OSA”wherever“AQ6370”appears.
1. Start Windows and log on with administrator privileges. If AQ6370 Viewer is already installed, uninstall it first.
2. LoadthediscintotheCD-ROMdrive.The installation tool starts automatically.
3. Select AQ6370 Viewer, and then click Select. The installation begins
4. PresstheNext button.

5. Read the license agreement carefully. If you agree to the terms, click the IAgree option button and then click Next.
6. Select the installation destination drive and folder, and click Next.The installation destination setup screen shown below opens.ThedefaultinstallationdestinationisC:\ProgramFiles\Yokogawa\.
7. In the installation destination confirmation screen, click Next.The software installation starts. A progress bar is shown in the screen while the installation is in progress.

8. ClickClose to finish the installation.Yokogawa>AQ6370ViewerisaddedtoProgramsintheStartmenuinthetaskbar,andaAQ6370 Viewer shortcut icon is created on the desktop.

UninstallingtheSoftwareProgramThe procedure below is for uninstalling the software program on Windows 7.
1. Onthetaskbar,clicktheStartbuttonandchooseControlPanel.
2. Double-clickUninstallprogram of ProgramsfromtheControlPanel.
3. IntheProgramsandFeatureswindow,selectAQ6370Viewer,andclickUninstall.Aconfirmationdialogboxfordeletingtheprogramopens.
4. ClickYes.The software program is uninstalled.
NoteThe files that the user saved (waveform files, etc.) remain in the follwing folder even if you uninstall the software program. MyDocument\AQ6370ViewerData

Setting the UserAccountThe software program performs authentication using the user name and password when making a remote connection to the Optical Spectrum Analyzer.ThesoftwareprogramandtheOpticalSpectrumAnalyzerusetheMD5algorithm(RSADataSecurity,Inc.MD5MessageDigestAlgorithm)forthepasswordauthentication.The default user name is anonymous. CommunicationwiththeOpticalSpectrumAnalyzerfailedduetoany of the following reasons.• An error occurred in the connection to the Optical Spectrum
Analyzer (this error occurs also if the Optical Spectrum Analyzer is already connecting from a different software program).
• An error occurred while sending data to the Optical Spectrum Analyzer.
• A timeout occurred while receiving data from the Optical Spectrum Analyzer.

• TheremoteinterfaceofthetargetAQ6370isnotsettoETHERNET.
• The firmware version of the target AQ6370 does not support this software program.The AQ6370 firmware version must be R02.01 or later.

WarningMessagesduringRemoteControlBecausethesoftwareprogramretrieveserrorinformationfromtheOpticalSpectrumAnalyzer during remote control, if an error is detected on the Optical Spectrum Analyzer, the warning message for the error is also displayed on the software program. For the cause and corrective action for the warning messages that are displayed while running theprogram,seesection10.10,“WarningDisplayFunction”intheOptical Spectrum Analyzer User’s Manual.
