LH Financial Group Business plan unveiled under new strategic partner THAILAND | SET | BANK | COMPANY VISIT BLOOMBERG LHBAN TB l REUTERS LHBAN.BK New directions in CTBC partnership CTBC signed a memorandum of understanding (MoU) on shares subscription agreement to buy LHBANK’s 7.5bn shares at a price of Bt2.2/share. CTBC is the largest private financial institution in Taiwan with assets of NT$4.6mn. After a due diligence, and approvals from the Bank of Thailand and SEC and for waiver of tender offer from the shareholders, CTBC will hold 35.6% stake in LHBANK, equaling to the combined shares held by LH and QH after the capital increase. Thus, CTBC will have three seats on the board of directors in LHBANK with two of which to be committee and one to be independent seat. New business plan in wealth management, large corporate loan, and digital banking An entry of CTBC will drive LHBANK’s capital up by more than twofold to over Bt32bn and tier‐1 CAR up to 21.3%, which would be able to support loan growth at the pace of 10%‐15% over the next five years. In addition to financial strengthening, LHBANK’s revenue is expected to climb considering CTBC’s expertise in wealth management—CTBS has captured the largest share in Taiwan—digital banking that can potentially increase LHBANK’s fee‐based income and sources of funds. More important CTBC’s branch office in Thailand would be able to transfer its clients around 3,000‐3,500 to LHBANK, which is another catalyst to loan growth. Benefits from new partner likely to be insignificant this year, FY16 net profit projection to be unchanged The transaction is expected to complete by late 3QFY16 and we do not expect significant benefits from the new partner until 2017. We thus keep our FY16 net profit projection unchanged at Bt1.9bn and estimate an annual dividend of Bt0.055. With the potential increase in capital, LHBANK would opt out of its stock dividend, unlike the prior years. Target price maintained at Bt1.87, ‘NEUTRAL’ rating unchanged We see many benefits from the entry of CTBC and LHBANK’s business plan with supports from CTBC has been formulated. As said earlier, the new partnership is unlikely to make significant contribution this year. We thus keep our target price unchanged at Bt1.87 and reiterate a ‘NEUTRAL’ stance on LHBANK.

AssessmentAnti‐corruption progress indicator for listed companies is a part of SEC’s commitment to create sustainability in anti‐corruption and to become a role model to any
related business. The progress indicators comprise of five levels: 1) Committed, 2) Declared, 3) Established, 4) Certified, and 5) Extended. These indicators will
encourage listed firms to formulate anti‐corruption policies to opt out of corruption, and investors can determine their investment based on anti‐corruption indicator
or avoid investment in listed firms that could get involve in corruption.
