    Statement of Purpose:

    Eden Oasis will be a couples retreat center located just off Watts Bar Lake in Loudon,

    Tennessee. Eden Oasis targets couples on their honeymoon, couples just looking to get away

    for the weekend, and retirees looking for a beautiful destination and excellent service. The

    upper middle class couples occupy the market niche of which we intend to target.

    Fifteen cottages throughout fifteen acres will occupy the land, thus creating a destination for a

    week or weekend. A differentiating trademark is the themed groups of cottages throughout the

    property, five European themed, five tropical themed, and five classical Southern themed.

    Eden Oasis wants to ensure an exotic feeling of escape, while still staying in the heart of the

    South. Different packages consist of all-inclusive, bed and breakfast, or simply a stay for one

    night.

    Our customers can broadly be divided into three groups (please note it is

    possible to divide the customers in to much smaller groups, but we have

    chosen not to):

    Retirees. Eden Oasis is the perfect location for retirees looking toexperience Tennessee in a relaxing and luxurious environment. Its

    location in the heart of the Smoky Mountains will draw retirees

    who want to experience the fresh mountain air and rolling hills.

    Honeymooners. These guests are looking for a unique experienceat an affordable price.

    Eden Oasis provides the luxury and romance that honeymooners

    are looking for while giving them an unforgettable honeymoon.

    The fact that Eden Oasis is the only resort in the area with the

    option for an all-inclusive plan and that will entice those looking

    for a stress-free honeymoon. Weekend getaway guests. These guests live in the region and are

    looking to escape for the weekend. They come from the cities and

    surrounding areas of Nashville, Knoxville, Chattanooga, and

    Gatlinburg. Eden Oasis would provide them an environment of

    serenity and peace.

    Our prices are determined by the plan that each guest chooses, not on thecottage they choose. This is because all of the cottages are of equal value.

    Marketing Strategies:

    Eden Oasis is an ideal business in east Tennessee because though there

    are more visitors to Pigeon For and Gatlinburg per year, there are only

    three businesses around like Eden Oasis. Eden Oasis is also the only

    affordable business with an all-inclusive option.

    The benefit of the computer system that Eden Oasis will be buying is that

    it will handle all marketing collateral. This is highly effective, because it

    saves money on having external sources design them. Eden Oasis would

    still have to pay for the actual advertising.

    330 miles away during any time of year from any given direction

    Because of that, Eden Oasis will focus its marketing efforts in Nashville,

    Knoxville, Chattanooga, and Atlanta.

    Eden Oasis will be promoting its business through the use of

    advertisements in the Nashville Tennessean, the Knoxville Sentinel, the

    Chattanooga Free Times Press, and the Atlanta AJC. This method ofnewspaper advertising is good because retirees are more likely to read

    the newspaper.

    Since magazine advertising is expensive, Eden Oasis proposes to partake

    in cross-representation. The business will subscribe and keep Southern

    Living magazines in each cottage. Eden Oasis will also promise to only

    produce recipes from Southern Living. In return, Eden Oasis would like

    editors from Southern Living come and review the establishment and

    post it in Southern Living.

    Information fliers, similar to the ones seen in hotels and other areas of

    interest, will be placed in key cities such as Chattanooga, Pigeon Forge,

    Gatlinburg, Knoxville, and Nashville. Informational fliers at marriage

    counseling centers in those areas would also benefit marketing

    strategies.

    Ads and coupons on cruises will be placed on popular cruise lines to

    entice travelers to come to Eden Oasis on their next trip.

    For the younger generation, bridal/honeymoon magazines will be

    targeted with Facebook advertising because it is less expensive and easierto target exact markets. For instance, it is possible to pick a message that

    will reach only 18 to 30 year old women who are engaged in the

    southeast. Because Eden Oasis focuses on being a honeymoon spot as

    well, the business would like to make a name for itself on bridal websites

    such as weddingwire.com or theknot.com. On each website there is a list

    of potential honeymoon destinations and Eden Oasis will register to be

    Competitive Niche:

    Eden Oasis provides a unique perspective in the hospitality industry in

    east Tennessee because it is the only business that provides a hotel-like

    setting in individual cottages. While this idea is not particularly unique

    there are many log cabin rentals in east Tennesseethe fact that there

    are themed and not log cabins is what makes them unique.

    Additionally, Eden Oasis is the only business with an all-inclusive option

    available at an affordable price. More often, couples seek this when

    booking so this will be highly beneficial.

    Industry Competition:

    There is a minimal amount of competition in the areaonly three other

    businesses resemble Eden Oasis. These businesses are all either on the

    high end of the price scale or occupy a slightly different niche than Eden

    Oasis. These businesses are Blackberry Farm, Whitestone, and

    Christopher Place. These businesses would add synergy to the market,

    because the proximity and common market of hospitality would bring in

    guests. Eden Oasis will attract those guests who want to go to the

    expensive places, but cant afford it.

    Legal Form of Ownership:

    Eden Oasis is registered as an LLC corporation.

    Flow Chart of Organization:

    Position Responsibilities:

    The key company principals will serve as the governing board for Eden

    Oasis and will meet once a week to update each other. Each principals

    primary responsibility is to direct the vision and direction of the

    company. In addition, it is the job of the principals to issue the salaries

    and to pay the bills.

    Benjamin Salmon will be in charge of the gardener and the grounds. If the

    gardener has a problem or if there is an emergency on any part of the

    grounds, Salmon will be the contact. He will also be in charge of

    delegating any upkeep or updating of the grounds.

    Chelsey Koronich will be the manager of the administrative side of the

    business. She will oversee the work of secretaries and maids. She will

    make certain that the cash flow is running smoothly, as well as

    supervising the customer flow. If a problem occurs with the maids and

    the secretaries cant fix it, then Koronich will determine a solution and

    delegate it. If secretaries have a problem, they will speak directly toKoronich.

    Joseph Key will oversee guest satisfaction via the concierge. If the

    concierge has a guest complaint or comment, it will be reported to Key.

    He otherwise will interact with the guests and be the face of the

    company.

    Christina Fullerton will manage the cuisine. From food quality to menu

    planning, she will oversee all of it. She will collaborate with the head chef

    quarterly to create a seasonal menu and to pick new wines to pair. If a

    problem happens in the kitchen whether it is with the kitchen staff, head

    chef, or stocking issues, it will be reported to her. She will also be in

    charge of designing the menus as well as the plating design.

    The groundskeeper is responsible for the appearance and upkeep of the

    grounds. This includes trees, streams, grass, the fountain, landscaping,

    and the exterior of the cottages. There will be repair and upkeep funds

    available each month for them to use. The groundskeeper is to maintain

    a constant stock of landscaping and basic repair supplies. To restock, the

    groundskeeper will supply the secretaries with a list. Should repairs

    require skill beyond the groundskeeper occur, they will be reported toBenjamin Salmon.

    The secretaries main responsibility is record keeping. They will be

    responsible for documenting reservations and monitoring the website.

    They will also answer the phones or e-mails and serve as an information

    center for Eden Oasis. The secretaries are to put in orders for any restock

    necessary. They will also delegate paychecks received from Chelsey

    Koronich. If the maids should have a problem, they will report it to the

    secretaries.

    Each of the maids will primarily be responsible for the cleanliness of the

    cottages. They will check each day to make beds, tidy up, clean the

    bathrooms, restock the towels, and change out any dirty laundry. Any

    problems or restock orders will be reported to the secretaries. The maids

    will also take on additional duties of making house calls, should the

    concierge need it. That entails making deliveries of food and/or

    beverages.

    The concierges are the hospitality experts. If a guest needs something,

    they will provide it. Their primary responsibility is the overall satisfaction

    of each guest. Upon arrival, guests will be greeted and escorted to their

    cottage by the concierge. They will then offer ideas and pamphlets on

    activities and attractions available in the area. When the guests wouldlike food, they will call him to order it. The concierge will then place the

    order with the head chef. The concierges are responsible for making food

    and drink deliveries. However, if they become overwhelmed at any point,

    the concierges may delegate the house calls to either a maid or a kitchen

    hand. Should the concierge have a complaint, they will report it to Joseph

    Key.

    The head chef is responsible for the oversight and preparation of the

    food. They will meet with Christina Fullerton quarterly to create seasonal

    menus. When the concierge places an order, they will make the meal,

    delegating any necessary duties to the kitchen hands. They will also give

    restocking lists to the secretaries. The head chef will also be in charge of

    managing the kitchen staff and making sure that they are doing their

    jobs. They will be responsible for monitoring the health regulations and

    ensuring that they are met. If there are any problems or emergencies,

    they will be reported to Christina Fullerton.

    The kitchen hands are responsible for jobs delegated by the head chef.

    They will assist in preparing meals, keeping the kitchen running smoothly,

    dishwashing, and the overall cleanliness of the kitchen. If a kitchen hand

    notices something needs to be restocked, then they will report it to thehead chef. The kitchen hands will also take on additional duties of making

    house calls, should the concierge need it. That entails making deliveries

    of food and/or beverages.

    to provide outstanding service and hospitality to each guest that walks

    through our doors. Our aim is to provide a unique and romantic escape

    for our guests, giving them the experience and luxuries of staying at a five

    star hotel at a price they can afford.

    Overview of the Code of Ethics:

    Honesty, integrity and ethical business conduct are vital elements of our

    company. We seek to uphold a strict set of standards and policies that

    associates are expected to maintain while working with this company.

    This is to protect the companys reputation and avoid any inappropriate

    activities that could result in adverse consequences to the company and

    to associates involved. Failure to comply or disregard any of these

    standards/policies will be grounds for discharge or appropriate

    disciplinary action.

    Handling Company Property

    Misuse of Company property by associates for personal use or for resale

    is strictly prohibited. In these cases, the Company may, without notice,

    dismiss the offending employee.

    Use of Substances on Property

    The use of illegal or mind-altering substances on company property isstrictly prohibited.

    Disclosing Illegal, Unethical, and Dishonest Behavior

    Associates must agree upon entrance to the company to disclose

    unethical, dishonest, fraudulent or illegal behavior, and the violation of

    company policies and procedures, directly to management.

    Environmental Responsibilities

    The company gives the highest priority to the health, safety and security

    of all its associates and to the protection of the environment.

    Required Licenses and Permits:

    A business license is the first and most important license to receive. This

    is administered by the county clerks office.

    The state of Tennessee requires a liquor-by-the-drink license for any

    business that wants to sell wine. Since Eden Oasis only seeks to sell wine,

    a wine-only license liquor license will be needed. This will have to be

    renewed annually.

    Two different kinds of permits will be needed: a health permit and abuilding permit. Both permits are renewed annually.

    The health department requires two different kinds of permits for the

    business we are looking to establish. The first is a Bed & Breakfast license,

    which covers guests staying in a free standing building and being served

    food through breakfast. Since it only covers breakfast, a food license

    permit will be necessary as well.

    The building permit is distributed by the zoning office and its price is

    dependent upon the value of the property.

    Personnel Plan:

    To keep up with the demand, Eden Oasis will hire one full-time and one

    part-time receptionist to take care of administrative duties. To supply theneeds of the kitchen, one full-time chef and three part-time kitchen

    hands will be hired. Two full-time concierges will be hired to wait on the

    guests hand and foot. One of those will be a night-time concierge to take

    care of guests during the night. Three part-time maids and one full-time

    groundskeeper will be hired to provide upkeep and cleaning to the

    business. All of these are in addition to the four key company principals.

    Eden Oasis has decided to use State Farm as the business insurance

    provider. For $13875 a year, they would provide $560,000 insurance for

    the structures, $400,000 for the furnishings, and $1,000,000 in liability.

    They also have given a rate of $500 a month per full-time employee for

    health and dental insurance.

    II. Financial Data

    Reasons for Loans:

    In order to bring in more capital so as to procure a loan, ten acres will be

    sold bringing in $120,000. This was determined by an appraiser. The

    majority of the loan would be attributed to the construction and

    establishment of the buildings and the grounds. The premise would

    consist of 15 cottages and one main building which has an industrial

    kitchen and the receptionist office. To enclose the 34x60 pavilion for thekitchen/laundry area, it will cost $160,000. To build 15 250 sq. ft.

    cottages with Nationwide Homes, it would be $400,275. The main

    essentials for upkeep would be the utilities, buildings/landscaping

    upkeep, food purchases, salaries, and marketing. $90,970 will be used as

    an 11% down payment for an $827,000 loan. This loan will be repaid with

    the interest in 25 years.

    Description of Necessary Loans:

    Eden Oasis will be applying for SBA 7(a) loan which provides a maximum

    of a $2 million loan. With the lender, the SBA can assure 75% of loans

    more than $150,000. That means if Eden Oasis were getting a $1,095,000

    million loan, that the SBA would provide the bank with $821,250. The

    loans provided will have a 2.75 interest on it.

    The assumption is that each cottage for the first two months will be filled

    for at least fifteen days, which is half capacity. If each couple stays for

    two nights, which is the average stay of visitors coming to east Tennessee

    (http://www.pigeonforgedevelopment.com/pdfs/VisitorOverview.pdf),

    we expect 112 couples each month the first two months. For eight

    months we expect each cottage to be filled seven days each month,

    functioning at one-quarter capacity. If each couple stays two nights, we

    expect 53 couples total each month. For the holiday and Valentines Day

    months, we expect each cottage to be filled at least 22 days, or three-

    quarters capacity. Once again, we expect each couple to stay two nights.We expect 165 couples each month those two months.

    The second year we expect to run at half capacity during seven months

    out of the year, three-quarters for holiday and Valentines Day months,

    and one-quarter capacity for three months.

    The third year we expect to run at half capacity for six months, three-

    quarters capacity for four months and one-quarter capacity for two

    months.

    Since this is a destination luxury resort, Eden Oasis assumes that guestswill be more interested in the all-inclusive plan because it saves them

    from the hassle of making reservations and saves them money. Because

    of that, Eden Oasis is assuming that 66% of guests will utilize the all-

    inclusive plan. It is assumed that 24% of guests will choose the bed and

    breakfast option. Only 10% of guests are expected to just spend the

    night.

    Purchase Agreement

    THIS PURCHASE AGREEMENT Dated this 17th

    day of October, 2010

    Between:

    Nationwide Homes of 1100 Rives Road, P.O. Box 511, Martinsville,

    Henry County, Virginia

    (the Seller) OF THE FIRST PART -AND-

    Eden Oasis of 940 Cave Creek Road, Loudon, Roane County, Tennessee

    (the Purchaser) OF THE SECOND PART

    IN CONSIDERATION OF THE COVENANTS and agreement contained in this

    Purchase Agreement, the parties to this Agreement agree as follows:

    Purchase of Goods

    1. The purchaser will purchase from the seller the following goods: 15custom modular cottages.

    Purchase Price

    2. The seller will sell, transfer and deliver the Goods to the Purchaser on or

    before November 8, 2010. The Purchaser will pay to the seller the sum

    of four hundred thousand, two hundred seventy-five ($400,275.00)

    USD, paid by cash as required in clause 4 of this Agreement.

    3. The Seller and Purchaser both acknowledge the sufficiency of thisconsideration. In addition to the purchase price specified in this

    agreement, the amount of any present or future sales, use, excise or

    similar tax applicable to the sale of the Goods will be paid by the

    Purchaser, or alternatively, the Purchaser will provide the Seller with a

    tax exemption certificate acceptable to the applicable taxing authorities.

    4. Payment for the Goods will be made to the seller when the Purchaser is

    notified that the Goods have been delivered by the seller to carrier for

    shipment to the Purchaser or, in the alternative, when any document of

    title or registrable bill of sale, bearing any necessary endorsement, it

    tendered to the Purchaser.

    Delivery of goods

    5. The goods will be deemed received by the Purchaser when delivered tothe Purchaser at 940 Cave Creek Road, Loudon, Roane County,

    Tennessee. The method of shipment will be within the discretion of thePurchaser. However, the Seller will only be responsible for the lesser of

    truck freight or rail freight to the purchaser.

    Risk of Loss

    6. Risk of Loss will be on the Purchaser form the time of delivery to thecarrier. The Purchaser will provide at its expense insurance on the

    Goods insuring the Sellersand the Purchasers interest as they appear,

    until payment in full to the Seller.

    Warranties

    7. THE GOODS ARE SOLD AS IS AND THE SELLER EXPRESSLY DISCLAIMSALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUTNOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR

    FITNESS FOR A PARTICULAR PURPOSE. The Seller does not assume, or

    authorize any other person to assume on the behalf of the Seller, any

    liability in connection with the sale of the Goods. The Sellers above

    disclaimer of warranties does not, in any way, affect the terms of any

    applicable warranties from the manufacturer of the Goods.

    8. The Purchaser has been given the opportunity to inspect the Goods orto have it inspected and the Purchaser has accepted the Goods in its

    existing condition. Further, the Seller disclaims any warranty as to the

    condition of the Goods.

    Title

    9. Title to the Goods will remain with the Seller until delivery and actualreceipt of the Goods by the Purchaser or, in the alternative, the Seller
