Founded in January 2008, Emirates Capital is a European merchant bank and corporate finance

boutique headquartered in Dubai and regulated by the Dubai Financial Services Authority (DFSA).

As an Investment Manager, Emirates Capital provides investment management services toOffshore/Foreign Funds. Emirates Capital utilizes its established track record and knowledge base to

raise and manage third party capital, which will primarily be structured through one or more offshore

Funds to be managed by Emirates Capital from the DIFC. This enhanced business activity will focus

on management of private equity funds, hedge funds, venture capital and other alternative

investments.

In Corporate Finance, the Firms primary focus is providing financial advisory and capital raising

services to middle market clients in the Middle East, Europe, North America and Southeast Asia. Our

services include mergers and acquisitions advice, private equity advisory, private placements and

public offerings of debt and equity. Typical transactions include the financing of business expansion,

either organically or through acquisitions, recapitalizations and public offerings of debt and equity on

regional exchanges.

Emirates Capitals clients primarily comprise of middle market companies, private owners of

businesses, private equity firms and providers of debt capital. We are committed to the highest

Erik Essiger Chairman & CEOMr. Essiger has over 20 years experience in corporate finance, strategy development

and restructuring projects across a wide variety of sectors, including industrial, business

services, retail and consumer goods.

Prior to founding Emirates Capital, Mr. Essiger founded SCP SWISS CAPITAL-

PARTNERS AG, a corporate finance boutique in Switzerland, which has since been

integrated into Emirates Capital. Prior to that, Mr. Essiger was Senior Manager atPricewaterhouseCoopers (PwC) Transaction Services Strategy Group in Frankfurt,

focusing on commercial due diligence, strategy consulting and lead advisory. He acted

as Board member of a venture capital company and as Managing Director of a number

of corporates. Mr. Essiger has extensive international experience in Germany, Russia,

Hong Kong and Switzerland and was previously a member of the German-Russian co-

operation council.

Mr. Essiger received his MBA in Business Administration from J.W.-Goethe University,Frankfurt, Germany. Mr. Essiger serves as a Director on the Board of a NYSE-listed

company.

Michael Hbener Director & CFOMr. Hbener has 10 years of experience in mergers and acquisitions, portfolio

management and business development across various sectors. Prior to co-founding

Emirates Capital, Mr. Hbener was a Partner at Portfolio Consulting in Hamburg,Germany where he was responsible for business development and M&A transactions.

Prior to that, he was with Brown Brothers Harriman & Company in New York. During his

studies, he worked as a prop trader for Jobs & Lemcke Wertpapierhandels AG, an equity

brokerage firm in Frankfurt am Main.

Mr. Hbener received his MBA degree from the University of Buckingham and his

Bachelors in Economics from the University of Heidelberg.


Usman Butt Chief Compliance Officer & Company Secretary.Mr Butt has gained 13 years experience in the field of financial services regulation and

compliance. He served as Head of Compliance & Company Secretary at Global Commodity

Finance - a DIFC Investments Islamic Financial Services subsidiary after leaving his position as

Head of Compliance of the Islamic asset manager and operator of Islamic funds, Oasis

Crescent Capital. His sound founding in regulation and compliance stems from his work with

the Dubai Financial Services Authority (DFSA) as Senior Manager, Authorisation/ Licensing

from 2003 until 2008 and his years with the UK Financial Services Authority (FSA) as a Senior

Policy Associate from 1998 to 2002. The early years of Mr Butts professional career were

spent at the global investment banking institutions, Barclays de Zoete Wedd (as Treasury &

Futures Settlements Analyst) and Credit Suisse Financial Products (as Regulatory Reporting

Accountant).

Mr Butt received his Masters of Science in International Banking & Financial Studies from the

University of Southampton UK; and his Bachelors of Science in Mathematics with Economics

& Management Studies from Royal Holloway College, University of london-UK.

Zeid Massad Senior AssociatePrior to joining Emirates Capital, Mr. Massad was a sell side equity analyst in Credit

Suisse covering industrials, energy and transport within Middle East and North Africa.

Between 2006 and 2008, he worked with FBR Capital Markets (Washington, DC) in the

Energy & Natural Resources team covering oil & gas and mining equities in the USA and

Canada. Prior to that, Mr. Massad was with Arab Bank PLCs Europe area creditdepartment where he was responsible for part of Arab Banks corporate lending portfolio

in Europe. He started his career in public accounting with Deloitte in Amman, Jordan.

Mr. Massad received his MBA degree from the George Washington University in

Washington, DC and Bachelors in Accountancy from the University of Jordan in Amman,

Jordan. He is also a recipient of the Fulbright Scholarship.

Nicolas Copp Corporate Counsel & Senior Manager, Corporate Finance.Mr. Copp has over 17 years experience in corporate finance and infrastructure investment in

emerging markets, and 3 years in Canadian Private Public Partnerships (PPP). Prior to joining

Emirates Capital, Mr. Copp was based in Bahrain, and Senior Vice President Investments andGeneral Counsel at Gulf One Investment Bank. Prior to that, Nicolas worked for leading firms,

including PCL Constructors Inc., CLSA, ING Bank, and the international legal practice Coudert

Brothers.

Mr. Copp was head of CLSAs telecoms and technology investment banking group, based in

Hong Kong, and has eight years direct experience in telecommunications project and corporate

finance.

Mr. Copp graduated with LL.M and LL.B degrees from the London School of Economics (LSE)

and is a Barrister of the Middle Temple Inn of Court (1989). He is a registered representative ofthe London Stock Exchange, and a licensed financial advisor to the Securities and Futures

Commission (Hong Kong).

managing, and advising an extensive network of family office managers and High Net Worth

Mr. Al Omari received his Bachelors degree in Telecommunications Engineering from Ajman
