    SPECIAL TERMS & CONDITION

    IMPORTANT GUIDELINES TO BIDDERS :

    a) "ALL CONTRACTS/TRANSACTIONS ENTERED INTO BY THE BUYER/BIDDER ARISING OF THE E-AUCTION SHALL BE GOVERNED BY THE INTEGRITY PACT AVAILABLE ON OUR WEBSITE,www.mjunction.in"

    b) After entering any Bid (in figure) on the auction floor, the bidder must check/ re-check the same (including thenumber of zeros) before clicking the ~ SUBMIT BID ~ button. Once the Bid button is clicked the Bid will beaccepted by the system and no correction can be made.

    c) The Auction list and special terms and conditions (STC) being displayed in the Auction Notification under"View Forthcoming Auctions" on Mjunction's e-auction Website or being displayed in Mjunction's Corporate

    Website (www.mjunction.in) are tentative and subject to last moment changes at Mjunction's last momentdiscretion till the start of e-auction.

    d) UNIT/UNIT OF MEASUREMENT (UOM) FOR BIDDING, SALE & DELIVERY: Each lot will have to be bid,sold, and delivered on the basis of the units/unit of Measurement (i.e. UOM) stipulated in the materials listdisplayed on the auction portal against the respective lot. Any representation/complaint from the Bidders for theBid to be made/having being made on the basis of any other unit/unit of measurement will not be entertained.

    e) During live auction only brief lot/item details will be shown under "lot name" on the auction floor where biddersare required to Bid. The complete "items details" can be seen/accessed by the bidders in the auction catalogue.It should be the responsibility of the Bidders to see the "items Details" before bidding and norepresentation/complaint in this regard will be entertained by Mjunction/PRINCIPAL from the Bidders.

    f) Mjunction/PRINCIPAL reserves the right to forfeit any amount/money lying with Mjunction/PRINCIPAL from the

    successful Bidder who defaults in making the due payments against the e-auction even though suchamount/money may be lying with Mjunction/PRINCIPAL on account of the said Bidder any othercontract/transaction.

    g) ARBITRATION : Any dispute arising in connection with the interpretation or implementation of these terms andconditions shall be resolved by arbitration under the Arbitration and Conciliation Act, 1966. The language of thearbitration shall be English. The place or arbitration shall be Asansol,W.B, India. All disputes covered under this

    Arbitration clause shall be referred to the CEO, Mjunction Services Limited, Kolkata for adjudication by him or byhis nominee.

    h) JURISDICTION : Only the Courts at ASANSOL, WEST BENGAL shall have the exclusive jurisdiction toentertain any dispute connected with the arbitration proceedings or any other matter or claim arising out of or incon

    SPECIAL TERMS & CONDITIONS :

    1) M/s. EASTERN COALFIELDS LIMITED, the owner/seller will be hereinafter referred to as PRINCIPAL andM/s. Mjunction Services Limited is the Selling Agent of ECL and hereinafter will be referred to as M/s. Mjunctionor Auctioneer.

    2) All the materials put up for sale through e-auction will be on "As is where is basis" and "No Complaint Basis".Mjunction/PRINCIPAL reserve the right to accept/reject any offer/bid without specifying any reason thereof. Allquantities are only estimates and without any guarantee.

    3) INSPECTION OF MATERIALS : The registered parties interested in bidding may inspect the materials lying

    at the specified locations by producing their e-auction Photo ID Card issued to them by Mjunction.Alternatively they may produce a copy of STC to the Principal after downloading from the website.Inspection will be allowed by the Principal with prior appointment from the principal. Inspection will belimited to visual checking only. Any clarification required may be sought by the bidders at the time ofinspection and no dispute regarding or its physical conditions/location will be entertained thereafter.

    4) VALIDITY OF BIDS : All Bids will be valid for acceptance by Mjunction for a period of 90 days from the dateof closing of e-auction, excluding the date of closing, Which may be extended for any further period of time asmay be mutually agreed upon by the PRINCIPAL and the bidder. In case the 90 days falls on a holiday orremains closed for Mjunction, Such Bids will be deemed to be automatically extended to be valid upto nextworking days of Mjunction.

    4.1 VALIDITY OF CONTRACT : Upto the validity period of the Delivery order / Release Order issued byMjunction / PRINCIPAL or upto the extended period of validty of Delivery Order / Release Order in case the

    Delivery Period is extended by the PRINCIPAL as his sole discretion as the case may be.

    5) SALE INTIMATION : Immediately after closing of E-Auction, a system generated automatic Sale IntimationLetter (SIL) will be issued by e-mail to the Highest Bidder advising him to deposit the prescribed Earnest MoneyDeposit (EMD) / Security Deposit (SD) within the stipulated time. However issue of SIL is only for record purposeand has no bearing on payment of post bid EMD/ SD. The status of the highest bid(s) having been accepted onConfirmed or STA (Subject to Approval) basis must be personally seen by the Bidders online through the link"Post Auction-Winning Notification" immediately after closing of E-Auction which will be displayed upto 7 (Seven)days from the date of Closing of E-Auction (including the date of closing of E-Auction) and payment of Post-BidEMD/SD is required to be made accordingly. Thus non-payment or delay in payment of post bid EMD/ SD on theplea of non-receipt of SIL will not be entertained by Mjunction. Mjunction also reserves the right to issue the saleintimation letter (on confirmed or STA basis) by Speed Post/Regd. Post/Courier etc. Bidders must always keeptheir registered email account valid and keep a watch on their incoming e-mail for their own convenience.

    5.1 Upon acceptance of the auction bid the buyer shall have to pay Earnest Money @ 25 % against acceptedbids positively within 7 days of confirmation of bid by Demand Draft / Pay Order on any Nationalized / ScheduledBank in favour of EASTERN COALFIELDS LTD., payable at Asansol. Demand Draft /Pay Order issued by anyCo-operative Bank will not be accepted.

    5.2 If any offer is on "SUBJECT TO APPROVAL" (STA) basis the buyer shall have to pay Earnest money @10%against accepted bids positively within 7 days of confirmation of bid by Demand draft / Pay order on anyNationalized / Scheduled bank in favour of EASTERN COALFIELDS LTD., payable at Asansol. Demand Draft/Pay Order issued by any Co-operative Bank will not be accepted.

    6. SECURITY DEPOSIT (SD):

    6.1 Upon acceptance of the auction bid the buyer shall have to pay Earnest Money @ 25% against accepted bidspositively within 7 days of confirmation of bid by Demand Draft / Pay Order on any Nationalised / Scheduled Bankin favour of EASTERN COALFIELDS LTD., payable at Asansol. The EMD amount is to be deposited on theexisting quantity. If any offer is on "SUBJECT TO APPROVAL" (STA) basis the buyer shall have to pay Earnestmoney @10% against accepted bids positively within 7 days of confirmation of bid by Demand draft / Pay order onany Nationalised / Scheduled bank in favour of EASTERN COALFIELDS LTD. payable at Asansol The EMDamount is to be deposited on the existing quantity. The EMD amount shall be adjusted with the material value ofthe final instalment.

    6.2 All offers including the offers accepted on the ~SUBJECT TO APPROVAL~ (STA) basis shall remain valid fora period of 30 calendar days from the date of close of auction which may be extended for any further period of

    time as may be mutually agreed upon.

    6.3 UPON ISSUANCE OF ACCEPTANCE LETTER/SALE ORDER, FULL MATERIAL VALUE PAYMENT FOREXISTING QUANTITY IS TO BE MADE.

    6.4 Non-submission of Post bid EMD/SD within the stipulated time will lead to forfeiture of pre-bid Deposit and thesell will be treated as cancelled

    6.5 SD must be remitted by way of PO/DD of any scheduled Bank in favour of EASTERN COALFIELDS LTD.,payable at Asansol and it may be submitted to any office of Mjunction Services Ltd. SD is adjustable towardsmaterial value only after receipt of the balance material value along with applicable duties & taxes within the duedate. In case the successful bidder pays the SD but fails to pay the balance material value along with applicableDuties and Taxes within the due date, the SD will be forfeited.

    6.6 Non-submission of any payment or failure to lift the material within stipulated time limit may lead to debarringthe buyer from participation in ECL auctions for a period of 1 year.

    7. PAYMENT OF BALANCE SALE VALUE/DUTIES/TAXES :

    7.1 On receipt of SD by any of the offices of Mjunction, Sale Order/Acceptance Letter will be issued by Mjunctionto the successful bidder advising him to deposit the balance material value along with all applicable duties andtaxes to any of the office of Mjunction within 21 (Twenty) days from the date of confirmation of bid (including thedate of e-auction)

    7.2 Balance Payment for existing quantity along with Sales Tax/VAT, income tax as applicable at the time of liftingwill be required to be made within 21 (Twenty one) days from the date of Confirmation of the bid in the form ofDemand Draft / Pay Order in favour of EASTERN COALFIELDS LTD., payable at Asansol The Demand Draft/PayOrder must be deposited at any office of M/s. Mjunction Services Ltd., for issue of Delivery Order. In case, the lastday of payment happens to be Closed Holiday for Mjunction or the Banking Institutions, the next working day will

    be taken as the day of payment without late payment charge.

    7.3 SALES TAX/VAT : Inter State sale to registered dealer against 'C' form should be charged at 2%. Sales tounregistered dealer or Govt. department will continue to be charged @ 4% & 13.5%

    8) DEFAULT IN PAYMENT: In case of default in making payment within the prescribed time limits specifiedherein above, the due payments may be made together with additional charge @1% (one percent) per week orpart thereof on the material value, within a period of 14 calendar days from the date of the expiry of the freepayment time. However, Principal reserve the rights to accept or not to accept sale value with additional chargesafter expiry of 14 days as mentioned above.

    9) DELIVERY: On payment of balance sale value along with applicable Duties and Taxes to any of theMjunction's Offices, the Buyer shall obtain Delivery Order from Mjunction on producing his e-auction photo IDCard. Delivery Period will be 30 days from the date of issue of Delivery Advice by the Principal as their solediscretion including the date of issue.

    9.1. Ground Rent: @1% per week or part there of beyond 30 Days will be levied, provided written request isreceived before the expiry of 30 days free lifting period, if no such request for extension is received, the sale orderstands cancelled & security deposit forfeited on completion of 30 days of free lifting period.

    9.2 For delivery, buyers must report by 9.00 AM on working days in the respective units of ECL In case the lastday of delivery happens to be a Closed Holiday for ECL, the next working day will be taken as the date of lifting

    without any Ground Rent. Buyers must produce the Delivery Advice issued by the Principal to the respectiveunits of ECL at the time of taking delivery of the materials.

    9.3 Purchasers are advised in their own interest to make appointment with the owner before placement of

    vehicles for taking delivery of the materials purchased by them within the scheduled date of delivery. Thepurchaser at his own cost will make his own arrangement of removal, dismantling, loading, transporting and he willnot be entitled to claim any facility or assistance or cost on this account from ECL/Mjunction.

    9.4) The materials sold shall be removed by the buyer from any one side of the lot as per the sole direction of thePrincipal and no segregation of items from the sold lots will be permitted.

    9.5) In case any hot work permission is required for dismantling operations, the same will have to be obtained bythe buyers from the Principal's authorized representative before lifting and it will be sole discretion of the Principalto allow such hot work permission.

    9.6) For the purpose of removing the materials, the successful Bidder shall employ or engage only his/their ownpersonnel and shall keep the representative of the Principal fully indemnified against any claims what so ever

    including claim for wage, injuries, compensation, death etc.

    9.7) While removing materials, if any accident or damage to the property/life etc. arises by reason of any act ofnegligence/omission/default or non compliance with any of the Terms & Conditions or statutory regulations orrules and regulations applicable within Principal's premises, on the part of the Bidder's/his representative oremployees resulting in death or injury to any persons or damages to the property of Principal or any third partythen in such an event the Bidder will have to pay compensation to any such person including the employees ofPrincipal for such an event keep Principal indemnified from any demand, claims or proceedings made.

    10.0. SALES TAX : Sales Tax must be deposited only in favour of EASTERN COALFIELDS LTD. in separateDD/PO only as mentioned in Acceptance letter.

    11.0 INCOME TAX: Income Tax @1% or as applicable on purchase price will be charged. Purchase price meansbase price + other taxes & duties. Exemption will be given to manufacturers and processors on production ofexemption certificate from the concerned assessing officer of the income tax department. Exemption is notavailable to retailers / traders.

    12.0. FORFEITURE OF EMD/SALE VALUE :

    12.1 In case the whole or any part of the goods sold remain uncleared, even after the authorized period stated inthe delivery schedule, the purchaser shall have no claim whatsoever on the goods remaining un cleared and theamount paid to ECL including EMD shall stand forfeited at the expiry of the said period. ECL shall have the right todispose of such goods in any manner it l ikes. The purchaser will have no right whatsoever to any compensation.

    12.2 In case of failure to make SD payment within stipulated time will lead to forfeiture of Pre-bid Deposit

    12.3 In case of non-submission of balance material value, the EMD shall be forfeited without further notice and thedefaulting bidder will be debarred from participation in ECL auctions for a period of 1 year.

    13.0. DELIVERY OF THE MATERIALS :

    13.1 The buyer(s) shall place their vehicle for scrap lifting by 9 am to 10 am as per programme on working daysand ensure that loaded vehicles are taken out from our scrap yard by 5 pm positively. Vehicle with scrap materialsloaded on it will not be allowed in the scrap yard for night stay. In case the last day of delivery happens to be aClosed Holiday for ECL, the next working day will be taken as the date of lifting without any Ground Rent. Buyersmust produce the delivery order issued by Mjunction to ECL at the time of taking delivery of the materials.

    13.3 Short Delivery of Material: In the event of sufficient quantity of material is not available for delivery, ECL shallrefund all the amount received from the bidders on ~Pro-rata basis~. No claim shall be entertained by ECL for lossof profit, damage or interest. The segregation of material is not allowed.

    13.4 Weighment of empty and loaded trucks shall be done at ECL weighbridge at random & weight in the printedweighment slip will be final for a particular truck and the same will be binding on the buyer.

    13.5 ECL, as the Seller has the sole authority to accept or reject any offer without assigning any reasonwhatsoever.

    14.0 SALE OF HAZARDOUS WASTE ITEMS:

    14. For hazardous items such as batteries , lead, transformer oil etc, customers registered with MOEF ( Ministry ofEnvironment & Forest ) / CPCB are eligible for participation .

    A copy of MOEF/ CPCB Certificate should be provided at the time of depositing payment

    15.0 In case of any dispute regarding payment/delivery or any other matter relating to this e-auction, the decisionof Mjunction/ECL shall be final.

    16) DEFAULT IN LIFTING : In case the whole or any part of the goods sold remain uncleared, even after theauthorized period stated in the delivery schedule, the purchaser shall have no claim whatsoever on the goodsremaining uncleared. It will be the sole discretion of the Principal to extend the lifting period with or without groundrent after expiry of the stipulated free lifting time depending on the merit of the case. In the event of the Principalnot allowing any extension of lifting time, the sale of materials will be automatically cancelled and all the monies

    paid by the Bidder/Buyer will be automatically forfeited. The ECL shall have the right to dispose of such goods inany manner it likes. The purchaser will have no right whatsoever to any compensation if the lifting time isextended by the ECL, the ground rent will be same as applicable for delay in making the due payments to ECL.

    17) STATUTORY PAYMENTS : The rate of Excise duty, Sales Tax or any other statutory Duty/Tax/Levy/Chargeetc. will be applicable and payable by the buyer as prevailing on the date of actual physical delivery of materials.The rate of Taxes & Duties displayed on the e-auction website are only indicative and based on the ratesprevailing before the commencement of e-auction.

    18.0 NOTE: If the successful highest Bidder ( Confirmed or Provisional/Subject to Approval) fails to pay theEMD/Security Deposit in time from the date of issue of Sale Intimation Letter by email, then he shall beDEBARRED for a minimum period of 6( six) months from participating in all e Auctions and disposal sales byMjunction on behalf of this Principal and, his Registration Fee will be forfeited.

    1. General Clause: EASTERN COALFIELDS LIMITED (herein after termed as ECL) will dispose of the itemsas listed in the auction catalogue through mjunction services limited on as is where is basis. Tonnageindicated would be approximate and delivery would be as per the actual weight. Mjunction services limited(herein after termed as mjunction) will conduct the e-Auction on its website https://auction.valuejunction.in

    2. Bidder Registration: Before participation in the e-Auction, a prospective bidder shall be required to get

    itself/himself registered with mjunction for the purpose, by submitting an application in the prescribed formatavailable on the website. Details of the registration process are available on the mjunction website(auction.metaljunction.com / auction.valuejunction.in). The application shall be made along with the documents(1) copy of latest Income Tax return (2) PAN Card (3) Sales Tax/Vat Registration Certificate,(4) SSI

    Registration Certificate (if applicable) (5) Trade License . Registration can be done online by forwarding theapplication form backed up by the necessary documents to any of the front offices of mjunction. After theregistration, all-prospective Buyers will have an auto generated Unique User ID & a password based onwhich they can log in. The bidders will be required to pay an annual registration fee of Rs. 3000 plus servicetax which will entitle them to log in and use the mjunction website for a period of one year as well as valueadded services including bidder training and online support.

    3. Inspection: The bidders are free to inspect the items/ materials, ready for disposal for their satisfaction as perthe dates/times specified on the auction catalogue. Intending bidders shall be allowed to inspect the goods asmentioned in the catalogue for sale prior to the auction by arrangement with ECL.

    4. Goods will be sold as is where is basis. Bids will be deemed to have been made on the clear understandingthat intending bidders have satisfied themselves fully in regard to the nature, condition, quality and quantity ofgoods upon inspection or otherwise. No error, omission or misstatement or mis-description or printing mistakewhatsoever and howsoever made or published whether in the catalogue or otherwise and no defects or faults

    in the goods shall annul the sale or be the subject of any claim on the part of the bidder and no claim forcompensation or otherwise be entertained by ECL. Further, ECL will take it for granted that the bidders havefully read and understood the language, spirit and objective in these terms and conditions of sale of thematerials before making any bid and that there does not exist any ambiguity whatsoever in the expressions.

    5. The decision for the acceptance/rejection of the rates offered by the bidders shall be communicated bymjunction through lot confirmation letter, e-Mail, SMS or any other mode felt necessary. The bidder will then berequired to make payments as stipulated.

    6. ECL and/or mjunction shall be under no obligation to put up the lots singly or serially or in any other particularmanner and ECL reserves the right at its discretion to withdraw any lot or lots from sale at any time withoutassigning any reason thereof.

    7. All lots will be sold subject to approval by ECL. ECL reserves to itself the right:a. To accept or reject the highest offer or any other bid or all the bidsb. To accept any bid in full or in part

    c. To apportion the total quantity amongst different bidders.d. To accept or to reject the online auction result. The bidders would have no claim for issuance ofsales release orders.

    e. To cancel or reschedule the auction.8. Bidders bidding for the goods sold shall be deemed to have taken into account and made due allowance for

    the cost of handing, loading or other expenses (including dismantling if permitted by ECL) for purposes ofremoval of the goods and shall be entirely responsible for booking goods by rail where so required. ECL willaffect delivery of goods only at the site or at a convenient location which will be notified at the time of sale.

    9. Statutory Documents: All sales tax, terminal tax, excise duty and all other taxes, duties (imposts) whether topayable to the central government or to the state government or to the municipal, local or other authoritiesshall be deposited by the buyer with mjunction along with the sales value of the materials. Non-payment of anyamount payable under this clause will have the same effect as non-payment of the purchase money and willresult in ipso-facto cancellation of the sale and forfeiture of the security deposit. If the liability of such tax(impost) and/or duty is in doubt, mjunction will have a right to call upon the buyer to make such provision asECL may deem fit and proper to ensure the recovery of such taxes (impost) and/or duty. If the tax (impost)and/or duty is not recovered at the time of delivery/dispatch ECL/mjunction will have the right to call upon thebuyer, to pay such amount as may be due whenever the ECL/mjunction find that it has omitted to charge orECL become liable to pay higher charge as a result of decisions or announcements by Government or anyother competent authority, even though, the full value of the materials may have been already paid ordelivery/dispatches may have been completed from ECLs units. ECL shall be free to call upon the buyer tomake good the amount short recovered whenever such contingency should arise, or ECL shall be entitled torecover the Amount of such tax (impost) or duty from the buyer by way of set off against any amount oramounts that might at any time become payable by ECL/mjunction to the purchaser on any account oraccounts whatsoever. Taxes as applicable from time to time shall be payable by the buyer.

    10. ECL shall be responsible for raising invoices as per the terms of Release Order raised by mjunction. Materials

    to be invoiced on the basis of the weight as recorded on weighbridge which should be treated as final.11. The purchaser shall not be entitled to re-sell any lot or part of a lot while the goods are still lying within the

    premises of ECL and no delivery would be permitted by ECL to any person or persons other than thepurchasers whose names are mentioned in the release order.

    12. Bidders have to submit bidder id card requisition in requisite format mentioned in annexure-2

    13. Lifting Clause:(i) After receiving the 100% payment along with sales tax, TCS, etc., the delivery order will be issued by m/s.

    Mjunction for lifting of the material.(ii) On receipt of DO bidder has to get the lifter authorized by concerned Mjunction personnel as per the

    format prescribed in Annexure-3(iii) On producing the DO along with necessary documents ECL shall issue Delivery Advise to the successful

    bidder.(iv) Lifting has to be completed within 30 days from the day of issue of Delivery Advise.(v) The successful tenderers/auctioneers, who lifts the scrap from ECL Stores/CHPs/ Workshops etc., shall

    not dump/keep/ Store the Scrap within 30 KMs radius of any ECL Area. If successful tenderers/auctioneersviolates this clause and dump/keep/ stores the ECL Scrap within 30 KMs radius of any ECL area, the ECL

    has got every right to confiscate the material, and successful tenderers/auctioneers will be banned to dealany business relations with ECL.

    (vi) In case of delay in lifting, ground rent @ 1% per week or part thereof will be charged up to 05(Five) weeks.Thereafter the SD & Total Material Value will stand forfeited without any notice. The un-lifted material willbecome the property of ECL, and it will have the right to dispose of such goods in any manner as they maydeem fit without any notice.

    (vii) The materials will have to be removed on As is where is basis at buyers own cost/risk. If any damage orloss is caused to the employees or the property of the Owner or if any claim are made by Mjunction/Ownerby reason of any acts of commissions or negligence on the part of the buyers or on the part of their agents,representatives or employees, Mjunction /Owner shall be entitled to recover such losses or damages orclaim as may be ascertained by the Owner (which ascertainment shall be final & binding on the buyer)from any amount due to the buyers including the advances made/to be made due by the buyers as thePre-bid Deposit/Security Deposit(as the case may be) without prejudice to Mjunction/Owners rights to

    take further actions under the contract as well as recover such losses, damages or claim any other moneydue/becoming due under any other transaction with Mjunction/owner or from the buyers directly.(viii) The buyer(s) will have to fulfill the relevant provisions of all safety security rules, of the Principal

    and shall have to be governed by the rules under Factories Act / mines Act and any other statutoryAct/Law/Rule prevailing from time to time in respect of themselves and their representatives, workmen andEquipment. The Buyer(s) shall provide safety equipment and appliances to their workmen at their owncost.

    (ix) The buyers or any of their representatives/workers/agents shall not indulge in any activity which is directlyor indirectly affecting Mjunction /Owners interest or shall not commit any acts of (A) misappropriation,pilferage or abetting misappropriation or pilferage or Owners property or any attempt thereof (b) offer orattempt to offer illegal gratification including offering bribe regard or advantage etc., pecuniary or otherwiseto any officer or employees of Mjunction/ Owner. (c) Indulge in any malpractice namely but not limited toforgery, falsification or fabrication of documents bills, vouchers, indents, etc., in support of any claimagainst Mjunction or Owner for any reduction of any liability or in connection with the work ofMjunction/Owner or indulge in any other act which amounts to an offence punishable under the IndianPenal Code or any other enactment.

    14. In case the purchaser requires any service of facility from ECL for dismantling loading or removing the goods,ECL may without being under any obligation to do so provide the same.

    a. The necessary costs, charges and expenses for such service or facility as mentioned must be paid by thepurchaser and for this purpose the purchaser must deposit with ECL such amount or amounts as may berequired by ECL. All costs, charges and expenses for such service will be recovered from the amount sodeposited and the surplus, if any, would be refunded to the purchaser. The amounts so deposited will notcarry any interest. In case the amount deposited falls short of the charges payable under this clause, thepurchaser shall immediately on requisition by ECL pay the additional amount.

    b. Crane hire-charges where provided will be applicable in terms of one hour and its multiples and not in

    terms of a fraction of one hour.c. The materials sold shall be removed by the buyer from any one side of the lot as per the sole direction of

    the ECL and no segregation of items from the sold lots will be permitted.d. In case of any hot work permission is required for dismantling operations, the same will have to be

    obtained by the buyers from the ECL authorized representative before lifting it will be sole discretion of theECL to allow or not to allow such hot-work permission at buyers cost only to extent the facilitating theloading and transportation of the goods.

    e. For the purpose of removing the materials, the successful bidder shall employ only his/their own personneland shall keep ECL fully indemnified against any claims for wage, injuries, compensation, death etc.

    f. While removing the materials, if any accident or damage to the property / life etc. arises by reason of anyact of negligence / omission/ default or non-compliance with any of the Terms and Conditions of thestatutory regulations or rules and regulations applicable within ECL premises, on the part of the bidders /his representative or employees resulting in death or injury to any person or damages to the property ofECL or any third party then in such an event the bidder will have to pay compensation to any suchpersons. The bidder shall in such an event keep the ECL indemnified from any demand, claims orproceedings made.

    15.

    a )Sale of Hazardous Waste Items: The sale of Hazardous waste items, namely Waste Oil and specifiedcategories of Non- Ferrous metal waste will be governed by the Hazardous Waste (Management & Handling)Rules, 1989 and its amendments and the sale of Batteries will be governed by the Batteries (Management &Handling) Rules 2001 and its amendments. For such items, only those parties shall be eligible to bid whohave Valid Registration Certificates from the state as well as Central Pollution Control Board on thestarting date of e-auction. If the bidder had the said State PCB, or CPCB certificates which expired within 30days before the date of starting of e-auctions, he should submit a copy of the expired certificates and a copy of hisapplication for extension with a proof of submission of the application atleast one working day before the startingdate of e-auction.

    b) E-waste / computer / Laptop will be disposed to the bidders possessing valid hazardous waste managementcertification

    16. ECL shall not be responsible for any liability in respect of labour/employee appointed/engaged by the buyer forlifting of the materials. All formalities required under the provision of respective Labour Laws /Rules shall beduly and punctually observed/complied at their own cost and they alone shall be responsible and liable forpunitive action/payment of any dues, compensation or any amount, required to paid under any provisions ofLaws/Rules in any case of noncompliance and default on the part of buyer. If ECL in any case is held liableunder any Laws/Rules then in such cases the buyer shall not only make payment of such dues and/or causedbut also be responsible for payments of damages to ECL.

    17. At the time of obtaining delivery of any goods, the purchaser shall not be entitled to pick or choose anyparticular item or items from the lots sold to purchaser. The purchaser will have to operate the lot from oneside of the heap until the entire quantity is lifted.

    18. Purchasers are warned that any attempt to misuse gate pass, challan authorizing delivery or any suchdocuments will make them liable to serious penalties or such other action as may be open to ECL. Thepurchasers should, therefore, ensure that important documents relating to sale are in the custody only oftrustworthy and responsible persons.

    19. Delivery of goods sold shall be granted as per the working hours of that particular location of ECL where thematerials have been stored. Delivery will be permitted only on production of despatch advice issued by thedepartment concerned ECL as the case may be and a signed copy of ECLs authorization letter for takingdelivery. Deliveries will not be given on Sundays or on any other days being holidays observed.

    20. In case it is detected at any time that the buyer has loaded material and/or materials for which he is not theauction purchaser ECL will be within its rights to detain the truck, unload the materials at the cost andexpenses of the buyer and take such other and further action as may deem fit and necessary for the purpose.

    21. In the event of failure by the buyer to fulfill any obligations under the general conditions of sale including failureremove/lift the goods against any lots within the stipulated time, the sale of such lot may be cancelled for thequantities not lifted by the buyer and all moneys paid by the bidder for those specific lots shall stand forfeited.ECL will be entitled to re-sell the goods through MJ, at the entire risk and cost of the buyer as and when ECL

    may deem fit without any notice to the buyer. ECL shall be at full liberty to retain and/or adjust/or recover anylosses incurred on account of the failure of the buyer to lift the material from any amount lying with ECL to thebuyers credit. The decision of ECL in regard to the actual losses incurred by ECL shall be final and binding onthe Buyer. Any gain on any re-sale as aforesaid shall, however, belong to ECL.

    22. All auction-related complaints should be referred to mjunction, Kolkata, immediately by the parties concerned.

    Complaints pertaining to quality and quantity of materials available for delivery, difficulties in lifting etc shouldbe referred directly to the designated Depot Officer of the concerned area of ECL by the concerned buyer. Incase the complaint is not resolved at this level, the same should be escalated to Materials Manager, ECL,Hyderabad.

    23. ECL/mjunction shall not be liable for non-performance of any contract either wholly or in part nor for any delayin performance resulting from or due to any cause beyond the control of ECL or mjunction including fires,strikes, go-slow, lockout, closure, dispute with workmen, uncertain and unstable labour situation, powershortage, war, riots, civil commotion, pestilence, epidemics, floods, accidents, damages or accidents tomachinery, shortage of wagons, shortage of fuel, shortage of any raw materials, shortage of labour,governments or railway restrictions, acts, demands or requirements of government, force majeure or anycircumstances beyond the control of ECL/ mjunction whether directly due to or in consequence of the aforesaidcauses or not and the existence of such causes of consequences shall operate to extend the time of theperformance on the part of ECL/mjunction by such period as may be necessary to enable ECL, shall have no

    claim upon ECL/mjunction of any kind. The provision of this paragraph shall not be limited or abrogated by anyother terms of the contract whether printed or written nor will the provisions of this clause abrogate or limit theeffect of any other clause mentioned in this catalogue.

    24. Arbitration Clause: Dispute or differences arising out or relating to this Agreement shall be resolved amicablyby the parties. Failing such amicable resolution of dispute / differences either party may refer the matter toarbitration of a Sole Arbitrator to be appointed by the Managing Director of mjunction services limited (forissues relating to mjunction) or by ECL (for issues pertaining to ECL). The award of the Arbitrator shall be final,binding and conclusive on the parties. The venue for arbitration shall be Kolkata (for issues relating tomjunction) or Hyderabad (for issues pertaining to ECL). The Arbitration proceedings will be governed andregulated by the provisions of Indian Arbitration and conciliation Act, 1996 and the rules framed there under.The Court at Kolkata shall have exclusive jurisdiction.

    25. Governing Law: This Agreement is construed and shall be governed in accordance with the laws of Indiawithout giving effect to any principle of conflict of law.

    26. Jurisdiction: The Court at Kolkata shall have exclusive jurisdiction.27. Special instructions:Please note that according to the notification file no.23.11/94 part iii dated 3.2.2000 issued by Ministry ofEnvironment & Forests, Government of India, New Delhi, old & used ferrous/non-ferrous metal scrap, lead acidbattery scrap, used oil can only be purchased by actual users enlisted with ministry of environment & forests(MOEF). In addition, bidders who are actual users can bid for the above items provided they submit thefollowing documents:

    a. valid license to process waste/scrapb. valid consents under air and water actc. valid authorisation under hazardous waste rules

    28. Environment friendly technology for processing scientific disposal facility approved by the state pollutioncontrol board/central pollution control board.

    29. Special terms and conditions for internet auction: Bandwidth problems, connectivity problems with the localISP (internet service provider), slowness to access pages for downloading etc. are beyond the control of ECLand mjunction. Hence no responsibility and liabilities lies with ECL/ mjunction for the above problems, if any,faced by the bidders before/during the auction

    30. Any bid placed using the bidder's username and password is unconditionally binding on the bidder to whomsuch username and password had been allotted and he shall be solely responsible for maintaining theconfidentiality of the same and fully responsible for all activities that occur under their username and password.Hence the user is advised to check the username and password before the auction in order to familiarizehimself with the same and is advised not to reveal it to anyone else so as to prevent misuse of the same. Thebids made by the bidders against their username and password shall be irrevocable.

    GENERAL RULES AND REGULATION GOVERNINGCONDUCT OF ONLINE AUCTIONS ON THE SERVICE PROVIDER PLATFORM

    INTRODUCTION:

    This Online Forward Auction is being conducted for Singareni Collieries Company Limited(hereinafter referred to as the Client) on the Auction Platform of mjunction services ltd (hereinafter referred asService Provider).The General Rules and Regulations provided herein govern the conduct of on line Forward Auctions arranged byService provider on its Auction Platform. These rules cover the roles and responsibilities of the parties in theonline Forward Auctions on the Auction Platform. Acceptance in-toto to these General Rules and Regulationsgoverning conduct of online auctions, and Terms and Conditions for Sale of Materials by auction, ofEASTERN COALFIELDS LIMITED is a prerequisite for securing participation in the online auctions.The key terms pertaining to the online Forward Auctions are provided in the Annexure-A. Prospective biddersare advised to read through the same.ROLE OF SERVICE- PROVIDER

    1. Service Provider is the agency (operator) primarily providing the service of the Forward auction to the client.2. Finalisation of the auction items in consultation with the client.3. Defining of bidding rules for each auction in consultation with the client.

    4. Enhancing bidder awareness of and comfort with the auction mechanism and bidding rules.5. Input of the Auction items and defining the bidding rule in the auction engine.6. Enlarging the customer base by introducing new bidders.7. Collection of PRE-BID DEPOSIT, Letter of Interest etc. from the willing bidders and forwarding the same to the

    Client.8. Providing access to the approved bidders to participate in the Auction.9. Summarizing the Auction proceedings and communicate the outcome to the Client.The responsibility of fulfillment of the contract rests between the bidders and the client and the responsibility of theService Provider shall be restricted to the extent of the services provided by them.

    ROLE OF BIDDERThe role of the bidder is outlined below:1. The bidder would participate in the auction with the aim of bidding to secure the auctioned item in the auction.2. The bidder would be provided access to the Auction through a User ID protected by a Password. The

    bidder needs to ensure that the User ID and Password is not revealed to unauthorized persons. Bidders arealso requested to change the password allocated to them by the Service Provider to keep their confidentiality.However it would be bidders sole responsibility to ensure the security and privacy of the same and he/theywould not hold the Client / Service Provider responsible in any manner whatsoever for any misuse of theseuser IDs and/or Password. Access to the auction mechanism shall be provided to all the approved bidderssubsequent to obtaining their written consent to the General Rules & Regulations and the Letter of Interest.Payment of PRE-BID DEPOSIT as decided by the client before the start of the Forward auction will be one ofthe necessary conditions for participating in the auction.

    3. Bidders hereby confirm that they shall commit to lift the item (being bid for) at the price entered by them in the

    auction engine AND at the terms and conditions specified herein by the Client. All Prices entered shall belegally binding on the bidders. Bidders are strongly advised to exercise due diligence while placing bids.Failure to honour the bids placed during online bidding shall render the bidders liable for penal action asdeemed fit by Client / Service Provider

    4. In the event of winning an allotment in the auction mechanism, the bidder shall commit to fulfill outlinedobligations under the contract.

    5. The bidders shall bid on the terms specified by the client & place their bid in the auction engine in the mannerspecified by Service Provider. The bidders shall not stipulate any conditions on their own unless the terms ofthe client (the clients terms & conditions) expressly permit such conditions being stipulated by the bidder. Bidsentered with conditions attached shall be considered Conditional bids & service provider retains the right ofrejecting these bids even without intimating the client.

    BIDDING RULES

    The Bidding Rules refer to the information and terms defined specifically for a particular auction. The purpose ofthe Bidding rules is to provide approved bidders with the information and terms specific to the auction in which theyare bidding. This would include:

    Definition of the unit bidding. Start Time and duration of the auction.

    Any extension of the duration of the auction in the event of bids being received towards the end of the pre-specified duration.

    Start Bid Price.

    Specified Unit for Bidding.

    Price Increments and any reduction in the price increment in the auction in the event of inactivity.

    Other attributes (informational/non-negotiable in nature).

    While it shall be the endeavor of Service Provider to specify these rules at the earliest for each online auction, theService Provider shall retain the right to delay the announcement of these biddings rules or modify rules specifiedearlier at the time of the online bidding. These details would be available to the bidders on the Auction Engine atthe time of bidding.

    Participation in the auction process presumes complete awareness and understanding of the bidding rules.

    CONDUCT OF THE AUCTION:

    Only those bidders who have been approved by the Client and handed over stamped and manually signedGeneral Rules and Regulations governing conduct of online auction along with Letter of Interest, required PRE-BID DEPOSIT amount and other necessary documents to the Client/ Service Provider prior to the start of onlineauction will be given Login ID and PASSWORD to enable them view and participate in online auction.

    The Auction shall be conducted on pre-specified date. The Key Terms pertaining to the conduct of Auction suchas START TIME, DURATION, END TIME AND AUTO EXTENSION FACILITY Shall be specified separatelyfor each Auction.

    Service provider retains the right to cancel or reschedule the auction, with the approval of the CompetentAuthority of the Client, on any of the following reasons:

    The number of confirmed bidders is deemed insufficient to conduct the auction

    Some of the confirmed bidders are unable to access the module due to infrastructure problems such assustained power failure or telecommunication breakdown.

    There are no bids, which are equal to or below Start Bid Price.

    Any other reason, which in the opinion of Service Provider / Client requires such action to be initiated.The duration of auction may also vary from the pre-specified period of time either on account of termination of theauction by Service Provider on the advice of the Client

    ORIn case of situations where it is felt that continuance of the auction proceedings is prejudicial to the smoothconduct and / or the integrity of the auction process.

    ORdue to Auto Extension during the Auction, duration may increase from specified period.

    In the event of any problems being faced in the smooth conduct of the auction, Service Provider with the approvalof the Competent Authority of the Client, shall have the right to undertake one or more of the following steps:

    Cancellation/ premature termination of the auction with/ without a subsequent rerun of the auction on amutually decided date

    Cancellation of a bid

    Locking / deactivate a bidders account (suspension of operations in the account), etc.

    In case of failure of net connection, bidder will give his best price to the Service Provider. Service Provider willbid on behalf of the bidder with the minimum increment until the bid price reaches the best price offered by thebidder, by proxy bidding mechanism.

    The best price communicated by the bidder will have to be authenticated by written confirmation or fax to the

    Service Provider and will be kept confidential between the Service Provider and the bidder. Bidder will bebound by the price offered.

    LIABILITY OF SERVICE PROVIDER

    Service Provider shall not be liable to the client/ bidders participating in the auction or any other person(s) for:

    Any breach of contract by any of the parties in the fulfillment of the underlying contract.

    Any delays in initiating the online auction or postponement / cancellation of the online auction proceedingsdue to any problem with the hardware / software / infrastructure facilities or any other shortcomings.

    While, reasonable care and diligence will be taken by Service Provider in discharge of its responsibilities such asdesign of the online bid, communication of bid details and rules, guidance to client/ bidders in accessing the

    Auction Engine and placing bids, etc. the bidders shall specifically indemnify Service Provider from all liabilities

    for any shortcomings on these aspects. It is clearly understood that these activities are undertaken by ServiceProvider to assist the bidders in participation but the ultimate responsibility on all these counts lies totally with thebidders.

    RIGHT OF THE CLIENT:

    The Client reserves the right to partially or totally accept or reject any / all bids placed in the Online Auction withoutassigning any reason whatsoever. The decision of the client would be final and binding on the bidder in any suchcase.

    CONFIDENTIALITY CLAUSE:

    Service Provider undertakes to handle any sensitive information provided by the client or confirmed bidders forthe auctions conducted with utmost trust and confidentiality.

    JURISDICTION

    Any disputes relating to the online auction module shall be subject to the sole jurisdiction of Court of Law havingjurisdictions over the Plant from where the materials are being sold.

    ANNEXURE B

    DEFINITION OF KEY TERMS

    Auction.

    Auction refers to a forum where the requirement for one/more lots of an item is stated and the participants(bidders) are required to bid down the price to be selected to supply the requirement.

    Online Auctions.Online auctions refer to those auctions conducted through the Internet with the bidders (from one or morelocations) simultaneously bidding to be selected for supplying the item/s on auction. In other words, the venue forthe auction is on an Internet website/ platform. The "Service Provider's" website assigned by "Service Provider"would constitute venue for the purpose of the online auction.

    Award at the Auction.In a single winner format, only one bidder (normally the bidder who quotes the highest price) is awarded all theunits of the item being auctioned. The bidder quoting the highest price is normally allotted the item.

    Client.Client is the individual/business entity who has contracted "Service Provider" to conduct such auction. In case ofauction, the purpose would be the genuine intent to sell the selected item/s (Lot) to the bidders desiring to buythese items from the Client.

    Bidder.Bidder is the individual/business entity participating in the auction, intending to buy the item(s) from the Client. Tobe become a Bidder in the auction, a business entity has to secure client approval for participation and alsoprovide written assent to the General Rules and Regulations .

    Auction Engine.Auction Engine refers to the software that encapsulates the entire auction environment, processing logic andinformation flows. "Service Provider" is the sole owner of the auction engine and retains exclusive right over the

    utilisation of the same.

    Timings of the Online Bid.All the timings of the Online Bid shall be based on the time indicated by the Server hosting the Auction Engine. Itshall be the endeavor of "Service Provider" to ensure that the Server Time reflects as closely as possible theIndian Standard Time (IST) i.e. GMT + 0530 hrs. However, in the event of any deviations between the Server Timeand the Indian Standard Time, the functioning of the Auction Engine (Launch, operation, and closure) would beguided by the Server Time. Bidders are advised to refresh both the windows of the Auction Module check the exactServer Time (displayed in both the windows).

    Preview Time.Preview Time refers to the period of time that is provided prior to the commencement of bidding. This is to facilitateapproved participants to view the auction details such as item specifications, bidding details and bidding rules. Thepurpose is also to familiarize participants with the functionality and screens of the auction mechanism. It is notmandatory for "Service Provider" to provide Preview Time.

    Start Time.Start time refers to the time of commencement of the conduct of the online auction. It signals the commencementof the Price Discovery process through competitive bidding.

    Duration of the Auction.It refers to the length of time the price discovery process is allowed to continue by accepting bids from competingbidders. The duration of the auction would normally be for a pre-specified period of time. However, the biddingrules may state the conditions when the pre-specified duration may be curtailed/extended. The conditions include:

    Curtailment of auction duration in the event of no bids for a specified period of time (Inactivity Time)

    Automatic extension in the event of bids being entered towards the end of the scheduled duration to facilitate

    the other bidders to view and react to the bid.

    Auto Extension of the Auction Timings.In the event of bids in the last few minutes of the scheduled bid time, the Bid Timings are automatically extended

    for a specified period from each such bid. Such Auto Extension shall continue until no bids are placed for thespecified period (Engine remains inactive for the specified period). The Inactivity Time for Auto Extension purposeis normally X minutes. "Service Provider" however retains the right to change the same. The Inactivity Timeapplicable for the particular Online Bid shall be visible to the bidders under the Bidding Rules module on theengine.

    End of the Auction.End of the Auction refers to the termination of the auction proceedings signaling an end to the price discoveryprocess.

    Auction Report."Service Provider" would provide an Auction Report to the Client containing a summary of the auction proceedingsand outcome. The Auction Report would constitute the official communication from "Service Provider" to the client

    about the outcome of the Auction.

    12. I/We understand and agree thatMjunction makes no warranty, representation or promise not expressly set forth in this agreement.Mjunction disclaims and excludes any and all implied warranties of merchantability, fitness for a particular

    purpose and noninfringement, except as expressly set forth herein.Mjunction makes no warranty with respect to any software, product, configuration or system tested, analyzed or

    reviewed by mjunction and does not warrant that they are without defect or error, except as expressly set forth herein.The results, data, performance, and information reported or disclosed by mjunction in connection with the

    services or this agreement are not warranted and customer bears all risks of reliance thereon.Mjunction does not warrant that any results, data, performance or information can be reproduced, repeated or

    verified (i.e., they may vary).Except as expressly set forth herein, the methodologies, equipment, software, practices, procedures, and

    technology used by mjunction in connection with the services are not warranted; and except as expressly set forth hereinthere shall be no claim against mjunction based on any of the foregoing ;or any alleged or actual inadequacy, malfunction,defect, or incompleteness of or in the foregoing

    13. I/We agree to ratify all the acts of mjunction carried out in good faith and will keep mjunction indemnified, defend andhold mjunction harmless from any and all claims, costs, liabilities, judgments, expenses or damages (including reasonableattorneys fees) arising out of any breach or alleged breach of this agreement, performance of the obligations hereunder,or any representation or misrepresentation made by with regard to the subject of this Agreement.

    14. I/We agree and undertake not to resort to any activity (ies) having the impact or causing interference to the system(hardware, software, Internet related application, servers etc.) I/We understand that mjunction strictly forbids me/us fromindulging in any of the cyber crime activities including, but not limited to (a) unauthorized access(b) e-mail bombing (c)data diddling(c) Salami attack (d) internet time theft (e) logic bomb (f) virus/worm attack (g) Trojan attack (h) distributeddenial of service attack (i) denial of service attack(j) email spoofing (k) cyber pornography(l) intellectual property crime (m)cyber stalking.

    15. I/We agree to submit ourselves for resolution of any disputes with mjunction in the manner as prescribed hereinbelow:Arbitration, Governing Law & Jurisdiction

    (a) Arbitration

    Dispute or differences arising out or relating to this undertaking/Agreement shall be resolved amicably by the parties.

    Failing such amicable resolution of dispute / differences either party may refer the matter to arbitration of a Sole Arbitratorto be appointed by the Managing Director of mjunction services limited. The Arbitration proceedings shall be governedand regulated by the provisions of Indian Arbitration and conciliation Act, 1996 and the rules framed there underalongwitrh amendment made thereto up-to-date. The award of the Arbitrator shall be final, binding and conclusive on theparties. The venue for arbitration shall be at Kolkata.

    (b) Governing Law: This Agreement is construed and shall be governed in accordance with the laws of India withoutgiving effect to any principle of conflict of law.

    (c) Jurisdiction: The Courts at Calcutta shall have exclusive jurisdiction.
