TERMS AND CONDITIONS OF E-TENDER
For transfer of lease of Land with Building (On 30 Years Lease Hold Basis) as
belows-
Land is (on 30 years lease hold rights) at Plot No. F-582/6B, Gultekadi, Market Yard,
Pune 411 037 admeasuring 35,000 Sq, Ft. and Building (Ground Floor + 2 Floors)
admeasuring 30,782 Sq. Ft.

The terms and condition for transfer of lease of land with building more
particularly described in Schedule- 1 hereto (hereinafter referred to as ‘the said
property’)
1) The said property is owned by Agriculture Produce and Market Committee, Pune
and Pune District Co-operative Agriculture Rural Multipurpose Development
Bank Ltd., Pune (PDCARMD) Bank i.e. LDB Pune is having lease hold rights.
The said Bank has constructed a Building there upon consisting of ground Floor
+ 2 floors admeasuring 30,782 Sq. Ft. The Lease hold rights of 30 years of the
said property standing with the construction there upon is putting up the said
land with building for Transfer by way of E-TENDER.
2) The said assets/ property consist of More particularly and indicatively described
in the Schedule-I hereto on ‘As is where is and what is basis’.
3) The tenderer/ transfaree shall accept the documents of title, if any, available
with Pune District Co-operative Agriculture Rural Multipurpose Development
Bank Ltd, (LDB Pune) (Inliquidation) as proof of title.
4) The tenderer/ transfaree may take inspection of the said property on any
working day between 11:00 am to 5 pm till last date of EMD submission of
Tender. For inspection the tenderer may contact the Manger of PDCARMD Bank
(LDB) on his cell number (9762182890). Even if the tenderer/ transfaree does
not undertake inspection, he shall be deemed to have inspected the said
property put up for lease transfer on “As is where is and what is basis” in
regard to the condition there of, before making the offer for transfer of lease of
the same. It is hereby expressly agreed and declared that notwithstanding the
provisions of the Transfer of Property Act or any other enactment for the time
being in force in that behalf, Liquidator shall not be bound to disclose any defect
to the tenderer/ transferee. Any defect whether in land and or building or
otherwise in the said property whether or not Liquidator, Pune District Co-
operative Agriculture Rural Multipurpose Development Bank Ltd,
(PDCARDMD/LDB Pune) tenderer/ transfaree may be or may not be aware of
such defect and whether or not the tenderer/ transfaree could not with ordinary
care and diligence discover such defect.
5) All the terms and conditions of transfer of lease agreement between the
Krushi Utpann Bajar Samiti, Pune (APMC Pune) on one hand and PDCARMD
bank on the other hand will be binding on the tenderer for the period of 30
years.
6) The use of the plot will be restricted for the purpose i.e banking business for
which the said plot was originally allotted to the PDCARMD bank as per the
lease deed executed with the bank by the APMC Pune.
7) The tenderer/ transfaree is also required to pay all the taxes payable to Krushi
Utpanna Bajar Samiti Pune (APMC Pune) and to the local authority like Pune
Municipal Corporation or others.
8) a) Liquidator shall not be liable to answer any requisition in respect of which he
does not have any information, audited accounts or documents, etc. and the
Tenderer/ transfaree shall not be entitled to revoke the lease transfer or set off
any amount against the lease transfer price or reduce the amount of offer on
that or any other ground whatsoever.
b) No requisition or objection whatsoever shall be made or taken in respect of
title to the property or on account of any documents being unregistered,
unstamped or insufficiently stamped or on account of absence of any covenant
for production of deeds, etc. in respect of the documents to property or on
account of any covenant or production of the title deeds if defective or
insufficient.
9) The successful tenderer/ transfaree is also required to pay 2% of valuation price
of said property as Service Charges + GST to Synise Technologies Limited
towards marketing & e-Tendering services. This payment is over and above the
tender amount offered by the tenderer/ transferee.
10) The Schedule for payment is as under-
a) The interested tenderer for the lot i.e. said property shall submit
Rs.25,00,000/- in words (Rs. Twenty-Five Lacs only) as Earnest Money
Deposit (EMD) to the Liquidator. This amount is to be paid through net
banking. This amount will be adjusted against total lease transfer
consideration.
b) The successful Tenderer/ transferee shall make online payment of 25% (this
includes amount paid as EMD earlier) offer amount as security deposit within
10 days of finalization or acceptance of tender.
c) The successful Tenderer / transfaree shall make online payment of rest of the
offered amount (excluding amount paid as EMD & 25% security deposit)
within 30 days from day of acceptance of offer. The tenderer/ transfaree will,
however, have option to make the payment earlier than the stipulated time
period. The successful Tenderer/transfree is the person who has been
communicated as successful tenderer/transfree by the liquidator through
writen communication.
d) It shall solely be the discretion of the Liquidator Pune District Co-operative
Agriculture Rural Multipurpose Development Bank Ltd, (PDCARMD/LDB
Pune) to extend the period up to further 30 days for making above payment
subject to the tenderer agreeing to pay interest at the rate of 12% p.a. on the
balance consideration. In case of default and non-receipt of tender amount in
full as per agreed schedule, the entire amount including EMD paid by the
tenderer shall be forfeited forthwith without assigning any reasons therefore.
e) On the date of opening tender. Tenders will be opened only if there are three
or more participations. Otherwise entire procedure will be repeated with new
and fresh e-tender procedure.
11) On payment of the full E-TENDER price, required documents/ agreements
shall be executed at the cost of the transferee. Besides this, other cost like
stamp duty, registration charges, transfer charges, premium etc. Solicitor’s
charges and all other costs, charges and expenses in relation to the same shall
be borne by the transferee. The transferee shall also be solely responsible for
getting all the requisite licenses, permissions, approvals/ clearances,
registrations etc. for transfer the lease to be transferred in his name, at his own
cost. The said lease deed of 30 years shall be the executed by the APMC Pune in
favour of sucssesful tenderer.
12) Tenderer shall submit PAN number, TIN number & CGST/SGST number
whichever is applicable and Annexure-1 attached with auction document
(Affidavit to be given on Rs. 100/- non Judicial Stamp paper sworn before
Executive Magistrate/ public Notary)
13) The land with Building on lease is to be E-tendered is “As is where is and
what is basis”
14) The transferee has to pay applicable CGST/SGST as per the provisions of the
said Act.
15) The tender accepting authority has full right to accept or reject any or all the
tenders without assigning any reason thereto.
16) As per circular of The Hon Commissioner and Registrar, Co-operative Societies,
Maharashtra State, Pune-411 001 dated 27.09.2019, permission to enter
transfer of lease deed shall be granted by the Divisional Joint Register co.op.
society Pune Division.
17) In case of any dispute the same will be transferd to the Hon Commissioner and
Registrar, Co-operative Societies, Maharashtra State, Pune-411 001. The
decision of the Hon Commissioner and Registrar, Co-operative Societies,
Maharashtra State, Pune or the arbitrator appointed by him will be final and
binding on all the parties.

SPECIAL TERMS AND CONDITIONS FOR E-TENDER
1) EMD shall be payable online through net banking as per schedule mentioned in the e-
Tender Form/Advertisement released in the News paper /web portal.
2) The Tenderer have to obtain user ID and password from Synise Technologies
Limited free of cost and can also get training for e -Tendering if so desired. The
tenderer will have to change password so allotted to him.
3) The e-tendering process will take place through web portal https://eprocurement.synise.com.
on the date and time specified in the e-tender notice published in the news paper/ web
portal.
4) It shall be the responsibility of the Tenderer to inspect and satisfy themselves about the
value of the assets before submitting the Tender.
5) The payment of all statutory/ non statutory dues, taxes, rates, assessments, charges,
fees, premium etc. owing to anybody shall be the sole responsibility of successful
Tenderer only.
6) The tender once submitted cannot be cancelled/ withdrawn and the Tenderer shall be
bound to lease in the tendered assets at the final Tender price.
7) The conditional Tender will be treated as invalid.
8) Please note that after submission of the Tender no correspondence regarding any
change in Tender will be entertained.
9) After opening the Tenders, negotiations for increasing tender amount will be held with
the highest Tenderer and other Tenderers who have quoted 75% of the highest tender
amount as decided by e - tender Accepting Authority. The date time and place will be
communicated separately. The negotiations may be held under the chair of the
Liquidator.
10) The Tenderer who becomes qualified will get the opportunity for negotiations so as to
increase the Tender amount. After negotiations, highest Tenderer will be the Tenderer
whose proposal shall be sent to Divisional Joint Registrar Co-opercitive societies Pune
Division, Pune for approval and on such approval, the said Tenderer shall be declared
as successful tenderer.
11) The successful Tenderer shall deposit 25% of Tender price after adjusting the EMD
already paid, within 10 Days of the acceptance of offer to the liquidator failing which
the earnest money deposited by the Tenderer shall be forfeited. The balance 75% of the
Tender price is payable on or before 30 days of confirmation of the lease transfer by the
liquidator or such extended period as agreed upon in writing by and solely at the
discretions of the liquidator/Registrar. In case of failure to deposit the balance amount
within the prescribed period, the amount deposited by the defaulting Tenderer shall be
forfeited and the defaulting Tenderer shall neither have any claim on the subject
property nor on any part of the sum for which may it be subsequently Lease transfered.
12) After opening of the Tender, the EMD amount of the Tenderer who are not eligible for
negotiations will be refunded to them through RTGS/NEFT to their Bank Account, only
after completion of the Tender procedure.
13) After negotiations, the EMD amount of eligible Tenderers will be retained by the
Liquidator, Pune District Co-operative Agriculture Rural Multipurpose Development
Bank Ltd, (PDCARMD/LDB Pune). The amount of the remaining tenderers will be
refunded by the Liquidator within five days of the registration of lease deed with the
appropriate authority between the successful tenderer and the APMC wherein the
Liquidator will be the consenting party.
14) The Commissioner and Registrar, Co-operative Societies, Maharashtra State, Pune and
or Divisional Joint Registrar Co-opercitive societies Pune Division, Pune is empowered
to cancel the Tender process without assigning any reasons thereof at any time, before
declaring the successful Tenderer.
15) In case of any dispute the same will be transferd to the Hon Commissioner and
Registrar, Co-operative Societies, Maharashtra State, Pune-411 001. The decision of the
Hon Commissioner and Registrar, Co-operative Societies, Maharashtra State, Pune or
the arbitrator appointed by him will be final and binding on all the parties.
16) It will not be binding on Tender accepting authority to accept the highest Tender.
Likewise, in case, the Tenderer has mentioned some condition in the Tender, then such
Tender will be cancelled.

GENERAL TERMS AND CONDITIONS

web portal. Whereas the original Documents will have to be produced at the time
of opening of Tender.
10) The right to reject any or all Tender without assigning any reasons reserved by
the Tender accepting authority/ Liquidator.

1.1. All Tenderer are cautioned that tender containing any deviation from the Tender
terms and conditions, or other requirements and conditional Tender will be treated as
invalid. The Tenderer should clearly mention in written letter that his offer (in envelope
no. 2) does not contain any conditions, deviations from terms and conditions
stipulated in the Tender document.
1.2. Tenderer should have valid Digital Signature Certificate (DSC) obtained from any
certifying Authorities. In case of requirement of DSC, interested Tenderer may go to

Pre-requisites to participate in the e-Tender: -
1) Enrollment of Tenderers on Electronic tender system:
The Tenderer interested in participating in the above tender, using the electronic
tender systems shall be required to enroll on the electronic tender system after
obtaining the User ID and Password from The Synise Techonologies Ltd.
The Tenderer may obtain the necessary information on the process of enrollment
either from help desk support team or may visit the information published under the
link Enroll under the section e-tender Toolkit for Tenderer on the Home page of the
electronic Tender system.
Procurement of Digital Signature Certificate: (DSC)
The digital signature certificate is issued by an approved certifying authority by
the Controller of certifying Authorities of Government of India through their authorized
representatives upon receipt of required documents to obtain a Digital signiture
Certificate.
2) Download of Tender documents from https://eprocurement.synise.com.
Submission of Tender will be preceded by online Tender preparation and
submission of the digitally signed Tender Hashes (Seals) within the tender time
schedule (Key dates) published in the Detailed Notice inviting Tender.
Notes:
The Tenderer can upload a single document or compressed file containing
multiple documents against each uploaded option.
3) Close for Tender
The Tender data and documents of only those Tenderer who have submitted
their Tender within the stipulated time (as per Tender Time Schedule), will be
considered for opening. A Tenderer who has not submitted his Tender documents
within the stipulated time will not be considered.
4) Short listing of Tenderer for Financial Tender Process:
The Authority will first open the Technical Tender documents of all Tenderer and
after scrutinizing these documents will shortlist the Tenderer who are eligible for
Financal Tender process. The shortlisted Tenderers will be intimated through e-Mail.
5) Opening of the Financial Tender:
The Tenderer may remain present in the office of the Tender Opening Authority
at the time of evaluation of Financial Tender. However, the result of the Financial
Tender of all Tenderer shall be available on the e-tender portal immediately after
completion of evaluation process.
At the sole discretion of the Tender Authority, the time schedule of the auction
stages may be extended or modified.
Tender filing procedure.
Envelope No. 1: (Documents Required)
The Tenderer must download the Tender documents after making necessary
online payment.
1) Banking licence issued by the RBI. To prove that the tenderer is a Bank
2) ‘Envelope No. 1’ shall contain the following documents.
i) Scanned original receipt of Tender fee paid through RTGS/NEFT.
ii) Scanned original receipt of EMD paid through RTGS/NEFT.
iii) Downloaded e-tender document should be uploaded duly signed by
authorized person.
3) Scanned original registration certificate of valid CGST/SGST.
4) Scanned original affidavit regarding completeness, correctness and truthfulness
of document submitted on Rs. 100/- stamp paper as per prescribed proforma
given in Annexure-I sworn before Executive Magistrate/ Notary.
5) Scanned from original Professional Tax Clearance certificate (up to Date)
6) Original of an up-loaded scanned documents are to be shown at the time
opening.
7) Scanned original of Access to or availability of Credit facilities (Bank certificate
and given format).
8) Tenderer must be RBI approved Bank & documentary evidence to be attached
while uploading the tender.

OPENING OF TENDER
On the date specified in the Tender Schedule, following procedure will be
adopted for opening of the Tender.
Envelope No. 1 (Documents)
First of all, Envelope 1 of Tender will be opened online to verify its contents as
per requirements. If the various documents contained in this envelope do not meet the
requirements of the Department, a note will be recorded accordingly by the auction
opening authority and the said Tenderer.
The decision of the Tender opening authority in this regard will be final and
binding on the Tenderer.
(Financial Bid)
Only those Tenderer will be allowed to participate for online financial Tender
whose contents of envelope 1 are found to be acceptable to the Tender opening
authority and the bidding process will be completed as per procedure.
1. The Tender accepting authority has full right to accept or reject any or all the
Tender without assigning any reason.
2. Pune District Co-operative Agriculture Rural Multipurpose Development Bank Ltd,
(PDCARMD/LDB Pune) is a Cooperative Bank Registered under M.C.S. Act, 1960. The
said Bank was taken under liquidation vide order dated _27.11.2017_. As the said
Bank is the under liquidation the Tender finalization process is to be made final by the
liquidator only after approval from the Registrar of the Bank or Government of
Maharashtra (As applicable)
3. Only after the approval from the concerned authority, the liquidator will finalise the
Tenderer process.
