Don Rogers is a Senior Real Estate Executive who has developed expertise in Retail Leasing, Acquisition, Market Evaluation, Strategic Planning, Negotiations, Lease Negotiations, Lease Documentation, Property Management, Tax Negotiation, and Construction Management.

Don is a problem solver and always provides credible solutions to any issues.

His career with Hudson’s Bay Company spanned 36 years where he was a driving force for growth, acquisition, disposal and strategic planning.

At the peak, his responsibilities covered 55 million square feet of retail stores, distribution centres, and offices in either owned or leased locations. About 750 locations were controlled by long term leases.

Led:

The acquisition of Zellers in 1979 (site evaluation, sales projections, lease analysis and recommendations for

expansion/contraction/retention/disposal and competition board approvals)

The acquisition of Simpsons 1979 ( site evaluation, sales projections, lease analysis, competition bureau approvals and

recommendations for strategy and integration).

Acquisition of Towers 1991 (acquired stores from Oshawa Group and integrated with Zellers/Bay network of stores)

Acquisition of Woodwards 1993 ( Woodwards was in CCAA and worked through a “Plan” for restructuring between the Bay and

Zellers which diffused potential US competition).

Disposition of Simpson’s surplus stores to Sears (closed Simpsons and integrated most stores to the Bay with a sale of 7 net assets

to Sears for significant profit)

Acquisition of Kmart Canada 1998 (bought Kmart Canada which added 122 stores. Disposed of 62 stores at a profit and assimilated

balance into the Zellers network.)

Expansion of La Maison Simons Inc. by developing a strategy to grow the Company beyond Quebec into other parts of Canada with

the first store opening in 2013 in West Edmonton Mall. Subsequent stores have been negotiated for other locations: B.C. (1), Alberta

(2), Ontario (4) and Quebec(1). Other store opportunities are being pursued as far out as 2019 and 2020.

Led the development & expansion of Northgate Shopping Center, North Bay, Ontario, a regional shopping centre of 500,000 sf, value $80 Million; managed capital budget of $50 Million. Negotiated major leases including Sears and Wal-Mart; and oversaw asset management during and after the expansion, including renovations to existing common area and shops while they continued to operate. Managed $10 Million annual operating budget; assisted sale and transition year to Morguard Investments on behalf of Healthcare of Ontario Pension Plan.

Led the development and operation of two hotel-anchored hospitality centres in North Bay and Sudbury Ontario containing hotels, food and beverage shops and gasoline outlets, total of 60,000 sf each.

Led the delivery and operational planning on behalf of SIEMCO, for Wongtee Plaza, a 1,500,000 sf regional lifestyle shopping centre in the CBD of Shenzhen, China.

Directed organizational set up and provided Jing Dian Development Co. of Kunming, China, with preliminary Master Planning, Retail

Strategy and Financial Analysis, Leasing, Marketing and Operational Management set up for the Twin Cities Mixed Use Project containing 19,800,000 sf of retail, office, hospitality and residential development.

Conducted a Retail & Leisure feasibility study on behalf of Sahara Star for Amby Valley, a new private city of 10,000 Hectares in Maharashtra State, India.

Developed Online to Offline marketing strategy on behalf of Paragon Partners for Happy Valley regional Lifestyle shopping centre of 1,700,000 sm in Guangzhou, China.

Led the development of a major retail hospitality mixed use project at Yas Island, Abu Dhabi, UAE comprised of: • Super-regional shopping centre of 3,300,000 sf with 500 stores (master plan, infrastructure & car parks delivered, retail due to open

in 2014) • Ferrari World theme park, largest indoor park in the world, of 2,000,000 sf (delivered and open) • Warner Brothers theme park of 1,000,000 sf (master plan completed & WB license agreed) • 16 hectare water park. (master plan and final design, since opened) Consulted for the development of a $1 Billion new hospital in North Bay, Ontario with the responsibility of identifying and planning all

non-medical revenue producing initiatives for the facility. Produced a complete feasibility study, which was accepted by the Board and implemented by Hospital staff.

Consulted for Equus Development Corporation, Scottsdale, Arizona, feasibility evaluation for a 1,000,000 sf mixed use commercial, hospitality and residential development in Phoenix, Arizona. Project proceeded on the basis of the recommendations provided.

Thirty Five Years of Achievement

Knowledgeable about international retail markets and well connected

with global clients, Phil led a team of seasoned international property

consultants for Middle Eastern, Indian, Chinese and offshore developers

and retailers while based in Abu Dhabi, UAE and Hong Kong, China.

Bill Ross is a senior corporate lawyer with one of Canada’s leading law firms,

WeirFoulds LLP, and represents international public corporations, entrepreneurially-

owned private businesses and not-for-profit corporations.

Bill has a diverse practice in corporate, commercial and not-for-profit law and has had

experience in virtually all areas of those practices. His areas of practice include

corporate governance, franchising, licencing, acquisitions and mergers, corporate

financing, corporate restructuring, securities, competition, charities (with particular

emphasis on health care entities), employment (including contracts, benefits, pensions

and compensation plans), libel, and intellectual property.

He has been a director of several major corporations. Among his current directorships

are Canada Development Investment Corporation (Chairman) and Canada Hibernia

Holding Corporation (Chairman).

One of his many notable international roles was his representation of Whitbread

Breweries in its acquisition of Keg Restaurants and he subsequently served on the
