Generally ownership, and voting rights,are proportional to the amount of capitalinvested.

Profit and Loss sharing ratio?

MANAGEMENT

All Partners have authority to bind thepartnership into agreements, unless thepartnership contract stipulates otherwise.

It's important to lay out what types ofdecisions a partner may make unilaterally,and which ones require a vote.

Laying out the signing authority for anybank accounts is another critical element.

LIQUIDATION

Partnerships may automatically dissolve ifa partner dies without an agreementlaying out an alternate course.
