The Spring Conference committee is pleased to invite you to the TMA 2004 Spring Conference at Four Seasons Resort and Club at Las Colinas (Dallas), Texas. A world-class golf course, coupled with the exquisite amenities of the Four Seasons, should add to the enjoyment of participating in this Texas-style “round-up” on major corporate renewal issues. We have also arranged for three business executives from different industries to share their insights on leading

their companies during a transitioning economic environment. I’m confident you will find the conference educational, entertaining and, of course, a productive networking event.

The opening session on Friday highlights leaders in the distressed debt market and their unique perspective on how they maximize returns on investment. The panel will also share how the distressed market has evolved recently and offer a forecast for the future. The next session will examine the fast changing retail environment. This panel includes industry leaders such as a lender, consultant and appraiser who influence retail financing and an executive from a major retailer. Our third panel reviews the challenges and opportunities of working on distressed mergers and acquisitions. The dynamics of companies preparing and submitting a plan of reorganization (i.e., POR) in today’s market will be reviewed during our final panel session on Saturday morning. Discussing pivotal issues surrounding POR’s will be experts from the legal, consulting and lending communities. Wilbur L. Ross Jr., a leader in investing and fixing distressed business and TMA board member, will review the current trends in the distressed debt securities marketplace during lunch on Friday. The keynote speaker during dinner on Friday will be Daniel P. Garton, executive vice president of American Airlines, who worked on the delicate negotiations with the company’s union during American’s liquidity crisis in 2003. On Saturday morning, Robert J. DiNicola, Chairman of Zale Corporation, will describe the successful turnaround of this national jewelry brand. Of course, I couldn’t conclude this letter without mentioning the golf tournament. The always-popular shotgun golf tournament will be held on the TPC Course at the Four Seasons, which combines beautiful Texas scenery with some very treacherous greens and bunkers. As an added bonus, renowned golf pro Hank Haney will join us for the day, conducting a clinic and playing a hole with each foursome. Or, you may choose to participate in the tennis tournament being held at the Four Seasons Tennis Center, ranked among the top 50 tennis resorts in America by Tennis Magazine 2002.

Wilbur L. Ross Jr. has been involved in the restructuring of more than $200 billion (USD) of defaulted companies’ assets worldwide. In 1998, Fortune Magazine called him “King of Bankruptcy.” In this informative session, Ross will discuss the current trends in the distressed debt securities marketplace and share the lessons he’s learned throughout the last cycle.

For 26 years preceding March 2000, Wilbur Ross was executive managing director of Rothschild Inc. In April 2000, he purchased the firm’s distressed investment activities, formed WL Ross & Co. LLC and opened offices in New York City, Tokyo and Seoul. Since then, WL Ross has created private investment and hedge funds totaling more than $2 billion (USD). In April 2002, Ross organized International Steel Group (ISG) to acquire LTV Corp.’s assets. He is now its board chairman. Later in 2002, ISG acquired the steelmaking assets of Acme Steel Corp., and in April 2003, arranged a $1 billion borrowing and acquired bankrupt Bethlehem Steel Corp. to become the nation’s largest integrated steel provider.

American Airlines came within minutes of bankruptcy in 2003. A joint effort of organized labor, employees, management, creditors and vendors prevented that from occurring. American Airlines broke even in the third quarter of 2003 and has begun to rebuild its financial foundation. Daniel P. Garton tells this continuing story of recovery.

Daniel P. Garton was named American Airlines’ executive vice president—marketing

in September 2002. Garton is responsible for Reservations, Flight Service, Sales, the AAdvantage ® travel awards program, Advertising and Corporate Communications. He previously was American’s executive vice president—customer services, overseeing the airline’s customer service and airport operations throughout the United States, Europe, Asia, Canada and Latin America. Garton was also president of American Eagle Airlines for three years, engineering the airline’s transition from four separate carriers to one and introducing American Eagle to the jet age with the acquisition of its first jet aircraft.

In the early 1990s, Zale Corporation was in desperate straits. The business was foundering, the company was in Chapter 11, and no one believed that survival was possible. Robert J. DiNicola and his turnaround team breathed new life into the company by focusing on customers and returning Zale to its basic principles. In this session, Bob DiNicola tells the story and shares the lessons he learned during the successful turnaround of Zale Corporation.

Bob DiNicola is a 32-year veteran of the retail industry. He presently serves as chairman of the board of Zale Corporation, and from 1994 through 2000, was chairman and CEO of the company. At Zale, DiNicola took on the challenge of comprehensively rebuilding a badly broken business, starting with revamping the merchandising, marketing and store operations; then overhauling the company’s financial, credit, real estate and information processes; and finally reorganizing Zale’s portfolio of businesses. Before joining Zale, DiNicola was associated with Federated/Macy Department Stores, where he held numerous executive positions in buying, merchandising and store operations across the country.

The Four Seasons tennis center features four climate-controlled indoor hard courts (on which TMA’s tournament will be held) and eight outdoor hard courts. Several major professional events, charity tournaments and exhibitions have been held in the resort’s 3,000-seat stadium tennis court.

The Four Seasons Resort and Club at Las Colinas is located minutes from downtown Dallas. Surrounded by 400 rolling acres of North Texas hills, the resort offers polished interiors and the highest level of service. Features of the resort include: The TPC golf course, an award

winning facility that is home to the EDS Byron Nelson Championship, a PGA TOUR event.

In 1839, John Neely Bryan, a lawyer from Tennessee with a taste for adventure, laid claim to 640 acres of what is now Dallas and sketched out a town, designating a courthouse square and 20 streets. In 1907, fashion and elegant living were redefined with the opening of the first Neiman Marcus department store. When oil was struck in 1930, the city became the center of all oil activity. Dallas continued to build a name for itself with entrepreneurs like Ross Perot and Mary Kay Ash, a winning Cowboys football team, and the 1973 opening of the giant Dallas-Ft. Worth Airport.

By the end of the 1980’s, Fortune Magazine named Dallas/Ft. Worth the number one business center in the land. Today, Dallas is the top visitor destination in Texas and the Southwest’s leading business and financial center. The Dallas/Ft. Worth area is a major center for entertainment and cultural pursuits. General Informat ion

RegistrationFeesUnless otherwise indicated, registration fees include educational sessions, meals and social functions. All registered attendees will receive a name badge at the conference that must be worn for admittance into all sessions, meals and social functions. The member registration fee is for current, active TMA members only. Please note that TMA membership is on an individual basis. For the judge/full-time academic/government employee rate, a full-time academic is defined as a student enrolled for at least 12 credit hours per term at an accredited university or an instructor employed on a full-time basis by an accredited university.

Registration forms must be mailed or faxed to TMA. Phone registration is not accepted. Registrations are not considered complete until payment is received. Individuals who register at the early rate but fail to provide payment before the February 6, 2004, deadline will be charged the regular registration fee. On-site registration for all registrants except spouses/guests will be subject to an additional $100 fee (added to the post-February 6 rates). This additional fee does not apply to educational sessions that require an additional fee or recreational activities. Registration fees are indicated on the registration form in this brochure.

To ensure your listing on the registration list that is distributed on-site, registration forms must be received by 5:00 p.m. Central on Monday, March 1. TMA cannot guarantee that individuals who submit registration forms after this date will be included on the registration list.

Registered attendees will receive written confirmation of their registration by mail. Please carefully review this confirmation notice for accuracy. Changes must be submitted in writing by fax to 1-312-578-8336 or e-mail to Catherine Cram at [email protected]. If you do not receive a confirmation notice within three weeks of sending your registration, please contact Catherine Cram at 1-312-242-6036.

Spouse/GuestRegistrationSpouse/guest registration fees are for family members, friends and/or non-industry related individuals. TMA members are not eligible for this registration fee. Spouse/guest registration fees include entrance to all meals and social functions. Spouses/guests will receive a name badge at the conference that must be worn for admittance into all meal

and social events. Meals and social functions are not available on a pro-rated basis.

HotelInformationTo reserve a room at the Four Seasons Resort and Club at Las Colinas, call 1-972-717-0700. Mention TMA to receive the specially negotiated room rates of $240/night superior room, $270/night deluxe room and $300/night villa. These rates are only guaranteed through Friday, February 6, 2004. TMA cannot guarantee that the room block or hotel will not sell out before then. Please make your reservation soon. The Four Seasons Resort and Club at Las Colinas is located at 4150 North MacArthur Boulevard, Irving, Texas, 75038. The guest fax number is 1-972-717-2550.

TMA requires that a conference registration form (including payment) be received within ten business days of making a hotel reservation. TMA reserves the right to terminate the hotel reservation of any individual who does not comply with this policy.

DrinkTicketsEach registered attendee (including guests) of the 2004 Spring Conference will receive four complimentary drink tickets in their registration materials. These tickets may be used at the cocktail receptions on Thursday and Friday nights (excluding the Professional Women’s Networking Group Reception, which will have an open bar). The tickets are for alcoholic beverages only (beer, wine, and liquor). Soft drinks, juices and water are available at no charge.

The bars at the Thursday and Friday night receptions will not accept cash. Additional drink tickets may be purchased at the TMA registration desk for $25 per book of four tickets.

Attire Educational Sessions and Social

Functions: Casual (cotton pants, polo-type shirts, slacks, skirts)

Golf: Proper golf attire is required, including collared shirts, slacks or Bermuda length shorts, and spikeless golf shoes. Metal spike alternative shoes (i.e., SoftSpikes, Black Widows, Champ, Q-lok) or tennis shoes are permitted.

GroundTransportationThe Four Seasons Resort and Club at Las Colinas is located approximately 15-20 minutes from Dallas/Ft. Worth (DFW) International Airport (assuming light traffic).

Taxicab ServiceTaxicab service is available on the upper level of each terminal of DFW Airport. Taxicab fare is approximately $25 each way (on a metered mile), and there are fees for additional passengers.

Shuttle Service SuperShuttle offers transportation to and from DFW Airport for $16/each way per passenger. Shuttles are located on the upper level of DFW Airport. Total travel time once the shuttle departs is approximately 45 minutes. Reservations are not necessary going to the Four Seasons but are necessary for the return trip to the airport. Contact SuperShuttle by calling 1-972-615-3005.

Car ServiceCarey Limousine offers private car service between DFW Airport and the Four Seasons Resort and Club at Las Colinas for $66.33/each way (for a Town car). You may make arrangements by calling the Four Seasons Resort and Club at Las Colinas at 1-972-717-0700 and asking for the concierge.

Driving From Dallas/Ft. Worth International AirportTake the north exit out of the airport to Highway 114 heading east. Follow the highway to MacArthur Boulevard. Exit at MacArthur Boulevard and turn right. The Four Seasons is about two miles on your left.

ParkingValet parking at the Four Seasons Resort and Club at Las Colinas is $13/overnight and $5/day, both with unlimited in/out service. Complimentary self-parking is available on a first-come, first-served basis.

Car RentalIf you plan to rent a car, please note that TMA members may receive as much as ten percent off regular car rental rates from Avis. For more information, call Avis at (800) 331-1212. Individuals calling from outside the United States may find the appropriate phone number for the country from which they are calling by visiting www.avis.com and selecting Customer Service/Worldwide Phone Numbers. Mention identification number V368995 to the telephone agent to take advantage of this discount.

Notification of cancellation must be submitted in writing (e-mail is acceptable). Cancellations will not be reviewed or processed until they are received in writing. Phone cancellations are not accepted.

Cancellations received on or before Wednesday, February 25, 2004, will be refunded as follows: Entire Conference Cancellation:

Attendee will receive a refund for the total cost of conference registration and additional registered events (if applicable) less a $150 processing fee. If the cancellation also includes cancellation of a spouse/guest and events that s/he registered for, the refund will be for the total of all registrations less the $150 processing fee.

Individual Spouse/Guest Cancellation: Attendee will receive a refund for the total cost of spouse/guest registration and any additional events that their spouse/guest registered for (i.e., tennis tournament) less a $100 processing fee.

Individual Event(s) with Registration Fees of $100 of more: Attendee will receive a refund less a $50 processing fee. If the attendee registered for more than one event meeting these price guidelines or if the combined price of two or more cancelled events meet these price guidelines, the refund will be for the total amount of the events less a $50 processing fee.

Individual Event(s) with Registration Fees of less than $100: Attendee will receive a refund less a $25 processing fee.

Golf Tournament: Attendees canceling their entire conference registration, including participation in the golf tournament, will receive a refund for the total amount paid less a $150 processing fee. Attendees canceling their participation in the golf tournament, but still attending the conference, will receive a refund for the golf tournament less a $50 processing fee. TMA maintains a waiting list for the golf tournament. As a consideration to those who are on the waiting list, please let TMA know as soon as possible if you are unable to participate in the tournament. Following the conference, TMA will issue a full refund to those on the waiting list who were unable to be accommodated in the tournament.

Tennis Tournament: Attendees canceling their entire conference registration, including participation

in the tennis tournament, will receive a refund for the total amount paid less a $150 processing fee. Attendees canceling their participation in the tennis tournament, but still attending the conference, will receive a refund for the tennis tournament less a $25 processing fee. TMA maintains a waiting list for this event. As a consideration to those who are on the waiting list, please let TMA know as soon as possible if you are unable to participate in the tournament. Following the conference, TMA will issue a full refund to those on the waiting list who were unable to be accommodated in the tournament.

Cancellations received after Wednesday, February 25, 2004, will not be refunded. This includes the entire conference registration and individual event(s) fees. Individual events will not be refunded regardless of whether or not the individual still plans on attending the entire conference. TMA does not issue credits for future conferences.

Cancellation of the golf and/or tennis tournament after the Wednesday, February 25, 2004, deadline will be treated as follows. You may send a substitute player from your firm who is currently registered for the 2004 Spring Conference or who sends in a registration form with payment along with the substitution notice. A refund, less a $50 processing fee for golf and/or $25 processing fee for tennis, will be issued only if the person canceling the golf and/or tennis tournament cannot make a substitution and TMA is maintaining a waiting list from which it may fill the cancelled space. Otherwise, no refunds will be given.

SubstitutionPolicySubstitutions are permitted at any time. Substitutions must be submitted in writing (e-mail is acceptable). Substitutions will not be reviewed or processed until they are received in writing. If the person substituting has a different address, phone number, fax number or e-mail address than the original registrant, please provide that information in the substitution notice. Phone substitutions are not accepted. Entire Conference Substitution:

Substitution must be of the same membership status. Substitutions for an individual of different membership status will be invoiced for the registration fee difference. Substitution of an entire conference registration

also includes any additional educational events or recreational activities included on the original registration. If the person substituting does not wish to attend one or more of these events, refunds will be issued in accordance with the cancellation policies previously highlighted or the substitution policy below may be implemented.

Individual Event(s) Substitution: Substitutions are allowed for individual events provided that the substitute is a member of the same firm as the original registrant and is a registered attendee of the 2004 Spring Conference.

Registrants who fail to attend the conference and do not notify TMA in accordance with these policies and deadlines are responsible for full payment.
