E-AUCTION FOR SALE OF UNIT NO.1 & 2 TPS, PARLI VAIJNATH Scope : Maharashtra State Power Generation Company Limited (MAHAGENCO) is incorporated as Limited Company under the Company Act-1956. It has combined power generation capacity of 1130 MW at Parli Vaijnath, Dist: Beed (Maharashtra State) which is situated approx. 480 km from Mumbai. The Generation from unit 1 & 2 of 30 MW each capacity has been stopped due to retirement of the unit since December 2010.

By this document MAHAGENCO invites competitive offers for disposal sale of Unit 1&2 basically comprising items listed at Annexure II of the document.

Brief Description of Lots.

Lot No. 1 – Combined unit No. 1 & 2 with plant and auxiliaries as per list at Annexure II

The list furnished is for one unit of 30 MW and both units are identical.

Note:

1 All underground cables and underground piping are excluded from sale.

2 Digging and use of explosives not allowed.

3 The plant & machinery listed at Annexure II is on disposal sale on “As is Where is Basis” & “As is Available Basis”

4 Only the listed plant & machinery is only available for disposal sale & other units are not to be Disturbed/damaged/accessed by the successful buyer.

5 Land is not available for sale.

6 Civil structure alongwith MS Beam, Channels for Turbine Generator are excluded from the sale. However, steel structure from Boiler side is included in the sale.

Brief Technical Details of Plant.

Unit 1& 2 - 30 MW Power plant was established in the year 1971. Due to operational life of more than 39 years, the company decided to discard the Unit 1&2 and therefore, both units were closed in December 2010 [i.e. last date of operation of the Power Plant]. The turbine & generator set had been supplied by Siemens and the detailed list is available at Annexure II of this tender document.

ANNEXURE - I CONDITIONS OF E-AUCTION SALE

1 Two units of 30 MW Coal based Power Plant along with associated equipment of Maharashtra State Power Generation Co. Ltd. (MAHAGENCO/ MSPGCL as abbrivation), Parli Thermal Power Station is available for sale. The buyer may inspect this unit, if desired, in prevailing condition.

2 The material as per the list declared on the website shall be disposed off by way of e-auction.

3 The power plant unit and all other material shall be disposed off on “as is where is” basis. The materials shall be taken from the site of installation or storage with the faults and errors in description or otherwise, quality, capacity, measurements, etc. The particulars as stated in the specifications and drawing are only for guidance. The set and all other material shall be sold on the assumption that the purchaser / buyer has inspected the same even if in actuality he or his representatives may not have inspected the same. No other associated materials than mentioned in this document specification shall be sold even if it may be desirable to be disposed off to make the entire plant reworkable at a new site.

4 The prospective bidders may inspect the unit / material offered for e-auction sale from 29.02.2012 to 19.03.2012 prior to the actual date of e-auction sale during working hours, at the site where the material is located. The bidders shall satisfy themselves about condition, quality, quantity, measurement etc. of the unit / spares which they intend to purchase. No complaints shall be entertained regarding description, quantity, quality, size, measurement, number and weight of the unit / spares as the information given in the annexure is approximate and no warranty or guarantee shall be implied. unit and spares shall be sold on “AS IS WHERE IS BASIS” and on the assumption that the bidders have inspected the unit / spares and know what they are buying, irrespective of whether the bidders have inspected the unit / spares prior to e-auction sale or not; the principal of “CAVEAT EMPTOR” shall apply. Error in the description/ quantity/ quality/ measurement/ utility/ number/ weight/ condition etc. of the material as given in the catalogue/ list published on the Auctioneer’s website shall not form a cause to the bidder to complain or to avoid completed sale or bid.

5 For participation in the e-auction, the prospective bidders shall register themselves with the Auctioneer’s website. Only registered bidders can participate in the e-auction by paying Rs. 25000/- (Non Refundable) as registration fee. This registration fees should be paid by D.D. bearing Maharashtra State Power Generation Co. Ltd., payable at Parli-Vaijanath / Mumbai.

The firms / bidders must deposit Rs.30.00 Lakhs as Earnest Money by Demand Draft drawn on any Nationalised Bank in Parli-Vaijanath / Mumbai in favour of the Maharashtra State Power Generation Co.Ltd. If, the successful bidder desires, the EMD will be adjusted in Security Deposit and for the unsuccessful bidders EMD will be returned immediately by Auctioneer.

6 On completion of e-auction proceedings & after receipt of e-auction statement from the Auctioneer, the MSPGCL auction committee shall take decision in respect of acceptance or rejection of bids. Such decision shall be binding on the bidders as well as the Auctioneer. MSPGCL shall not be bound to assign any reason for such acceptance or rejection of bids.

7 As per the recommendations of the auction committee and approval from Board of Directors, MAHAGECNO, the concerned Chief Engineer (O&M) shall issue Sale Intimation Letter & sale order to the successful bidder under intimation to the Auctioneers.

8 If the bidder is declared successful in the e-auction, the Auctioneer shall immediately hand over the EMD to the Chief Engineer (O&M). The amount of EMD can be adjusted against the payment

towards security deposit if the bidder desires so. However, EMD of the unsuccessful bidders in the e-auction shall be refunded immediately by the Auctioneer.

9 The successful bidders shall have to pay Rs.75 Lakhs as security deposit by DD/RTGS/BG of Nationalised Bank to the Chief Engineer (O&M) within 7 calendar days from the date of sale intimation letter.

10 The successful bidder shall furnish declaration in the following proforma to MSPGCL immediately after receipt of Sale Intimation Letter.

“ I/ We ______________________________________________________________ hereby declare that I/ We have purchased the lot (Unit No.1 & 2 combined) at ____Parli__________ (location of material) for Rs.____________ (Rupees_________________________________) in the e-auction held on _____________ (Date). I/ We agree to complete the transaction of purchase in terms and conditions prescribed for the e-auction within the respective periods stipulated therein for carrying out our obligations.

SIGNATURE OF THE PURCHASER” 11 If the Security Deposit is not paid within the specified period, MAHAGENCO at its option may extend

the time for payment of Security Deposit or forfeit the Earnest Money Deposit paid and to treat the acceptance of the offer as cancelled and further course of action as deemed fit.

12 On receipt of security deposit from the successful bidder / buyer within the stipulated period, the Chief Engineer (O&M) shall issue Sale Order to the buyer under intimation to the Auctioneer immediately. The buyer shall have to pay the full payment (along with statutory taxes & duties and corresponding declarations, if applicable) as per terms of payment. The Security Deposit will be refunded after completion of contract.

13 TERMS OF PAYMENT:-

“100% payment within 30 calendar days from date of sale order.

14. SECURITY DEPOSIT:- In addition to above 100% payment, Rs. 75.00 Lakhs Security Deposit is to be taken on account of safety of MAHAGENCO’s property during the execution of order. The S.D. will be refunded after completion of order. No interest shall be paid by MAHAGENCO for the SD during the validity period of 18 months.

MAHAGENCO shall handover the plant & equipment for dismantling / delivery only after it receives 100% payment and only there after delivery will be effected.

If the payment of S.D. is made by Bank Guarantee in favour of Maharashtra State Power Generation Company Limited, as per the company approved format and valid for 18 months from date of issue.

15. PENALTY FOR DELAY IN PAYMENT:-

If the purchaser fails to make full payment of the purchase value by the stipulated date, the purchaser shall have to make a payment of penalty at the rate of 0.1% (decimal one percent) of the balance purchase value per day of default up to 30 days.

16. FAILURE TO MAKE PAYMENT:-

In case of failure to pay total amount within specified period, unless the period is extended by the competent authority of MAHAGENCO viz Managing Director, the sale order of such item shall be cancelled and no claim, their after shall be entertained .

Security deposit paid shall be forfeited and the units shall be resold as and when MAHAGENCO thinks best.

17. DELIVERY PERIOD:-

After making the payment within the prescribed period the material shall be removed as under:-

The delivery period for above units and spares will be 365 calendar days from the date of sale order.

18. On receipt of full payments (along with statutory taxes & duties and corresponding declarations, if applicable) from the buyers the Chief Engineer (O&M) shall issue receipts to the buyers. On production of receipts for all the payments made by him against the particular lot, the Chief Engineer (O&M) shall arrange Delivery Order & Gate Pass to the buyer under intimation to the auctioneer immediately.

19. The deliveries shall be made on “as is where is” basis.

20. The buyer shall produce the authorization/ identification letter issued by the Auctioneer while depositing amounts of security deposits, balance payments and also while lifting the concerned lot / unit / spares.

21. After effecting full payment, if the buyer fails to take delivery of material within the stipulated period of 365 calendar days (or as stipulated otherwise), the buyer shall be treated as defaulter and shall have no claim over the lot thereafter. The Chief Engineer (O&M) shall cancel/ terminate the sale order and delivery order issued to him and shall forfeit the amount of security deposit and payment paid by him, under intimation to him and the auctioneer. However, if the Managing Director, MAHAGENCO approves the delivery of material after 365 days from the date of e-Auction, the GRC at the rate of Rs.50,000/- per day limited to 90 days will be charged.

22. However, the Managing Director shall be Competent Authority to extend the period for effecting payment or for extending delivery period if the bidders have valid grounds or reasons thereof.

23. If the last day of the stipulated dates for payments/ deliveries happen to be a holiday, the payments/ deliveries shall be allowed on the next working day.

24. On submission of copy of the Delivery Order & Gate Pass, the Chief Engineer (O&M) shall issue Tax Invoices to the buyers.

25. The Chief Engineer (O&M) shall deposit the amounts collected from the buyers towards statutory taxes & duties to the respective authorities.

26. The delivery will be made only during the working hours on working days after giving advance intimation to the concerned site Engineer. The purchaser will make his own arrangement for dismantling, conserving, packing, loading, unloading and transporting of individual packages. Accommodation will be provided subject to availability for one/two purchaser’s Engineers/Supervisors only on chargeable basis. The purchaser will not be entitled to claim any facility or assistance from the MAHAGENCO except.

(a) Space for storage within the MAHAGENCO premises, but not outside the Power Station premises.

(b) Open land for camping. (c) Single phase Electricity supply at two or three points for lighting. Electricity supply to the

purchaser’s welding transformer shall be provided at the plant operating floor level. Electricity power shall be supplied free of cost.

(d) Water will be supplied free of charges by providing one water tap point. The facility at (a), (b), (c) & (d) above will be free of cost. The purchaser may make use of the MAHAGENCO’s roads and approaches etc.

27. Statutory Taxes & Duties:

The buyer shall be responsible to pay all the statutory taxes & duties at prevailing rate as declared by the respective State/ Central Government Authorities due in respect of this sale. If the buyer claims exemption/ concession is the statutory taxes, he shall furnish the necessary declaration in that respect. The buyer shall have to pay the Sales tax/VAT on sale price for the purchased lot. The rate of applicable taxes & duties shall be indicated against individual lot in the list displayed on the e-

auction site. However, statutory taxes & duties shall be paid by the buyer at the rates applicable at the time of delivery. At present applicable VAT for sale of units is 12.5%.

28. Receipt Towards Payment Mode :

For all the payments received from successful bidders/ buyers, the Chief Engineer (O&M) shall issue formal receipts to them. The buyers shall produce these receipts for verification as and when called upon to do so. In case of the payments made by demand drafts / RTGS, the receipts will be issued to the buyer after realization of the same.

In case the successful bidder/ buyer makes the payment by Demand Draft on last day of stipulated period, the time taken for realization of Demand Draft will be considered and condoned by MSPGCL and no penalty for that period, will be levied on the buyer.

29. Conditions Of Delivery :

Loading and delivery will be permitted only during working hours of the respective Thermal Power Station.

The buyer shall remove the material corresponding to the lot purchased from the site of storage within the stipulated period as specified in the Sale Order. The buyer shall make his own arrangement for cutting/ loading/ transport. The buyer shall not be entitled to claim any facilities/ assistance/ transport from MSPGCL.

If the buyer wish to take delivery of the items purchased through his representative, he shall authorize his representative by a “Letter of Authority” which shall be presented to the Chief Engineer (O&M).

Delivery of respective lot shall be deemed to have completed only after issue of “No Objection/ No Due/ Completion Certificate” from the Chief Engineer (O&M).

30. In the event of any material being found to be deficient in quantity, quality, size, measurement, number and weight or description from those stated in the list published on the website, the buyer shall have no claim against MSPGCL or the Auctioneer nor shall the purchaser be entitled to seek any annulment of sale or claim for loss of profit, interest, damage or any other ground and he shall be bound to remove the same from the site as good purchased by him.

31. The buyer shall be responsible for any damages that may be cause to the premises of MSPGCL while dismantling, storage or removal of the lot(s) purchased by him and before removing such lots or items from MSPGCL premises, the buyer shall be liable to pay the amount of damages assessed by MSPGCL in this regard.

32. The buyers shall abide by and will be responsible to follow all the Labour Laws in respect of persons engaged by them. MSPGCL shall not be responsible for any claims raised by their personnel in respect of the e-auctions. The safety statutory measure shall be applicable during entire contract period.

33. Sale Orders and Delivery Challans shall be made in the name of actual buyer only and no re-sale shall be permitted.

34. All the judicial proceedings, if any, in respect of any dispute(s) arising out of the e-auction shall be subject to the jurisdiction of Beed Dist. Court.

35. The purchaser shall insure the plant and equipment, his personnel and take cover for third party risk if thought essential by him or if required by statutory regulations. Also necessary clearance from the statutory authority, if required, shall be obtained by the purchaser. The MAHAGENCO will not be

called upon to bear any responsibility in this regard. The purchaser shall agree to keep MSPGCL harmless and indemnified from and against all costs and expenses incurred and all losses and damages suffered by MSPGCL due to or as a result of any misrepresentation or fraud on the part of Auctioneer and/ or his employees or agents.

36. In case of any accident during the contract period, in the premises of Maharashtra State Power Generation Co. Ltd., the amount of compensation payable to the affected person/his family shall be assessed Statutory Authority and payable by the purchaser.

37. In case of damages to any equipment or property which is not covered in the contract, the amount of compensation as assessed by the MAHAGENCO’s Authority shall be final and shall be payable by the purchaser.

38. The cables, which are connected with the equipments will be allowed under the sale, however underground cables will not be permitted, the site in-charge shall be consulted before disconnecting the cables.

39. Authority for acting on behalf of original purchaser shall be given in writing to his representative on Notery, which shall be presented to the Site Engineer before commencing any operation.

40. In respect of any dispute for execution of contract that may arise during contract period, the decision of Chief Engineer (O&M) Parli-Vaijanath shall be final.

41. Whenever any claims for the payment of sum of money arises out of or under this sale against the purchaser, MAHAGENCO shall without prejudice to any other remedy, be entitled to deduct such sum of money from the proceeds of sale under this contract or from any sum then due or which at any time thereafter may become due to the purchaser under this or any other Contract with MAHAGENCO and if sufficient amount is not due to purchaser to cover the full amount recoverable from him, the purchaser shall pay to MAHAGENCO on demand the balance remaining dues.

42. It will be the sole responsibility of purchaser, for any type of accident occurred during the disposal/ decommissioning / dismantling / transporting of the Unit No.1 & 2

43. The terminal points for dismantling during disposal of Unit No.1 & 2 (2 X 30 MW) will be finalized by Chief Engineer (O&M) TPS Parli-V.

44. All safety precautions are to be taken by Purchaser & use of Personal Protective Equipments (PPE’s) will be mandatory while dismantling during disposal of units.

45. It will be the sole responsibility of purchaser for any mishap/ theft in connection with the allotted material & premises where the disposal units are situated.
