FORM OF TENDER

The Durham Tees Valley Community Rehabilitation Company (hereinafter known as DTV CRC) invites tenders for the provision of Partner Link Worker to assist and support individuals who have experienced or been affected by domestic abuse including those whose partners or ex-partners are sentenced to complete the Building Better Relationships (BBR) accredited offending behaviour programme as part of a Community Sentence or Licence Condition.

The contract shall remain in force for a period of three years commencing 1 April 2017 with an option to extend for up to two years.

To be considered, tenders must be returned not later than 12:00 noon on Friday 10 February 2017.

WE CERTIFY THAT:

1. We hereby offer to supply DTV CRC in accordance with the terms and conditions of contract as determined within the Tender Documents for the procurement of the Goods or Service(s) specified within the said Tender Documents.

2. We hereby submit a form of tender at the rates of prices specified in the Pricing Schedule for the specified period.

3. We agree to enter into a formal agreement with DTV CRC, when so required, embodying this offer, in accordance with the terms and conditions of contract as determined within the Tender Documents, at such time as we may be called upon to do so. Until such an agreement is completed, we agree that this offer together with written acceptance from DTV CRC, shall constitute a legal and binding contract between DTV CRC and ourselves.

DTV CRC is responsible for supervising around 4000 participants assessed as presenting a low or medium risk of harm, on either a Community Order or Prison Licence throughout the Durham and Teesside area.

We work to reduce reoffending, protect the public and believe that by supporting participants our communities will be safer, that by developing participants we make a real, lasting and positive change to their lives and that by combining this we can provide successful, effective rehabilitation services.

Where we deliver:

The Building Better Relationships Programme is delivered from two District Centres in Stockton on Tees and Belmont, County Durham. We also deliver interventions from Community Justice Hubs held within community and local authority buildings throughout the region. The map below shows the areas we cover.

The DTV CRC area encompasses around 4000 square kilometres, ranging from remote rural areas of the North Pennines, to the more urbanised environments of Middlesbrough and Darlington. Geographically these are the counties of Teesside and County Durham.

The needs of these communities vary greatly and the wealth of experience brought by DTV CRC colleagues ensures that interventions are targeted appropriately.

1. INTRODUCTION

1.1 DTV CRC invites tenders for the provision of Partner Link Worker (hereinafter referred to as PLW), to assist and support individuals who have experienced or been affected by domestic abuse including those whose partners or ex-partners are sentenced to complete the Building Better Relationships (hereinafter referred to as BBR) accredited offending behaviour programme.

1.2 The PLW service will be provided to those referred by Responsible Officers employed by DTV CRC.

1.3 DTV CRC also deliver BBR to participants assessed as a High Risk of harm, supervised by the National Probation Service. The PLW service will also be provided to those individuals referred by Responsible Officers employed by the National Probation Service.

1.4 The contract shall remain in force for a period of three years commencing April 2017 with an option to extend for up to two years.

2. DEFINITIONS

2.1 For the purposes of the contract, except where expressly stated to the contrary, the words below shall have the following meanings:

Accountable Body - the ARCC Board

BBR - Building Better Relationships accredited Offending Behaviour Programme

Contract - the Contract entered into pursuant to the tender

Contractor - the successful organisation(s) whose tender(s) has been accepted and includes the Contractor’s legal representatives and permitted assignees

3. STATEMENT OF AIMS

3.1 Contribute to promoting the safety of the partners / ex-partners of men attending BBR and any children with whom they are involved.

3.2 Provide support, information and advocacy services for female partners or ex-partners of men participating in the Building Better Relationships accredited offending behaviour programme (BBR).

3.3 Contribute to the evaluation of BBR using information received from the partner / ex-partner.

3.4 Contribute to promoting the safety of partners / ex-partners of individuals referred when perpetrators are not sentenced to attend BBR and any children with whom they are involved.

3.5 Provide support, information and advocacy services for individuals who have experienced or been affected by domestic abuse whose partners or ex-partners are not sentenced to attend the BBR programme including males, same sex relationships, elder and sibling abuse.

3.6 Link with the individuals Responsible Officer and where relevant DTV CRC programme delivery team and provide relevant information and feedback.

3.7 Link, as appropriate, with other organisations in the DTV CRC area, aimed at supporting victims of domestic abuse.

3.8 Contribute to community safety and strengthen crime reduction partnerships by; sharing information, working with relevant organisations and focusing on preventative work with individuals who have experienced or been affected by domestic abuse.

3.9 Offer information and good practice ideas about the type of support required by individuals to reduce the risk of them experiencing further domestic abuse as a contribution to crime reduction.

3.10 Integrate DTV CRC’s values within service delivery to assist individuals to move forward and participate in a positive future.

4.1 This contract is part of the nationally accredited Building Better Relationships Programme (BBR), to which the female partner / ex-partner perspective is integral to the work being done with perpetrators.

4.2 The contract is also directed to support partners / ex-partners of participants sentenced to a Community Order or released on licence from custody who are not sentenced to the Building Better Relationships Programme and to participants themselves who may have experienced or been affected by domestic abuse.

4.3 DTV CRC are committed to reducing reoffending and supporting individuals to move forward and participate in a positive future. We do this by offering support and working with partners to deliver specialist and innovative evidence based services.

5. DESCRIPTION OF THE SERVICE

5.1 The successful Contractor will receive referrals via secure email and provide suitably qualified and trained staff to carry out the role of Partner Link Worker for;

5.2 Females whose partners or ex-partners are sentenced to attend the Building Better Relationships Programme (BBR)

and for;

5.3 Partners or ex-partners of participants sentenced to a Community Order or released on Licence from custody who are not sentenced to the Building Better Relationships Programme and participants themselves who may have experienced or been affected by domestic abuse. This will include support for male victims, those in same sex relationships, elder and sibling abuse.

5.4 This will include completing and updating a victims statement a risk assessment including the Spousal Assault Risk Assessment (SARA) and safety plan to promote the safety of partners / ex-partners referred and children. (DTV CRC will provide SARA training upon contract award).

5.2 The contractor will also facilitate the provision of longer term support for those who are supported by the Partner Link Worker.

6. VOLUME

6.1 It is estimated that in a full year up to 120 referrals will be made to the Building Better Relationships Programme.

6.2 It is estimated that in a full year up to 300 referrals will be made to the Partner Link Worker to support individuals who have experienced or been affected by domestic abuse, when their partner is not sentenced to the Building Better Relationships Programme or participants themselves who disclose being affected by domestic abuse.

6.3 The role of the Partner Link Worker and service requirements of the Contractor are detailed in Section Seven, Specification.

7. SPECIFICATION

7.1 The Building Better Relationships Programme consists of twenty-seven group and individual sessions. These sessions comprise of two pre-group sessions up to one hour long, the foundation module comprises of six sessions two and a half hours long, the three remaining modules can be delivered as either a closed group or rolling format each comprising of six, two and a half hour group work sessions. After each module, participants have a one hour, one to one session with their designated facilitator to review learning and check progress against goals. During each session participants engage in intensive, structured work to build on strengths to affect change.

7.2 These programmes are delivered by highly skilled Probation staff all of whom have been accredited by national trainers to deliver the programme to the required management standards as prescribed by the National Offender Management Service (NOMS). These facilitators have undergone full screening and assessment centre processes in addition, of course, to successfully completing the intensive facilitator training course as demanded by the management manual standards.

7.3 As part of the programme female partners of men attending the BBR programme must be offered support services on the basis of promoting women and children’s safety. DTV CRC is seeking to secure, via selective competitive tenders, the provision of a support service to meet the needs of this ‘Partner Link Worker’ requirement.

7.4 DTV CRC have extended the remit of the Partner Link Worker to offer support to individuals who’s partner/ex-partner is subject to a Community or Custodial Sentence but are not sentenced to attend the Building Better Relationships Programme and also to those participants who require intervention and support due to their own current or previous experience of domestic abuse. This extends provision to reach and offer support to more individuals and their children to stay safe and offer protection from further harm.

8. KEY TASKS

8.1 The key tasks Partner Link Workers will undertake when partners are sentenced to the Building Better Relationships (BBR) Programme are;

8.2 Contribute to promoting the safety of partners/ex-partners and any children with whom they are involved. This is likely to involve supporting partners/ex-partners to construct a realistic safety plan that takes into account the emotional and practical needs of both the partner/ex-partner and any children with whom they are involved.

8.3 Arrange face to face contact by the individuals chosen method and if no reply attempt to make further contact on a monthly basis until completion of the programme requirement by the participant.

8.4 Discuss relationship and previous domestic abuse.

8.5 Clarify children in the home, children the perpetrator may come into contact with, other agencies involved, security in place.

8.6 Clarify any civil orders in place and compliance.

8.7 To securely record all contact and attempted contact with the individual referred, including those where someone else responds.

8.8 Provide realistic information to partners/ex-partners about the BBR Programme and possible outcomes. It needs to be acknowledged that it is not possible to fully eliminate risk and not all perpetrators will respond positively to the programme. It’s also possible that in the initial stages participation in an intervention can increase risk and partners/ex-partners need to be aware of this.

8.9 Provide partners/ex-partners with information about participants’ attendance on the BBR programme.

8.10 Request and obtain feedback from women as a minimum at the start, mid -way and on completion or termination of the BBR programme.

8.11 Where the partner/ex-partner continues to be supported by the PLW six months following completion of BBR, a further contact will be arranged to evaluate progress.

8.12 When contact has ended, ensure the individual is informed and has access to required information and local support and emergency services.

8.13 In the event of an increase in risk being identified by the PLW, Responsible Officer or Programmes Tutor, additional contact will be made with the individual.

8.14 Liaise where appropriate with the Independent Domestic Violence Advisors (IDVA’s).

8.15 Signpost partners/ ex partners to relevant local services that can offer emotional and practical support, advice and guidance.

Contribute to risk management procedures by;

8.16 Complete and update the Spousal Assault Risk Assessment (SARA) ensuring that partners/ex-partners are informed about any escalating or emerging risks.

8.17 During each contact with a partner/ex-partner, ascertaining if any changes have taken place that have implications for their or their children’s safety.

8.18 Ensuring that relevant information disclosed is shared promptly with the participant’s Responsible Officer and Programme Delivery Team.

8.19 Work in close collaboration with Responsible Officers, Programme Tutors and others to deliver the risk management plan.

8.20 Contributing to Multi Agency Public Protection Arrangements (MAPPA), Multi Agency Risk Assessment Conferences (MARAC) and Safeguarding Children procedures where appropriate.

Contribute to the evaluation of the programme by;

8.21 Requesting and seeking information from partners/ex-partners to inform the initial and ongoing assessment of the participant attending the programme.

8.22 Ensuring that evaluation information is properly recorded and forwarded to the DTV CRC Contract Manager.

8.23 Contribute to the development of a co-ordinated community response to domestic abuse by working in a collaborative way with relevant partner agencies both within and outside of the Criminal Justice System.

8.24 Completion of requisite documentation

The key tasks Partner Link Workers will undertake when supporting partner/ex-partners when perpetrators are subject to a Community Order or Custodial Sentence / Licence but are not sentenced to attend BBR or for participants referred due to their current or previous experience of domestic abuse are;

8.25 Contribute to promoting the safety of partners / ex-partners and any children with whom they are involved. This is likely to involve supporting partners/ex-partners to construct a realistic safety plan that takes into account the

10. PERSONAL AND PROFESSIONAL COMPETANCIES

10.1 The contractor will ensure that those appointed as PLW’s will;

10.2 Host and retain all information and correspondence relating to the service delivery of the PLW contract in a secure ‘CJSM’ environment.

10.3 The tenderer shall (at the tenderers cost and expense) ensure that a risk-based assessment is made of the suitability of each employee or sub contracted personnel for the duties they will be carrying out.

10.4 Where, following a check under clause thirty-two below, a criminal conviction certificate is obtained following either a standard or enhanced criminal records bureau check and the nature of the listed previous convictions leads DTV CRC to the reasonable conclusion that the person who was checked is unsuitable to perform the service specified in the contract, then upon DTV CRC giving notice to the successful tenderer, they shall upon receipt of that notice remove the person considered as unsuitable from the contract service or where the person has not at that time started to perform the contract service the successful tenderer shall act so as to stop that person from performing the service. DTV CRC is not under any obligation to disclose the results of any criminal records bureau check.

10.5 Represent and share the Values and Vision of DTV CRC.

10.6 Demonstrate the ability to deliver the required support across the DTV CRC area.

10.7 Demonstrate positive relationships with relevant community agencies across the DTV CRC area.

10.8 Respect confidentiality and appropriate information sharing with consideration to the safety of the victim and children.

10.9 Have excellent interpersonal and self-management skills.

10.10 Have excellent verbal and written communication skills, including the ability to collect performance data and produce written reports.

10.11 Complete evidence based risk assessments based on defensible decisions.

10.12 Securely record each contact with the individual referred.

10.13 Have proven experience to relate positively and empathetically.

10.14 Have proven experience and training of how domestic abuse impacts the victim and family on a range of levels.

10.15 Represent DTV CRC and the PLW role positively to other community agencies, work constructively and collaboratively with other professionals in

12. REFERRALS

12.1 When an individual is referred, DTV CRC will as a minimum permit Partner Link Workers access to the following documents;

A timely referral. Access to the Crown Prosecution Service court ‘bundle’ which will include a

case summary, witness statements, and may also include a victim impact statement if available.

If completed, access to the pre-sentence report. A completed SARA or a summary of the findings of the SARA assessment.

Partner Link Worker Manual. Training and administration of SARA assessment. An introduction into the DTV CRC case management system. Health and Safety procedures.

15. GENERAL CONDITIONS OF CONTRACT

15.1 The completed tender must be returned to [email protected] in accordance with the relevant instructions by 12:00 noon on Friday 10 February 2017.

15.2 Failure to submit the completed tender by the required time and date and in the correct manner will result in the exclusion of that organisation from consideration for the contract.

15.2 The Contract shall be awarded subject to the General Conditions of contract herein. If the tenderer adds any tender conditions which are at variance with the General Conditions, then such added conditions shall be deemed to be null and void. The acceptance of any such tender by DTV CRC shall not in any way be deemed to be an acceptance by DTV CRC of the conditions null and void and the DTV CRC’s conditions shall apply

15.3 DTV CRC is a not for profit organisation and invites competitive budgets for this contract. We are anxious to obtain stability of price during the period of the contract. Prices must therefore be fixed for each twelve month period and be supplied for the years April to March 2017-2018, 2018-2019 and 2019-2020. Tenderers that do not comply with this condition will not be considered.

16. AWARD OF CONTRACT

16.1 Tenders will be evaluated against a pre-determined criteria.

16.2 The award of this tender will be awarded to the organisation who will deliver a quality PLW service, taking into consideration the following award criteria:

16.3 DTV CRC does not undertake to accept the lowest or any tender and reserves the right to accept the whole or any part of any tender submitted. If more than one tender is received from a tenderer, then only the final tender received will be considered. Nothing in this document, or in any other document or communication issued or made by or on behalf of DTV CRC to any other party, shall be taken as constituting a contract, agreement or representation between DTV CRC and any other party (except the formal award of a contract made in writing by or on behalf of DTV CRC).

17. CONTRACT PERIOD

17.1 This contract is for a period of three years, the commencement date is 1 April 2017 to 31 March 2020 with an option to extend up to a further two x two month periods. The decision to extend the contract for up to a further two x twelve months periods shall be at the sole discretion of the ARCC Board of the DTV CRC, and subject to budget allocation for the aforementioned periods and satisfactory contract performance and evidence of ongoing need.

18. ENTIRE AGREEMENT

18.1 The Contract constitutes the entire agreement between the parties relating to the subject matter of the Contract. The Contract supersedes all prior negotiations, representations and undertakings, whether written or oral, except that this clause shall not exclude liability in respect of any fraudulent misrepresentation.

19. SCOPE OF CONTRACT

19.1 Nothing in the contract shall be construed as creating a partnership, a contract of employment or a relationship of principal and agent between DTV CRC and the successful tenderer.

20. MISTAKES IN INFORMATION

20.1 The successful tenderer shall be responsible for the accuracy and completeness of all documentation and information supplied to DTV CRC in connection with the provision of services and shall pay DTV CRC any extra costs occasioned by discrepancies, errors or omissions therein.

21. CONFLICTS OF INTEREST

21.1 The successful tenderer will disclose to DTV CRC particulars of any conflicts of interest which may arise. The provisions of this condition shall apply during the continuance of this contract and indefinitely after its termination.

22. FRAUD

22.1 The successful tenderer shall safeguard DTV CRC’s funding of the contract against fraud generally and, in particular, fraud on the part of the Staff, or the successful tenderer’s directors and suppliers. The successful tenderer shall notify DTV CRC if it has reason to suspect that any fraud has occurred, is occurring, or is likely to occur.

23. CONTRACT MANAGEMENT

23.1 DTV CRC undertakes regular contract monitoring to ensure contract standards are met, evaluate contractor performance and consider areas for improvement. Quarterly review meetings will be held between DTV CRC and the successful tenderer throughout the period of the contract, coupled with monthly performance reports being submitted to the Contract Manager.

24. PAYMENT

24.1 The successful tenderer shall submit an invoice due on a quarterly basis in arrears for the provided service. DTV CRC upon satisfactory performance of the contract and having been duly certified and passed by the Director of Resources will pay any outstanding invoices within thirty days of receipt. This is subject to the invoice being correct and not in dispute.

24.2 The successful tenderer shall provide to DTV CRC its Annual Report and Audited Accounts (or a certified financial statement from an independent person acceptable to DTV CRC where the Successful tenderer is exempt from the legal requirement to prepare audited accounts) covering expenditure of the Financial Contribution within six months of the termination of the Contract.

24.3 The successful tenderer shall be responsible to DTV CRC for seeing that the financial and other controls applied are adequate to ensure the propriety and regularity of the expenditure of the Financial Contribution and the prudent and economic administration of funds provided by DTV CRC. The right of representatives of DTV CRC and/or its auditors to examine the invoices, receipts, accounting records and any other relevant documents relating to the expenditure of the Financial Contribution is accordingly reserved. Additionally, DTV CRC’s representative and/or auditors may carry out examinations into the economy, efficiency and effectiveness with which the successful tenderer has used its resources in discharging the functions supported by the Financial Contribution.

24.4 The successful tenderer shall provide to DTV CRC Expenditure Statements upon request showing actual expenditure in a form to be agreed between the parties and acceptable to DTV CRC together with a final reconciliation statement within six months of the termination of the Contract.

25. FINANCE

25.1 The Financial Contribution shall be expended only for the purposes specified in this Contract and to the extent that it is not so expended it shall be repayable to DTV CRC upon demand and in such reasonable sum as shall be certified by the Director of Resources for the time being of DTV CRC.

25.2 In the event of the successful tenderer not spending the Financial Contribution provided by DTV CRC pursuant to this Contract in the relevant financial year such under spend shall become repayable to DTV CRC on demand.

25.3 The successful tenderer shall notify DTV CRC of any likely under spend in accordance with Clause 25.2 as soon as possible after such likelihood becomes apparent and in any event no later than two months before the end of the Term.

25.4 In the event of the successful tenderer failing to achieve the requirements set out in this Contract DTV CRC may require the successful tenderer to repay such proportion of the Financial Contribution as shall be certified by DTV CRC’s Director of Resources for the time being as being a reasonable amount to be repaid of the said failure.

26. PRICING

26.1 Tenderers must complete the PRICING SCHEDULE 2 included in the tender documents, giving a detailed breakdown of proposed costs and any additional discounts which, may apply for prompt settlement.

26.2 Tenderers must also indicate all other costs that will be associated with the contract. No claim for additional payment will be considered for items that have not been specified within the tender.

27. EXPENDITURE ON EQUIPMENT

27.1 Where the Financial Contribution is or includes an amount towards the purchase of equipment the following conditions, shall apply during the life of the equipment.

27.2 The equipment shall be adequately stored, maintained and insured at all times.

27.3 The equipment shall not be sold or otherwise disposed of without prior written consent of DTV CRC. Where this contract is terminated for any reason or where the equipment is no longer needed DTV CRC reserve the right to reclaim the equipment from the successful tenderer. If consent is given by DTV CRC to sell or otherwise dispose of the equipment DTV CRC reserve the right to require the successful tenderer to pay to DTV CRC all or part of the proceeds from the sale.

27.4 The equipment is available for DTV CRC inspection at all reasonable times.

28. ENVIRONMENT

28.1 DTV CRC is committed to protecting the environment and ensuring a better quality of life for everyone now and for future generations.

29. EQUALITY AND DIVERSITY

29.1 Equality and Diversity is integral to DTV CRC’s service delivery model. We aim to ensure that organisations that provide goods and services comply with equal opportunities legislation and promote equality of opportunity. As such Appendix 1: Equality and Diversity Questionnaire must be completed when submitting a formal tender for this service. Tenderers must be advised that this appendix will be scored when evaluating the submitted tender.

29.2 The successful tenderer shall not unlawfully discriminate within the meaning and scope of any law, enactment, order, or regulation relating to discrimination (whether in race, gender, religion, disability, sexual orientation or otherwise) in employment.

29.3 The successful tenderer shall take all reasonable steps to secure the observance of clause 29.1 by all servants, employees or agents of the successful tenderer and all suppliers and sub contractors employed in the execution of the contract.

30. SUB CONTRACTORS

30.1 The successful tenderer will not be permitted to sub contract delivery of the PLW contract without the written authorisation of DTV CRC.

31. QUALITY MANAGEMENT

31.1 DTV CRC strongly supports the use of quality management throughout all organisations that it works with, both in partnership and contractual terms. As such Appendix 2: Quality Management Questionnaire must be completed when submitting a formal tender for this service. Tenderers must be advised that this appendix will be scored when evaluating the submitted tender.

32. HEALTH AND SAFETY

32.2 The successful tenderer shall at all times comply with the requirements of the Health & Safety at Work Etc. Act 1974 and of any other Acts, Regulations, Guidance Notes, Codes of Practice or Orders relating to Health and Safety.

32.3 The successful tenderer will outline how they intend to ensure the safety of PLW’s working in a lone environment.

33. CONFIDENTIALITY AND FREEDOM OF INFORMATION ACT

33.1 DTV CRC is subject to the Freedom of Information Act 2000. As part of DTV CRC’s duties under the Act, it may be required to disclose information forming part of the tender or contract to anyone who makes a reasonable request.

33.2 DTV CRC will endeavour to consult with tenderer’s and have regard to comments and any objections before it releases any information to a third party under the Act. DTV CRC must make its decision on disclosure in accordance with the provisions of the Act and can only withhold information if it is covered by an exemption from disclosure under the Act. DTV CRC will not be held liable for any loss or prejudice caused by the disclosure of information in accordance with the provisions of the Act.

33.3 The successful tenderer shall not disclose to any third party (except as may be required by law) any information of a confidential nature obtained pursuant to this contract including without limitation.

33.4 Information about participants and other service users, except in accordance with arrangements agreed between DTV CRC and the successful tenderer from time to time. The successful tenderer shall adopt and maintain a confidentiality policy which, in relation to the provision of the Services, comply with DTV CRC’s security policies and procedures on managing information about participants and other service users.

33.5 The successful tenderer acknowledges that because of the nature of DTV CRC’s business, it may receive from time to time information or have concerns about issues relating to matters of risk management or public protection. The successful tenderer undertakes promptly to disclose these to DTV CRC’s nominated representative to enable DTV CRC’s nominated representative to take appropriate action to manage the risk and protect the public from harm and acknowledges that by virtue of the nature of such matters, such exchanges of information will normally be authorised by and made in accordance with the provisions of the Data Protection Act 1998. Where the successful tenderer believes that the release of information would offend against the Data Protection Act 1998, it shall make such disclosure as is permitted by law.

33.6 Information gained as a result of delivering the Services under this contract shall not, unless it is already in the public domain, be used for any other purpose or be disclosed to others without the consent in writing of DTV CRC.

33.7 The successful tenderer shall ensure that all its employees and other Workers engaged in providing the Services shall sign an agreement to adopt and maintain the confidentiality requirements contained within the Clause 33.1 – 33.6.

34. DATA PROTECTION ACT

34.1 The successful tenderer shall (and procure that any of its staff involved in the provision of this contract) be registered under the Data Protection Act 1998 and both parties to this contract will duly observe all their obligations under the Act, which arise in connection with the contract.

34.2 Notwithstanding the general obligation in Clause 34.1, where the successful tenderer is processing personal data as a data processor for DTV CRC, the successful tenderer shall ensure that it has in place appropriate technical and organisational measures to ensure the security of the personal data as required under the 7th Data Protection Principle in Schedule one to the Data Protection Act 1998.

34.3 The provisions of this condition shall apply during the continuance of this contract and indefinitely after its expiry or termination.

35. SECURITY OF CONFIDENTIAL INFORMATION

35.1 In order to ensure that no unauthorised person gains access to any confidential information or any data obtained in the performance of the contract the successful tenderer shall undertake to maintain security systems approved by DTV CRC.

35.2 The successful tenderer will immediately notify DTV CRC of any breach of security in relation to confidential information and all data obtained in the performance of the contract and will keep a record of such breaches. The successful tenderer will use its best endeavours to recover such confidential information or data however it may be recorded. The successful tenderer will co-operate with DTV CRC in any investigation that DTV CRC considers necessary to undertake as a result of any breach of security in relation to confidential information or data.

36. SECURITY VETTING

36.1 The successful tenderer will ensure that each PLW has a DBS Enhanced check, comprising of Baseline Personnel Security Standard (BPSS) (Excluding Criminal Record). Tenderers who do not comply with this condition will not be considered.

37. EXCHANGES OF INFORMATION USING EMAIL

37.1 DTV CRC uses the Ministry of Justice’s computer network and as such any suppliers of goods or services to DTV CRC who wish to exchange confidential information with us must do so using ‘cjsm’ email address.

37.2 Tenderers who do not comply with this condition will not be considered.

38. CRIMINAL RECORDS BUREAU

38.1 The successful tenderer shall not engage persons in the provision of the Services that have convictions or cautions that would render them unsuitable to carry out the duties provided for in this contract.

38.2 The successful tenderer shall be required to maintain current, accurate and adequate records of all persons who are to be engaged in providing the Service for a period of five years from the termination of the contract.

39. PUBLICITY

39.1 All press releases and other publicity releases relating to the Service provided pursuant to this contract shall not be made without the consent of DTV CRC.

40. COPYRIGHT

40.1 Copyright and other intellectual property rights in works created pursuant to this contract shall vest in the Board.

40.2 Subject to clause 40.1 above the successful tenderer and the Board shall co-operate to ensure that the rights of users of the services to copyright and other intellectual property rights in works created by such users as a result of this contract are properly protected.

40.3 Except as otherwise provided in this tender document where works are created as a result of this contract the successful tenderer shall take such steps as are necessary to ensure that at all times the Board has an irrevocable non-exclusive licence to use, copy or otherwise reproduce such works by any means, in any medium whatsoever and for any purposes that the Board deems fit without any limitation, except as provided in clause 40.2.

40.4 When exercising the rights contained in 40.2 the Board shall, so far as is reasonably practicable, seek to ascertain if the creator of works wishes to have his/her name identified with the works and if so shall identify the name of the creator in any display or exhibition of the works.

40.5 The successful tenderer shall co-operate fully with the Board to enable it to respond to any requests made of it under the Freedom of Information Act. Where the successful tenderer receives requests under the Freedom of Information Act, it shall refer such requests for advice to the DTV CRC Security Information Responsible Officer (SIRO) and shall not take any further action in connection with that request without the consent of the (SIRO).

41. CHANGE CONTROL PROCEDURE

41.1 Any request to change or add to this contract or any other document attached to or referred to in this contract shall be dealt with in accordance with the change control procedure in condition 41.2 – 41.6.

41.2 To change request shall be binding on the parties unless the requirements of the change control procedure have been satisfied and a change request form set out in Schedule seven is signed by the Contract Manager and the successful tenderer to signify their approval to the change. The change control procedure may be expedited at any time by agreement between the parties.

41.3 Until such time as a change request has been formally agreed by both parties to this contract, both parties shall continue to perform their respective obligations without taking account of the change request.

41.4 Change requests may be originated by either party to the contract or may be originated by the parties jointly.

41.5 In the case of any unilateral change request, the party that originates it (the ‘Originating Party’) shall within seven working days supply to the other party either;

41.5.1 To the greatest extent reasonably practicable, full details of all consequential changes which will be required to the services, the contract or the contract price and all other effects of the proposed change; or

41.5.2 Written confirmation that to the best of its knowledge, there will be no such consequential changes or effects.

41.5.3 The receiving party shall notify the originating party that the report is accepted or rejected within ten working days of receipt.

41.5.4 If a change request is originated by the parties jointly, the successful tenderer shall provide to DTV CRC a completed Change Request Form for signature.

41.6 DTV CRC reserves the right to withhold its agreement to a change request for any reason whatsoever. The successful tenderer shall not unreasonably withhold or delay its agreement to any change request.

42. OBSERVANCE OF STATUTORY REQUIREMENTS

42.1 The successful tenderer shall comply with all statutory and other provisions to be observed and performed in connection with the provision of the Services and shall indemnify DTV CRC against all actions, claims, demands, proceedings, damages, costs, charges and expenses whatsoever in respect of any breach by the successful tenderer of this condition.

43. AGREEMENT REPRESENTATIVES

43.1 DTV CRC’s nominated representative will be the Director of Operations who will act in its name for the purpose of this contract.

43.2 The Director of Operations may appoint a Contract Manager to act on his behalf generally or for specified purposes or periods.

43.3 The successful tenderer shall nominate an authorised representative to act on behalf of the successful tenderer for all purposes connected with this contract.

43.4 The successful tenderer may nominate one or more deputies to act on its behalf generally or for specified purposes or periods.

43.5 The Parties shall immediately notify the other of the identity of its representatives and of any deputies appointed.

43.6 DTV CRC and the successful tenderer shall each ensure that their representatives or authorised deputies are available to the other at all reasonable times.

44. INDEMNITY AND INSURANCE

44.1 The successful tenderer shall indemnify and keep indemnified the DTV CRC against all actions, claims, demands, proceedings, damages, costs, charges and expenses whatsoever in respect of or in any way arising out of the provision of Services in relation to the injury to, or death of, any person, and loss of, or damage to, any property including property and cash belonging to the DTV CRC except and to the extent that it may arise out of the act, default or negligence of the DTV CRC, its employees or agents (excluding DTV

CRC’s employees seconded to the successful tenderer, if any) not being the successful tenderer or employed by the successful tenderer.

44.2 Without thereby limiting its responsibilities under this condition the successful tenderer shall insure with an insurance company acceptable to DTV CRC (such acceptance not to be unreasonably withheld) against its liabilities under condition 44.1 above.

44.3 The insurance in respect of any such personal injury to or death of any person rising under a contract of service with the successful tenderer and arising out of an incident occurring during the course of such person’s employment shall comply with the Employer’s Liability (Compulsory Insurance) Act 1969 and The Road Traffic Act 1988 and any Statutory Orders made thereunder and for all other claims the insurance cover shall be the sum of five million pounds or such greater sum as the successful tenderer may choose in respect of any one incident.

45. DISRUPTION

45.1 The successful tenderer shall take reasonable care to ensure that in the execution of the contract it does not disrupt the operation of DTV CRC, it employees or any other contractor employed by DTV CRC.

45.2 The successful tenderer shall immediately inform DTV CRC of any actual or potential industrial action, whether such action be by their own employees or others, which affects or might affect its ability at any time to perform its obligations under the contract.

45.3 In the event of industrial action by the staff or the successful tenderer’s suppliers the successful tenderer shall seek DTV CRC’s approval to its proposals to perform its obligations under this contract.

45.4 If the successful tenderer’s proposals referred to above are considered insufficient or unacceptable by DTV CRC, then the contract may be terminated by DTV CRC by notice in writing with immediate effect.

45.5 If the successful tenderer is temporarily unable to fulfil the requirements of the contract owing to disruption of normal business by direction of DTV CRC, an appropriate allowance by way of extension of time will be approved by DTV CRC. In addition, DTV CRC will reimburse any additional expense incurred by the successful tenderer in fulfilling the provisions of the contract as a result of such disruption.

46. WARRANTIES AND REPRESENTATIONS

46.1 The successful tenderer warrants and represents that:

46.1.1 The successful tenderer has the full capacity and authority and all necessary consents to enter into and perform this contract and that this contract is executed by a duly authorised representative of the successful tenderer.

46.1.2 The successful tenderer shall discharge its obligations hereunder with all due skill, care and diligence including but not limited to good industry practice and in accordance with its own established internal procedures.

46.1.3 All obligations of the successful tenderer pursuant to the contract shall be performed and rendered by appropriately experienced, qualified and trained staff with all due skill, care and diligence.

46.1.4 The successful tenderer is not in default in the payment of any due and payable taxes or in the filing, registration or recording of any documentation or under any legal or statutory obligation or requirement which default may have a material adverse effect on its business, assets or financial condition or its ability to observe or perform its obligations under this contract.

47. TERMINATION

47.1 DTV CRC may terminate this contract forthwith if:

(a) The successful tenderer shall have offered or given or agreed to give any gift or consideration as a reward for entering into this contract or shall have committed an offence under the Prevention of Corruption Act 1889 to 1916.

(b) Without prejudice to its rights in respect of any prior breach of contract by the successful tenderer if the successful tenderer becomes bankrupt or has a Receiving Order made against it or is subject to an Order for Winding Up whether compulsory or voluntary

(c) or if a Resolution to Wind Up is passed or if a receiver is appointed to the business of the successful tenderer.

47.2 If the successful tenderer commits a breach of any of its obligations under this contract and such breach is not remedied within fourteen days of notice being given to the successful tenderer in writing specifying the breach and requiring it to be remedied, DTV CRC may give notice to the successful tenderer terminating this contract on such date as DTV CRC may specify in the notice such date being not less than one month not more than three months from the date upon which notice to terminate is given.

47.3 This Contract shall terminate in any event on 31 March 2020 unless an extension period is agreed in writing.

48. SEVERABILITY

48.1 If any provision of the contract is held invalid, illegal or unenforceable for any reason by any Court of competent jurisdiction, such provision shall be severed and the remainder of the provisions of the contract shall continue in full force and effect as if the contract had been executed with the invalid, illegal or unenforceable provision eliminated.

49. FORCE MAJEURE

49.1 For the purpose of this condition, ‘Force Majeure’ means any event or occurrence which is outside the reasonable control of the parties concerned, and which is not attributable to any act or failure to take preventative action by the party concerned, including (but not limited to) governmental action occurring within the successful tenderer’s organisation or within any sub contractor’s organisation.

49.2 Neither party shall be liable to the other party for any delay in or failure to perform its obligations under the contract (other than a payment of money) if such delay or failure results from a Force Majeure event. Notwithstanding the foregoing, each party shall use all reasonable endeavours to continue to perform its obligations hereunder for the duration of such Force Majeure event. However, if any such event prevents either party from performing all of its obligations under the contract for a period in excess of 1 month, either party may terminate the contract by notice in writing with immediate effect.

49.3 Any failure or delay by the successful tenderer in performing its obligations under the contract which results from any failure or delay by an agent, sub contractor or supplier shall be regarded as due to Force Majeure only if that agent, sub contractor or supplier is itself impeded by Force Majeure from complying with an obligation to the successful tenderer.

50. DISPUTES

50.1 Without prejudice to their legal rights under this contract the parties will use their best endeavours to resolve by agreement, any disputes between them with respect to any matter relating to this contract.

50.2 If either party considers that the other has failed to comply with the terms of this contract, then the following will happen:

a) The matter shall be discussed at a meeting between the successful tenderer’s delegated representative and DTV CRC Contract Manager within (where possible) seven working days.

b) If not resolved, then a meeting may be arranged between senior management from the successful tenderer and the Director of Operations. This may be called at the request of either party and shall where possible take place within ten working days.

50.3 If the matter cannot be satisfactorily resolved in accordance with Clause 50.2 either party may exercise any or all of their legal rights under this contract.

51. COMPLAINTS

51.1 Any complaints made in relation to the services provided by this contract by any person other than DTV CRC shall be investigated by the successful tenderer in accordance with the successful tenderer’s usual Complaints Procedures. A copy of all complaints made to the successful tenderer to which this clause applies shall be sent to DTV CRC forthwith. Such complaints shall be investigated by the successful tenderer with all due expedition and a copy of the resolution of the complaint shall be forwarded to DTV CRC as soon as practicable after its resolution. DTV CRC reserves the right to take action should it be dissatisfied with the way in which the successful tenderer has resolved the complaint.

52. NOTICES

52.1 Any Notice required to be given to either party hereunder shall be sufficiently served if served personally on the addressee or sent by pre-paid first class recorded delivery post to the registered office, or last known address of the party to be served herewith. Any Notice so sent shall, subject to proof to the contrary, be deemed to have been received by the addressee on the second working day after the date of posting or on successful transmission or delivery as the case may be.

52.2 For the purpose of this Contract, the term ‘working day’ shall be deemed to include all days other than Saturday, Sunday, public, statutory and bank holidays.

53. LAW

53.1 The validity, construction and performance of this contract shall be governed by English Law.
