I. Introduction & Purpose

The City of Cincinnati (the “City”), through the Department of Community and

Economic Development (“DCED”), is issuing this Request for Proposal (“RFP”)

pursuant to the provisions of the Cincinnati Municipal Code (CMC), Chapter 321 and

City Manager Administrative Regulation 23 for the development of the subject

property (“the Site”) located at 1712 Logan Street, Cincinnati, Ohio 45202.

The purpose of this RFP is to solicit development concepts from qualified developers

or development teams (“Offerors”) for the subject property and select a proposal

from a qualified offeror. Selection of a preferred Offeror and subsequent award of the

contract will result after the completion of this RFP process. The City may award a

contract to the successful Offeror considering the total requirements for this

procurement and what is “Most Advantageous to the City” in accordance with CMC

Chapter 321.

The City reserves the right to ask for additional information and clarification from or

about any of the Offerors. The City reserves the right to perform investigations as may

be deemed necessary by the City to assure that competent persons will be and are

utilized in the performance of the Agreement and to verify the accuracy of the

contents of the RFP.

II. Goals for the Site

DCED seeks proposals to reactivate the City-owned parcel at 1712 Logan Street. The

Site is located along the south side of West Elder street between Logan Street and

Campbell Street in the Over-the-Rhine neighborhood of Cincinnati. The site consists of multiple combined parcels with a total area of approximately 0.51 acres. The

property is located within the incorporated limits of City of Cincinnati and the Over-

the-Rhine Historic District.

The proposed development plans should encompass the goals set out in this RFP and

further reflect the important value of this Site to the surrounding community and

embody the following characteristics:

1. Facilitate the immediate activation of the properties with a new mixed-use

development.

2. Create a development that aligns with the City’s policies and goals, including those

established by Plan Cincinnati (https://www.cincinnati-oh.gov/planning/plan-

Cincinnati). 3. Apply a design approach that complies with conservation guidelines of the Over-

the-Rhine Historic District.

4. Demonstrate responsiveness to community and stakeholder preferences, including

those established by the Over-the-Rhine Comprehensive Plan

5. Leverage the investments being made in the Over-the-Rhine neighborhood by identifying an Offeror that embraces the City’s vision for the urban environment.

III. Site Information

Location: As shown in Exhibit 1, the Site consists multiple adjacent parcels with

following addresses: 211, 215 and 217 W Elder Street, 1712, 1714, 1716, 1718 and 1720 Logan Street and 1821 Campbell Street. The site is located on the south side of

W Elder Street between Logan and Campbell Streets.

Frontage, Size, and Shape: The parcel has an estimated 111.5 feet of frontage along

W. Elder Street to the north, an estimated 200 feet of frontage on Logan Street to the

west, and an estimated 200 feet of frontage on Campbell Street to the east. The parcel

has a rectangular shape with an area of approximately 22,300 square feet.

Existing Land Uses: The site is currently a paved parking lot.

Visibility/Access: The site has good visibility and access from W Elder Street. The

area is well-connected with sidewalks running along all three frontages, which allows

for easy access to Over-the-Rhine and surrounding neighborhoods. The site is located near bus stops and is two blocks away from the Cincinnati Streetcar and Findlay

Market.

Soil and Environmental: The Site is offered “as-is”. DCED makes no

representations or warranties as to any soil or environmental conditions.

Buildings: There are no existing buildings on the site. The site is a paved parking lot

with landscaping and fencing.

Property Advantages: The Site is located within the incorporated limits of the City

of Cincinnati. Public transit in the form of multiple bus and Streetcar stops within

walking distance makes this property a prime real estate location. The Site is situated

in the northern part of the flourishing Brewery District of the Over-the-Rhine

Neighborhood. The property is within an easy walking distance of shops, restaurants,

and entertainment options in the historic Findlay Market and Brewery District area.

Additionally, several beloved Cincinnati institutions, the Cincinnati Music Hall, Washington Park, and Memorial Hall are located several blocks away. A Streetcar stop is just one block away and provides convenient access to the Banks and the downtown

Central Business District of Cincinnati.

Cincinnati is a thriving city at the heart of Ohio’s tristate area including Kentucky and

Indiana. Located along the banks of the Ohio River, Cincinnati is a global business

center offering superior accessibility to customers and suppliers across the world. It

is the transportation, industrial, commercial, and cultural center for a region that is

home to more than 2.1 million people. Home to nine Fortune 500 companies and

more than 300 foreign-owned firms, Cincinnati is a world-class city.

Over-the-Rhine is the neighborhood immediately north of Cincinnati’s Central

Business District. It is one of the most historic neighborhoods in the United States,

boasting the largest collection of Italianate buildings in the country. At its peak, in the

early 1900s, approximately 40,000 people lived in Over-the-Rhine. The neighborhood has retained much of its historic character and is currently an entertainment

destination with dozens of nearby restaurants, bars, and shops.

IV. Development Program

DCED encourages Offerors to submit proposals which include the following:

1. High-quality architectural design. The proposed development must compliment

the historic character of surrounding Over-the-Rhine Historic District.

2. Planned engagement with community council, neighborhood community

development corporation, and community stakeholders.

3. Consideration of the objectives of Plan Cincinnati, the goals for the site as

indicated above, and the preferences of the Over-the-Rhine Comprehensive Plan

and Brewery District Master Plan.

4. Creativity is encouraged, but compliance with zoning and historic conservation

regulations is required.

V. Planning and Zoning Framework

DCED encourages Offerors to understand the City’s goals for the Site by referencing

the following relevant plans and zoning:

Plan Cincinnati

options for residents, with a focus on housing quality and affordability. Plan Cincinnati

further reinforces the walkability of neighborhoods and the ability of residents to age

Over-the-Rhine Comprehensive Plan

Created in 2002, the Over-the-Rhine Comprehensive Plan is designed to rebuild the

housing and economic infrastructure of the neighborhood to create an economically and

racially diverse community with the ability to sustain the long term. The plan promotes

a goal of creating affordable housing for all income levels balanced with market rate

Brewery District Master Plan

The Brewery District Master Plan contains the vision and coordinated strategy for

redevelopment and repopulation of the Brewery District area. The Brewery District is

contained within the much larger Over-the-Rhine Neighborhood. As such, the goals and

strategies of The Brewery District Master Plan will be consistent with the Over-the-

Zoning

The Site is zoned CC-P which is intended to maintain and enhance areas suitable for a

wide variety of commercial and institutional uses along major transportation corridors

and in shopping districts or centers. Development must reflect a complementary and

compatible mix of uses, which may include residential uses. Permitted uses include, but

are not limited to the following:

Two-family dwelling Permitted

Three-family dwelling Permitted

Multi-family dwelling Permitted

Commercial Permitted, with some limitations

Over-the-Rhine Historic District

The Site is located within the locally-designated Over-the-Rhine Historic District as well

as a National Register Historic District. Special consideration must be given to

architectural regulations. The property will be required to follow the Certificate of

Appropriateness process and comply with the Over-the-Rhine Guidelines for all

exterior changes and new construction on the property.

VI. Public Engagement

As part of the RFP process, DCED would like to maximize transparency, build

inclusion, and most importantly, give the public a chance to explore and participate in

the shaping (or reshaping) of their community. DCED will hold a Community

Engagement Forum to publicly announce the release of this RFP at the date and

location specified in the timeline below. Community members and Offerors are

encouraged to attend the Community Engagement Forum. This meeting will give

community members the opportunity to communicate their preferences to potential

Offerors. Proposals should consider and incorporate stakeholder and community preferences to the extent feasible and practical.

VII. Timeline

• Release of RFP Wednesday, February 27th • Community Engagement Forum TBD

• Question Submission Deadline Friday, April 5th

• RFP Submissions Due Friday, April 19th, 3pm ET

• Oral Presentations of Proposals TBD – First week of May

VIII. Submission Requirements and Evaluation Criteria

Qualified Offeror(s) are invited to submit qualifications and concept plans for the subject property based on their analysis of the existing Site and market. A detailed list

of the requirements of submission and evaluation criteria is included below. The

Selection Committee will review and evaluate RFPs that are complete and received on

or before the deadline.

Submission Requirements: To achieve a uniform review process and a degree of

comparability, proposals should be organized in the following order and contain all the

following information:

1. Title Page: Showing the proposal title, the name of the firm, address, telephone

number(s), the name of contact person, the date, and other relevant company

information.

2. Offeror Credentials: Provide a narrative describing the Offeror’s background, history, and construction experience, including comparable projects successfully

completed by the Offeror.

3. Team Members: State the names and titles of key members of your

development team, including proposed subcontractors. Provide a resume for each

member.

4. Offeror’s Legal Structure: Provide evidence of corporate status including,

where applicable, Articles of Incorporation or a partnership certificate and/or

agreement. In addition, identify by name and title entities holding an ownership

interest of 20% or more.

5. Project Description: One-page narrative describing what is proposed for construction including as applicable: project map, Site specifications, Site features,

etc. Include an explanation of the exterior design concept and the expected

timetable for construction.

6. Concept Plan: Submit a conceptual site plan showing initial ideas for building

placement, parking layout, access drives, and landscaping. Preliminary building

elevations should be included as well.

7. Financing Plan: Submit a concise description of the anticipated general financing

for the project. Include the following details:

a. Preliminary Sources and Uses statement showing sources of capital and

expected uses in the proposed project. b. Statement of the Offeror’s financial ability and resources at the Offeror’s disposal. c. Business concept including target market and marketing plan for the

project.

d. Offer price for the property.

e. Soft Financial Commitment Letter(s).

f. Anticipated financial assistance request, if any, to the City

8. Site Goals: Explain how you would address the project goals and guiding

principles identified in the sections above. Include how the project meets the objectives of Plan Cincinnati and other relevant neighborhood plans, as well as planned engagement with Community Council, stakeholders, and community development corporations.

Evaluation Criteria: Each submission will be evaluated based on the criteria below and will be

reviewed based on the merit of the proposal itself and not compared to other proposals.

1. (20 points) Capacity & Experience of Offeror or Development Team Offerors should provide the following information to demonstrate their ability to

execute a high-quality urban redevelopment project:

a. Offerors should identify each of the development team members:

owner/Offeror, general contractor, design team, investors and other team

members required for completion of the project.

b. Offerors should provide a brief history of the development company(s).

c. Offerors should provide information on a minimum of three previous

projects with similar scope and complexity as envisioned in this

development.

d. Offerors should provide a list of all projects which are currently under

construction or managed by the entity and an executive summary of their

development experience.

2. (40 points) Vision for the Subject Property

Offerors should submit a development concept plan for the subject Site, including a

vision statement, Site plan, building uses, and information regarding proposed designs,

density and other relevant information the Offeror determines is appropriate. The

Offeror should indicate their planned engagement with Community Council,

stakeholders, and community development corporations, as well as how the proposal

meets the objectives of Plan Cincinnati and other relevant neighborhood plans. The

Offeror should specify how they plan to address the goals for the site identified in the

sections above.

3. (20 points) Financial Capacity and Financing Plan

Offerors should provide the documents as requested above in Financing Plan list in

Submission Requirements. The soft financial commitment letter(s) from a lending

institution shall convey the lender’s confidence in the Offeror as a borrower. The

letter should be addressed to the City of Cincinnati, Department of Community and

Economic Development, and should include the name, title, company, address and

phone number of the individual providing the letter.

4. (5 points) Economic Inclusion Goals

Offerors should describe their previous success in achieving economic inclusion goals

on projects of similar or greater scope to the Site identified here in this RFP and

submit a preliminary economic inclusion plan that includes opportunities to the

maximum extent practicable, for SBEs, WBEs, and/or MBEs through the Small Business

Enterprise (SBE) Program (CMC Chapter 323) and Minority and Women Business

Enterprise Programs (CMC 324) respectively. Information regarding the City’s SBE and

5. (5 points) Business Enterprise Firms

Offerors whose firms are certified through the Office of Economic Inclusion in the

MBE, WBE or SBE Programs should submit proof of certification. Please refer to

Cincinnati Municipal Code (CMC) chapters 323 and 324 for more information on the

rules and regulations of the SBE and MBE/WBE programs. You can also find eligibility

criteria and certification application at http://www.cincinnati-

6. (10 points) Thoroughness Offerors shall develop a written response to this proposal that is complete, thorough,

and ready to be transferred to a development agreement.

IX. About the Department of Community and Economic Development

The City of Cincinnati’s Department of Community and Economic Development (DCED) strengthens neighborhoods and grows the City’s revenue base through

investment in people and places. DCED is committed to executing a high-quality

project at this Site which will be catalytic to the immediate neighborhood and may

provide a variety of resources to ensure its success. These resources may include

financial, informational, and technical assistance, and/or helping Offerors to navigate the

legislative processes. Additionally, the City offers a variety of incentives and financial

tools that can provide support to projects. Below is a brief overview of three of the

available incentives. The City is able and willing to consider other types of assistance

that may not be listed as a program below. For additional information about programs

and services offered by DCED please visit: http://choosecincy.com/

Notice of Funding Availability (NOFA): The Department of Community

and Economic Development annually announces a NOFA to provide

development assistance for any type of housing project. NOFA provides gap

financing under the Federal Community Development Block Grant (CDBG)

program, the Federal HOME Investment Partnerships (HOME) program, and

limited City Capital contributions. The City seeks NOFA development

projects that will make sustainable housing improvements to Cincinnati

neighborhoods. Any use of Federal Funding through the City of Cincinnati will

be required to complete an Environmental Review including but not limited to

a Section 106 Review in compliance with the National Historic Preservation

Act.

Community Reinvestment Area: The City of Cincinnati offers a

Community Reinvestment Area (CRA) abatement program to companies and

developers building or renovating a residential, commercial, industrial, or

mixed-use facility in cases where the new or renovated facilities will result in

job creation. Commercial and Multifamily CRA Tax Exemptions are property

tax exemptions authorized by Ohio Statute 3735.65 and issued by municipalities

that have established special CRA districts. The entire City of Cincinnati is one

such district; therefore the subject property would be eligible for this program.

The American Dream Down Payment Initiative (ADDI) Program:

ADDI is designed to assist first-time homebuyers who want to purchase a

home within the City of Cincinnati. Applicants may be awarded up to $5,000 in

the form of a five- year forgivable loan that can only be used for a down

payment and/or closing costs. The City is currently accepting ADDI

applications. Please contact (513) 352-6146 for additional information.

X. Procurement Requirements

While each RFP submission will be considered objectively, the city assumes no

obligation to accept or act on any RFP. Should the City not receive a qualified

submission(s) or decide not to select an Offeror, the City Administration reserves the

right to select an appropriate developer based on the development goals outlined in

this RFP and may elect not to rebid this project through another RFP.

The City assumes no liability for any costs incurred in preparing or submitting any RFP.

All RFP submissions must be submitted in a sealed package. The following notation

should be on the sealed package:

Late submissions will not be accepted.

Proposals can be withdrawn at any time, if requested in writing, until the deadline date, at which time Proposals will be considered firm and become the property of the City

and will not be returned. By responding to this RFP, Offerors waive any challenge to

the City’s decisions.

By submitting this Proposal, the Offeror acknowledges that the City is governed by the

Ohio Public Records Laws. Notwithstanding any statement to the contrary, the City’s

handling of any confidentiality obligations are subject to the limitations of this

paragraph. Offeror’s Proposal may be subject to disclosure under the Ohio Public

Records Laws. The City shall have no duty to defend the rights of Offeror or any of

its agents or affiliates in any records requested to be disclosed. The City can only hold

as confidential information in the Proposal marked as such. If the Offeror has marked

information in the Proposal as confidential, upon receipt of a public records request,

the City will notify Offeror of its intent to release records to the requestor. The

Offeror shall have a maximum of five (5) business days beginning with the date it

receives notification to respond to the City by either accommodating the requestor,

providing redacted copies of the documents, or pursuing legal remedies to stop the

City’s release of requested information. Said notification shall relieve the City of any

further obligation under any claim of Offeror or any of its agents or affiliates in any

jurisdiction in connection with the disclosure of such records. Offeror and its agents

and affiliates may pursue legal and/or equitable remedies to stop or limit disclosure at

their sole expense.

Confidential or proprietary material must be clearly identified by the Offeror and easily

separable from the rest of the Proposal. Such a request must provide written

justification as to the basis for proprietary or confidentiality treatment.

The Offeror recognizes and agrees that the City will not be responsible or liable in any way for any losses that the Offeror may suffer from the disclosure of information or

materials to third parties.

Offerors submitting Propsosals in response to and consistent with this RFP shall submit

the required or miscellaneous forms in accordance with Section XI of the RFP.

a. Questions Concerning this RFP and Authorized City Point of Contact

All questions or requests for clarification must be submitted in writing via email no

later Friday, April 5, 2019 at 3:00 pm ET to Lyndsay Harvey, Buyer, at

[email protected]. Please reference “RFP689CEDLOGAN” in the

subject field of the message. Questions received after the designated period may not

be considered. Any response made by the City will be provided in writing via

Addendum.

Offerors are strictly prohibited from contacting any other City employees or any

third-party representatives of the City on any matter having to do with this RFP. All

communications regarding this RFP must be made to the City’s contact person, or any

other City representatives designated by the Chief Procurement Officer in writing.

b. Preventing Unfair Competitive Advantages

Fairness and transparency in the procurement process require that Offerors

competing for a specific project do not derive a competitive advantage from having provided services related to the project/contract/work assignment in question. To that

end, pursuant to Administrative Regulation No. 62 and the City’s RFP Manual, a firm,

and each of its affiliates, hired to provide services for the preparation or

implementation of a project shall be disqualified from any subsequent procurement

solicitation to provide goods, works, or services resulting from or directly related to

the firm’s services for such preparation or implementation, unless an exception is

made by the City Manager in writing.

c. Contractor Registration

The Offeror awarded the contract shall be a registrant under Vendor Self Service

(VSS) at time of award. Go to https://vss.cincinnati-oh.gov to register.

d. Changes and Addenda to the RFP Document

It shall be the Offeror’s responsibility to make the inquiry as to changes and addenda issued. All such changes or addenda shall become part of the contract and all Offerors

shall be bound by such changes or addenda.

Offerors may download all addenda and other RFP documents from Open Data Cincinnati and should frequently return to the Site to monitor for project-specific updates and addenda.

e. Equal Employment Opportunity Program

A summary of the City’s Equal Employment Opportunity Program is included in the

for information purposes in the RFP Section XI. It does not have to be signed or

returned with Proposals. The successful Offeror will be required to complete the DEI

147 at contract execution.

f. Offeror’s Covenant of Non-Discrimination

Pursuant to the City of Cincinnati’s policy of non-discrimination, specifically in its

purchasing and contracting practices, by signing this Statement of Qualifications and as a

condition of contract award, the Offeror covenants, represents and warrants that:

• The Offeror will not discriminate against small business enterprises on the basis of

race, ethnicity, gender or disability in the process of contracting, subcontracting

and purchasing;

• The Offeror will use good faith efforts to promote opportunities for SBEs and

M/WBEs to participate in and compete for opportunities to the extent of their

availability and capacity;

• If awarded the contract, the Offeror will submit to ongoing monitoring by and

submittal of reports to the City’s Department of Economic Inclusion;

• The Offeror will submit to investigations and/or audits by the Department of Economic Inclusion in connection with routine monitoring or as a result of specific

factors the City considers for award.

Offerors subcontracting any portion of the work must complete, sign and return the

appropriate economic inclusion forms found in the “No Goals Inclusion Packet” with

your proposal.
